Whereby SOPA LODGES agrees to grant the TOUR OPERATOR the following terms and conditions set out herein, for Masai Mara Sopa Lodge,
Amboseli Sopa Lodge, Samburu Sopa Lodge, Lake Naivasha Sopa Resort & Lake Nakuru Sopa Lodge.

CONTRACT AGREEMENT FOR THE YEAR: 2019

2. RATES:
All rates are NET (non-commissionable) in U.S. Dollars and include applicable Government Taxes.

Above is not applicable. Guests should be booked at one Property on Half Board (HB) basis and then booked for Lunch at the other Property
as per prevailing Lunch rates.

V. Easter Supplement:

An Easter Supplement of US$30.00 per person will apply to all bookings on 19th, 20th, 21st and 22nd April, 2019.

VI. Christmas & New Year's Supplements:

A Christmas Supplement of US$ 35.00 per person will apply to all bookings on 24th, 25th, 26th and 31st December, 2019 and
on 1st January, 2020.

3. TOUR LEADER DISCOUNTS:

I. Where a Bonafide Tour Leader is accompanying MORE THAN Fifteen (15) Adult paying pax, either Tour Leader rate or Half Twin, discount will apply.
Provided it is Pre-booked and Confirmed.

II. Where a Bonafide Tour Leader is accompanying LESS THAN Fifteen (15) Adult paying pax, the Tour Leader rate will apply as per Table below.
Provided it is Pre-booked and Confirmed.

4. RELEASE PERIODS & CANCELLATION POLICY:

I. For bookings cancelled or reduced in numbers between 45 and 34 days from the date of arrival, 25% of the contract rate will be charged
II. For bookings cancelled or reduced in numbers between 33 and 8 days from the date of arrival, 50% of the contract rate will be charged
III. In the case of cancellation within 7 days of the date of arrival, or in the case of a 'No Show", 100% of the value of the booking will be charged

5. AGENT RATES/ FAMILIARIZATION TRIP RATES

I. Agent rates are on a Request basis and are Subject to availability.

II. Agent rates are not applicable over the Peak Season (1st July - 31st October).
III. Agent rates are not applicable over All Public Holidays, Long Weekends, Easter (19th, 20th, 21st and 22nd April, 2019) and
Christmas Season (22nd December, 2019 - 1st January, 2020).
IV. Agent rates will apply as per the Table below:

6. SINGLE ROOMS POLICY:

A maximum of between 3 (Three) and 5 (Five) single rooms will be provided per group depending on the size of the group. For more information

7. CIRCUIT DISCOUNTS:
I. 5 Nights in 3 Properties = 5% Discount
II. 6 Nights in 3 Properties = 7.5% Discount
III. 8 Nights in 4 Properties = 10% Discount
IV. 10 Nights in 5 Properties = 12.5% Discount
* Circuit Discounts apply where Contract rates have been applied.
* Circuit Discounts are not combinable with any existing discounts, special offers or promotions.
* Circuit Discounts apply where the same person(s) are visiting the same Properties over the same stay.

8. PAYMENT POLICY

I. A 50% deposit is payable on confirmation of booking and the balance is due on collection of client(s) accommodation voucher 45 DAYS prior to
arrival of the client(s) at the Lodge(s). Bookings not secured by the appropriate deposit will be released automatically and without
prior notification.

II.From time to time Sopa Lodges may require that the Tour Operator make a deposit for large or special groups

III. Should the Tour Operator fail to pay any invoice within the agreed time, the Tour Operator shall pay a three percent (3%) per month
(compounded) Late Payment Fee. Delinquent payments shall be deemed a breach/default of contract and Sopa Lodges thereafter
reserves the right to cancel or nullify this contract.

IV. In the event a cheque is returned by the bank as 'unpaid' for any reason, the Tour Operator shall immediately replace the same with a Bankers
Cheque or Cash and additionally agrees to pay three percent (3%) as a Returned Cheque Fee'. Failure by the Tour Operator to replace the 'unpaid'
cheque within 48 hours will constitute a breach/default of contract and Sopa Lodges thereafter reserves the right to cancel or nullify
this contract.

V. The Tour Operator agrees to pay any and all costs, including Legal Fees, Court Costs and any other expenses incurred by Sopa Lodges
and/or its nominees in the collection of unpaid invoices, returned cheques or default of payment.

9. CONFIDENTIALITY:

The TOUR OPERATOR confirms and agrees that the contents of this agreement are strictly confidential to the undersigned and that no part of
this agreement in any form may be divulged to a third party.

10. VARIATION:

The contractual rates mentioned in this agreement are subject to change without notice; however, every effort will be made to maintain them. In the
event of a change in Government Taxes or Levies affecting the rates mentioned herein, Sopa Lodges reserves the right to pass on
any increases to the TOUR OPERATOR.

11. BREACH OR DEFAULT OF CONTRACT:

In the event that the Tour Operator fails to comply with any of the above terms set out in this Contract, Sopa Lodges will consider the
Tour Operator in Breach and/or in Default of this Contract. In the event of Default, and during the period of Default, the rates stated in this
Contract may become invalid. Furthermore, Sopa Lodges reserves the right to cancel, without recourse, any bookings of the Tour
Operator, whether paid for or previously confirmed. Clearing the Default does not guarantee the re-instatement of this Contract, nor does it
guarantee that any cancelled bookings will be re-instated.

12. LIABILITY:

Masai Mara Sopa Lodge Ltd (Sopa Lodges), does not and will not accept responsibility for any incident of any nature involving any client(s) who
is/are at any property(ies), nor while travelling to or from any property(ies).

13. CONFERENCE RATES:

THE ABOVE RATES ARE NOT TO BE USED FOR CONFERENCING. Kindly Contact - conference@sopalodges.com for all your Banquets, Conference,
Events & Team Buidling Requests.

14. APPLICABILITY:

This Contract is Valid for Non-Residents & Leisure Business Only. These rates are not to be used for onward distribution to any Third parties,
Online Travel Agents (OTA's) or Hotel Booking Websites and Portals.
