CONTRACT OF SERVICE

KNOW ALL MEN BY THESE PRESENTS:

This Agreement made and executed this day of 2020 by and
between:

The PRESIDENTIAL MANAGEMENT STAFF (PMS), a


government agency under the Office of the President of the
Republic of the Philippines, created by virtue of Executive Order
No. 130, series of 1987, with office address at the Automobile
Association of the Philippines (AAP) Tower, 683 Aurora Boulevard,
Bararigay Mariana, Quezon City, Metro Manila represented by its
Assistant Secretary ANA MARIA A. CADENA, hereinafter
referred to as the "CLIENT"
and

LSERV CORPORATION, a company duly organized and


existing under and by virtue of the laws of the Republic of the
Philippines, with principal place of business at 12F & 21F Petron
Mega Plaza, 358 Sen. Gil Puyat Avenue, Makati City, represented
by its Executive Vice-President Mr. JOSEPH V. ANGELES,
hereinafter referred to as the "SERVICE PROVIDER":

WITNESSETH:

WHEREAS, the SERVICE PROVIDER is a duly licensed company


engaged in janitorial and other allied services;

WHEREAS, the SERVICE PROVIDER has a pool of well-trained and


competent workers ready to render janitorial and other allied services to the
CLIENT; and

WHEREAS, after the conduct of competitive public bidding for the


procurement of janitorial and other allied services, the CLIENT through PMS-
Bids and Awards Committee Resolution No. 07 (s. 2020)1 awarded the Contract
therefor to the SERVICE PROVIDER.

NOW, THEREFORE, for and in consideration of the foregoing premises


and the covenants and stipulations set forth hereunder, the parties hereto agree
as follows:

SECTION 1. THE CONCESSION The CLIENT hereby grants to the

SERVICE PROVIDER the right to render janitorial and other allied


services in its Central Office/s and its thirteen (13) Regional Fields
Units (RFUs). The area/place of deployment and the number of
personnel to be deployed is hereto attached as "Annex A":
The forty-two (42) janitors, one (1) painter/varnisher, one (1)
electrician, one (1) mason/carpenter/plumber, two (2) welders/air-
con technicians and one (1) supervisor stationed at the PMS
Central Office shall work eight (8) hours daily from Monday to
Saturday.

The janitors assigned in the RFUs shall be supervised directly by


the respective RFU Team Leaders.

SECTION 2. TERM The term of this Agreement shall be from 01 January to


-

31 December2020.

SECTION 3. CONTRACT PRICE The total contract price for the said period
-

is Ten Million Eight Hundred Fifty-Three Thousand One Hundred


Fifty-Four Pesos (PhPI0,853,154.00) for forty-two (42) janitors,
one (1) painter/varnisher, one (1) electrician, one (1)
mason/carpenter/plumber, two (2) welders/air-con technicians
and one (1) supervisor. The above cost includes:

• Cost of living allowance, legal rate 13th month pay, 5 days


annual incentive leave and other labor standard pay;
• SSS Premium, Philhealth, ECC, Pag-ibig Fund;
• Supplies, Overhead, Net Profit, Depreciation Expense; and
• 12% VAT.

SECTION 4. CHANGE IN THE CONTRACT PRICE Any change in the

existing minimum wage rates, emergency cost of living


allowances, SSS, Philhealth, Pag-ibig, and ECC Contributions by
virtue of legislation, wage orders or the like shall cause a
corresponding adjustment in the present contract between the
SERVICE PROVIDER and the CLIENT. However, to facilitate the
release of the needed funds, the SERVICE PROVIDER must
notify the CLIENT in writing within seven (7) calendars days
regarding such changes.

SECTION 5, HOURS OF WORK Under this Agreement, the SERVICE


-

PROVIDER's personnel shall work eight (8) hours daily for six (6)
days a week, on the following schedule (subject to change as the
need arises):

Central Office

5.1 Janitors

4 Mondays to Fridays - 7:00 am to 4:00 pm


10:00 am to 7:00 pm
12:00 nn to 9:00 pm
Saturdays - 7:00 am to 4:00 pm
5.2 Allied services (painter/varnisher, plumber, mason/carpenter
and welder/aircon technician):
Mondays - 8:00 am to 5:00 pm
Tuesdays to Fridays - 9:00 am to 6:00 pm
Saturdays - 7:00 am to 4:00 pm
RFUs:

5.3 Janitors

Mondays to Saturdays - 8:00 am to 5:00 pm

SECTION 6. PAYMENT OF WAGES The CLIENT shall pay unto the

SERVICE PROVIDER the sum listed in Section 3 hereof payable


on or before the 5th day of every month, provided that in case the
date of payment falls on a Saturday, Sunday or Legal Holiday,
payment shall be made immediately on the following business

day. The CLIENT may require the employees of the SERVICE


PROVIDER to render overtime services, subject to payment of
their monetary benefits under the Labor Code.

The payment of wages shall be made through Automatic Teller


Machine (ATM) where the SERVICE PROVIDER maintains an
account. The CLIENT may examine the SERVICE PROVIDER's
payroll only to determine whether its personnel are receiving the
proper wage as provided for by law.
The SERVICE PROVIDER shall submit a monthly report on
payment of salaries and benefits of its personnel deployed in the
CLIENT's premises, as well as remittances of SSS, Philhealth
and Pag-IBIG contributions to the CLIENT's General and
Transport Service within five (5) working days after its remittance
to the abovementioned offices, for monitoring purposes.

SECTION 7. BOND The SERVICE PROVIDER shall post a performance


-

bond issued by the Government Service Insurance System,


surety or any insurance company duly certified by the Insurance
Commission as authorized to issue such security in favor of the
CLIENT in the amount of Three Million Two Hundred Fifty-Five
Thousand Nine Hundred Forty-Six Pesos and Twenty Centavos
(PhP3,255,946.20) equivalent to thirty percent (30%)2 of the
contract price to answer for the prompt and faithful compliance by
the SERVICE PROVIDER with all its obligations under this
Agreement and for all damages that may be sustained by the
CLIENT by reason of the SERVICE PROVIDER's maintenance
and operation. Said bond shall be automatically forfeited in favor
of the CLIENT in the following cases:
When the CLIENT terminates this Agreement before its
expiration by reason of any violation by the SERVICE
PROVIDER of any term or condition herein set forth; or
When the SERVICE PROVIDER is in default.
The forfeiture of the bond shall be without prejudice to the
CLIENT's right to enforce payment of any unsatisfied liability or
liabilities incurred by the SERVICE PROVIDER under this
Agreement.

SECTION 8. RIGHT TO SUBSTITUTE The CLIENT may change or replace


-

any janitor/s and other allied personnel anytime whose work it


finds or believes to be below standard, or whose conduct is
unsatisfactory and/or prejudicial to the interest of the CLIENT.
The judgment of the CLIENT on such matters shall be final and
binding and should the SERVICE PROVIDER refuse, the CLIENT
may consider the same a valid cause for the termination of this
Agreement.

SECTION 9. COVENANTS OF THE SERVICE PROVIDER During the term -

of this Agreement, the SERVICE PROVIDER's janitors and other


allied personnel assigned at the CLIENT's premises shall perform
the following services:

9.1 The SERVICE PROVIDER shall assign an inspector who


shall inspect the ENTITY's Central Office premises, once a

week and to check on the performance of the


abovementioned personnel. The inspector shall coordinate
his/her activities to the General and Transport Service;
9.2 The SERVICE PROVIDER shall maintain at all times the
aforementioned number of personnel to ensure continuous
and uninterrupted services. It shall promptly provide relievers
to janitors and allied workers who fail to report to duty;

9.3 The number of the SERVICE PROVIDER's personnel may


be increased or decreased anytime by mutual agreement of
both parties depending upon the exigencies of
service/availability of funds and/or staff performance.
Additional manpower requirement shall be upon written
request from the CLIENT's General and Transport Service
and subject to the approval of its proper authorities;
9.4 The SERVICE PROVIDERs personnel shall support/comply
with the CLIENT's policy, objectives and requirements of the
International Organization for Standardization/Quality
Management System (lSO/QMS), such as: (a) proper
handling of chemicals; (b) usage and storage of cleaning
materials to ensure safety in the performance of their duties;
9.5 The SERVICE PROVIDER shall be held totally responsible
for the competencies and quality of work that shall be
rendered by their personnel to the CLIENT;

9.6 Prior to the assumption of duty, the SERVICE PROVIDER


shall be required to submit to the CLIENT the Drug Test
Certificate/Clearance of its personnel from accredited Drug
Testing Centers by DOH and/or Dangerous Drugs Board;
and

9.7 The SERVICE PROVIDER shall comply with the standards


and requirements set forth in the ENTITY's Terms of
Reference.

SECTION 10. SERVICES The SERVICE PROVIDER shall render services in


-

consonance with the following schedule:


DAILY SERVICES (from Monday to Saturday, during and after
office hours):
Supervisor
• Ensure that the personnel deployment plan including its
schedule is strictly followed;
• Supervise cleaning of the ENTITY's offices/units and common
areas, watering and maintenance of indoor/outdoor plants,
collecting and proper disposal of garbage through waste
segregation and application of disinfectants in all offices and
comfort room;
• Prepare daily accomplishment report through a checklist of
activities on area covered to include problems encountered in
the performance of the service; and
• Perform other task over and above the daily routine functions
as may be required which may also entail overtime work.

Janitors

• Sweep, spot scrub, wet/dry mop and polish all offices/units


and common areas such a (hallways and corridors for the
exclusive use of PMS;
• Dust and clean all doors, windows, window sills and ledges,
air vents and partitions, furniture and fixtures requiring
specialized maintenance;
• Collect and dispose of garbage from all offices through waste
segregation;
• Spray fresheners and disinfectants in all offices and comfort
rooms, common and individual;
• Water and maintain all plants; and
• Perform tasks other than the daily routine functions as may be
required which may also entail overtime work.
PainterNarnisher
• Paint and varnish the repaired and improved offices and
common areas of the building, and repair/maintain office
furniture/fixtures; and,
• Perform tasks other than the daily routine functions as may be
required which may also entail overtime work.
Plumber

• Conduct daily check-up of the building's plumbing system


within the ENTITY's offices/units;
• Repair and maintain the building's plumbing system within the
ENTITY's offices/units; and
• Perform tasks other than the daily routine functions as may be
required which may also entail overtime work.

Mason/Carpenter

• Conduct daily checking of PMS facility;


• Repair offices and other facilities requiring masonry and wood
work; and
• Perform tasks other than the daily routine functions as may be
required which may also entail overtime work.
Welder/Air-con technician

• Conduct daily checking of PMS air-conditioning units;


• Repair and maintain PMS air-conditioning units; and
• Perform tasks other than the daily routine functions as may be
required which may also entail overtime work.

Electrician
• Undertake minor repairs of Electrical Equipment Facilities
(EEF);
• Conduct preventive maintenance of electrical equipment;

• Conduct regular monitoring and check-up of the EEF;


• Provide assistance in the repair and improvements of the EEF;
• Undertake and monitor power and water conservation
measures;
• Prepare needed documents for replacement of electrical
equipment parts;
• Evaluate and recommend request for material/s needed by
PMS units in case of electrical services;
• Inspect and receive deliveries of materials for the
rehabilitation, improvement and maintenance of the electrical
equipment facilities;
• Prepare daily accomplishment report through a checklist of
activities within the area of coverage to include problems
encountered in the performance of the needed service; and
• Perform tasks other than the daily functions as may be
required which may entail overtime work

WEEKLY SERVICES (every Saturday)

Janitors

• Conduct daily checking of PMS facilities;


• Conduct general cleaning of the ENTITY's offices/units
premises, hallways, comfort rooms and other ENTITY's
common facilities;
• Conduct general cleaning of all waste receptacles and waste
cans;
• Conduct general cleaning of all waste receptacles, waste cans
and ash trays;

• Clean glass door and windows and washing of roll-up blinds;

• Trim both indoor and outdoor plants;

• Apply fertilizers and pesticides, if needed, in the maintenance


of plants; and

• Take indoor plants outside for exposure to sunlight and


thereafter return the plants to their places.

MONTHLY SERVICES (every first Saturday of the month)

Janitors

• Conduct thorough general cleaning of ENTITY's offices and


common areas;
• Conduct general cleaning of window glasses and storm
drainage canopies and cleaning of executive/Mancom officials'
and visitor's chairs, light diffusers and electric fans; and,
• Provide the Executive/Mancom officials' comfort rooms with
bath soaps (regular size), bathroom tissues and deodorant

cakes. The staff common restrooms shall be provided with


liquid soap and deodorant cakes.

QUARTERLY SERVICES

• The SERVICE PROVIDER shall conduct fogging/misting


services using high-grade but environment-friendly chemicals
in the Central Office and RFUs.

SECTION II. MISCELLANEOUS SERVICES. The SERVICE PROVIDER shall


provide miscellaneous services free of charge, namely:

Quarterly in-house pest control of the areas for the exclusive


use of the ENTITY; and
Consultation in general engineering, indoor and outdoor
beautification.

SECTION 12. OTHER STIPULATIONS. The SERVICE PROVIDER shall supply


and deliver the equipment, tools, supplies and materials listed in
"Annexes B, C, D and E" to be used in performing the above
services chargeable to its account.

The Head, Janitorial and Security Section of the CLIENT shall


regularly monitor the consumption of supplies to determine its
adequacy and effectiveness and ensure that the supplies
requirements are met.
12.1 The supplies and materials to be provided by the SERVICE
PROVIDER shall conform to minimum Philippine
standards, or standards specified by the Department of
Trade and Industry (DTI);
12.2 Delivery and turn-over of supplies and cleaning materials
listed in "Annex B" hereof shall be on a monthly basis, the
first of which shall be one (1) week prior to the
commencement of the contract and every month
thereafter;
12.3 Delivery and turn-over of supplies and cleaning materials
listed in "Annex C" hereof shall be on a quarterly basis,
the first of which shall be one (1) week prior to the
commencement of the contract and at the start of every
quarter thereafter;
12.4 Delivery and turn-over of supplies and cleaning materials
listed in "Annex D" hereof shall be on a semi-annual
basis, the first of which shall be one (1) week prior to the
commencement of the contract and the start of every
semester thereafter;
12.5 The tools and equipment listed in "Annex E" hereof and
required for the performance of the services shall be
provided and maintained by the SERVICE PROVIDER all
year round;
12.6 In the event that supplies and materials are not consumed
within the month, the SERVICE PROVIDER may adjust the
quantity and items to be delivered by replacing the
unconsumed items with supplies and materials that are
frequently used, without change in the cost.

12.7 The janitors and other allied personnel assigned by the


SERVICE PROVIDER to the CLIENT's premises shall be
subjected to body search by the security personnel of the
latter before they enter and leave the premises;
12.8 The SERVICE PROVIDER shall answer for any loss or
damage proven to have been caused by its personnel in
the course of their duty; and
12.9 The SERVICE PROVIDER shall maintain the proper and
decent conduct of its personnel and shall require them to
wear identification cards and decent athre at all times. The
CLIENT has the right to censure or reprimand any
improper behavior of the SERVICE PROVIDER's
personnel and may require the SERVICE PROVIDER to
impose disciplinary measures to correct the same.

SECTION 13. REPORTING REQUIREMENTS. The SERVICE PROVIDER


shall prepare reports on the day-to-day operations especially
problems encountered in the performance of the services, which
shall be submitted during weekly meetings with the CLIENT's
Chief, GTS. The consolidated reports shall be attached to the
monthly billings of the SERVICE PROVIDER.

SECTION 14. PAYMENT OF TAXES PURSUANT TO EXECUTIVE ORDER


NO. 398. The SERVICE PROVIDER shall:
14.1 Pay taxes in full and on time and that failure to do so will
entitle the CLIENT to suspend payment for any goods or
services delivered by the SERVICE PROVIDER in line
with the provisions of Executive Order No. 398, entitled
"Directing Timely and Complete Payment of Taxes as a
Precondition for Entering Into, and as a Continuing
Obligation in Contracts with the Government, Its
Departments, Agencies and Instrumentalities"; and
14.2 Present to the CLIENT, within the duration of this
contract, a tax clearance from the Bureau of Internal
Revenue (BIR), as well as a copy of its income and
business tax returns duly stamped and received by the
BIR, and duly validated with the tax payments made
thereon. Furthermore, in compliance with Section 2 of EO
No. 398, s. 2005, the SERVICE PROVIDER shall submit
to the CLIENT a Certification under oath attesting that it
is free and clear of all tax liabilities to the Government.

SECTION 15. LIQUIDATED DAMAGES PURSUANT TO REPUBLIC ACT NO.


9184. The SERVICE PROVIDER shall be liable for liquidated
damages which shall be payable in case of breach hereof. The
amount of the liquidated damages shall be at least equal to one-
tenth of every one percent (0.1%) of the cost of the unperformed
portion for every day of delay.

SECTION 16. EVENTS OF DEFAULT There is default within the meaning of

this Agreement in case one or more of the following events occur:


When the SERVICE PROVIDER fails to perform any of the
covenants herein set forth;
When any representation, warranty, or statements or
documents submitted by the SERVICE PROVIDER to the

CLIENT as required in the Agreement, is proven to be


untrue in any material aspect;
When any representation, warranty or covenant of the
SERVICE PROVIDER set forth or referred to in this
Agreement is violated or not complied with;
When any of the concessions, permits, rights, franchise or
privileges required for the conduct of the business and
operations of the SERVICE PROVIDER shall be revoked,
cancelled, or otherwise terminated, or the free and continued
use and exercise thereof shall be curtailed or prevented in
such manner as to materially and adversely affect the
financial condition or operations of the SERVICE
PROVIDER as reasonably determined by the CLIENT;
When the SERVICE PROVIDER is dissolved or becomes
insolvent; and
When the SERVICE PROVIDER fails to meet, either
successively or otherwise, the expectation of the CLIENT
twice (2x), through a quarterly survey to be conducted by the
latter with respect to its janitorial and allied services upon
proper notification of each failure, which should be done
within seven (7) calendar days from the said unsatisfactory
service.

SECTION 17. REMEDIES IN CASE SERVICE PROVIDER IS IN DEFAULT -

When the SERVICE PROVIDER is in default, such default shall


have the following effects, alternative, concurrent and cumulative
with each other;
The CLIENT may, after giving written notification, terminate
this Agreement at its sole discretion; and
The CLIENT may require the SERVICE PROVIDER to pay
damages.

The CLIENT shall have the right to exercise alternatively,


concurrently and cumulatively all other rights and remedies now
or hereafter available to it.

SECTION 18. THIRD PARTY LIABILITY The CLIENT shall not be liable for
-

any damage or injury caused to third persons arising out of the


negligence of the employees of the SERVICE PROVIDER
committed within the proximity of the CLIENT'S premises,
including those which may be caused by the operation and use of
any equipment within the premises.

SECTION 19. NO EMPLOYER-EMPLOYEE RELATIONSHIP All personnel


-

employed by the SERVICE PROVIDER in the CLIENT'S


premises shall in no case be considered as employees of the
CLIENT. The SERVICE PROVIDER holds the CLIENT free from
any liabilities arising from the employer-employee relationship
with its personnel, including but not limited to provisions under the
Minimum Wage Law, Workmen's Compensation Act and any
other laws which are now in effect or which hereafter be enacted.

SECTION 20. PAROLE EVIDENCE No oral agreements or representations


-

related hereto and/or to the SERVICE PROVIDER's personnel


are integrated herein, and no modification hereof shall be binding
unless in writing and signed by the CLIENT.

SECTION 21. SEPARABILITY PROVISIONS If any provision of this


-

Agreement is declared invalid, the other provisions thereof shall


not be affected and shall continue to be in full force and effect.

SECTION 22. NO IMPLIED WAIVERS No failure, omission or delay on the


-

part of the SERVICE PROVIDER in exercising any of said rights,


privileges or remedies shall operate as a waiver thereof nor shall
any single or partial exercise of any such right, privilege or
remedy preclude any other or further exercise thereof. No
amendment, modification or waiver of any provision by the
SERVICE PROVIDER shall in any event be effective unless
consent is specifically given by the CLIENT. No notice to or
demand on the SERVICE PROVIDER in any case shall entitle it
to any other rights, privileges or further notice or demand in
similar or other circumstances, unless otherwise stated in this
Agreement.

SECTION 23. ALTERNATIVE, CONCURRENT AND CUMULATIVE RIGHTS -

All the rights, powers and remedies available to the CLIENT


under this Agreement and any and all related documents shall be
alternative, concurrent and cumulative with each other and with all
other rights and remedies now or hereafter available to the
CLIENT.

SECTION 24. VENUE AND DISPUTE RESOLUTION Any legal action or

proceeding arising out or connected with this Agreement shall be


brought in the proper courts of the City of Manila, to the exclusion
of all other courts, the parties hereto waiving any other venue.

In case of dispute arising from the implementation of this


Agreement, and which cannot be settled amicably within 30 days
after receipt of one party of a request for such amicable
settlement from the other party, the same shall be submitted to
arbitration in the Philippines according to the provisions of
Republic Act No. 876 (RA No. 876), as amended, otherwise
known as the "Arbitration Law", provided, that by mutual
agreement, the parties may agree in writing to resort to alternative
modes of dispute resolution.

IN WITNESS WHEREOF, the parties hereto have caused these presents


to be signed by their respective duly authorized representative on the date and at
the place first above set forth.
