Agency agreement

Concluded between A… Ltd., represented by: B.,

(address:…, hereinafter referred to as: (Principal ) and C.
(address: ……………… ), represented by: Z. (hereinafter
referred to as Agent) as of the date below, under the
terms and conditions specified as follows:

1. The Principal appoints the Agent and the Agent undertakes to perform the following
tasks: …

2. The appointment shall be effective for a definite period of time.

3. The Agent represents to have appropriate knowledge for the proper performance of
the task. The Principal agrees to make available all the information required by the
Agent.

4. With regard to the tasks detailed in the agreement, the agency fee shall be 2 million
HUF including VAT, payable in one amount based on the invoice of the Agent, within
8 days after the date of the invoice.

5. The agent agrees to perform the tasks related to this Assignment on the premises of
the Principal. The Parties may deviate from this provision in a separate agreement.

6. The Principal undertakes to make available to the Agent all the necessary
documentation and information required for the performance of the appointment so
that the tasks could be duly performed in compliance with the legal rules.

7. The Agent undertakes to inform the Principal of any additional requirements to

perform the tasks in compliance with the legal rules. On the other hand, the Principal
shall supervise the performance of the tasks during the appointment. The Agent shall
assume no liability for the incorrect data supplied by the Principal.

8. The contracting Parties agree that the Liquidator of the Company shall be designated
by the Agent with the consent of the Principal.
9. Matters not regulated by this agreement shall be governed by the relevant provisions
of the Civil Code.
