At present, every business project is developed around an idea, which arises as a consequence of the
detection of a business opportunity. The emergence of the idea to create a company varies
depending on the circumstances of each person. There are many factors that can lead a person to
lean towards a specific business.
When developing any business idea, the need to associate arises; for different reasons, either for
fear of undertaking alone, lack of money, among others. Regardless of the need, you always have to
create a pro-business society, that your partner complements and provides you with ideas to grow
day by day if this does not add up, it does not subtract and if it subtracts it does not serve to emerge.
The choice you make of the type of company or legal form will be decisive. For this reason, you
must first take into account your capital and the number of partners you will have, as this decision
will condition the activity, rights, obligations and responsibilities of the company.
The number of partners is a difficult point when establishing the participatory distribution of the
company. The fact is that we rarely exercise the typical business structure as the family business
largely predominates. When this happens, at first the number of shareholders or partners does not
stop being a mere symbolic number, of course, which can be very complicated if the company
works in the future.
The company name is the name that your company will have. With that company name your
company will identify itself to banks, entities and companies to carry out procedures, make
purchases or sales, among others. The first step in the Company Registration or Constitution
process is the reservation of the name or company name. This same process must also be carried out
when you want to modify the name or company name in the company's bylaws. It is important to
clarify that the business name is not necessarily your business name. And this includes the

In the formation of a company it is necessary the presence of certain requirements, one of them is

companies is organized. The organization of the company focuses on the structure and modes of
action to ensure that the company achieves its business objectives. When we are about to create a
company, it is essential to define what will be the way in which the company is organized so that all
its components know what the correct operation should be, the functions that correspond to them,
the responsibilities and the hierarchies. All entrepreneurs and SMEs must be aware of the role that
the organization of the company plays in the results of the company. The business organization
allows us to achieve the proposed goals in the most efficient way possible, also taking into account
that all the gears are greased so that all parts of the organization work as they should. Therefore, in
the business plan it is necessary to define how we will organize our company to start our activity.
A tax auditor is a Public Accounting professional capable of giving Public Faith on the
reasonableness of financial statements, validating reports, giving concepts and observations to
promote the proper functioning of a company. Taking into account that the main objective when
creating a company is to obtain a profit through the development of a corporate purpose, marketing
a good or services; which in turn is expected to meet the needs demanded by society, and to achieve
the objectives set within a new organization; To achieve this goal, the administration must be in
constant evolution as required by market behavior; therefore, you must implement management and
control models that help you conserve and increase your assets, it is there where the statutory

En la actualidad todo proyecto de empresa se desarrolla en torno a una idea, que surge
como consecuencia de la detección de una oportunidad de negocio. El surgimiento de la
idea para crear una empresa varía en función de las circunstancias de cada persona. Son
muchos los factores que pueden llevar a una persona a inclinarse por un negocio concreto.
Al momento de desarrollar cualquier idea de negocio, surge la necesidad de asociarse; por
diferentes motivos ya sea por miedo al emprender solo, la falta de dinero, entre otras. Sin
importa la necesidad siempre hay que crear la sociedad en pro al negocio, que tu socio de
complemente y te aporte ideas para crecer día a día si este no suma que no reste y si resta
no sirve para poder surgir. La elección que haga del tipo de sociedad o forma jurídica será
determinante. Por eso antes, debe tener en cuenta su capital y la cantidad de socios con los
que contará, pues esta decisión condicionará la actividad, los derechos, las obligaciones y las
responsabilidades de la empresa.

El número de socios es un punto complicado a la hora de establecer la distribución

participativa de la empresa. El caso es que rara vez ejercitamos la estructura típica
empresarial al predominar ampliamente la empresa familiar. Cuando esto ocurre, en un
principio el número de accionistas o socios no deja ser un mero número simbólico, claro
está, que se puede complicar mucho si la empresa funciona en un futuro.
La razón social es la denominación que tendrá tu empresa. Con esa razón social tu empresa
se identificará ante, bancos, entidades y compañías para realizar trámites, hacer compras o
ventas, entre otros. El primer paso en el proceso de Registro o Constitución de empresa es
la reserva del nombre o razón social. También se debe realizar este mismo proceso cuando
se desea modificar la denominación o razón social en el estatuto de la empresa. Es
importante aclarar que la razón social no es necesariamente tu nombre comercial. Y esta
incluye las siglas que indican de qué tipo de empresa se trata
En la conformación de una empresa es necesario la presencia de determinados requisitos,
uno de ellos es el objeto social. El objeto social, es decir, la expresión de la actividad o
actividades a las que se va a dedicar la sociedad constituye a uno de los puntos, que como
contenido mínimo, deben recoger los Estatutos sociales. Resulta de suma importancia
puesto que incluso puede llegar a determinar el tipo de sociedad que debe constituirse.
El capital social es un concepto de reciente y creciente aplicación en los estudios sobre el
desarrollo. Se refiere a una realidad menos tangible que el capital humano (conocimientos)
o el capital físico (bienes materiales), pero resulta también decisivo para la actividad
productiva, la satisfacción de las necesidades personales y el desarrollo comunitario. El
capital social constituye ciertos recursos de las personas, derivados de sus relaciones
sociales, que tienen una cierta persistencia en el tiempo. Tales recursos son utilizados por
las personas como instrumentos con los que aumentar su capacidad de acción y satisfacer
sus objetivos y necesidades (obtener empleo, recibir ayuda, etc.), al tiempo que facilitan la
coordinación y cooperación entre aquéllas en beneficio mutuo. En consecuencia, resulta un
factor decisivo también respecto a las capacidades de las familias para afrontar las crisis
y desastres, o para recuperarse tras ellos.
Uno de los aspectos claves para el correcto funcionamiento de las empresas es la forma en
que se organiza cada una de las compañías. La organización de la empresa se centra en la
estructura y los modos de actuación para conseguir que la empresa logre los objetivos
empresariales que se plantea. Cuando nos disponemos a crear una empresa, es
imprescindible definir cuál va a ser la forma en que se organiza la empresa para que todos
sus componentes sepan cuál debe ser el funcionamiento correcto, las funciones que le
corresponden, las responsabilidades y las jerarquías. Todos los emprendedores y
pymes deben ser conscientes del papel que juega la organización de la empresa en los
resultados de la compañía. La organización empresarial nos permite llegar a conseguir las
metas propuestas de la forma más eficiente posible, teniendo en cuenta, además, que todos
los engranajes se encuentren engrasados para que todas las partes de la organización
funcionen como deberían. Por ello, en el plan de negocio es necesario definir cuál será el
modo en que organizaremos nuestra empresa para iniciar nuestra actividad.
Un revisor fiscal es un profesional de la Contaduría Pública capaz de dar Fe Pública sobre
la razonabilidad de los estados financieros, validar informes, dar conceptos y observaciones
para promover el buen funcionamiento de una empresa. Teniendo en cuenta que el objetivo
principal al crear una empresa es obtener una utilidad a través del desarrollo de un objeto
social, comercializando un bien o servicios; que a su vez se espera cubra las necesidades
demandadas por la sociedad, y para lograr los objetivos trazados dentro de una nueva
organización; para alcanzar esta meta la administración deberá estar en constante evolución
conforme lo exija el comportamiento de mercado; por lo tanto, deberá implementar
modelos de gestión y de control que le ayuden a conservar y aumentar el patrimonio, es allí
donde el revisor fiscal y auditor entran a jugar un papel importante como ente de control y
fiscalización, cada uno desde su ejercicio.
Y así para finalizar podemos hablar de lo que es La disolución de la sociedad que es el
momento en el cual la sociedad suspende el desarrollo de su actividad social y entra en el
proceso para terminar su operación y llegar a la liquidación. Existen diferentes causales por
las cuales la sociedad puede entrar en disolución, las cuales pueden provenir de lo pactado
en los estatutos sociales, o de la ley, siendo algunas automáticas y otras declaradas por los
asociados o por la autoridad competente.
