FOURTH.- Both parties represent and acknowledge that they have the legal capacity to enter into this agreement,
in terms of the current and applicable legislation.

SUBJECT OF THE CONTRACT- The object of the present contract is the purchase and sale of the vehicle mentioned
in the SECOND DECLARATION herein, with the characteristics and particularities indicated. It is the desire and will
of the contracting parties to enter into this contract, subject to the following:

CLAUSES

FIRST. "THE SELLER" hereby transfers ownership to "THE PURCHASER" , who acquires for himself the vehicle
described in the SECOND DECLARATION of this instrument (hereinafter, the "Vehicle").

SECOND. "PURCHASER", declares its conformity with the physical and mechanical conditions in which the Vehicle is
found at the time of the purchase-sale operation, so that from the date of delivery of the Vehicle object of this
contract, the flaws that may arise thereafter shall not give rise to any claim whatsoever.

THIRD. The purchase and sale price of the vehicle is $ ____________________________

FOURTH. "THE PURCHASER" declares its acceptance in the value of the Vehicle, and "THE SELLER" the form of
payment expressed in the previous clause. This unit is used and is being sold in as-is condition, including engine,
transmission, suspension and bodywork.

FIFTH. After having inspected the Vehicle at its own expense, "THE PURCHASER" receives it in full conformity.

SIXTH. "THE SELLER", by reason of the execution of this contract, assigns the rights derived from the acquisition of
the Vehicle to "THE PURCHASER" in all that in fact and by right corresponds to it and the latter acquires the
obligations inherent to said Vehicle.

SEVENTH. "SELLER" disclaims any civil or criminal liability that may result from the use, handling or operation of the
Vehicle subject of this contract from the date of delivery of the same.

EIGHTH. Both parties declare that in the execution of this contract, there is no error, fraud, violence or bad faith
that could invalidate it.

NINTH. For all matters relating to the interpretation and fulfillment of the obligations derived from this agreement,
the parties agree to submit to the jurisdiction and competence of the courts of the State of Baja California, waiving
any jurisdictional body to which they may be entitled by reason of domicile, neighborhood, or any other nature.

After reading the contents of this contract, the parties agree to be bound by all its terms and conditions, which
constitute a complete and exclusive expression of their will, free of any defect, and sign it accordingly.
