CONTRACT FOR THE LEASE OF MOTORIZED SERVICES

The Motorized Services and Delivery Contract entered into by P & P INVESTMENT S
.A.C., with RUC Nº 20493387597, domiciled at Av. San Luis No 1988 - San Borja, duly
represented by its General Manager Mr. Felix Atúncar Domingo Antonio, identified
with DNI N° 08149222, according to the power of attorney registered in file N°
11340718 of the Registry of Legal Entities of the Lima Registry Office. 11340718 of the
Registry of Legal Entities of the Lima Registry Office; hereinafter referred to as THE
PRINCIPAL and on the other hand Mr. JIMMY BRIAN GONZALES FLORES with RUC N°
100726284305, residing at Jr. Andahuaylas Mz. 02 Lot C1 PJ. Néstor Gambeta Baja
Este- Callao, who shall be referred to as THE LESSOR, under the following terms and
conditions:

CLAUSE ONE:
THE PRINCIPAL is a private legal entity constituted under the regime of a closed
corporation, whose activity is RESTAURANT and provides its customers with delivery
services, for which it requires to hire the services of motorized vehicles to carry out
this work.
THE LOCATOR is a natural person with business, dedicated to the activity of delivery
services in motorized units and has three units available to perform this service.

CLAUSE TWO: SUBJECT MATTER OF THE CONTRACT

By the subscription of the present contract, THE PRINCIPAL hires the services of the
LOCATOR to carry out the activity related to the delivery service in motorized units,
that is to say, delivery of products to the customer's home after the customer calls the
restaurant.

THE LOCATOR has (03) three units and (03) three Drivers, duly identified, with the
respective driving licenses that will provide the motorized transportation and delivery
service in the company's restaurant.

The service will be provided in the districts of ....................................... and in the


Constitutional Province of Callao.

CLAUSE THREE: REQUIREMENTS FOR THE EXECUTION OF THE CONTRACT


For the execution of the contract, the LANDLORD is obliged to deliver the following
documents:

• Copy of the ownership cards of the units assigned to perform the service.
• Copy of the valid SOAT.
• Brief of the assigned drivers.
• Proof of the drivers' T-Registration in the LOCATOR's payroll:
• Driver's record issued by SAT.
• Copy of the LOCATOR's valid RUC card.
• SCTR in force.
• Police and criminal record certificate
CLAUSE FOUR: AMOUNT TO BE PAID

As consideration for the services provided by THE LANDLORD in favor of THE


PRINCIPAL, it is agreed by mutual agreement an economic remuneration of S/.6,600
(Six thousand six hundred and 00/100 soles) per month, including VAT.

CLAUSE FIVE: METHOD OF PAYMENT

Payment shall be made in local currency upon presentation of the respective payment
voucher. Likewise, they agree that this will be made effective upon payment of the
amount deducted the percentage established by law for transactions subject to SPOT.
The (12%) corresponding to the deduction will be deposited in the account of Banco de
la Nación No. XXXXXXX in the name of the LOCATOR, the balance (88%) will be
deposited in the account of Banco XXXXXXXXXX . in the name of the LESSOR.

CLAUSE SIX: TERM OF THE CONTRACT. -


Both parties agree that the term of this contract is from July 1, 2019 to December 31,
2019, which may be renewed by mutual agreement.

Notwithstanding the agreed term, either party may terminate this contract at any time
during its term by giving notice to that effect to the other party.

SEVENTH CLAUSE: APPROVAL OF THE SERVICE. -


THE LOCATOR undertakes to provide its services in a diligent manner, taking care of
the quality of the product, as well as the effective customer service, respecting the
time allotted for the route indicated.

THE PRINCIPAL may disapprove or reject the services provided by THE LOCATOR when
negligence or non-compliance of the contracted services is manifested, in which case it
may suspend the payment of the consideration until the observations made are
corrected, for which a term of 3 (three) calendar days shall be granted, whose non-
compliance shall give rise to the termination of the contract.

In the event that the bad service provided by the LESSEE will generate an economic
damage and in the image of the PRINCIPAL, the LESSEE is obliged to compensate
economically the damage caused.

CLAUSE EIGHT: RESERVATION OF INFORMATION


THE PRINCIPAL shall not communicate to any person or entity outside THE PRINCIPAL,
the confidential information to which it has access on the occasion of its services under
the terms of this contract, except when expressly authorized by THE PRINCIPAL.
This clause shall survive the termination or expiration of this Agreement.
CLAUSE NINE: DOMICILE
For the effects derived from the present contract, the parties designate as domiciles
those indicated in this document. Any change of address shall only take effect five days
after being duly notified in writing to the other party. Notwithstanding the foregoing,
in the event of a judicial conflict, both parties submit to the jurisdiction of the judges
and courts of the city of Lima.

Signed in triplicate and as a sign of conformity, in San Borja on the first day of July of the
year two thousand nineteen hundred and nineteen.
