Whereas the client intends to appoint a consultant to undertake the comprehensive


consultancy services for the completion of the building already built in structure on his
plot of land …………., hereinafter referred to as the “Project”.

Whereas at the request of the client, the consultant admits that prior to the signing of
this agreement, he has visited or caused to visit the site of the project, has studied the
plans and drawings submitted to him by the client and has taken into consideration all
the circumstantial evidence related to the site and the project.

Whereas the consultant has accepted to undertake the mission that the client has
assigned to him, the two parties hereby enter into this present agreement by which the
client assigns to the consultant the consulting services of the project on the following
terms and conditions.

1- Preamble.
The above-mentioned preamble forms an integral part of this agreement.

2- General.
The project is in a building on the plot of land ………………. with an area of ……m²,
and the areas already built are as follows:

A- ….. M² of three underground floors comprising mechanical services parking,


stores, etc...
B- …. M² of ground floor / duplex inside area & covered terraces.
C- …. m² of three typical floors with their balconies & flower gardens including each
floor’s landing areas in front of the elevators.
D- Moreover, the ground floor accommodates the area in front of the building, the
entrance of the building and the entrance of the car park, the entrance of the
service area, the wall surrounding the plot of land, the watchman’s apartment, the
elevator, and the ground floor private garden, etc...

3- The required consultancy services from the consultant.

3.1- Preliminary design (Avant-project).


The consultant shall prepare and present for the client’s approval the following
documents:

3.1.1- Four elevations showing the building from all sides.


3.1.2- A perspective showing the building from the best angle.
3.1.3- A plan of each of the floors showing the layout of living rooms, dining rooms,
kitchens, bathrooms, bedrooms, etc... Including the placement of the shafts
and suspended ceiling in accordance with the B.E.T.
3.1.4- All needed documents and information required for the preparation of a sales
booklet.

3.2-Advanced final design and working drawings (plans généraux et dossier


d’exécution).
The consultant shall prepare architectural working drawings and details, which shall
include the following:

3.2.1- Plans, sections and elevations of the building at scale 1/50.


3.2.2- Sections of walls and roofs indicating the materials, the insulation, the fixing
details and the water proofing details at scale 1/50.
3.2.3- List of doors, windows and closets schedules including the necessary design
and details.
3.2.4- Bathrooms plans and sections at scale 1/20.
3.2.5- Sections and details of both staircases at scale 1/20, 1/10.
3.2.6- Plans and details of ceilings at scale 1/50.
3.2.7- Typical construction details at scale 1/20, 1/10 and all details needed for the
finalisation of the building (interior design details are not included).
3.2.8- Choice and selection of materials.
3.2.9- Finishing schedule.
3.2.10- A complete bill of quantities.

3.3- The interior design of Entrance Hall in ground floor and lift lobbies.
3.4- Coordination between the architectural plans and the electrical, air-conditioning,
drainage, plumbing, heating and fire fighting plans prepared by Bureaux d’Etudes
Techniques (B.E.T.).
3.5- Architectural design of all surroundings at ground floor and coordination with the
landscaper and B.E.T. for planting and exterior lighting.
3.6- Specifications to be all noted on the plans and/or in a form of schedule and shall
be decided with the client’s approval.
3.7- Although the structural work in the building is substantially completed, the
consultant shall provide the design of the remaining elements i.e. (the boundary
wall, the car-park entrance wall, etc...)
3.8- Construction supervision by the consultant shall occur at least once a week by an
architectural engineer and whenever requested by the client, as work progresses.
3.9- The consultant shall provide all assistance to the client:
- discuss plans, details.
- check sub-contractor shop drawings.
- meet with the site manager, etc... and provide any drawing that is necessary to
the building.
- The consultant shall appoint qualified engineers or architect with extensive
experience of design and supervision stages, and familiar with the Lebanese
Construction requirements and practices who shall advise the client on the
options and cost to construct a modern equipped building to best suit the
Lebanese choice and market.

4- The duties of the Consultant in performing the consultancy services.

4.1- The updating of Old drawing set.


The consultant shall finalise the updating of all the documents concerning the existing
building (plans, sections...) within a period of 10 days, starting from the date of this
agreement. The client is kindly requested to provide to the consultant all needed
measurements and computer diskette as soon as possible.

4.2- Preliminary design.


After the updating of all the documents, the consultant shall prepare a preliminary
design within a period of 30 days and submit it to the client for his approval.

4.3- Advanced final design.


After the written approval by the client of the preliminary design, the consultant shall
prepare the final advanced design in a period of 30 days.
The consultant will discuss the finishes with the client to enable the latter to take a
decision with respect to the level of the budget he wishes to establish for his project.

4.4- Working drawings.


After approval of the advanced final design by the client, the consultant shall start
work on the execution and detailed working drawings, and complete this work in a
period of 50 days at the scales of 1/100, 1/50, 1/20, 1/5.
This period doesn’t include of the time taken for:
a- Client’s approval.
b- Changes requested by the client.
The consultant shall get the client’s approval before finalisation of the drawings for
the detailed design of the joinery works (i.e. cupboards, doors) kitchen layout,
bathrooms and corresponding wall & floor tiles, living and dinning floorings and any
other finishing items. For kitchen layout, meetings will be held between the consultant
and a supplier, specialist in kitchens.

4.5- Specifications.
Prepare specifications to be noted on the plans directly or presented in a separate
schedule.
Specifications and quantities concerning different trades will be in a booklet prepared
specially for the concerned project, and presented to the site manager or contractor.

4.6- Supervision.
The consultant will insure a weekly site visit, check the site work, prepare work and
report to the client in writing of the quality control and work progress. A qualified and
experienced architect shall make the site visits.
Also the consultant shall be ready at the client’s request for meetings on site with the
construction manager and the subcontractors, to discuss and clarify any matter needed.

4.7- Permit.

Prepare the revised occupancy permit set according to measurements and information
provided by the client who will present it to the authorities in order to obtain the final
authorisation. All expenses, official or unofficial related to the permit formalities will
for the client.

5- The client obligations and responsibilities.

5.1- The client has to provide the consultant with all the existing design documents
on a computer diskette, as well as the survey and measurements needed to update
drawings (plans, sections, elevations...) according to executed works.
5.2- The client shall submit to the consultant a complete building permit set. The
consultant shall use this document to ensure the compatibility of the existing
construction with Lebanese building code and regulations.
5.3- The client shall be responsible for the hiring if he wishes so, of a bureau de
contrôle, before the beginning of advanced final designs and working drawings.
5.4- The client shall take in charge all the expenses for the promotional brochure of
the building.
5.5- The client shall be accountable for insurance costs covering risks on the
construction site by the architect and his assistants.
5.6- The client is kindly requested not to modify plans and documents, without prior
consultation with the consultant.
5.7- In case of an interior design mission, the client ought to give the priority to the
consultant, in order to preserve the architectural harmony of the building.

6- Fees to be paid to the consultant.

6.1- It is agreed that the client will pay the consultant the amount of US$ ………..$
(US Dollars sixty only) for the design of the entire project based on the
following time table:

6.1.1- At the signature of this agreement as an advance payment: …………. $


6.1.2- At approval of preliminary design: …………. $
6.1.3- Advanced payment: …………... $
6.1.4- At approval of the advanced final design as stated in 4.2: …… $
6.1.5- At approval of all working drawings as stated in 4.4: …………. $
6.1.6- At completion and presentation of all required specification, …………. $
bills of quantities and revised permit file.

6.2- It is agreed that the client will pay the consultant the amount of US$
………………. for the supervision of the project on a period not exceeding 24
months. If the period of executing the project exceeds 24 months, then the
consultant is entitled to have the remaining unpaid fees augmented by 10%
yearly starting the first day after the 24 months period.

The above supervision fees will be paid monthly to the consultant in the amount of
US$ ……….. (US Dollars nine hundred thirty seven and fifty cents only) per month,
for the period of 24 months.

7- Language.
All correspondence, reports, specifications, and faxes shall be in English language.

8- Disputes.
Any disagreement or misunderstanding between the two parties arising under this
agreement shall be referred to a third person from Lebanon whom the two parties
agree to act as a referee or arbitrator to give advice in solving the disagreement or
misunderstanding failing which the whole matter shall finally be referred to arbitration
by one or more arbitrators in accordance with the Lebanese law. The decision of the
arbitrator or arbitrators will be final and binding to the two parties and cannot be
referred to any other judicial body.

9- Governing laws.
This agreement shall be governed by and be construed in accordance with the laws
and rules of the Republic of Lebanon.

P.S. Whereas the engineer and/or the architect, signatory of the building permit set
declares having known and accepted all the clauses of the present agreement.
