MODZTUD Freelance Contract

This Freelance Contract ("Contract") is entered into on September 14, 2023, between
Abstracto S.A de C.V. ("Employer"), representing Modztud and Alejandra Mejia
("Contractor"), with ID number 0801-1978-05354 from Honduran nationality.

1. Services and Scope of Work: The Contractor shall provide interior design services for
Modztud Interior Design's online service website (www.modztud.com), including design
packages and personalized consultations as per the terms outlined in this Contract.

2. Payment: Payment to the Contractor shall be calculated based on the number and
type of packages offered per month:
Basic Package: $100 per design
Personalized Live Consultation Package: $50 per 30 minutes

3. Contract Initiation and Termination: This Contract will initiate upon signature. Either
party may terminate the Contract by giving the following notice:
Contractor's termination: 30 days' notice
Employer's termination: 15 days' notice

4. Ethical Behavior: The Contractor agrees to exhibit professional and ethical behavior
when interacting with Modztud Interior Design's clients through the website. This
includes maintaining confidentiality, respecting client preferences, and upholding
industry standards.

5. Non-Compete Provision: During the term of this Contract and for 6 months after its
termination, the Contractor agrees not to directly or indirectly engage in any activities
that compete with Modztud Interior Design's services or business within United States.

6. Non-Solicitation Provision: The Contractor agrees not to solicit, entice, or engage any
clients, customers, employees, or business partners of Modztud Interior Design for 6
months after the termination of this Contract.
7. Independent Contractor Liability: The Contractor shall be liable for addressing and
resolving any claims brought against Modztud Interior Design by clients in connection
with the services provided. The Contractor agrees to take prompt and appropriate action
to rectify any issues.

8. Governing Law: This Contract shall be governed by and construed in accordance with
the laws of Honduras, C.A.

Both parties hereby acknowledge their understanding and acceptance of the terms
outlined in this Contract.
