MEMORANDUM OF AGREEMENT

In support of the vital role of private enterprise in the upliftment of the lives of common workers
through skills training, this Agreement is being entered into between, V5 ELECTRICAL
CONSTRUCTION CO., INC. (Principal) and ST. PEREGRINE INSTITUTE (Provider) in promoting the
welfare of workers through various skills development activities.

WHEREAS, the PRINCIPAL allows SPI the use and utilization of its training centers as venue for the
skills training and assessment V5 employees.

WHEREAS, the PRINCIPAL shall authorized the PROVIDER to conduct various sustainable training
programs for different construction trades such as the following but not limited to:
• Masonry NC II
• Electrical Installation and Maintenance (EIM) NC II

WHEREAS, the Parties are hereby in concurrence that this gratuitous agreement will not result to an
Employer - Employee relationship.

OBLIGATIONS OF THE PARTIES


In consideration of this agreement, the parties mutually agrees to pursue the following:

PRINCIPAL

• The PRINCIPAL shall allow the PROVIDER to register, conduct and implement its training
and assessment TESDA Registered programs at the PRINCIPAL's various training centers
without rental cost on the part of the PROVIDER. This include the use of classrooms,
conference rooms, practical area, comfort rooms and other parts of the training centers.
• The PROVIDER shall make available all equipment, tools, materials and other items
necessary to conduct trainings. But in no case, during the course of implementing any
training program, equipment and tools becomes unavailable, the principal who
maintains tools, equipment in its training centers will allow the PROVIDER use of said
items.
• The PRINCIPAL further agrees to provide authorization letter to the PROVIDER for the
exclusive use of security of the following documents:
1. Business permit registration where the training center is located.
2.Training and Assessment Center registration with TESDA

PROVIDER

 The PRINCIPAL shall in no way be held accountable/liable financially or legally to any


incident / accident detrimental to public safety, safety of the trainees and trainers that
may arise in the course of SPIN operation in conducting skills trainings in the
PRINCIPAL's premises.
 The PROVIDER shall follow all related access control and safety measures and other
MAPD and EHS guidelines in effect in MDC's Training Centers. The PROVIDER binds itself
to adhere to the established rules and regulations enforced in its various training
centers.
 The PROVIDER shall be responsible for the safe and vigilant use of the hand tools and
equipment
 The PROVIDER shall be responsible for the maintenance and up keep of the training
centers and shall ensure the cleanliness and orderliness of the facilities of the said
centers each and every session.
 The PROVIDER shall restore any damages and any alteration of the structures at their
own cost solely.
 Furthermore, SPIN shall shoulder all cost related to maintenance including utilities used
during the duration of the trainings at the various training centers.

That the PRICIPAL and PROVIDER hereby agrees to the terms and conditions of this gratuitous
undertaking and shall endeavor the success and completion.
