Non-Conformance
1. AUTHORIZED SUBSTITUTIONS
▪ The Contractor shall notify ADRA Yemen prior to signing a Contract if the Contractor wishes to
deliver Goods that are other than the exact goods contained in the specifications but are.
equivalent in price and quality. ADRA Yemen may, using its sole discretion, choose to accept
such Goods by providing the Contractor with written notice, signed by ADRA Yemen’ authorized
representative, that it will accept the equivalent substitute Goods. Substitute goods are not
acceptable unless otherwise acknowledged and accepted by ADRA Yemen in writing prior to
delivery.
▪ If the Contractor requests such substitution, the entire Contract signed by ADRA Yemen loses
its validity unless accompanied by an authorization to substitute issued by ADRA Yemen.
▪ Should ADRA Yemen choose to accept the substitute goods, ADRA Yemen will determine the
market value of substituted commodities and for those commodities will pay no more than the
market value established by ADRA Yemen.
▪ In the eventuality that the market value determined by ADRA Yemen is higher than the
Contractor’s bid for the item originally contracted, ADRA Yemen will pay no more than the price
offered by The Contractor in its original bid.
▪ In addition, due to the disruption caused to ADRA Yemen’ supply chain and the additional work
required to establish the market value of the substituted items, ADRA Yemen will charge a
penalty of 2% of the value of the items that The Contractor is attempting to substitute. The
value listed in this Agreement will be used as the basis for the computation of penalties.
▪ In the eventuality that the Contractor wishes the substitution item to become the permanently
contracted item until the end of the present Agreement, The Contractor may request that an
amendment to Annex A: BoQs (Contents, Specifications, and Packaging List), be drafted. ADRA
Yemen, at its sole discretion, may or may not grant The Contractor’s request.
▪ Any Material substitution which is not communicated to ADRA Yemen after the signing of the
relevant Contract, will trigger the cancellation of the entire Contract unless ADRA Yemen, at its
sole discretion, decides otherwise. In the eventuality that ADRA Yemen accepts the
substitution. In addition, with the exception of the penalty rate, this will be increased to 4%
and computed on the same basis, in order to account for the additional delay caused by The
Contractor.

2. UNAUTHORIZED SUBSTITUTIONS
▪ Any Material substitution, which is not communicated to ADRA Yemen by The Contractor prior to
delivery, will trigger the cancellation of the entire Contract unless ADRA Yemen, at its sole
discretion, decides otherwise. In the eventuality that ADRA Yemen accepts the substitution,

- Reject the entire shipment.

- Reject the substituted goods.

‫الواردة في المواصفات‪ ،‬ولكنها ليست كذلك‪.‬‬
‫ما يعادل السعر والجودة‪ .‬قد تختار أدرا اليمن‪ ،‬وفقًا لتقديرها الخاص‪ ،‬قبول هذه السلع من خالل تزويد المورد بإشعار خطي موقع من‬
‫الممثل المعتمد لشركة أدرا اليمن‪ ،‬بأنه سيقبل السلع البديلة المكافئة‪ .‬السلع البديلة غير مقبولة ما لم يتم اإلقرار بخالف ذلك والموافقة‬

‫• إذا اختارت أدرا اليمن قبول المواد البديلة‪ ،‬فإن أدرا اليمن ستحدد القيمة السوقية للمواد البديلة ولن تدفع أكثر من القيمة‬
‫السوقية التي حددتها أدرا اليمن لتلك المواد‪.‬‬
‫• في حال كانت القيمة السوقية التي تحددها أدرا اليمن أعلى من عرض المقاول للعنصر المتعاقد عليه في األصل‪ ،‬فإن أدرا‬
‫اليمن لن تدفع أكثر من السعر الذي عرضه لمقاول في عطائه األصلي‪.‬‬
‫نظرا لالضطراب الذي حدث في سلسلة التوريد الخاصة بـ ‪ ADRA‬في اليمن والعمل اإلضافي المطلوب‬ ‫• باإلضافة إلى ذلك‪ً ،‬‬
‫لتحديد القيمة السوقية للمواد المستبدلة‪ ،‬ستفرض ‪ ADRA‬اليمن غرامة قدرها ‪ ٪ 2‬من قيمة العناصر التي يحاول المورد ليحل‬
‫محل‪ .‬سيتم استخدام القيمة المدرجة في هذه االتفاقية كأساس لحساب العقوبات‪.‬‬

‫المقاول‪.‬‬
‫• أي استبدال للمواد لم يتم إبالغ أدرا اليمن بعد التوقيع على العقد ذي الصلة‪ ،‬سيؤدي إلى إلغاء العقد بالكامل ما لم تقرر أدرا‬
‫اليمن‪ ،‬وفقًا لتقديرها الخاص‪ ،‬خالف ذلك‪ .‬في حالة أن ‪ ADRA‬اليمن تقبل االستبدال‪ .‬باإلضافة إلى ذلك‪ ،‬باستثناء معدل‬
‫العقوبة‪ ،‬سيتم زيادتها إلى ‪ ٪4‬ويتم احتسابها على نفس األساس‪ ،‬من أجل حساب التأخير اإلضافي الذي يسببه المقاول‪.‬‬
