This contract confirms the purchase and sale of original milled rice in Vietnam

The above two buyers and sellers agree to buy and sell the following items
under the following conditions:

3. QUANTITY:
100 tons, tolerance 5% selected by seller
4. PACKAGING:
4.1 The seller shall ensure that the packaging is in accordance with the following
specifications:
 + The net weight of each bag of rice is 50kg or 100kg
+ When packing rice for export, only use string to sew the mouth of the bag
+ The mouth of the rice bag must be stitched by a specialized machine.
+ The net weight of each rice bag allows an error of not greater than 0.1kg for
100kg bags and 0.05kg for 50kg bags. But ensure the total net weight of the
whole batch.
4.2 The seller shall label each bag of rice according to the following
specifications:
The adhesive stitch at the mouth of the cardboard product label ensures the
following contents: name of the production and business establishment; name
of type and product grade; net weight.

The bag must be good and suitable for transportation conditions by sea.

5. DELIVERY:

Delivery time: no later than 15/7/2013.

If the delivery exceeds the time limit specified in the contract for one day, a
penalty of 0.02% of the value of the goods delivered late will be imposed. If
delivery is delayed for more than 10 days, a penalty of 1 to 3% of the value of
goods delivered late will be imposed.
Terms of contract: CFR VALPARAISO, CHILE
Port of loading: any port in Vietnam.
Port of discharge: VALPARAISO, CHILE.
Partial delivery: not allowed

7. PAYMENT:
Pay by irrevocable prepaid letter of credit.
The buyer shall open an irrevocable letter of credit to the account of the Joint
Stock Commercial Bank for Investment and Development of Vietnam and
request the following transfer documents
All documents sent to the consignee:
- Certificate of origin issued by the Chamber of Commerce and Industry
Vietnam.
- Phytosanitary certificate issued by the Plant Protection Department of the
Ministry Agriculture and Rural Development.
- Certificate of decongestion.
- Quality certificate issued by COTECNA Vietnam Co., Ltd.
The following documents include 1 original and 3 copies unless otherwise
notified. All documents are not allowed in the Philippines, Indonesia, Malaysia.
- Commercial invoice: 3 originals and 3 copies.

- The bill of lading consists of 3 original copies, all certified "Shipped on Board"
and stamped. "Freight Prepaid", the consignee and notification is the buyer.
Delivery notice, which specifies the contract number, Letter of Credit, goods,
quantity, quality, ship name, carrier's name, loading port, unloading port, etc.

8. INSPECTION BEFORE SHIPMENT:

At the port of loading, Cotecna Co., Ltd. will check the cargo in terms of
volume
and quality then issue the certificate for the last time. All related costs

9. COMMITMENTS OF THE PARTIES
1.Commitment of the seller
 Commit to the truthfulness and accuracy of the information that the seller has
given and guarantee to take full responsibility for events arising from the
truthfulness and accuracy of this information.
Compensation for damages that occur to the buyer if there is damage arising
from their own violations.
Commit to comply with the provisions of law on import/export activities,...
during the performance of this contract.
2.Buyer's commitment
Undertake to perform this Agreement in good faith,...

10. INSURANCE:
It is the responsibility and obligation of the buyer to perform

11. VIOLATIONS AND SANCTIONS

Except in case of force majeure, if either party fails to comply with the
agreement of the contract or unilaterally terminates the contract without the
agreement of the two parties, a penalty of 15% of the contract value will be
imposed.
The breaching party, in addition to being subject to penalties for breach as
agreed upon in Clause 11.1. This, in turn, is subject to compensation for
damages to the aggrieved party in accordance with the provisions of law,
including but not limited to damages: actual, direct damages suffered by one
party caused by the other party's breach of contract; Damage means the profit
that the aggrieved party would have been entitled to had there not been a
breach of contract by the other party, the expenses that the aggrieved party has
spent to limit the damage, to perform the work necessary to claim
compensation for the damage, protect the interests of the aggrieved party in
case the breaching party fails to immediately remedy and compensate for
damage upon receipt of the request of the aggrieved party.
12. ARBITRATION:
Any controversy, discord or claim arising out of/in connection with the contract
this or a breach of this contract that cannot be reconciled or negotiated by the
two parties
The settlement will eventually be resolved in court/arbitration.
13. APPLICABLE LAW:
This contract shall apply in accordance with the laws of GAFTA 125
14. COMMENCEMENT CLAUSE
This contract applies force majeure in Article 01 of the digital edition
412 issued by the International Chamber of Commerce.
In case of hostilities, wars, embargoes, revolutions
sieges, government bans, uprisings, mobilization orders, strikes,
inability to enter the workplace, riots, civil war or by fire, drought, epidemic
diseases or other natural disasters or due to ensuring national food security
by the Vietnamese government or food association, the implementation of the

15. TERMINATION
This Contract shall terminate upon one of the following grounds:
– The two parties have an agreement to terminate the performance of the

perform its contractual obligations or fail to achieve the purpose of entering
into the contract. The aggrieved party has the right to demand unilateral
termination of the contract.
16. INSPECTION TERMS
The inspection and supervision at factories and warehouses on quality, weight,
quantity
quantity of bags, packaging status (packaging and boxes) of this original
Vietnamese white rice

17. MISCELLANEOUS
All commercial terms used in this agreement are interpreted
