MGMT INC. (the “Corporation”), a corporation duly organized and existing under
and by virtue of the laws of the Republic of the Philippines, with principal or place of
business Unit 1402 Jollibee Plaza Condominium, F Ortigas Jr Rd., San Antonio,
Ortigas Center Pasig City.

2. On January 19,2023, at the principal office of the Corporation, in a Joint Meeting of

the Stockholders and Board of Directors, the stockholders and directors approved the
increase of the authorized capital stock of the Corporation from Five Million Pesos
(Php5,000,000.00) divided into Fifty Thousand (50,000) Common shares, with a
par value of One Hundred (Php100.00) Pesos per share to Eighty Five Million
(Php85,000,000.00) divided into in lawful money of the Philippines, divided into
Eight Hundred Fifty Thousand (850,000) Common Shares with par value of One
Hundred Pesos (Php100.00) per share;

3. In connection with the said increase of capital, I hereby certify that all non-
subscribing stockholders have waived their pre-emptive rights to subscribe to the
increase in the capital stock of the Corporation.
