CONTRACT OF LEASE OF SPACE

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF LEASE is made and executed in the City of Tabuk, this
day of _______________, 2023, by and between:

The PROVINCIAL GOVERNMENT OF KALINGA, with office address at


Capitol Hills, Bulanao, Tabuk City, Kalinga, herein represented by its Governor, Hon.
JAMES S. EDDUBA, hereinafter referred to as the “LESSOR”;
-AND-

FRANZA BAKERY, with Stall Number 1, Phase 2, with postal address at Purok
4, Bulanao, Tabuk City, Kalinga represented by its Registered Owner, JURNALYN
GAC-OY AGLASI, herein after referred to as the “LESSEE’’.

RECITALS

WHEREAS,
1. The LESSOR is the absolute and registered owner of the stalls
constructed on the center isle of the provincial road from Rotonda going to
Purok 1, Bulanao, Tabuk City, Kalinga.
2. The LESSEE offers to lease the above-mentioned stalls for business
purposes only and the LESSOR accepts the lease in accordance with the
terms and conditions provided herein.

ARTICLE I
TERMS AND CONDITIONS OF LEASE
 TERM. This Contract shall be for a period of ______months or from
______, 2023 to December 2023.

ARICLE II
RENT AND OTHER PAYMENTS
 RENTAL RATE. The parties hereby agree that the monthly rental of the
stalls shall be FIVE THOUSAND Pesos (Php 5,000.00) Philippine
currency, payable without demand on or before the 5th day of the month at
the office of the LESSOR through THE PROVINCIAL TREASURY.

 TAX-EXEMPT. It is understood that all applicable taxes including


Documentary Stamp Tax, shall be borne by the LESSEE.

ARTICLE III
USE AND CARE OF THE PREMISES

 PROPER USE OF PREMISES. The LESSEE shall use the PREMISES


exclusively for business purposes only.
 COMPLIANCE WITH LAWS AND ORDINANCES. The LESSOR
shall comply with any and all laws, ordinances, rules and regulations or
order of the government authorities and agencies arising from the lease of
the PREMISES.
 SECURITY AND SAFETY REGULATIONS. The LESSEE shall
abide by the rules and regulations of the LESSOR to ensure the safety and
security of the premises. It shall provide and assign its own security
personnel to safeguard and secure the premises, its officers, employees,
agents and guests.
 HOUSEKEEPING AND SANITATION. The LESSEE shall at its own
expense, maintain the PREMISES in a clean and sanitary condition, free
from obnoxious odors, disturbing noises or other nuisances, and upon the
expiration of this lease, shall surrender and return the PREMISES in as
good condition as it was actually found at the beginning of this Contract
of Lease, save for ordinary wear and tear.
 UNDERTAKING. The LESSEE assumes full and exclusive
responsibility for all acts done by its agents, employees and guests
entering the PREMISES insofar as the enforcement of this Contract of
lease is concerned. Pursuant hereof, any damage to the PREMISES due to
the fault of the LESSEE, its agents, employees, guests and third persons
who gained access to the PREMISES upon the LESSEE’s permission
shall be restored or repaired promptly at its exclusive expense.
 INSPECTION OF THE PREMISES. The LESSOR, through its
authorized representatives, shall have the right to enter the PREMISES at
reasonable hours and as often as necessary for the purpose of inspecting
the same and to determine compliance by the LESSEE with the
provisions of this Contract of lease. The inspection, however, shall be
subject to the security requirements of the LESSEE.

ARTICLE IV
IMPROVEMENTS AND/OR RENOVATIONS
 IMPROVEMENTS. The LESSEE may, at its own account, renovate or
introduce improvements on the premises provided that such renovations
or improvements shall commence only upon written approval of the
LESSOR.

ARTICLE V
UTILITIES AND OTHER SERVICES
 UTILITIES AND OTHER SERVICES. The LESSEE shall pay the
expenses for its power consumption, water consumption, telephone bills
and other utilities on the premises during the term of the Contract. The
LESSEE may likewise operate a generator to be located on the
PREMISES when necessary.
 APPLIANCES. the LESSEE shall provide its own air-conditioning units
or system or other necessary appliances in the PREMISES. These air-
conditioning units and other appliances shall be removed by the LESSEE
upon the termination of this Contract.

ARTICLE VI
TERMINATION
 SURRENDER OF THE PREMISES. The LESSEE agrees to surrender
the premises and return the possession thereof to the LEDDOR, without
need of judicial action, at the expiration of the term or pre-termination of
the lease by the Lessor in as good condition as reasonable wear and tear
permit without unreasonable delay, devoid of all occupants, furniture,
articles and effects of any kind including all alterations and improvements
which the LESSEE may take in accordance with the provisions of this
Contract of Lease.
 VIOLATIONS OF TERMS AND CONDITIONS. In the event of a
violation of any of the material terms and conditions of this Contract of
Lease on the part of either party, the aggrieved party shall notify the party
at fault in writing of such violation and demand that the party at fault cure
or remedy such violation within sixty (60) days from receipt of written
notice. If the party shall have the right to terminate this Contract of Lease
without need of judicial action without prejudice to the return of any
unused portion of any rent payment to the LESSEE, or retention thereof
by the LESSOR as the LESSOR as the case may be.

ARTICLE VII
MISCELLANEOUS PROVISIONS

 NON-WAIVER. It is understood that the failure of the LESSOR to


demand strict compliance with any all the terms and conditions of this
Contract of Lease shall not be construed as a waiver and/or estoppel on
the part of the LESSOR for the enforcement of any of its rights or to
subsequently demand compliance therewith during the subsistence of this
Contract of Lease.
 SUBLEASE AND TRANSFER OF RIGHTS - LESSEE shall not
assign or transfer its rights under this Contract, nor sub-lease all or any
part of the Leased Premises or enter into any arrangement whereby the
use or possession of any part of the Leased.

 MORTGAGE - LESSEE shall not mortgage, encumber or create any


security interest in and to the leasehold rights granted hereunder to
LESSEE.

 SUCCESSORS-IN-INTEREST. This Contract shall be binding and


enforceable on the parties and their respective assigns and successors-in-
interest.
 ENTIRE AGREEMENT. This Contract of Lease embodies the entire
agreement between the parties and any agreement hereafter made shall be
ineffective unless done in writing and duly signed by both parties hereto.
 NO PRESUMPTION. In interpreting and applying the terms and
provisions of this Contract of Lease, no presumption shall be made
against the party that drafted such terms and provisions.
 SEPARABILITY. If any provision contained in this Contract of Lease
shall be declared invalid, illegal, or unenforceable in any respect under
any applicable law, the validity or enforceability of the remaining
provisions shall not in any way be affected or impaired.

Tabuk City, Kalinga, Philippines on ____________________________ 2023.
