This DEED OF ABSOLUTE SALE executed and entered into by and between:

ANTECEDENTS:
In support of the SCRP, the VENDEE needs to construct 2 major track railways: the
Mainline, a single track railway that will connect Subic Bay Freeport Zone and Clark
Freeport Zone, and is divided into four segments, Subic-to-Dinalupihan (Segment 1),
Dinalupihan-to-Floridablanca (Segment 2), Floridablanca-to-Porac (Segment 3), and
Porac-to-Clark (Segment 4); and the Spurline, also a single track railway that will
connect Port Subic Bay New Container Terminals to the Mainline.
The VENDEE needs to acquire private lands which will be used for the Right-of-Way
(ROW) of these railways.

LOT DESCRIPTION
1. By virtue of this Deed of Absolute Sale, the VENDEE shall cause the issuance of
the corresponding Transfer Certificate of Title on the PROPERTY, in the name of
Republic of the Philippines;
2. The VENDOR hereby agrees and authorizes the VENDEE to deduct from the
consideration stated herein, when applicable, the estate tax due on the estate of
the deceased owner as well as the unpaid real estate taxes on the property up
to the time the latter takes possession thereof, subject to the VENDEE’s
immediate remittance of the same to the concerned government agencies.
3. Capital gains tax, transfer and registration fees including documentary and
stamp tax, and all applicable transfer fees shall be borne and paid directly by
the VENDEE to the Office of the Register of Deeds and other concerned
governmental agencies;
4. Upon the execution and signing of this Deed of Absolute Sale, a portion
representing FIFTY PERCENT (50%) of the total land value and SEVENTY
PERCENT (70%), of the total value of improvements, if applicable, shall be paid

and delivered by the VENDEE to the VENDOR, provided that all the documents
necessary for the issuance of the corresponding Transfer Certificate of Title in
the name of the Republic of the Philippines is or will be made available by the
latter.
5. The balance of the total purchase price shall be delivered by the VENDEE to the
VENDOR after this Deed of Absolute Sale is annotated in the Transfer
Certificate of Title.
6. Upon receipt of the total purchase price, the VENDOR is lawfully and
perpetually seized of any and all rights and titles over the PROPERTY.
7. The VENDOR hereby warrants its title to, and shall defend the VENDEE’s
peaceful occupation of, the PROPERTY at all times from any and all claims,
whatsoever.

and they acknowledge to me that the signatures the affixed confirm their own
voluntary acts and the entities they represent.
I further certify that the foregoing DEED OF ABSOLUTE SALE consists of four (4)
pages, including this page on which the acknowledgment is written, and that each and
every page thereof has been signed by the parties and their witnesses, and sealed with
my notarial seal.
