AGREEMENT

Proposed 100MW Ground Mounted Solar Park Project at Trincomalee

This Agreement is made and entered into on this 5th December 2022, by and between,

Earthbound (Pvt) Ltd, a Company duly incorporated in Sri Lanka under the Companies Act No.07 of
2007 and bearing Registration No. PV 00255453 and having its registered office at No.100/10, Horton
Gardens, Horton Place Colombo 07, (hereinafter called and referred to as “Client” which term or
expression as herein used shall where the context so requires or admits mean and include the said
Earthbound (Pvt) Ltd., (and its successors and permitted assigns) of the ONE PARTY

And

EML Consultants PLC, a Company duly incorporated in Sri Lanka under the Companies Act No. 7 of
2007 and bearing Registration No. PQ00240481 and having its registered office at No.6/10,
Rajamahavihara Road, Pita Kotte in the said Republic (hereinafter called and referred to as “ EML” which
term or expression as herein used shall where the context so requires or admits mean and include the said
EML Consultants PLC and its successors and permitted assigns) of the OTHER PARTY.

Agree and covenant as follows,

01. This agreement between Client and EML is a lump sum contract.
02. The scope work will be the Terms of Reference (TOR) issued by the Department of Forest
Conservation for the preparation IEER. A copy of the TOR is attached. (Appendix A). Any change to
the Scope of the work in the TOR may need to revise the final proposal attached to this agreement.
EML will fulfill the requirement of the report as per the TOR and present as per required format of
authorized body irrespective of number of revision required.
03. EML shall collect all data required to prepare reports agreeable by agencies such as ADB & IFC. In
case such reports required EML shall provide the same free of charges
04. This agreement shall be valid until successful submission of reports unless extended by written
notification by the Parties.
05. The lump sum contract price is Rs.4,500,000/- without taxes. Any taxes that will be imposed by the
Sri Lankan government during the implementation period will be charged separately to the client at
the time of invoicing.

06. The proposal submitted to the Client by the EML by the email dated Nov 15, 2022, Revised prices and
payment terms sent by separate emails on the 28 th of November 2022 will be considered as a part of this
agreement.

07. Dispute Resolution:

Any dispute arising out of this Agreement which cannot be amicably settled by the Parties shall be
referred to for adjudication/arbitration in accordance with the provisions of the Sri Lanka Arbitration
Act No. 11 of 1995 for adjudication by a sole arbitrator.

This Agreement may be modified at the written request of one of the parties, and upon the Agreement of
the other party. Such modification will take effect only after completion of on-going specific project
activities, or as otherwise designated and agreed to by the parties.
