Puerto Princesa City, Palawan, Philippines after duly sworn-in in accordance laws, hereby depose and
state the following:

1. That I am duly constituted Corporate Secretary of GCL88 Builders and Commercial Trading
Corp., a domestic corporation duly organized and existing under Philippine laws with
principal office address at Old Buncag, Mandaragat, Puerto Princesa City, Palawan,
Philippines.

2. That as Corporate Secretary, I am the custodian of all legal records of GCL88 Builders and
Commercial Trading Corp., including the minutes of meeting of its Stockholders and Board of
Directors.

3. That at the Special Board of Director’s meeting held last September 01, 2023 where a
quorum was present, the following resolutions were unanimously approved and adopted;

BOARD RESOLUTION

RESOLVED, that Mr. Brandon Lagrosa Ubaldo / Ms. Cherry Gil De Guzman is hereby authorized and
empowered to represent the Corporation, to sign and execute all documents, and to do such other acts
as may be necessary or required thereto, and perform the following acts and deed, to wit:

1. To represent the company for signing deed of sale, licensing, registration and renewal of
documents at Maritime Industry Authority (MARINA) / other Government Agencies.
2. To process and receive all documents related to the afore-mentioned transactions;
And
3. To sign all documents that may be required in pursuit of the afore-mentioned transactions.

RESOLVED FURTHER, that the authority granted herein are sufficient and beneficial to and are in
furtherance of the business interest of the Corporation.
