DEED OF INDEMNITY

And hereinafter referred to as the "INDEMNIFIER” (which expression shall unless repugnant to the context or meaning thereof
be deemed to mean and include their heirs’ executors, assigns and administrators)
OF THE ONE PART
IN FAVOUR OF

Bajaj Finance Ltd. (its Auto Finance Vertical) a company incorporated under the Provision of Indian Companies Act 1956 having
its registered office at Akurdi Pune 411 035 and having one of its regional office at ____________________________,

Hereinafter referred to as "INDEMNITY HOLDERS" (which expression shall unless repugnant to the context or meaning thereof
be deemed to mean and include their respective heirs, executors and administrators)
.. OF THE OTHER PART

WHEREAS the Indemnifier shown his interest to purchase the vehicle/s more fully described in Annexure A (herein after
referred to as the Said Vehicle), from the Indemnity Holders.

AND WHEREAS Indemnifier has purchased the said vehicle on AS IS WHERE IS BASIS and after satisfying himself about the
condition/s, documents of the said vehicles.

AND WHEREAS it is further agreed by the Indemnifier that, the Indemnifier is solely responsible for transfer of the ownership,
insurance, permit etc., from the present registered owner, payment of all charges including all taxes pending /unpaid if any and
also future taxes on the said vehicle and further agrees that, the indemnifier shall ensure transfer of the ownership in the name
of the Indemnifier or in the name of another individual as decided by the indemnifier on collection of proper records ( like KYC,
sale note etc.,) within 60 working days from the date of execution of this bond, further Indemnifier also shall ensure the records
is being submitted to the Indemnity Holders as and when called for, within 7 working days from the date of request.

AND WHEREAS the indemnifier agrees to submit a copy of name change registration certificate to the Indemnity Holder (from
the present registered owner to whom the Indemnity Holder extended financial assistance) within 7 working days on
completion of 60 days from the date of execution of this bond.

AND WHEREAS considering the above, the Indemnifier has agreed to keep harmless to Indemnity holders against any claims or
demands raised by any individual/s, Judicial or Non-Judicial authorities including the registered owner to whom the Indemnity
Holders have extended financial assistance by, through or under the name of Indemnifier or any other person claiming by,
through or under the name of Indemnifier, or by the said Purchaser or if the Indemnity holder is required to suffer any loss due
to such resale or any other claim raised towards said resale of said sold vehicles.
NOW THIS DEED WITNESSETH and the Indemnifier above named do hereby undertake and declare as below:

1. That the Indemnifier do hereby undertake and declare and agree to indemnify and keep harmless to Indemnity
Holder against any claims or demands arising by, through or under the name of Indemnifier or any other person
claiming by, through or under the Indemnifier, or by the said prospective Purchaser or by any judicial or Non-Judicial
authorities or any individuals or if the Indemnity holder is required to suffer any loss due to such claim/s, cost and
consequences arising out of sale of Annexure A vehicles.

The Indemnifier further agrees to keep the Indemnity Holder indemnified for the total loss together with all cost,
expenses and damages thereof in respect of any demand raised against the Indemnity Holder or loss caused to the
Indemnity Holder by above mentioned reason on behalf of or under the name of Indemnifier or said prospective
purchaser or by any Judicial or Non-Judicial authorities or any individuals and the Indemnifier further undertakes to
keep the Indemnity Holder and their permitted assigns save and harmless together with cost and expenses in
respect of total loss arose due to any claims/costs/ consequences relating to sale of said Annexure A vehicles as per
the attached list whereby the Indemnity Holder suffer or incur loss on account of the sale of said Annexure A
vehicles.

IN WITNESS WHEREOF the Indemnifier above named have set their hands on the day and date first hereinabove
mentioned.
