Represented herein by Mr. JING REDAN C. VASQUEZ, President, hereinafter referred to as
“Organization”,

WITNESSETH;
Technological University of the Philippines Manila
WHEREAS, the ______________________________ instituted an internship program as
Bachelor of Science major in Computer Science
part of the curriculum for its ______________________________________________________
student in order to provide them with adequate experience in actual industry work operation and
to augment the formal education;

WHEREAS, the Organization in its desire to enhance and intend for its OJT-students to
learn from and network with experienced professionals, and promote their competitiveness
through actual internship;

WHEREAS, the Organization aims to provide quality face-to-face, hybrid, and remote
internship to students in partnership with the universities and its partner companies;

WHEREAS, the ______________________________________________________ and
Organization executed a Memorandum of Agreement that covers the internship program’s
objectives and principles pursuant to their established internship plan for the OJT-Student
NOW, THEREFORE, for and in consideration of the foregoing premises, the Parties hereby
agree as follows:

Section 1. Responsibilities of the Organization

The Organization shall provide relevant instruction, exposure, and training to the
OJT-Student. It shall treat the OJT-Student in a professional manner, and shall ensure that the
OJT-Student, in the course of training, shall not be exposed to any form of harassment/unethical
practice;
The Organization will accomplish the respective evaluation forms required by
University and issue a Certificate of Completion to the OJT-Student within ten (10) working
days after the completion of training.

Section 2. Responsibilities of the OJT-Student

The OJT-Student shall abide by the administrative policies, rules, and standards of the
Organization;
The OJT-Student shall accomplish and submit to the assigned University Internship
Coordinator a weekly journal of activities, to include success stories as well as challenges and
reflections on the training experience;
The OJT-Student shall report to the University Internship Coordinator after
completion of the training;
The OJT-Student shall accomplish the assigned tasks to the best of his/her abilities and
complete the agreed scope of work within the agreed duration of the Program;
The OJT-Student shall timely report for training and promptly accomplish assigned
tasks or assignments in the best of his/her ability and in view of his/her expected skill and
knowledge of the subject matter;
The OJT-Student and parents/guardian concerned renounce and waive any claim against
the Organization and/or University for any injury or loss that the OJT-Student may sustain or may
suffer, personal or pecuniary, in the performance of his/her duties and functions while under
training, unless such is attributable to the negligence or fault of any of the employees, officers,
or personnel of the Organization and/or University.

The OJT-Student shall report for work at the Organization through online platform base
on the instruction and schedule given by the intern’s supervisor which is inclusive of a one (1)
hour break/lunch time and reasonable morning/afternoon break-times not exceeding fifteen (15)
minutes;
The Organization is not obliged to employ the OJT-Student upon completion of the
training. The Organization, however, upon consultation with the university, may invite qualified
students to submit themselves to examinations, interviews, and file pertinent documents in
support of their application;
This Agreement shall not, in any way, constitute an employee-employer relationship
between the Organization with the Student;
In the event that the OJT-Student materially violates any company policy, the Organization
shall have the right to immediately, with due process, terminate the OJT-Student by immediately
serving a written notice to university and to the OJT-Student.
Should any provision of this Agreement or part thereof is render void, illegal, or
unenforceable by any law to which it is subject of, it shall be rendered void, illegal, or
unenforceable only to that extent and not further. The invalidity or unenforceability of any
provision of this Agreement shall not affect or impair other provisions that are valid, binding, and
enforceable.

Section 4. Online Work/Training

The OJT-Student are expected to perform office-related tasks such as, but not limited to,
research, production of written reports, attendance in meetings, and field-activities, as may be
applicable.
The OJT-Student are allowed to perform Online Training (web-based) or be subjected to
Work-from-Home arrangements as delegated by the Organization and pursuant to the
attached Internship Plan. The same shall be considered creditable internship hours for the
purpose of this Agreement.

Section 5. Fees and Compensation of the OJT-Student during internship

The Organization provides FREE internship program for all the OJT-students.
The OJT-student is not entitled to any material and/or monetary compensation or benefits
either during or upon completion of the internship.
OJT-student is not entitled to any insurance coverage and the Organization is not liable to
any health conditions and injuries that may arise during the internship period.
OJT-student understand that the Organization is a non-profit but it may provide future
payment to support and sustain the Organization services and operation for the following
circumstances: a) Hard Copy of Certificate of Completion including delivery if advise by the OJT-
student; b) Recommendation Letter/s and Agreement/s (MOA, NDA etc.); c) Attending Webinar
(Optional); d and other alike acts or needs during their internship.

Section 6. Intellectual Property

Any intellectual property owned by the Parties prior to this MOA shall continue to be
owned by them. The OJT-Student cannot use any confidential information or data from the
Organization to create intellectual property without the express written approval of the
Organization.

Section 7. Confidential Information

Confidential Information shall include, but not be limited to, documents, records,
information and data (whether verbal, electronic or written), drawings, models, apparatus,
sketches, designs, schedules, product plans, marketing plans, technical procedures,
manufacturing processes, analyses, compilations, studies, software, prototypes, samples,
formulas, methodologies, formulations, patent applications, know-how, experimental results,
specifications and other business information, relating to Sponsor’s business, assets, operations
or contracts, furnished to Intern and/or Intern’s affiliates, officers, owners, agents, consultants
or representatives, in the course of their efforts, regardless of whether such Confidential
Information has been expressly designated as confidential or proprietary. Confidential
Information also includes any and all analyses, compilations, products, studies and other data or
material prepared by or in the possession or control of the Intern, which contain, include, refer
to or otherwise reflect or are generated from any Confidential Information. Confidential
Information may be provided in written, oral, electronic or other form. Intern acknowledges that
no representation or warranty, express or implied, has been or is made by or on behalf of Sponsor
as to the accuracy or completeness of any of the Confidential information furnished to the Intern.

In event that the intern has created any inventions and/or new methods as a result of the
internship activities and/or as a result of direct cooperation with the Organization’s project. OJT-
student is waiving its rights or claim to the ownership of these inventions and/or method solely
to the Organization. The Organization may provide Certificate of Participation in the project, work
or activity that the OJT-student is involve
Any third parties involve in the project and/or activities directly related to the OJT-student
internship are also bound by the confidentiality agreement and cannot share or disclose any
portion of the information acquired in the process of the internship without prior written
approval from the Organization’s management.

Section 8. Termination and Entirety of the Agreement

The Parties shall have the right to pre-terminate the training contemplated by
this Agreement by serving a written notice to the other party at least thirty (30) days prior to the
intended date of termination and based on the following grounds: (a) The OJT-Student
substantially violates the rules and regulations of the Organization, or in cases of serious
misconduct of the OJT-Student; (b) The Organization is proven to fail in providing the safety of
the Student and quality of training contemplated by this Agreement; and (c) There is any material
violation of the foregoing covenants that will warrant the cancellation of this Agreement.

This Agreement constitutes the entire agreement between the Parties with respect to the
subject matter hereof. It excludes and supersedes everything else which has occurred between
the parties whether written or oral, including all other communication with respect to the subject
matter hereof. Any amendment hereto shall be mutually agreed upon in writing by the parties.

Section 9. Dispute Resolution, Governing Law and Venue of Actions

Any and all dispute arising out of or relating to this Agreement shall be subjected to good
faith negotiations between the Parties before the implementation of the legal proceedings.

This Agreement shall be governed by and construed in accordance with the laws of the
Republic of the Philippines. Exclusive jurisdiction over and venue of any suit arising out of or
relating to this Agreement will be in proper courts of the City of Manila to the exclusion of all
other courts of Tribunal.

IN WITNESS WHEREOF, all parties hereto have executed this Memorandum of Agreement on
the date and place written above.
