 Sale: In a sale, ownership of the goods is transferred from the seller to the buyer immediately.
 Agreement to sell: In an agreement to sell, ownership of the goods is not transferred until the
sale is completed.
 If you buy a car from a dealership, ownership of the car is transferred to you
immediately. However, if you sign an agreement to sell your car to someone else,
ownership of the car will not be transferred to them until you actually sell them the car
Transfer of risk:
 Sale: In a sale, the risk of loss of the goods passes to the buyer as soon as the sale is made.
 Agreement to sell: In an agreement to sell, the risk of loss of the goods remains with the seller
until the sale is completed.
 Transfer of risk: If you buy a television from a store and it is damaged in transit, the
store will be responsible for the damage because ownership of the television had
already passed to you. However, if you sign an agreement to sell your television to
someone else and it is damaged in transit, you will be responsible for the damage
because ownership of the television had not yet passed to the other person.

Remedial Measures:
 Sale: If the seller breaches a sale contract, the buyer may sue for damages or specific
performance.
 Agreement to sell: If the seller breaches an agreement to sell, the buyer may sue for damages
but cannot sue for specific performance.
