(OWNER/SELLER)

AND

ELIZABETH OLUTADE OLUSHOLA

OF 62, SERIKI ARO STREET IKEJA OFF AJAO ROAD AWOLOWO WAY IKEJA, LAGOS.

IN RESPECT OF A BLACK Q-LINK CHAMPION MOTORCYCLE WITH REGISTRATION NO. LSD661QL, CHASIS
NO. QLKPCMU03MT202299, ENGINE NO. QL164FMLMT201168 WITH PLATE NO. LSD661QL AND CALLED
BLACK Q-LINK CHAMPION MOTORCYCLE.

THIS AGREEMENT is made this 7th day of July, 2023

BETWEEN
MR. MICHAEL EBUKA AKIDI (Of Sharpmike Logistics.) A Wing, Plot Rs 85, Post Service Estate, Ojo, Off
Lasu Isheri Road, Lagos, (hereinafter referred to as "OWNER/SELLER") of the One Part.
AND
ELIZABETH OLUTADE OLUSHOLA, Of 62, Seriki Aro Street Ikeja Off Ajao Road Awolowo Way Ikeja , Lagos.
(hereinafter referred to as "THE NEW OWNER/BUYER") of the Second Part.

WHEREAS:
1. The Seller owns a BLACK Q-LINK CHAMPION MOTORCYCLE WITH REGISTRATION NO.
LSD661QL, CHASIS NO. QLKPCMU03MT202299, ENGINE NO. QL164FMLMT201168 AND PLATE
NO. LSD661QL hereinafter referred as the "BLACK Q-LINK CHAMPION MOTORCYCLE".

2. The Seller has agreed to sell and transfer his interest in the Black Q-Link Champion Motorcycle
to the Buyer who has also agreed to buy the said Black Q-Link Champion Motorcycle.

NOW, IT IS AGREED BY AND BETWEEN THE PARTIES AS FOLLOWS:

2.1 In pursuance of the said agreement and in consideration of the sum of N290,000 only paid
by the buyer as payment of the entire agreed purchase price of N290,000 (The receipt of
which the seller hereby acknowledge). Being the total purchase for the Black Q-Link
Champion Motorcycle.

2.2 The Seller shall give the original motorcycle papers to the Buyer immediately payment is
made fully. To indemnify Buyer against any lawful third-party claim.

Not to transfer or assign the said Black Q-Link Champion Motorcycle or his rights or benefits
hereto to any other person and hypothecate or pledge the same with any person to secure
payment of any moneys until the full and final purchase price paid.

Subject to the Buyer's Performance of it covenants and all other terms of this Agreement,
the Buyer shall have and enjoy quiet possession of the said Black Q-Link Champion
Motorcycle.

FORCE MAJEURE
All parties shall not be liable to the others for any failure to perform any obligation under
this Agreement, which is due to force majeure. A party affected by such event shall
immediately inform the other parties of the same and shall use all reasonable endeavors to
comply with the terms of this Agreement. For the purposes of this clause, "Force Majeure"
means an event beyond the control of one or all of the parties and not including the party's
fault or negligence and not foreseeable. Such event may include but not restricted to, war or
revolution, fires, floods, theft, robbery. For the purpose of this Agreement does not include
insufficiency of funds.

SETTLEMENT OF DISPUTES
 If any dispute or differences of any kind whatsoever shall arise between the parties in
connection with or arising out of this Agreement, the parties shall make every effort to
resolve amicably such dispute or difference by mutual consultation/Lagos Mediation and
Settlement entre.

IN WITNESS WHEREOF, the parties have executed this agreement in the manner below and the day and
year first above written.
