As the second party (the “Purchaser”) )ويﺸار اﻟهيا ابلطرف الثاين (اﻤﻟﺸرتي
WHEREAS the Purchaser wishes to buy from the Seller وﻤﻟا ﺎﻛن اﻤﻟﺸرتى ﯾرﻏب ﻰﻓ رشاء وﺣدة ﺳﻜﻨﯿﺔ من الﺒاﺋع ابﻤﻟﻨتﺠع مع الﺰﺘامه
a unit located in the Resort, subject to the terms and
conditions set forth herein, and after reviewing the بﻜﻓﺔ الﺮﺸوط واﻷﺣﻜم الواردة ﻰﻓ هذا العقد وذﻚﻟ بعد اﻃالعه عﻰﻠ
master plan of Aqua Infinity Resort and engineering اﺨﻤﻟطﻂ العام ﻷكوا انفﻨﯿت رﯾزورت والرﺳومات الﻬﻨدﺳ ﯿﺔ اخلاﺻﺔ ابلوﺣدة
drawings subject to this Agreement, has become aware الﺴﻜﻨﯿﺔ ﺤﻣﻞ هذا العقد وعﻠ مبواﺻفاهتا وموقعﻬا وقﺒلﻬا وأنه عاﯾﻬﻨا اﻤﻟعاﯾﻨﺔ
of its specifications, location and facilities, has accepted
them and has undertaken to comply with all the terms .الﻨاﻓيﺔ للﺠﻬاﻟ وتعﻬد ابلﺰﺘامه بﻜﻓﺔ رشوط وأﺣﻜم هذا العقد
and conditions of this Agreement, and use the Resort in
accordance with the following agreed conditions;
1.1. The foregoing preamble and all annexes hereto ﯾعتﺮﺒ اﻟﻤﺘﻬﯿد الﺴابق واﻤﻟالﺣق اﻤﻟرﻓقﺔ ﻤﺟﯿعﻬا.1.1
shall be considered an integral and complementary جزءا ﻻ ﯾتﺠزأ من هذا العقد ومﻤﻜال ومفﺮﺴا ﻷﺣﻜمه

the Unit Plan in Annex (2) (hereinafter referred .ﻷﻏراض الﺴﻜنﯿﺔ اخلاص ﻓقﻂ
to as the “Unit”) for private residential
purposes only.
2.3. In addition, the Purchaser shall have a right ﺤﯾق للﻤﺸرتي اﺳ تعﺎﻤل اﻤﻟراﻓق اﻤﻟﺸرتﻛﺔ ابلقرﯾﺔ، ابﻹضاﻓﺔ اﻟ ذﻚﻟ.3.2

Price of the Unit due at the date of the Unit delivery
and this amount is for maintenance of the Resort. ﺤﯾق للﺒاﺋع اﺳ تالم مﺒالﻎ الصﯿانﺔ ك.وﯾعتﺮﺒ هذا اﻤﻟﺒلﻎ ضﺎﻤﻧ لصﯿانﺔ اﻤﻟﺮﺸوع
The Seller has a right to request payments for the ﻛﺤد أقﺼ عﻰﻠ10% وﺤﯾق للﺒاﺋع اضاﻓﺔ ﻧﺴ ﺒﺔ.ﻤﺧس ﺳ ﻨوات مقدم
maintenance every five (5) years and must be paid .مصارﯾﻒ اﻤﺨﻟس اﻷعوام الﺴابقﺔ
up front. The Seller has the right to adjust the
maintenance fees however the adjustment must not
result an increase in the contribution exceeding ten
percent (10%) as compared to the previous 5
years.
5.3. The Seller shall not be liable to the ﻻ ﯾﻜون الﺒاﺋع مﺴ ﺌوﻻ ﺠﺗاه اﻤﻟﺸرتي عن عدم قدرته عﻰﻠ اﻻلﺰﺘام.3.5
Purchaser for any failure to meet the delivery مبا يﺸﻤﻞ عﻰﻠ ﺳبيﻞ-مبﯿعاد الﺘﺴلمي لﻈرف خارج عن ارادته أو قوة قاهرة
date caused by any Act of God or Force

MajEURe, including but not limited to floods,
storms, nature powers, strikes, revolutions,

regulations and acts of war.

5.4. The Seller reserves title to the Unit until full
settlement of the purchase price and the
maintenance deposit.
5.7. In the event that the Seller fails to build the sold أشﻬر عﻰﻠ ﺎﺗري6 يف ﺣاﻟ ﻓﺸﻞ الﺒاﺋع يف بﻨاء الوﺣدة اﻤﻟﺒاعﺔ بعد مرور.7.5

Registration procedures for the transfer of title at
The competent Real Estate Registry Office and the ﻛﺎﻤ ﯾلﺰﺘم اﻤﻟﺸرتي بدﻓع ﺎﻛﻓﺔ الﺮﻀاﺋب والرﺳوم،الﺸﻬر العقاري اﺨﻤﻟتﺺ
Purchase shall pay all taxes, fees and other والﻨفقات اﻷﺧرى اﻤﻟتعلقﺔ ابلوﺣدة اليت تفرضﻬا اجلﻬات اﺨﻤﻟتصﺔ عﻰﻠ الوﺣدة
Charges levied by the authorities concerning the ﺣﺴب هذا العقد وتصﺒﺢ التﻜلﯿﻒ مﺴ تﺤقﺔ ادلﻓع عﻨد ﺗﺴلمي الوﺣدة
unit as per this contract. These costs become
payable on delivery of the said unit. The seller ﯾتعﻬد الﺒاﺋع مبﻨﺢ اﻤﻟﺸرتى توكﯿﻞ رمسى عام.اﻤﻟذكورة
undertakes to give the buyer a general power of
attorney.
7.1. Until the payment of the full price, the ﺣت ﻤﺗام ﺳداد ﺎﻛمﻞ اﻟﻤﺜن ﻻ ﺠﯾوز للﻤﺸرتي التﻨازل عن الوﺣدة ﺤﻣﻞ.1.7
Purchaser may not assign, transfer, mortgage,
lease, sell or otherwise dispose of the Unit, the

Article (8) Modifications in the Construction of ( اﻟﺘﻌﺪﯾﻼت ﻓﻲ أﻋﻤﺎل ﺑﻨﺎء اﻟﻮﺣﺪة8) الﻤادة

8.1 The Purchaser may, within 60 (sixty) days from ﺠﯾوز للﻤﺸرتي اﺧطار الﺒاﺋع ﻛتابﺔ بﺄى تعدﯾالت ﯾرﻏب يف ادخالﻬا.1.8

the Seller in writing of any modifications he wishes
to make to the Unit. The Seller shall prepare an أن ﯾقوم يف خالل أﺳ ﺒوعي من ﺎﺗري اﻹﺧطار بﺈعداد مقايﺴﺔ بتﻠﻜفﺔ
estimate for the cost of such modification within وﻰﻓ ﺣاﻟ مواﻓقﺔ.هذه التعدﯾالت ومﻨﺢ اﻤﻟﺸرتي أﺳ ﺒوع ﻬﻣﺔﻠ للرد
two weeks following the Purchaser’s notification الﺒاﺋع عﻰﻠ التعدﯾالت ﻰﻓ خالل أﺳ ﺒوع من ﺎﺗري اﺳ تالم رد اﻤﻟﺸرتى
and shall then grant the Purchaser a period of one
week to respond to the same. If the Seller approves
ﯾلﺰﺘم الﺒاﺋع بﺈجراء هذه التعدﯾالت عﻰﻠ نفقﺔ اﻤﻟﺸرتي،عﻰﻠ اﻤﻟقايﺴﺔ

cost and in accordance with his specifications. In
case the Purchaser does not respond to the offer .الﺒﻨاء اخلاﺻﺔ ابلوﺣدة من الﺒاﺋع
within one week, the Unit shall be completed as
initially agreed and the Purchaser shall have no
right to claim any further modifications in the
construction of the Unit from the Seller.
8.2. After expiry of the period set out in Article 8.1, ،8.1 بعد انهتاء اﻤﻟﻬﺔﻠ اﺤﻤﻟددة يف الﺒﻨد رمق- ﻻ ﺠﯾوز للﻤﺸرتي.2.8
in particular after delivery of the Unit, the
Purchaser shall not undertake any modifications or

recognized technical and engineering principles
and in accordance with the annexed designs and
drawings. ﯾضﻤن الﺒاﺋع خلو الوﺣدة اﻤﻟﺒﯿعﺔ من العﯿوب اليت هتدد مﺘانﺔ و.2.9
و ﯾضﻤن اﺗﺴاق الﺒﻨاء مع اﻤﻟعاﯾﺮﯿ الفﻨﯿﺔ و اﻤﻟعﺎﻤرﯾﺔ،ﺳالمﺔ الﺒﻨاء
9.2. The Seller hereby warrants that the sold
Unit, the subject of the Agreement, is free from
اﻤﻟتفق علهيا وذﻚﻟ خالل اﻤﻟدة اﺤﻤﻟددة ﻰﻓ القانون اﻤﻟدﻰﻧ اﻤﻟﺮﺼى
all the technical defects that threaten the ، 651 رمق
durability of construction or fortify the security وبﻨاء علﯿه ﯾعد هذا الﺒﻨد مبثابﺔ ضﺎﻤن ﻤﻟدة عﺮﺸة أعوام ميﻨﺤه الﺒاﺋع
and safety conditions within the Periods للﻤﺸرتي عن اخلرﺳاﻧت و أﺳاﺳات
specified in the Article No. 651 of the Egyptian
Civil Law. Consequently, this article is deemed as .الﺒﻨاء
a warranty for ten (10) years, granted by the
Seller to the Purchaser on concrete works and
foundations.
Article (10) Maintenance & Use of the ( اﻹدارة واﻻنﺘﻔاع ﺑالقﺮيﺔ10) الﻤادة
Resort
10.1. The Purchaser undertakes to comply with ﯾقر اﻤﻟﺸرتى ابﻻلﺰﺘام بتعلﺎﻤﯿت الﺮﺸﻛﺔ) الﺒاﺋع( ابعتﺒارها.1.10
and abide by all regulations and instructions set
by The Seller or by the Management Company اﻤﻟاﻚﻟ ﻤﺠﻟﯿع اخلدمات واﻤﻟﻨاﻃق الرتﻓهيﯿﺔ واﻤﻟراﻓق العامﺔ وبصفهتا
appointed thereof. The Purchaser or whoever وﯾﻜون لﻬا ﻤﺟﯿع الﺴلطات، اﻤﻟﺴ ﺌوﻟ عن ادارة القرﯾﺔ
may represent him/her in the enjoyment of the ابﻹضاﻓﺔ ﺤﻟق اﺨﺗاذ أﯾﺔ قرارات لصاﺢﻟ اﻤﻟﺮﺸوع من،والصالﺣيات
housing unit shall indemnify the Seller for any
harms or losses to such services. The Seller, مﺒارشة أو،( وعلﯿه تلﺰﺘم الﺮﺸﻛﺔ)الﺒاﺋع،الﻨاﺣيﺔ التﻨﻈﻤﯿﯿﺔ أو اﻤﺠﻟالﯿﺔ
being the sole owner of the entire set of services, من خالل رشﻛﺔ مﺘعاقد معﻬا أو عن ﻃرﯾق اﺳ ﻨاد أعﺎﻤل اﻹدارة أو

is solely responsible for managing the Resort,
utilizing all possible authorities, and it thereby

architectural structures. Subsequently the Seller
is responsible for the aforementioned either
directly, or indirectly via another management
company which may be in charge entirely or
partly for the management operations,

materials, or any item endangering the safety of

8. The Purchaser shall not use the sold Unit in a

public tranquillity.

9. The Purchaser shall not by himself or through
third parties carry out any exterior structural or الﻐﺮﯿ بﺄى أعﺎﻤل اﻧﺸاﺋﯿﺔ أو هﻨدﺳ ﯿﺔ خارجيﺔ للوﺣدة
engineering works at the Unit, the subject of the ﺤﻣﻞ هذا العقد زمﻬﻨا عﻰﻠ ﺳبيﻞ اﻤﻟثال ﻻ اﺤﻟﺮﺼ اﻧﺸاء ﺣﺎﻤم
Agreement, including but not limited to اقامﺔ منﺸﺂت, اضاﻓﺔ أﯾﺔ زراعات, اضاﻓﺔ أعﺎﻤل ﻛﻬرابﺋﯿﺔ,ﺳ ﺒاﺣﺔ
construction of a swimming pool, adding
electrical works or crops, or establishment of
ﺎﺛبتﺔ أو مﺘﺤرﻛﺔ أو بصفﺔ عامﺔ القيام بﺄﯾﺔ اﻧﺸاءات خارج الوﺣدة اﻻ
fixed or movable installations, or generally بعد اﺤﻟصول عﻰﻠ مواﻓقﺔ ﻛتابﯿﺔ مﺴ ﺒقﺔ من الﺒاﺋع أو خلفﺔ اخلاص
carrying out any constructions outside the Unit, .أو العام
unless after obtaining the prior written consent
of the Seller or its designated/non-designated
successor. عدم ﺗركﯿب أﻬﺟزة اﺳ تقﺒال القﻤر الصﻨاعى وذﻚﻟ.10
10. The Purchaser shall not install an individual ,ﺣفاﻇا عﻰﻠ اﻤﻟﻈﻬر اﻤﺠﻟاىل
satellite dish at the roof of the Resort.
12.2. The Party who changes its address shall ﯾلﺰﺘم الطرف اﺬﻟى ﯾقوم بتﻐﯿﺮﯿ عﻨوانه بﺈﺧطار الطرف.2.12
notify the other party with such change by a
letter with acknowledgment of receipt;

effective.
Article (13) Applicable Law & Jurisdiction ( القانون الواﺟﺐ الﺘطﺒيﻖ واﻻﺧﺘﺼاص13) الﻤادة
13.1. This Agreement shall be governed by the . ﺨﯾضع هذا العقد ﻷﺣﻜم قواني ﻤﺟﻬورﯾﺔ مﺮﺼ العربﯿﺔ.1.13
laws of the Arab Republic of Egypt.
14.2. In case any provision of this Agreement, or يف ﺣاﻟ اذا ما اعتﺮﺒ أي نﺺ من نصوص هذا العقد أو.2.14
parts of a provision, shall be deemed to be ﻻ تتﺄﺛر بﺄي،جزء مﻨه ابﻃال أو ﻏﺮﯿ قانوين أو ﻏﺮﯿ قابﻞ للتطﺒﯿق
invalid, illegal or unenforceable, the validity, شﻞﻜ من اﻷشﻜل ﺤﺻﺔ أو قانونﯿﺔ أو قابلﯿﺔ الﺒﻨود اﻤﻟتﺒقيﺔ من هذا
legality and enforceability of the remaining

impaired thereby.
