the involvement of ST, the Government or their personnel, consultants or representatives in the
preparation of this RFP or in the solicitation process as a basis for bidding.

A Bidder shall be solely responsible for its interpretation of the information provided to or otherwise
acquired by the Bidder.

In submitting a Bid in response to this RFP, the Bidder certifies that it understands, accepts and agrees
to the disclaimers on this page. Nothing contained in any other provision of the RFP, nor any
statement made orally or in writing by any person or party shall have the effect of negating or
superseding any of the disclaimers on this page.

Queries relating to the information contained in this RFP shall be directed only to the contact persons
referred to herein in the circumstances stated. No other person, whether personnel, consultant or
representative or other, has been authorised to give any information or to make any representations
in respect of the RFP and, if given or made, such information or representation shall not be relied
upon as having been authorised by ST or the Government.

This RFP is confidential and personal to the Bidders. It is provided on the understanding that it is not
to be duplicated or distributed to any other person or to be used for any purpose other than the
submission of a Bid.

For the purposes of this Disclaimer, the term “Bidder” includes but is not limited to a Bidder
participating in this RFP exercise.

Glossary

In this RFP (including the Disclaimer and attachments thereto), the following phrases shall have the
following meanings unless expressly indicated to the contrary:

Act means the Electricity Supply Act 1990 [Act 447], as amended,
modified or supplemented from time to time.

Addenda means amendments to this RFP made by ST which may be issued


from time to time and an “Addendum” refers to any one of them.

Additional means notifications issued by ST including but not limited to reply to


Notifications requests for clarification or interpretation of this RFP.

Affiliate means, in reference to a person, any other person which—


(i) directly or indirectly controls or is controlled by the first
person; or
(ii) is directly or indirectly controlled by a person which also
directly or indirectly controls the first person.

For the purposes of this definition, a person controls another person


if such person has the power to direct or cause the direction of the
management and policies of the other person, whether directly or
indirectly, through one or more intermediaries or otherwise, and
whether by ownership of shares or other equity interests, the holding
of voting rights or contractual rights, by being the general partner of
a limited partnership, or otherwise.

Associate means any and all of the shareholders, directors, employees or agents
of a Bidder.

Authorized means a person authorized by the company for the purposes of this
Representative RFP, as evidenced by a valid and existing power of attorney or
resolution of the board of directors of such company.

BESS means battery energy storage system, if the LSS Plant is installed
with such system, and it includes the battery banks, inverters,
transformers, switchgear, cables and other associated facilities up to
the point of common coupling with the PV System.

Bid means the bid submitted by a Bidder in response to this RFP.

Bidder means a RFP Participant who makes a Bid under this RFP.

Bid Bond means the guarantee to be provided by the Bidder, as more


specifically detailed in PART 1 Section 8.5, in order to guarantee that
the Bidder honours the terms of its Bid and which shall be in the
words and format provided in PART 4 Appendix C1.

Bid Closing Date means the date by which the Bid Submissions have to be received,
being 2 September 2020 and subject to extension by ST at its sole
discretion.

Bid Conditions means the terms and conditions of this RFP for submission of a Bid.

Bid Form means the bid letter in the format as provided for in this RFP.

Bid Price means the price of electricity to be sold by the SPP to the Electricity
Utility Company as stated by a Bidder in the Bid Form. A Bid Price
can only be one price which is firm for the whole term of the SPPA.

Bid Submission means the complete set of document submission by a Bidder made in
response to this RFP.

Bid Validity Period means a period of eight (8) months commencing from the Bid
Closing Date.

Capacity Factor means the quotient calculated by dividing the average annual Energy
Yield of the PV System measured at the output terminals of the
inverter transformer(s) by the amount of energy produced by the PV
System if it operates at the rated installed peak value and is defined
as follows:

Capacity Factor = [annual Energy Yield measured at the output


terminals of the inverter transformer(s) of the PV System (kWh)]/
[(8760 (hours / annum) × rated peak capacity (kWp)]

CIDB means Lembaga Pembangunan Industri Pembinaan Malaysia or the


Malaysian Construction Industry Development Board, a body
established under the Lembaga Pembangunan Industri Pembinaan
Malaysia Act 1994 [Act 520], as amended, modified or supplemented
from time to time.

Consortium means a group of companies that collectively submit a Bid pursuant


to the terms and conditions of this RFP under a Consortium
agreement.

Corporation means anybody corporate formed or incorporated or existing within


Malaysia or outside Malaysia and includes any local or foreign
company.

Electricity Utility means the main electricity supply company in Peninsular Malaysia,
Company which is currently TNB.

Energy Yield means the total a.c. rated energy produced by the PV System
measured at the output terminals of the inverter transformer(s).

Export Capacity means the maximum a.c. rated capacity of the LSS Plant supplying
power to the Utility Power System measured at the Interconnection
Point.

Export Energy means the nett energy exported by a LSS Plant to the Utility Power
System, i.e. the total energy produced by the LSS Plant minus the
self-consumption and losses of all the facilities at the Plant Site and
the Interconnection Facility up to the Interconnection Point.

EQ Act means the Environmental Quality Act 1974 [ Act 127], as amended,
modified or supplemented from time to time.

Evaluation Criteria means the criteria used for evaluation of the Bids as listed in
Attachment 1.

FCD means financial close date, which is the date on which:


(a) all the financing documents relating to the financing or
refinancing for the total construction costs of the Project have
been entered into by the Successful Bidder or SPP, as the case
may be, and the Financing Parties; and
(b) all of the conditions precedent for the initial drawdown by the
SPP under such financing documents have been satisfied by
the SPP or waived by the Financing Parties thereunder.

Financing Parties means persons providing financing, hedging or other form of banking
or bond facilities (including any refinancing in respect thereof) for
the Project and includes any agent(s) or trustee under such banking
or bond facilities.

Final Yield, Yf means the total daily Energy Yield of the PV System measured at the
output terminals of the inverter transformer(s).

FiT means a scheme where the special tariff payable to feed-in approval
holders in consideration for renewable energy generated and sold to
a distribution licensee as specified in the third column of the schedule
in the RE Act.

FiT Approval means an approval to participate in the FiT scheme.

FiT Approval Holder means a person who has an FiT Approval.

Government means the Government of Malaysia and any ministry, department,


agency and authority of the Government or any statutory body,
regulatory authority or other organ of the Government.

Group means a group of Corporations where there exists between any two
Corporations of that group any of the following relationships –
(a) one Corporation is the Holding Company of the other
Corporation;
(b) one Corporation is a Subsidiary of the other Corporation; or

(c) one Corporation is a Subsidiary of the Holding Company of the


other Corporation.

Holding Company means a Corporation of which any other Corporation is a Subsidiary


of such first mentioned Corporation.

Integrity Pact means the forms in PART 4 Appendix D consisting of the following:
(a) Form D1 (Bidder’s Declaration);
(b) Form D2 (Successful Bidder’s Declaration)

Interconnection means the switchgear, transformers, cables, poles, structures and


Facility other equipment and facilities that are required to connect a LSS
Plant to the Utility Power System to enable the Electricity Utility
Company to receive electrical energy produced and supplied by the
LSS Plant.

Interconnection means the physical point where a LSS Plant is connected to the Utility
Point Power System.

kV (or kV a.c.) means 1,000 volt in a.c. rms.

kW(or kW a.c.) means kilowatt or 1,000 watts in a.c rating.

kWp means the kilowatt peak, a measure of the peak capacity of a solar
PV module in d.c. rating under Standard Test Conditions (STC).

LSS Plants means large scale solar plants, which are solar PV plants each with a
maximum Export Capacity (a.c. rating) of not less than 10 MW but
not more than 50 MW which consists of solar PV modules, inverters,
power conditioners, switchgear, switchboards, control boards, cables,
mounting structures, earthing systems, lightning protection systems,
buildings, lands and the associated ancillary systems such as
electrical and mechanical installations, compound lighting, security
surveillance systems etc. under the control of a Successful Bidder.

Lead Member means, where the Bidder is a Consortium or a company consisting of


several shareholders, that single member of the Consortium or
company holding at least a 30% equity interest in the Consortium or
company and which is agreed by all members of the Consortium or
company to be its Lead Member.

Local Company means a company incorporated in Malaysia under the Companies Act
2016 or under any corresponding previous written law, whereby such
company:
(a) if not listed on Bursa Malaysia Berhad, shall have 100%
Malaysian equity shareholding; and
(b) if listed on Bursa Malaysia Berhad, shall have at least 75%
Malaysian equity shareholding.

MAAQ means maximum annual allowable quantity, expressed in MWh,


which is 106% of the total annual quantity electricity generated by
the LSS Plant for the first twelve (12) months of the term of the
SPPA, and which is to be submitted by the Bidder as part of its Bid.

MACC means the Malaysian Anti-Corruption Commission.

MACC Act means the Malaysian Anti-Corruption Commission Act 2009 [Act
694], as amended, modified or supplemented from time to time.

MW (or Mwa.c.) means megawatt or 1,000 kW in a.c. rating.

MWp means megawatt peak, the peak capacity of the LSS Plants in d.c.
rating under STC.

Merit Scores means merit points allocated, for evaluation purposes, to Bids
complying with one or more of the criteria as depicted in the
Evaluation Criteria in Attachment 1.

NEDA means the new enhanced dispatch arrangement, which is a


mechanism used by the Single Buyer for scheduling the dispatch of
generation under the Single Buyer market as referred to in the NEDA
Guidelines.

NEDA Guidelines means the Guidelines for New Enhanced Dispatch Arrangement
published by ST which is currently in effect, as amended, modified
or supplemented from time to time.

NEDA Rules means the rules applicable to NEDA, as attached to the NEDA
Guidelines, which set out the principles and prescribe the guidelines
on the operation and the roles, functions, obligations and rights of the
Single Buyer, the System Operator, the Grid Owner (as defined in the
NEDA Guidelines), the Distributors (as defined in the NEDA
Guidelines) and the NEDA Participants.

NEDA Participant means as a participant in NEDA.

NEM means net energy metering, and is a scheme where an eligible


consumer installs a solar PV system primarily for his own use and the
excess of energy generated is exported to the grid to be offset against
the energy provided by TNB to the consumer during the applicable
billing period.

Notification to means a notification issued to a Shortlisted Bidder which, among


Shortlisted Bidder others, notifies the Shortlisted Bidder and the SPP to finalise the
Project Documents with the relevant parties. The Notification to
Shortlisted Bidder also contains terms and conditions to be fulfilled
by the Shortlisted Bidder in order to maintain his status as a
Shortlisted Bidder and for it to be selected as a Successful Bidder.

Notification to means a notification issued to a Successful Bidder which, among


Successful Bidder others, notifies it to achieve the FCD as determined by the
Commission. The Notification to Successful Bidder also contains
terms and conditions to be fulfilled by the Successful Bidder in order
to avoid his selection as a Successful Bidder to be withdrawn.

Performance Ratio, means the quotient calculated by dividing Final Yield over the
Rp Reference Yield: Rp =Yf /Yr. It indicates the overall effect of the
losses on the array’s output due to array temperature, incomplete
utilisation of irradiation and system component inefficiencies or
failures.

Permanent Reserved means any land constituted or deemed to have been constituted a
Forest permanent reserved forest under the National Forestry Act 1984 [Act
313], as amended, modified or supplemented from time to time.

Plant means LSS Plant.

Plant Site means the site of or for the/each LSS Plant, as the case may be.

Project means the project for the implementation of the LSS Plant(s) under
this RFP.

Project Developer means a Successful Bidder.

Project Documents means the SPPA and any other documents which are necessary to
be entered into by the Successful Bidder or the SPP, as the case may
be, with the related parties for the interconnection.

Project Schedule means the schedule submitted by the Bidder for the implementation
of a LSS Plant showing the milestones of the critical activities.

PV means photovoltaic.

PV System means the PV system of the LSS Plant which includes the PV arrays,
inverters, combiners, transformers, switchgear, cables and other
associated facilities up to the point of connection to the
Interconnection Facilities within the Plant Site but not including the
Interconnection Facilities outside the Plant Site.

RE Act means the Renewable Energy Act 2011 [Act 725], as amended,
modified or supplemented from time to time.

Reference Price means the price of RM0.2400/kWh based on the assessment of ST


on the prevailing market conditions and normal connection
requirements. This price shall be used as benchmark for evaluation
of the Bids and ST, at its sole discretion, may not consider any Bid
with a Bid Price exceeding this price.

Reference Yield, Yr means the quotient calculated by dividing the total daily in-plane
solar irradiation (kWh/m²) by the PV module’s reference irradiance
(1kWp/m²).

RFP means this LSS Request for Proposal.

RFP Participant means any person who participates in this RFP exercise.

SCOD means scheduled commercial operation date, which is the date


scheduled by the Bidder in its Bid for the LSS Plant to come into
operation and which shall not be later than the date specified in this
RFP.

SFCD means scheduled financial close date, which is the FCD scheduled by
the Bidder as may be provided in its Bid Submission.

Shortlisted Bidder means a Bidder who is issued with a Notification to Shortlisted


Bidder which has not been withdrawn.

Single Buyer means any person or a unit, department or division forming part of a
licensee who is authorized by the Minister under section 22B of the
Act.

Specific Yield means annual nett a.c. Export Energy of the PV System of the
LSS Plant per kWp installed (kWh/kWp).

SPP means the owner of the LSS Plant.

SPPA means solar power purchase agreement, which is the agreement to be


entered into between the SPP and the Electricity Utility Company
pertaining to the sale of electrical energy produced by the LSS Plant
to the Electricity Utility Company.

ST means Suruhanjaya Tenaga or the Energy Commission established


under the Energy Commission Act 2001 [Act 610], as amended,
modified or supplemented from time to time, and any successor
thereof.

Submission Address means Suruhanjaya Tenaga, No. 12, Jalan Tun Hussein, Precinct 2,
62100 Putrajaya.

Submission of Bid means the Bids submitted by a Bidder in accordance with the format
in the Submission of Bid Form and complying with all conditions and
requirements in this RFP document made in response to this RFP.

Submission of Bid means the form in which the Submission of Bid is to be submitted, as
Form attached in Appendix B.

Submission means responses to the criteria, requirements and forms in Part 3, as


Requirements further described in PART 3 Section 1.1.

Subsidiary means a Corporation which has:


(a) more than half of the voting power of that Corporation
controlled by another Corporation; or
(b) more than half of the issued share capital of that Corporation held
by another Corporation.

Substitute Bond means the guarantee to be provided by the Successful Bidder to


replace the Bid Bond, as more specifically detailed in PART 1
Section 8.6, in order to guarantee the Successful Bidder achieves
the FCD determined by ST and which shall be in the words and
format provided in PART 4 Appendix C2.

Successful Bidder means a Shortlisted Bidder who is issued a Notification to Successful


Bidder which has not been withdrawn.

System Operator means any person or a unit, department or division forming part of a
licensee who is authorized by the Minister under section 22A of the
Act.

TNB means Tenaga Nasional Berhad, a limited liability company with the
address at No: 129, Jalan Bangsar, 59200 Kuala Lumpur, Malaysia
(Company Registration No. 200866-W).

Utility Power System means the electricity supply networks at nominal voltage of 11kV,
33kV and 132 kV used by for the purpose of transmitting and
distributing electricity to end users.

In interpreting the provisions of this RFP:


1. Section and Subsection headings are for ease of reference only.
2. The phrase “including” shall be interpreted as “including but not limited to” and “include”
shall be interpreted as “include but not limited to”.
3. A singular expression includes the plural and vice versa.

PART 1 – General Information and Instructions to Bidders

1.0 Introduction

The Government has decided to increase the use of renewable energy in Malaysia as an
initiative to reduce CO2 emission by planting up more large scale grid connected solar
PV power plants.

ST is a statutory body entrusted with the role of regulating the electricity and gas supply
industries in Peninsular Malaysia, Sabah and Labuan. Under the Act, ST is responsible
to ensure optimum and reliable electricity supply at reasonable price for the consumers
and to promote the use of renewable energy.

In the first bidding exercise for large scale solar plants conducted by ST in 2016, a total
of 19 Bidders with capacities ranging from 3MWa.c. to 50MWa.c. were shortlisted to
develop about 450MWa.c. in Malaysia to be completed in 2017/2018.

Subsequently, a second bidding exercise was conducted in 2017. Another 41 Bidders


with capacities ranging from 1MWa.c. to 30MWa.c. were selected to implement about
550MWa.c. to be commissioned in 2019/2020.

Following the successful launch of the RFP in 2017 with overwhelming response, a
third bidding exercise was conducted in 2019, another 5 Bidders were selected with
total capacities of 490.88MWa.c. to be commissioned in 2021.

To further increase the capacity of renewable energy in Malaysia, the Government has
decided to launch another bidding exercise in 2020 with a total capacity of
1,000MWa.c. in Peninsular Malaysia for commercial operation in 2022 and 2023.

2.0 Purpose of the RFP

ST, on behalf of the Government, through this RFP exercise, is inviting qualified
entities with the relevant industry experiences, technical and financial capabilities and
resources to develop, finance, design, supply, install, operate and maintain LSS Plants
in Peninsular Malaysia to be completed in the year 2022 and 2023 to supply energy to
the Electricity Utility Company in Peninsular Malaysia.

These LSS Plants shall be implemented and regulated under the Act. A Bidder shall be
well experienced in electrical project development and electrical installation operation,
with technical expertise in the relevant fields, of sound financial position and conversant
with the practices and legal and regulatory frameworks of the electrical supply industry
in Malaysia. A Successful Bidder and a SPP is required to comply with the
requirements and obligations of any licensee as prescribed under the Act, including
contribution to the electricity supply industry fund. A Successful Bidder or SPP, as the
case may be, shall also ensure that the construction and operation of the LSS Plant and
the related facilities are complying with the legal and regulatory requirements of the
other federal and state jurisdictions such as state government, local authorities, the
Department of Environment, the Civil Aviation Authority of Malaysia, the Department
of Irrigation and Drainage, the Road Transport Department, the Public Works

Department, the Malaysian Highway Authority, local authorities etc., in all relevant
matters including conducting environmental impact assessment study, applying for
development order, securing approval of land use and right of way etc.

A Shortlisted Bidder shall be required to enter, or cause a SPP to enter, into a SPPA
with the Electricity Utility Company for a term of 21 years in order to be a Successful
Bidder.

3.0 Structure of the RFP and Proposed Time Table

3 .1 Structure of the RFP

PART 1 – General Information and Instruction to Bidders

PART 1 provides the RFP Participants with general information about this RFP, the
procedures, protocols and the terms and conditions governing this RFP. More
specifically this PART 1 includes:
• an introduction on the objective of this RFP;
• the procedures and protocols governing this procurement process; and
• the pre-requisites and qualifications of Bidders.

PART 2 –Project Document

PART 2 outlines the Project Documents which shall have to be entered into by a
Successful Bidder and/or SPP with the relevant parties.

PART 3 – Submission Requirements

PART 3 contains requirements (including various forms and letters) that Bidders are
required to provide when submitting a Bid. The instructions as to how to provide these
submission requirements are also contained within PART 3. PART 3 also outlines the
terms and conditions of this RFP.

PART 4 – Appendices

PART 4 contains the forms and formats such as Bid Form (Form A), Submission of Bid
Form (Form B), Bid Bond Form (Form C1), Substitute Bond Form (Form C2), Bidder’s

Evaluation Criteria is strictly for the use of ST only and subject to any changes solely
at the discretion of ST.

4.0 Capacities of LSS Plants

The total Export Capacity of the LSS Plants to be procured under this RFP for
commercial operation in the year 2022 and 2023 in Peninsular Malaysia is up to
1,000MWa.c. The SCOD of each LSS Plant shall be no later than 31 December 2023.

The Export Capacity of a LSS Plant shall be not less than 10MWa.c. but not more than
50MWa.c. measured at the Interconnection Point with the Utility Power System. A
Bidder shall design and size the solar PV panels and other facilities of the LSS Plants
appropriately to ensure compliance with such Export Capacity limits.

The RFP will be divided into two capacity packages as follows:


(a) Package P1 : 10.00MWa.c. to less than 30.00MWa.c. in Peninsular Malaysia
(b) Package P2 : 30.00MWa.c. to 50.00MWa.c. in Peninsular Malaysia

The total capacity to be procured under each package will be approximately as follows:
(a) Package P1 : 500MWa.c.
(b) Package P2 : 500MWa.c.
The total capacities referred above are the capacities at the Interconnection Point with
the Utility Supply System and are indicative only.

A Bidder can submit up to three (3) LSS Plants for consideration, however the
aggregated Export Capacity of all the LSS Plants shall not be more than 50MWa.c..
Only one Bid Submission is required if more than one LSS Plant is submitted. If a
Bidder submits more than one Plant for consideration, the Bidder may quote the same
Bid Price or a different Bid Price for each Plant. ST may choose to select any one, two
or all of the LSS Plants submitted at the Bid Price quoted for each particular LSS Plant
or not to select any LSS Plant at all for the purposes of selection of a Shortlisted Bidder
or a Successful Bidder. ST may also consider a Plant with Export Capacity lower than
what is submitted based on the Bid Price. The selection of a Bidder to be a Shortlisted
Bidder or a Successful Bidder is at the sole and absolute discretion of ST.

Where a person participates in more than one Bid, whether as a sole owner, a
shareholder of a Corporation, a member of a Consortium or an Affiliate of a
Corporation, in the event more than one of its Bids are acceptable for consideration and
with competitive prices, only one of its Bids may be selected for it to be a Shortlisted
Bidder. The selection of any one of its Bids is at the sole and absolute discretion of ST
and shall be final. However, ST has the absolute right to select more than one of its bid
if it deemed necessary.

ST reserves the right to change, at its sole discretion, the capacity for each package, the
total capacity to be procured and the capacity of any Plant submitted by a Bidder
depending on the response to the RFP, the competitiveness and reasonableness of the
Bid Price and on other reasons such environmental considerations, impacts on the
regional system demand and supply and system security of the Utility Power System
etc..

Any Bid Submission with more than three (3) LSS Plants or with total Export
Capacity of the LSS Plants exceeding 50MWa.c., shall be automatically rejected
as non-conforming to the RFP without further evaluation.

4.1 Location of LSS Plants

No LSS Plant shall be built on any Permanent Reserved Forest. Any Bid Submission
containing LSS Plants located in a Permanent Reserved Forest shall be automatically
rejected as non-conforming to the RFP without further evaluation.

5.0 Interconnection Facilities

The Bidder shall investigate, study and confirm on the voltage level and location of the
Interconnection Point to the Utility Power System and whether such interconnection
arrangement is acceptable to the Electricity Utility Company.

The construction of the Interconnection Facilities and any other works associated with
the interconnection of a LSS Plant to the Utility Power System, including the securing
of right of land use and approvals to install equipment and cables outside the Plant Site,
shall be the responsibility of the Successful Bidder. After the completion of the
Interconnection Facilities and the commercial operation of the LSS Plant, unless agreed
otherwise with the Electricity Utility Company, the equipment and facilities of the
Interconnection Facilities terminating at the premises of the Electricity Utility Company
or the new interconnection switching station built by the Successful Bidder, whichever
relevant, shall be transferred and handed over at no cost and free of any encumbrances
to the Electricity Utility Company for ownership, together with the right to use or
wayleave of the land, for the Electricity Utility Company to operate and maintain such
equipment and facilities. The cost for the construction of the Interconnection Facilities
and other incidentals related to the interconnection works shall be borne by the
Successful Bidder.

6.0 Pre Requisites and Qualifications of Bidders

6.1 Pre Requisites of Bidders

A Bidder shall be:

(a) able to demonstrate ability to finance the Project with sufficient equity and secure
the remaining portion of the financing from a local bank or financial institution;

(b) with experience in development, implementation and operation of large solar PV


plant projects, power plant projects or electrical installation works;

(c) with experience and conversant with the legal and regulatory requirements and
practices of the electricity supply industry in Malaysia;

(d) able to demonstrate that the lands, water-body or buildings/structures for roof
mounted PV modules, required for the proposed LSS Plant(s) and the
Interconnection Facilities are readily available for the right to use. Documental
proof shall be submitted to substantiate the commitment and approval of such right
to use;

(e) able to identify the Plant Sites and conduct its own study and investigation and
confirm with the Electricity Utility Company on the access to the Utility Power
System, the capacity of the LSS Plant and voltage level which can be connected
to the Utility Power System and the other interconnection arrangements, including
any technically justifiable upgrading or modification to the existing Utility Power
System required by the Electricity Utility Company for the interconnection; and

(f) either:

(i) a Local Company; or

(ii) a Consortium of Local Companies, where each member of the Consortium


shall be with at least 5% and the Lead Member with at least 30% of the
equity interest of the Consortium.

In addition, if the Bidder or the SPP, as the case may be, is a FiT Approval Holder under
the RE Act or a NEM consumer with PV solar installation, the site chosen for the Bid
shall not be the designated site or not an extension of the existing facility under the FiT
Approval or NEM.

6.2 Participation By Local Companies Only

To participate in this RFP exercise, the Bidder shall be a Local Company or a


Consortium of Local Companies, where each member of the Consortium shall be
with at least 5% and the Lead Member with at least 30% of the equity interest of
the Consortium. In the event the Bidder or the Consortium is not the SPP, the
Bidder shall ensure that the SPP also complies with the aforesaid requirements.

Bids and Bid Submissions failing to adhere to these requirements shall be automatically
rejected as non-conforming to the RFP without further evaluation.

The Bidder shall ensure that its status as a Local Company or Consortium of Local
Companies remain unchanged in equity or at law at all times during its participation in
the Project unless with prior written approval of ST.

6.3 Technical and Financial Capabilities of Bidders

The Bidder shall show that it has the technical capability, experience, expertise and
resources to develop, implement and operate the Project and shall demonstrate that it
has the necessary financial strength and can successfully arrange financing for the
Project.

(i) Technical Capability

A Bidder shall meet the following criteria:

(a) Demonstrated experience (or the experience of a member in its Group)


in the successful delivery (meaning development and implementation,
which include design, procurement, construction, testing,
commissioning and putting into commercial operation) of at least two
large solar PV plant Projects each with Export Capacity of not less than
1MWa.c. or two power plant Projects each with capacity of not less
than 30MW or two electrical installation projects each with low and
medium voltage electrical services complete with transformers,
switchboards, wiring, cabling etc. with connected load of not less than
5MW at voltage of not less than 11kV and also with experience in the
operation and maintenance of such projects for at least three (3) years
continuously after completion of the projects.

The Bidder shall provide a description of the Project, roles and scope of
works undertaken by the Bidder, Project cost and implementation
period, names of the owners and consultants/service providers whom ST
can refer to for any information about the Projects as well as all other
information specified in Form F2 - Solar/Power Plant/Electrical
Installation Delivery, Operation and Maintenance Experience of

Bidder attached in Appendix F of this RFP. The information submitted


shall be substantiated with certified documental proof. Any uncertified
information shall be disregarded.

A Bidder should provide as much information as possible pertinent to


the delivery process to demonstrate their capability in this area.

In the event a Bidder is unable, despite its best endeavours to do so, to


meet the criteria in the preceding paragraphs, it may as an alternative
obtain a letter of support with firm commitment from a Corporation able
to demonstrate its fulfilment of the required criteria in the development
and implementation of the Projects and in the operation of maintenance
of such Projects for at least three (3) years continuously after completion
of the Projects. Such letter of support shall provide the information
required by this paragraph (a) including a summary of the relevant
Projects and all information specified in Form F3 - Solar/Power
Plant/Electrical Installation Delivery, Operation and Maintenance
Experience of Supporting Corporation attached in Appendix F of this
RFP.

(ii) Financial Capability

A Bidder shall meet the following criteria:

(a) Demonstrated experience, as Project sponsor, in raising at least RM 10


million (or its equivalent, based on current prevailing exchange rates, in
other currencies) or greater in total financing (debt and equity) for at
least one infrastructure project in the last five (5) years.

The Bidder shall provide a description of the Project, the role of the
Bidder in obtaining the financing, a summary of the amounts and types
of financing raised (including the equity and quasi-equity contributed by
the Bidder and all information specified in Form F4 - Infrastructure
Project Finance Raising Experience of Bidder attached in Appendix
F of this RFP.

In the event a Bidder is unable, despite its best endeavours to do so, to


meet the criteria in the preceding paragraphs, it may as an alternative
obtain a letter of support from a local bank or other local financial
institution (with an international credit rating of at least A or a local
credit rating of at least AA) affirming that it has in the last five (5) years
acted as lead manager or lead arranger in the successful raising of RM
10 million (or its equivalent, based on current prevailing exchange rates,
in other currencies) or greater in total financing (debt and equity) for
each project for at least three (3) infrastructure projects and its firm
commitment, on behalf of the Bidder, to raise financing for the Project.
Such letter of support shall provide the information required by this
paragraph (a) including a summary of the relevant Project and all
information specified in Form F5 – Infrastructure Project Finance
Raising Experience of Supporting Bank / Financial Institution
attached in Appendix F of this RFP; and

(b) Demonstrate with documentary proof that the Bidder is able to finance
the Project with sufficient equity and secure the remaining portion of the
financing from a local bank or financial institution with firm
commitment and accompanied with detailed term sheet.

6.4 Local Interests and Participation

The Bidder shall provide information on effective local interest as required in Form F6
- Effective Local Interest Computation attached in Appendix F of this RFP.

The Bidder is also reminded to promote local participation and the use of local products,
service providers, suppliers and labour for the Project. The Bidder shall provide
information in the Bid Submission, identifying the extent to which the Bidder plans to
use local products and employ local contractors, suppliers and labour.

All contractors engaged by the Bidder for this Project shall have a valid local
contractor registration certificate (PPK) issued by CIDB, as civil contractor/
building contractor /electrical contractor or other relevant categories of
contractors with registration grades appropriate for the financial values of the
works. All civil works, building works, electrical works, mechanical and
firefighting works and PV panels installation works shall be carried out by local
contractors registered with CIBD under the appropriate categories and grades
only. A certified copy of the CIDB registration certificate of each of the
contractors shall be submitted with the Bid Submission.

6.5 Declaration Pursuant to PART 1 Section 8.1

The Bidder shall provide the declaration required under PART 1 Section 8.1, as more
particularised in Appendix I.

7.0 Procedural Matters

7.1 Selection Process

The following provides an overview of the intended process by which Successful


Bidders shall be selected:

(a) The Bidder is a legal entity who meets the requisite requirements as prescribed in
PART 1 Section 6.1 and 6.2, possesses technical and financial capabilities,
resources, experiences as required under PART 1 Section 6.3 and meets the other
conditions and requirements as prescribed in this RFP.

(b) The Bidder submitted its Bid in compliance with all the conditions and
requirements of this RFP document.

(c) The Bid is submitted by 5.00 p.m. on the Bid Closing Date.

(d) A Bidder may be required to give a presentation and attend an interview as part
of the RFP evaluation process. ST may further request a Bidder to submit
information in writing for clarification of Bids.

(e) Before commencement of evaluation, ST will open the Bid envelope/pack and
determine whether the Bid has fulfilled the conditions in PART 1 Section 7.6 for
it to be evaluated. In the event the conditions have not been fulfilled, the Bid shall
be automatically rejected.

(f) In the event the conditions have been fulfilled, the Bid shall proceed for
evaluation. On completion of the evaluation, Bidders shall be ranked according to
the Evaluation Criteria along with their ability to meet the requirements of this
RFP. ST may, but is not obliged to, consider and select Shortlisted Bidders.

(g) Shortlisted Bidders shall be invited to engage with the relevant parties to finalise
the relevant Project Documents.

(h) Upon successfully concluding the Project Document, the Successful Bidders or
the SPP, as the case may be, shall be required to execute the relevant Project
Documents.

7.2 Requests for Clarifications

RFP Participants may submit requests for clarifications in accordance with the
procedures detailed in Section 7.2.1 below.

7.2.1 Requests for Clarifications

All requests for clarifications or information shall be made on the RFP Request
for Clarifications Form, shown in PART 4 Appendix H of this RFP. All
enquiries in relation to this RFP shall be:
• received by ST no later than 3 August 2020;
• be sent by email only to lss4@st.gov.my; and
• addressed for the attention of the LSS Plants Project Team Secretariat

Late request for clarifications shall not be accepted.

7.2.2 Answering Requests for Clarifications

ST, where appropriate, endeavours to respond in writing to requests for


clarifications submitted as quickly as possible after receipt of the questions, by
way of an Additional Notification. However, the nature and extent of the
questions shall determine whether and the time frame within which ST shall be
able to respond. A Bidder shall submit any request of clarification as early as
possible and where practical, consolidate its questions under one submission and
not with multiple submissions at different times. ST shall not be held
responsible if a Bidder does not receive a response to a request for clarifications.
ST reserves the right at its absolute discretion not to respond to any of the
requests for clarifications received.

Bidders are reminded not to submit any questions which are trivial,
academic, or hypothetical in nature or questions which the Bidders should
consult their project advisors/service providers/consultants with the

relevant experience and expertise or to request for clarification on matters


which are already provided in this RFP.

All Additional Notifications may be circulated to the Bidders with the questions
submitted, at the email address provided by the Bidders. ST shall not be
responsible for any late or non-receipt of any Additional Notification by any
Bidder.

7.2.3 Unauthorised Contact

No Bidders shall make direct contact with any personnel, consultants, or


representatives of ST or the Government for any request for clarifications or
information except through the Request for Clarifications Form and in
accordance with PART 1 Section 7.2.

For the avoidance of doubt, any interpretation or explanation of this RFP by any
personnel, consultants or representatives of ST or the Government, if not given
in the form of an Additional Notification or Addendum, shall not be relied upon
by the RFP Participants or Bidders and ST shall not be reliable for any loss or
damage caused or occasioned by such reliance.

7.3 Addenda

ST may, for any reason and at its sole and absolute discretion, whether at its own
initiative or in response to requests for clarifications by a Bidder, issue Addenda at any
time up to one (1) week prior to the Bid Closing Date to amend any part of this RFP.
Any Addendum issued shall be circulated to all Bidders at the email address provided
by each Bidder. ST shall not be responsible for any late or non-receipt of any Addendum
by any Bidder.

7.4 Inconsistency

To the extent of any inconsistency between this RFP, any Additional Notifications and
any Addenda, the Additional Notifications or the Addenda, whichever is the later in
time, shall prevail.

7.5 Submission of Bid Documents

A Bidder shall submit its Bid in two (2) envelopes/packs with (I) Main Submission in
one sealed envelope/pack and (II) Submission of Other Bid Details and Information
in another sealed envelope/pack. The Bid Submission shall be delivered sealed to the
Submission Address, and prominently marked as follows:

The name, address and Export Capacity of the Bidder shall be written at the front
of or on each envelope/pack, allowing the return of the Bid Submission unopened in
the event of revision or withdrawal of the Bid prior to the Bid Closing Date or the return
of the unopened portion of the Bid Submission in the event of an automatic rejection of
the Bid in accordance with Part 1 Section 7.7. If the Bid Submission is not sealed and
marked as specified in this RFP, ST shall reject it and shall assume no responsibility for
its misplacement or premature opening.

All Bid Submissions shall be received by ST not later than 5.00 p.m. on the Bid
Closing Date. Bid Submissions shall be delivered by hand to the Submission Address.
Submission by mail, fax, electronic mail or other means shall not be accepted.

The Bid Submission shall be complete with all forms, schedules, tables, charts,
declarations, certificates, data, photos, reports, catalogues and other relevant
information and materials. All documents shall be type-written in appropriate fonts,
all drawings, diagrams, graphs, charts, plans, maps and photographs to appropriate
scales, clearly printed, easily legible and suitable for photo copying. The documents
shall be clearly labelled and properly separated with labelled separator sheets in
parts/sections and compiled in appropriate volumes.

All information, where applicable, shall be submitted in the prescribed format provided
in this RFP document and shall be signed by the Authorized Representative of the
Bidder and the SPP (if relevant) and with signature on each page. Any information
submitted by the service providers, contractors, suppliers or consultants without
endorsement by the Bidder shall be disregarded.

ST may, at its discretion, without giving any reason, extend the deadline for submission
of the Bids by issuing an Addendum.

7.5.1 Number of Copies

A Bidder shall submit its Bid in one (1) original and one (1) copy in hard copy
(paper) and two (2) electronic copies stored in two separate USB pen drives
in an electronically searchable format that can be read by Adobe Acrobat
minimum version 9 or a Microsoft Word version compatible with Microsoft
Office 2016. The original shall be marked “ORIGINAL” and each copy

(including the electronic copies) shall be marked “COPY”. If there is any


inconsistency between the original and any copy, the original shall take
precedence.

7.5.2 Withdrawn, Unsealed, Unmarked or Late Bids

Any Bids:
(a) withdrawn on or before 5.00 p.m. on the Bid Closing Date;
(b) not sealed or marked appropriately as required under this RFP; or
(c) received after 5.00 p.m. on the Bid Closing Date,
shall be automatically rejected without being opened.

Notwithstanding the foregoing, ST may extend the Bid Closing Date for such
period of time as ST deems appropriate.

Neither ST, nor the Government, nor any personnel, advisors or representatives
of ST or the Government shall have any liability whatsoever to any Persons
participating in the RFP in respect of any rejection of a Bid pursuant to this
PART 1 Section 7.5.2.

7.5.3 Language of Bids

The Bid and all related correspondence, communications and documents in


relation to this RFP shall be in the English language. Supporting material and
printed literature furnished by the Bidder with the Bid in any other language
may be accepted at ST’s sole and absolute discretion for reference only,
provided they are accompanied by an appropriate translation in the English
language. Supporting materials that are not translated shall not be considered.
In the event of a conflict between the submitted translation in the English
language and the documents in any other language, the English translation shall
prevail.

7.5.4 Units of Currency and Measurement

All prices shall be expressed in Ringgit Malaysia.

Unless otherwise specified, all technical data, dimensions and measurement


shall be expressed in SI Units of measurement.

7.6 Opening of Bids

For all Bids properly lodged with ST and not automatically rejected pursuant to PART
1 Section 7.5.2, the envelope/pack containing the Main Submission shall be opened by
ST at the office of ST.

On opening of the Bids, ST shall examine each Bid and note the following:
(a) the presence or absence of all documents required in the Main Submission
envelope/pack as described in PART 1 Section 7.5;
(b) whether such documents are in accordance with the formats and forms specified
in the RFP;
(c) whether such documents have been properly signed and completed; and

(d) such other details as ST may consider appropriate.

Bids or Bid Submissions that (i) are with incomplete documents or information, or
(ii) are not in accordance with the formats and forms as required shall be
automatically rejected.

Neither ST, nor the Government, nor any personnel, advisors or representatives of ST
or the Government shall have any liability whatsoever to any Persons participating in
the RFP in respect of any rejection of a Bid pursuant to this PART 1 Section 7.6.

7.7 Evaluation Process

In the event the Bid or Bid Submission is not automatically rejected pursuant to PART
1 Section 7.5.2 and Section 7.6, Bids shall be evaluated by ST against the technical,
financial and commercial terms in accordance with PART 3 of this RFP. The criteria
for evaluation of the Bids are as depicted in the Evaluation Criteria in Attachment 1.
The Bid Prices by the Bidders shall be adjusted by the Merit Scores of the Bidders to
compute the comparative prices for evaluation purposes. If two or more Bids with the
same Bid Price, preference shall be given to those LSS Plants with the higher Merit
Scores based on the criteria in the Evaluation Criteria. The justification on whether a
Bidder is entitled to be given a certain merit point is at the sole and absolute discretion
of ST and no clarification shall be provided.

The assessment on whether the information given by a Bidder is acceptable or whether


a Bidder is entitled to be given a certain merit point is at the sole and absolute discretion
of ST and no explanation shall be provided to the Bidders.

Bids that do not comply with the technical, financial and commercial requirements in
this RFP shall be automatically rejected as non-conforming to the RFP without further
evaluation. Only Bids which comply with the technical, financial and commercial
requirements in this RFP shall be considered.

Neither ST, nor the Government, nor any personnel, advisors or representatives of ST
or the Government shall have any liability whatsoever to any Persons participating in
the RFP in respect of any rejection of a Bid pursuant to this PART 1 Section 7.7.

7.8 Presentation, Interviews and Clarifications

7.8.1 Presentation and Interview Requirements

Bidders may be required to give a presentation and attend an interview as part


of this RFP evaluation process. Unless determined otherwise by ST and
communicated to Bidders by way of an Addendum, the conditions under which
these interviews shall be conducted are:

(a) Bidders may be required to provide an oral presentation of their Bid and
to answer questions of clarification immediately following the
presentation;
(b) Bidders shall not use the presentation or their answers to questions to
provide new information and documentation additional to the contents of
their Bid that materially alters their Bid;

(c) the presentation shall not exceed sixty (60) minutes;


(d) at the presentation, Bidders shall be required to provide a copy of the
written text of their oral presentation, including copies of all presentation
aids;
(e) Bidders shall be required to provide, within two (2) business days of the
date of presentation and interview, written confirmation of any answers
given to questions asked by ST; and
(f) the written information and documents provided during the presentation
and interviews shall be considered by ST as supporting materials and shall
form part of the Bid.

If a Bidder fails to satisfactorily comply with the foregoing, ST reserves the right
not to further consider that Bidder’s Bid, or to make its own assessment
including an assessment which is adverse to the interest of that Bidder.

Details of the timing and location of any Bidder presentation and interview shall
be considered by ST after the Bid Closing Date and the Bidders shall be advised
accordingly.

7.8.2 Clarifications Sought by ST

ST may request a Bidder to submit information in writing to allow for


clarification of its Bid. Information provided in response to such a request may
only clarify previously tendered information and not change the basis of the Bid.

If a Bidder fails to satisfactorily provide any clarification so required by the date


and time stipulated, ST reserves the right not to further consider that Bidder’s
Bid, or to make its own assessment including an assessment which is adverse to
the interest of that Bidder.

7.9 Shortlisted Bidder

On completion of the evaluation, Bidders shall be ranked according to the Evaluation


Criteria as depicted in Attachment 1. Subject to ST’s discretion, Bidders within the
range of the acceptable comparative prices for consideration (Bid Price adjusted by the
Merit Scores) and also meet the other requirements of this RFP may, but is not obliged
to, be selected as Shortlisted Bidders.

However, as described in PART 1 Section 4.0, if a person participates in more than one
Bid, whether as a sole owner or as a shareholder of a Corporation, a member of a
Consortium or an Affiliate of a Corporation, in the event more than one of its Bids are
acceptable for consideration and with competitive prices, only one of its Bids may be
selected for it to be a Shortlisted Bidder. The selection of any one of its Bids or more of
the Bids is at the sole and absolute discretion of ST and shall be final. However, ST has
the absolute right to select more than one of its Bid if it deemed necessary.

A Shortlisted Bidder shall be issued a Notification to Shortlisted Bidder which, among


others, notifies it to finalise the SPPA and other Project Documents. The SPPA shall be
strictly based on the terms and conditions contained in Attachment 2 of this RFP without
any deviations.

Protracted engagements with the Electricity Utility Company and other relevant parties
in finalising the SPPA and other Project Documents may result in the selection of the
Shortlisted Bidder to be withdrawn. If the Shortlisted Bidder is unsuccessful or is not
making satisfactory progress in finalising the SPPA within the period specified in the
Notification to Shortlisted Bidder, the selection of such Shortlisted Bidder may be
withdrawn and other Bidders may be selected as Shortlisted Bidder(s) in its place.

The determination of whether the Shortlisted Bidder is unsuccessful or is not making


satisfactory progress in finalising the SPPA shall be decided by ST, without giving any
reason, at ST’s sole and absolute discretion.

7.10 Successful Bidder

The Shortlisted Bidder shall be required to conclude or cause the conclusion of the
SPPA and other relevant Project Documents, if any, with the Electricity Utility
Company and other related parties, including the Financing Parties. Upon successful
conclusion of SPPA and such other relevant Project Documents with the Electricity
Utility Company and other relevant parties and satisfying all the applicable conditions
and requirements of this RFP, a Notification to Successful Bidder shall be issued which,
among others, notifies it to achieve the FCD.

A Successful Bidder shall be required to sign Form D2 in Appendix D2, the Integrity
Pact and submit it in accordance with the Notification to Successful Bidder.

A Successful Bidder is also required to submit a yearly undertaking that there shall be
no change to the shareholding structure of the SPP and the Successful Bidder unless
with prior written approval of ST. The said undertaking shall be submitted together with
a yearly company profile report of the SPP and the Successful Bidder from Suruhanjaya
Syarikat Malaysia (SSM) showing their latest shareholding structures for ST’s review
and records as the licensing authority and the energy industry regulators.

8.0 Bid Conditions

8.1 No Blacklisted Bidders, Unsatisfactory Past Performance, Exclusivity


Arrangement etc.

No Bidder, the proposed suppliers of any equipment, the proposed service providers
and contractors for any works to effect the implementation, operation and services for
the LSS Plant of a Bidder, shall have:

(a) any suspension or blacklisting imposed on them by ST, any Government


department or Government agency for any reason whatsoever; or
(b) a record of unsatisfactory past performance, including breach of contract,
untimely completion, poor claims history and defective workmanship; or
(c) a record of criminal or civil court cases pending or decided involving non-
payment of tax, duty or other undertaking with ST or the Government; or
(d) any understanding or arrangement or “exclusivity” with suppliers of all main
equipment (including solar PV modules, inverters, battery system,
switchboards/control panels, cables) preventing or discouraging such suppliers
from entering into other supply arrangements with any other Bidder or proposed
contractor/service provider of another Bidder. When a Bidder’s proposed

contractor/service provider is also a supplier of main equipment, the Bidder shall


similarly not have any understanding or arrangement with its contractor/service
provider preventing or discouraging such contractor/service provider from
entering into other supply arrangements with any other Bidder.

The Bidder shall, as part of its Bid and Bid Submission, submit a declaration that it
complies with the requirements of this PART 1 Section 8.1 in the form specified in
Appendix I.

8.2 Term of SPPA

The SPPA is for a fixed term of 21 years for each LSS Plant. For clarity, one SPPA
shall be required to be entered into for each LSS Plant. As an illustration, for three
different LSS Plants connected to three (3) different Interconnection Points, there shall
be three (3) SPPAs to be executed with Electricity Utility Company.

8.3 Bids to Conform

Bidders are required to submit all information requested in PART 3 of this RFP and in
the format as prescribed in this RFP. Bidders shall submit such other documents to
further demonstrate their ability to undertake the Project.

Only verifiable claims shall be considered, i.e. only claims that can be substantiated by
the data, information and documental proof submitted, or can reasonably be presumed
to be accurate by ST. Claims that cannot be verified by ST shall not be considered in
the evaluation.

8.3.1 Bid Capacity

Bids submitted shall comply with the capacities limits as specified in PART 3
Section 4.3 and specifications, standards and other requirements of this RFP
without material deviation or reservation. Bids not conforming to the
requirements of this RFP shall be deemed not in compliance with the
requirements of this RFP and any such Bids received by ST shall be
automatically rejected as non-conforming to the RFP without further evaluation.

For clarity, a Project at a site may have one or more feeders exporting power to
the Utility Power System, but as long as all the feeders are terminated at the
same voltage at the same substation/switching station of the Utility Power
System, the Project shall be considered as one (1) Plant.

8.3.2 Bid Price

Only one Bid Price can be submitted for a Plant. The Bid Price shall be in
RM/kWh (Ringgit per kWh) for each kWh of electricity supplied to the
Electricity Utility Company (please quote in the format of RM 0.xxxx /kWh).
The Bid Price shall be firmed throughout the term of the SPPA with no
escalation and shall be the total selling price including all taxes, duties,
contribution to the electricity industry fund as required under the Act and other
incidentals, whether such items have been expressed or implied in the Bid.

No multi-tier pricing shall be considered. Any Bid quoting multi-tier pricing


shall be automatically rejected as non-conforming to the RFP without further
evaluation.

8.3.3 Non-Conforming Bids

A Bidder is required to submit together with its Bid Submission a letter


confirming its technical bid and financial bid are conforming to the terms,
conditions, specifications, standards and other requirements of the RFP. The letter
shall be as set out in Appendix E and with the authorised signatory/signatories.

Bids that do not conform to the requirements of this RFP shall not be entitled
for consideration.

Bidders shall not impose any other conditions on their Bids. No conditional Bids
shall be entitled for consideration.

8.4 Bidders to Inform Themselves

The attention of each Bidder is drawn to the Disclaimer at the front of this RFP and to
the duty to inform itself.

ST makes no representation that this RFP contains all the information required for
Bidders to deliver their Bids or to make an evaluation of what may be required to
execute the Project.

The failure of any Bidder to receive or examine any form or document, or to otherwise
fully inform itself shall not be grounds for the Bidder to subsequently alter its Bid after
submission, nor shall it in any way relieve the Successful Bidder from any responsibility
to successfully execute the Project within the terms of the Project Document.

The Successful Bidders shall be responsible for securing the relevant regulatory
approvals for the Project. All Bidders should take cognizance of the approvals, permits
and licences that are required by the local authorities, state government, Government
and other authorities having jurisdiction on the Project.

8.5 Bid Bond

A Bid Bond payable in Malaysia and in the Malaysian Ringgit shall be furnished to ST
with the Bid. For clarity, one Bid Bond shall be submitted for one (1) LSS Plant
connected to one (1) Interconnection Point. If the Bid Submission consists of three (3)
LSS Plants, then three (3) separate Bid Bonds shall be submitted. The Bid Bond shall
be to the value of:

(a) Ringgit Malaysia Five Hundred Thousand Only (RM 500,000.00) for Package
P1; and/or
(b) Ringgit Malaysia One Million Only (RM 1,000,000.00) for Package P2.

The Bid Bond shall be in the form of a bank guarantee issued by a bank licensed to
operate in Malaysia, STRICTLY in the words and format provided in PART 4
Appendix C1. The Bid Bond shall be valid for the Bid Validity Period. Any Bid not

accompanied by a Bid Bond complying with this Section shall be automatically rejected
as non-conforming to the RFP without further evaluation.

The Bid Bond shall be forfeited without any notice, demand, or other legal process:

(a) if the Bidder withdraws its Bid during the Bid Validity Period or prior to being
notified that its Bid has not been successful; or
(b) if the Bidder’s Bid contains any material misrepresentations; or
(c) in the case of the Shortlisted Bidder being notified to finalise the Project
Documents, if it fails to begin and proceed to finalise the Project Documents within
the period specified in the Notification to Shortlisted Bidder; or
(d) in the case of a Successful Bidder, if it fails to provide the Substitute Bond referred
to in PART 1 Section 8.6 and the Notification to Successful Bidder; or
(e) there is illegal conduct or attempt to influence ST in its evaluation of a Bid or by
any conduct in PART 1 Section 8.17 or as determined under PART 1 Section 8.18.

The Bid Bond of the Bidders shall be returned upon the sooner of the expiration date of
their Bids or fourteen (14) days after the issuance of the Notification to Shortlisted
Bidders; except in the case of the Shortlisted Bidders/Successful Bidders where the Bid
Bond shall be returned after it has been replaced with a Substitute Bond.

8.6 Substitute Bond

A Successful Bidder shall be required, within fourteen (14) days of the Notification to
Successful Bidder, to substitute the Bid Bond with a Substitute Bond to the value of:

(a) Ringgit Malaysia Five Million Only (RM 5,000,000.00) for Package P1; and/or
(b) Ringgit Malaysia Ten Million Only (RM 10,000,000.00) for Package P2.

The Substitute Bond shall be payable in Malaysia and in the Malaysian Ringgit, and in
the form of a bank guarantee issued by a bank licensed to operate in Malaysia,
STRICTLY in the words and format provided in PART 4 Appendix C2. The Substitute
Bond shall have a period of validity as specified in the Notification to Successful
Bidder. Failure to substitute the Bid Bond with the Substitute Bond within such period
shall cause the selection of the Successful Bidder to be withdrawn.

The Substitute Bond shall be forfeited without any notice, demand, or other legal
process if the Successful Bidder fails to achieve the FCD specified by ST.

8.7 Validity Period of Bid

Each Bid shall be firm (including but not limited to the Bid Price in the Bid) and shall
remain valid and open for selection during the Bid Validity Period. Any Bid containing
a validity period which is less than the Bid Validity Period as specified in this RFP shall
be automatically rejected as non-conforming to the RFP without further evaluation.

Prior to the expiration of the Bid Validity Period, ST may ask one or more of the Bidders
to extend the period of validity for a specified period. The request for an extension to
the original validity date and the responses to it shall be made in writing. If any Bidder
does not agree to such extension, it may advise ST of its decision in writing prior to the
expiration of the original period and withdraw its Bid without forfeiting its Bid Bond.

If, following the issuance by ST of a notice of extension and prior to the expiration date
of the original validity period, ST does not receive a notice of withdrawal, the extension
shall be considered to have been accepted by the Bidder and the Bidder shall extend the
effective period of the Bid Bond accordingly or be disqualified.

A Bidder agreeing to the request shall not be permitted to modify its Bid and shall be
required to extend the validity of its Bid Bond accordingly.

The provisions of PART 1 Section 8.5 regarding the release and forfeiture of Bid Bond
shall continue to apply during the extended Bid Validity Period.

8.8 Alterations, Erasure and Illegibility

At any time prior to the Bid Closing Date, as the case may be, a Bidder may modify or
withdraw its Bid after submission, provided that the modification or withdrawal is
received in writing by ST prior to the Bid Closing Date and complies with the following:

(a) a Bidder’s modified Bid shall be prepared, sealed, marked and delivered in
accordance with the requirements for submission of Bids, including those
specified in this PART 1 Section 7.5, with a sealed envelope/pack marked
"MODIFICATION". ST shall return to the Bidder its prior unopened Bid; and
(b) a Bidder may request in writing that its unopened Bid be withdrawn and, provided
such request is received prior to the Bid Closing Date, such Bid shall be returned
to the Bidder.

In the event of erasures or changes made to the Bid prior to the Bid Closing Date, the
person duly authorised to sign for the Bidder shall initial each sheet and adjacent to any
erasures or changes. Any erasures and changes that are not signed, dated and legible
shall not be taken into consideration.

8.9 Authorisations to Bind Bidder or SPP (as the case may be)

The Bid Form, the Submission of Bid Form, the Integrity Pact, the Bidder’s
Confirmation on Conforming to RFP Form, the Bidder’s Company Profile, Capabilities
and Experiences Forms and Declaration Pursuant to PART 1 Section 8.1 shall be signed
by the person or persons duly authorised to bind the Bidder or the SPP, as the case may
be. Proof of authorisation in the form of written power(s)-of-attorney or resolutions of
each Bidder's component party’s or the SPP’s, as the case may be, Board of Directors
shall be attached to each form/document.

8.10 Cost and Risk of Participating in the RFP Exercise

Bidders shall bear all costs, including those of professional advisors, incurred by them
in preparing the Bids, submitting their Bids, executing the Project Document, and
finalising the relevant financing, regardless of the conduct or outcome of the evaluation
process, or subsequent finance-ability of the Project of the Bidder. Neither ST, nor the
Government, nor any personnel, advisors or representatives of ST or the Government
shall have any liability whatsoever to any persons participating in the RFP in respect of
any decision taken by these persons in relation to their preparation of Bids and
submitting them whether or not in reliance on any matter supplied by ST, the
Government, or any of their personnel, advisors or representatives regardless of the

conduct or outcome of the evaluation process whether the RFP process proceeds to a
successful conclusion or is abandoned by ST at its sole discretion.

8.11 Selection as Shortlisted Bidder or Successful Bidder

8.11.1 Selection

The selection of any Bidder as a Shortlisted Bidder or a Successful Bidder is at


the sole and absolute discretion of ST. For the avoidance of doubt, ST may
decide that no Bidder is selected as a Shortlisted Bidder or a Successful Bidder.

8.11.2 Subject to Agreement

Notwithstanding the evaluation of Bids in accordance with this RFP, or the


selection of one or more Bidders as the Shortlisted Bidders, such selection as a
Successful Bidder is subject to the execution of the Project Documents in
accordance with this RFP and the Notification to Successful Bidder.

8.11.3 No Legal Rights or Obligations

No legal rights or obligations in relation to the delivery of the Project shall arise
between ST and any Bidder pursuant to the RFP.

8.11.4 Acknowledgment of Bid Conditions

Submission of a Bid indicates the Bidder’s acknowledgment of the terms and


conditions of this RFP.

8.12 Rejection of Bids During Evaluation

Bidders who submit Bids, do so without recourse against ST or the Government for
either their selection or withdrawal of selection as a Shortlisted Bidder or Successful
Bidder.

ST reserves the right to not proceed with the evaluation of any Bid on the basis of
misrepresentation, suppressed or incomplete information or the substandard quality of
submitted documents in that they are unclear or illegible.

Bids that do not conform to the requirement of this RFP shall not be entitled for
consideration. Without exclusion and without prejudice to any other reasons as may be
applicable, failure to comply with any of the requirements below shall cause the Bid to
be automatically rejected as non-conforming to the RFP without further evaluation:

(a) pursuant to PART 1 Section 4.0, the Bid Submission contains more than three (3)
LSS Plants of with total Export Capacity of the LSS Plants exceeding 50MWa.c.;
(b) pursuant to PART 1 Section 4.1, the Bid Submission contains a LSS Plant located
in a Permanent Reserved Forest;
(c) pursuant to PART 1 Section 6.2, the Bid Submission includes participation by a
non-Local Company which the non-Local Company has equity interest in the
Local Company in the Bid Submission;

(d) pursuant to PART 1 Section 7.5, the Bid Submission is incomplete with all forms,
schedules, tables, charts, declarations, certificates, data, photos, reports,
catalogues and other relevant information and materials, not written in appropriate
form, inappropriate scales for all drawings, diagrams, graphs, charts, plans, maps
and photographs and not clearly labelled and properly separated with labelled
separator sheets in parts/sections and compiled in appropriate volumes;
(e) pursuant to PART 1 Section 8.7, the Bid Bond is valid less than the Bid Validity
Period;
(f) pursuant to PART 1 Section 8.3.1, the Bid Submission does not comply with the
capacities limits as specified in PART 3 Section 4.3 and specifications, standards,
and other requirements of this RFP without material deviation or reservation;
(g) pursuant to PART 1 Section 8.3.2, the Bid has multi-tier pricing quotation;
(h) pursuant to PART 3 Section 3.0, the particulars in the Submission of Bid Form
does not comply with the requirements and format specified in this RFP;
(i) pursuant to PART 3 Section 4.1.5, the Bidder fails to submit documental evidence
or declaration, whichever relevant on the compliance with the requirements in
PART 3 sections 4.1.1, 4.1.2, 4.1.3 and 4.1.4;
(j) pursuant to PART 1 Section 8.17, the Bidder conducted or attempted to influence
ST or the Government or any of their personnel, advisors or representatives in the
process of examining, clarifying, evaluating and comparing Bids submission
received and in decisions concerning the selection of a Shortlisted Bidder or a
Successful Bidder;
(k) pursuant to PART 3 Section 4.1.8, there is any unfair practice or attempt by the
Bidder to gain competitive advantages for his own Bid over its client’s Bid in this
RFP exercise if he is also acting as service provider/consultant/contractor for its
client;
(l) pursuant to PART 1 Section 8.18, the Bidder fails to notify ST if it has reasonable
cause to suspect its Associates to have engaged in, committed or permitted the
commissions of any act which would constitute an offence under the MACC Act;
and
(m) pursuant to PART 1 Section 7.7, a Bid does not comply with the technical,
financial and commercial requirements in this RFP.

Neither ST, nor the Government, nor any personnel, advisors or representatives of ST
or the Government shall have any liability whatsoever to any Persons participating in
the RFP in respect of any rejection of a Bid pursuant to this PART 1 Section 8.12.

8.13 Rights of ST

Notwithstanding anything else in this RFP, ST, without having to explain, has the right
to change the dates, annex, deadlines and requirements described in this RFP, to reject
any or all Bids, to disqualify any Bidder, to change the limits and scope of the
procurement process or to elect not to proceed with the procurement process for any
reason whatsoever, without incurring any liability for costs and damages incurred by
any Bidder.

ST also reserves the right to revoke, rescind or withdraw any decisions or selections
made it in the event it discovers that the Bidder has failed to disclose or omits to give
any relevant information, document or evidence or has provided any information,
document or evidence that he knows or has reason to believe is false or misleading.

8.14 Ownership of the RFP and Duty to Maintain Confidentiality

This RFP and all information shared with the Bidders included in this RFP shall be the
sole and exclusive property of ST and shall not be used for any other purpose save that
of preparation and submission of Bids.

No information contained in this RFP shall be disclosed, reproduced or copied except


to the extent necessary to the preparation and submission of Bids unless the prior written
consent of ST is obtained.

8.15 Intellectual Property Rights

All drawings, designs, reports, plans, data, models, specifications, calculations, manuals
and other documents, including electronic documentation of the foregoing, developed
by the Bidders and submitted to ST in connection with their Bids shall be the property
of the Bidders. The Bidders shall allow ST to use such information and documentation
for the purposes of evaluation of the Bids and for whatever reason it deems fit. ST shall
not be obliged to return any drawings, designs, reports, plans, data, models,
specifications, calculations, manuals and other documents, including electronic
documentation of the foregoing, submitted as part of a Bid.

8.16 Confidentiality and Proprietary Information

After Bids have been opened, no person shall be entitled to obtain disclosure of
information relating to the examination, clarification, evaluation and comparison of
Bids, issuance of Notification to Shortlisted Bidders and Notification to Successful
Bidders. ST may, however, disclose any such information to the Government.

Neither ST, nor the Government, nor any of their personnel, advisors or representatives
shall be liable for any loss or damages resulting from any disclosure before, during and
after the bidding process.

8.17 Improper Conduct

At all times, each Bidder shall be responsible to ensure that its participation in this
bidding process is conducted fairly and without collusion or fraud.

Any effort by a Bidder to influence or attempt to influence ST, or the Government or


any of their personnel, advisors or representatives in the process of examining,
clarifying, evaluating and comparing Bids received, and in decisions concerning the
selection of a Shortlisted Bidder or a Successful Bidder shall result in the automatic
rejection of its Bid as non-conforming to the RFP without further evaluation, and/or
disqualification of the Bidder. Improper influence includes a Bidder, directly or
indirectly or through an agent, engaging in any corrupt, fraudulent, collusive, or
coercive practices in the submission or evaluation process. For the purposes of this
provision, the terms as defined below apply:
(a) “corrupt practice” means the offering, giving, receiving, or soliciting, directly or
indirectly, of anything of value to influence the action of any party in the
evaluation process;
(b) “fraudulent practice” means a misrepresentation or omission of facts in order to

influence the evaluation process;


(c) “collusive practices” means a scheme or arrangement between two or more
Bidders, with or without the knowledge of ST, designed to influence the action of
any party in the evaluation process; and
(d) “coercive practices” means harming or threatening to harm, directly or indirectly,
persons, or their property to influence their participation in the bidding process.

8.18 Integrity Pact

Each Bidder warrants, by the making of its Bid, that:

(a) in the course of the preparation and submission of its Bid, it has not and neither
had any of its Associates engaged in, committed or permitted the commission of
any act which would constitute an offence under the MACC Act, including any
“prescribed offence” (as defined in the MACC Act);

(b) pending the announcement of the winning Bid(s) and at any time thereafter, the
Bidder and its Associates shall not engage in, commit or permit the commission
of any act which would constitute an offence under the MACC Act, including any
“prescribed offence” (as defined in the MACC Act); and

(c) if a Bidder is a Successful Bidder, it shall ensure that all its contractual
commitments are transparent (subject to its right to maintain confidential any
legitimately commercially sensitive information), maintain procedures in its
organisation designed to prevent any act which would constitute an offence under
the MACC Act, including any “prescribed offence” (as defined in the MACC Act)
and practise good corporate governance.

By participating in this RFP, each Bidder agrees that:

(a) it shall notify ST immediately if it has reasonable cause to suspect its Associates
to have engaged in, committed or permitted the commission of any act which
would constitute an offence under the MACC Act, including any “prescribed
offence” (as defined in the MACC Act) and that its Bid may be rejected; and

(b) its selection as a Successful Bidder may be withdrawn by ST and its Bid be
rejected at any time if it or its Associates is found to have engaged in, committed
or permitted the commission of any act which would constitute an offence under
the MACC Act, including any “prescribed offence” (as defined in the MACC
Act).

Each Bidder shall submit, as part of its Bid, a signed Integrity Pact (Form D1 only). A
Successful Bidder shall be required to sign Form D2 of the Integrity Pact. Failure to
sign and submit Form D1 of the Integrity Pact or to comply with the terms of the same
shall result in the Bid being rejected. Failure to sign and submit Form D2 of the Integrity
Pact or to comply with the terms of the same shall result in the selection of the
Successful Bidder to be withdrawn.

8.19 Unauthorised Contact with ST and Stakeholders

Except as otherwise outlined in this RFP, under no circumstances should any Bidders
or its Associates directly or indirectly make contact with any personnel, consultants or
representatives of ST, the Government, the Single Buyer or the System Operator to
discuss any aspect of this RFP.

ST may disqualify any Bidder from participating in this RFP if the Bidder breaches any
of these requirements.

8.20 Governing Law

This RFP and all Bids are subject to and governed by the laws of Malaysia.

PART 2 – Project Document

1.0 Project Document

Shortlisted Bidders shall enter into the SPPA for a term of 21 years with the Electricity
Utility Company and other Project Documents with the relevant parties for each LSS
Plant in order to become a Successful Bidder. The SPPA shall be strictly based on the
terms and conditions in Attachment 2 of this RFP. No modifications, amendments or
changes to such terms and conditions are allowed.

The LSS Plant shall comply with technical, operational and other requirements in the
SPPA and the relevant Project Document, whether such requirements are specified in
this RFP or not. It is the mutual responsibility of all parties to each Project Document
to ensure that the terms and conditions of such Project Document do not contravene
with or differ from the requirements in this RFP.

PART 3 – Submission Requirement

1.0 Instruction to Bidders

1.1 Submission by Bidders

Bidders shall be required to provide the Submission Requirements which are divided
into the following parts:

• Main Submission
• Submission of Other Bid Details and Information

The Main Submission shall be submitted in one envelope/pack and the Submission of
Other Bid Details and Information and other forms and information in another
envelope/pack. The documents should be properly compiled section by section with
labelled separators and presented in separate folders, where appropriate. Multiple
volumes for any part shall be clearly marked accordingly with a unifying coding system,
which identifies the total number of volumes (for example 1 of 2, 2 of 2). A complete
table of contents for the Bid (which clearly reconciles to the Submission Requirements)
should be provided at the front of each folder.

Each Bidder shall complete every Submission Requirement in accordance with PART
3 Section 4.0 of this RFP.

Each Bidder shall submit sufficient detail in the Submission Requirements to


demonstrate that it has a clear understanding of the issues involved for each Project
element, the resources necessary for the expeditious delivery of the Project and the
fulfilment of each Bidder’s obligations under the Project Document.

Where this RFP provides a numbered section for insertion of information, the requested
information shall be inserted in that section, with any supplementary information that
clarifies the information provided as an attachment to that part of the submission.

Unnecessarily elaborate responses shall not desired.

1.2 Forms

The Bidder shall be required to complete all the forms set out in the Appendices except:
(a) Substitute Bond (Appendix C2);
(b) Successful Bidder’s Declaration (Appendix D2); and
(c) Request for Clarification Form (Appendix H),
which is only to be used as necessary.

2.0 Main Submission

The Main Submission shall be considered complete with the following documents:

(a) Bid Form (Appendix A);


(b) Submission of Bid Form (Appendix B);
(c) Bid Bond (Appendix C1);
(d) Integrity Pact (Appendix D1);

2.1 Bid Form

Each Bidder shall submit as part of its Bid the form set out in Appendix A– Bid Form,
duly executed on behalf of the Bidder, with the form inserted on the Bidder's letterhead.
The Bid Form shall be completed by each Bidder in the words and format provided
without amendment.

Failure to submit the Bid Form in the words and format provided or to comply with the
requirements of PART 1 Section 7.5 shall result in such Bid being rejected without
evaluation.

2.2 Submission of Bid Form

Each Bidder shall submit the Submission of Bid in accordance with the Submission of
Bid Form.

The Submission of Bid Form shall be signed by the Authorized Representative(s) of


the Bidder and with signature on each page.

All information and data required in the Submission of Bid Form shall be provided,
properly checked and correct. Failure to furnish any such information o r data shall
lead to the rejection of the Bid.

The information and data provided in the Submission of Bid Form shall be deemed to
be the correct bid of the Bidder. In the event of any conflict or inconsistence between
the information and data provided in the Submission of Bid Form and in other parts of
the Bid Submission or other documents submitted by the Bidder, the information and
data provided in Submission of Bid Form shall be taken as the submission of the Bidder.

2.3 Bid Bond

Each Bidder shall submit together with the Bid Submission a Bid Bond of the amount
and in complying with the conditions and requirements as prescribed in PART 1 Section
8.5 and strictly in accordance with the content and format in PART 4 Appendix C1.

2.4 Integrity Pact

Each Bidder shall submit, as part of its Bid, a signed Integrity Pact (Form D1 only). A
Successful Bidder shall be required to sign Form D2 of the Integrity Pact. Failure to
sign and submit Form D1 of the Integrity Pact or to comply with the terms of the same
shall result in the Bid being rejected. Failure to sign and submit Form D2 of the Integrity
Pact or to comply with the terms of the same shall result in the selection of the
Successful Bidder to be withdrawn.

2.5 Bidder’s Confirmation on Conforming to RFP

3.0 Submission of Other Bid Details and Information

Each Bidder shall submit all other details, information and documents required in the

(a) Part A - Commercial Information

A brief description of the company profile, organisation, business activities and


financial status in the last five (5) years (if available), documental proof of right
to land use or use of buildings/structures, memorandum of understanding of the
Consortium or joint venture, letters of support and term sheets from qualified
entities and financial institutions, approval for interconnection, approval from
local authority, Department of Environment and other relevant authorities
having jurisdiction over the development and operation of the LSS Plants.

(b) Part B – Technical Information

A brief description of the Project including system design, PV System, BESS,


Interconnection Facilities, land use arrangements , current land use and
environment of the proposed Plant Site and neighbourhood areas , power system
study report, preliminary environmental assessment report, forecast of energy
production and export for 21 years and all information in PART 3 Section 4.9

(Section 4.9.1 to 4.9.14), including engineering design, data, calculation,


drawings, plans, photographs, approval certificates, test reports .

(c) Part C – Financial Information

A brief description of project financing arrangement, List of Major Assumptions


for Financial Analysis (in the format as shown in Appendix G) and financial
model as required in PART 3 Section 4.10.

(d) Part D – Annual Financial Materials

Audited financial reports for the last five (5) years, if available.

(e) Part E – Other Support Materials

The Bidder may opt to submit additional relevant information to support its
proposal. This information may include materials such as equipment catalogues,
technical brochures, test reports, approval certificates and such other documents
as the Bidder considers appropriate. Such materials shall be taken to form part
of the submission for all purposes of the proposal.

Reference to any project undertaken by the Bidder/supporting entity shall be


clearly supported by duly certified documental proof of works undertaken by
the Bidder/supporting entity such as name and place of project, project owner,
date of award, contract period, scope and cost of works undertaken by the
Bidder/supporting entity. Any such reference without documental proof duly
certified shall not be taken into consideration in the evaluation of the Bid.

All information shall be submitted in the prescribed format provided in RFP, where
applicable, and shall be signed by the Authorized Representative of the Bidder and
with signature on each page. Any information submitted by the service providers,
consultants or suppliers without endorsement by the Bidder shall be disregarded.

4.0 Terms and Conditions

4.1 Conditions for Bidding

4.1.1 The Bidder shall be a Local Company or a Consortium of Local Companies.

4.1.2 If a Bidder is a Consortium complying with condition in PART 3 Section 4.1.1


& 4.1.2 as above, each member of the Consortium shall hold at least 5% and the
Lead Member shall hold not less than 30% of the equity interest of the
Consortium.

4.1.3 If the Bidder is a FiT Approval Holder under the RE Act or a NEM consumer
with PV solar installation, the site chosen for the Bid shall not be the designated
site or not an extension of the existing facility under the FiT Approval or NEM.

4.1.4 A Bidder shall identify the Plant Sites and conduct its own study and
investigation and confirm with the Electricity Utility Company on the access to
the Utility Power System, the capacity of the LSS Plant and voltage level which
can be connected to the Utility Power System and the other interconnection
arrangements, including any technically justifiable upgrading or modification to
the existing Utility Power System required by the Electricity Utility Company
for the interconnection. Bidders are reminded that any information provided in
this RFP or in any documents released by ST or the Electricity Utility Company
on the availability of the Interconnection Points and capacities acceptable for
interconnection is only indicative and the Bidder shall confirm with the
Electricity Utility Company on the latest status of such information.

4.1.5 The Bidder shall submit documental evidence or declaration, whichever


relevant, on the compliance with the requirements in PART 3 Section 4.1.1,
Section 4.1.2, Section 4.1.3 and Section 4.1.4 above, where applicable together
with the Bid Submission, failing which the Bid shall be rejected.

4.1.6 The Bidder shall be fully responsible for the correctness and adequacy at its own
risk for any information and data, whether from its own resources, obtained from
any parties, provided by ST or given in this RFP and shall bear all the costs and
incidental expenses for preparing and submission of the bid documents.

4.1.7 A Bid Bond (which shall be converted as Substitute Bond for the Successful
Bidder) shall be submitted for each LSS Plant. The Bond shall be forfeited under
the circumstances as stipulated in PART 1 Section 8.5.

4.1.8 If a person is participating in this RFP exercise as a Bidder and also appointed
as a service provider/consultant/contractor by another Bidder for support in the
development of the Project and/or in the preparation of the Bid Submission
documents, the person shall declare to his client in writing that he is also
participating as a Bidder in this RFP exercise. A copy of such declaration to his
client and letter of confirmation from his client acknowledging the receipt of the
such declaration shall be submitted together in his Bid Submission. The person
shall not take advantage and make use of his roles as a Bidder and, at the same
time, as a service provider/consultant/contractor for his client in unfair conducts,
practices or attempts to gain competitive advantages of his own Bid over his
client’s Bid in any aspects such as design of the Project, equipment supplies,
pricing, preparation of Bid Submission documents etc..

4.2 Obligations in Construction, Development and Operation

4.2.1 A Successful Bidder shall be responsible at its own cost and risk:

(a) to comply with all legal and regulatory requirements for the
implementation and operation of the LSS Plant such as approvals,
licences, clearances and permits and maintaining all such approvals,
licences, clearances and permits in full force and effect during the term of
the SPPA, including any such requirements during the construction
period;

(b) to finance, design, construct, install, test, commission, complete, operate

and maintain the LSS Plant and the Interconnection Facilities up to the
Interconnection Point in accordance with the applicable legal and
regulatory requirements, this RFP, the SPPA and prudent utility practices;

(c) to obtain all information with regard to the interconnection requirements


as is reasonably necessary to enable it to design, install and operate the
LSS Plant;

(d) to conduct such feasibility study/power system studies/system


checks/connection checks where necessary for the interconnection of the
LSS Plant to the Utility Power System;

(e) to conduct such environmental impact study as required under this RFP
or other authorities such as the Department of Environment, the Civil
Aviation Authority of Malaysia, the Department of Irrigation and
Drainage, the Road Transport Department, the Public Works Department,
the Malaysian Highway Authority, local authorities etc.;

(f) to achieve commercial operation of the LSS Plant on or before the


SCOD. For a Successful Bidder with more than one LSS Plant, each LSS
Plant may have a different SCOD;

(g) to install necessary equipment to continuously measure solar irradiance


and weather conditions such as ambient temperature, humidity,
atmospheric pressure etc. at each of the Plant Site;

(h) to secure the right to land use/right to use of premises and right of way,
where relevant, for the Project; and

(i) any other works necessary for the satisfactory development and operation
of the LSS Plant.

4.3 Capacity of the LSS Plants

4.3.1 The total Export Capacity of the LSS Plants to be procured under this RFP for
commercial operation in the year 2022-2023 is up to 1000MWa.c. in Peninsular
Malaysia.

4.3.2 The Export Capacity of a LSS Plant shall be not less than 10MWa.c. but not
more than 50MWa.c. measured at the Interconnection Point with the Utility
Power System. A Bidder can submit up to three (3) LSS Plants for
consideration, however the aggregated export capacity of all the LSS Plants
shall not be more than 50MWa.c..

4.3.3 The capacity submitted by the Bidder shall be the Export Capacity at the
Interconnection Point where the LSS Plant is physically connected to the
Utility Power System. The Bidder shall design and install the solar PV panels,
the inverters, the switchgear, the control boards, the cables and other associated
equipment and facilities for the LSS Plant accordingly to meet the Export
Capacity at the Interconnection Point. The PV panels can be roof-mounted,

ground mounted, mounted on existing structures or mounted on floating


structures on water and can be of monocrystalline, polycrystalline, thin film or
other technology with or without tracking mechanism.

4.3.4 The Bidders may also include BESS in its LSS Plant to provide energy for onsite
consumption and/or for stabilising the energy production of the LSS Plant and
reducing the effect of intermittency of solar output, provided that the Export
Capacity shall not be exceeded. If the LSS Plant is installed with BESS, the
Bidder shall provide details of the BESS such as study result of charging and
discharging strategy and facilities to monitor the battery state of charge (SOC),
function/usage of the battery system, system design, calculations of battery
power and battery energy capacity, selection of type, model and AH capacity of
battery, charging and discharging graphs, catalogues and other technical details.
The battery shall be Li-ion type or similar.

4.3.5 ST may, at its sole and absolute discretion, consider any one or more of the LSS
Plants submitted or part of the capacity of a LSS Plant submitted at the same
Bid Price for the LSS Plant, or not to consider any LSS Plant submitted by a
Bidder.

4.4 Bid Price

4.4.1 Only one Bid Price can be submitted for a Plant. The Bid Price shall be in
RM/kWh (Ringgit per kWh) for each kWh of electricity supplied to the
Electricity Utility Company (please quote in the format of RM 0.xxxx /kWh).
The Bid Price quoted shall be firmed throughout the term of the SPPA with no
escalation and shall be the total selling price including all taxes, duties,
contribution to electricity supply fund as required under the Act and other
incidentals, whether such items have been expressed or implied in the Bid.

4.4.2 If a Bidder submits more than one Plant for consideration, the Bidder may quote
the same Bid Price or a different Bid Price for each Plant.

4.4.3 The Bidders are advised to take note of the Reference Price which has been
estimated based on the assessment of ST on the prevailing market conditions
and common practice with normal interconnection at reasonable distance. ST,
at its sole discretion, may not consider any submission with the Bid Price
exceeding the Reference Price.

4.5 Export Energy of the LSS Plants

4.5.1 Capacity Factor

The Capacity Factor of a PV System (expressed as a percentage) is normally


defined as the ratio of the annual Energy Yield of a PV System and its Energy
Yield if it had operated at rated nominal power the entire year, as described by
the formula:

Capacity Factor = [annual Energy Yield measured at the output terminals


of the inverter transformer(s) of the PV System (kWh)]/ [(8760 (hours/
annum) × rated peak capacity (kWp)]

The Bidder shall declare the Capacity Factor for each year over a period of 21
years. The minimum Capacity Factor in any one year over the period of 21
years shall not be less than 16%.

4.5.2 Shortfall in Export Energy

The Bidder shall declare the annual Export Energy of the LSS Plant for each
year over the term of the SPPA based on the LSS Plant parameters, system
design, prudent utility practices and forecast irradiance at the Plant Site. The
Export Energy declared shall be the net Energy Export to the Electricity Utility
Company, i.e. the total Energy Yield of the LSS Plant minus the self-
consumption of all the facilities at the Site of the LSS Plant and the losses in the
Interconnection Facilities. The Successful Bidder shall operate and maintain the
LSS Plant, after taking into consideration any scheduled and unscheduled
outages, to achieve at least 70% of this quantity or the minimum quantity as
specified in the SPPA, whichever is higher.

4.5.3 Excess Export Energy

The Electricity Utility Company is under no obligation to purchase any excess


energy over the MAAQ specified in the SPPA. Any excess energy produced
and supplied to the Electricity Utility Company over such maximum quantity
may be purchased by the Electricity Utility Company based on the provisions
in the SPPA.

Subject to the compliance with the NEDA Rules and the system
requirements of the Utility Power System, the Successful Bidder and/or
LSS Plant (as the case may be) can also participate in the NEDA in the
electricity market operated by the Single Buyer as a NEDA Participant to
sell the excess energy to the Single Buyer in accordance with provisions in
the NEDA Rules for the category of NEDA Participant.

4.6 Interconnection

4.6.1 Each LSS Plant shall be connected at appropriate voltage to the Utility Power
System. The Interconnection Point shall normally be at the cable termination
of the incoming switchgear at the Electricity Utility Company’s switch
room/switchyard where the cable supplying energy from the LSS Plant
terminates. The Successful Bidder shall be responsible and bear the costs for
the design, installation, connection, testing and commission of the
Interconnection Facilities.

4.6.2 The Successful Bidder shall carry out works and bear the cost for any
reasonable and technically justifiable modification, upgrading, reinforcement,
testing and associated works of the Utility Power System for the
interconnection of the LSS Plant.

4.6.3 The Bidder shall ensure that the design, installation, control and operation
systems, equipment and other facilities of the Interconnection Facilities are
complying with the specifications, practices and requirements of the Electricity

Utility Company and acceptable to the Electricity Utility Company.

4.6.4 If it is necessary to lay, place or carry on, under or over any land, such posts,
cables, and other equipment outside the Site of the LSS Plant as may be
necessary or proper for the purposes of the interconnection of the LSS Plant to
the Utility Power System, the Successful Bidder shall be responsible to take the
necessary action and obtain from the relevant authority or land owner on the
right to land use for the purpose of installing the posts, cables or other
equipment and paying any compensation for the land use.

4.6.5 If the LSS Plants of two or more Bidders intend to use and share the same
Interconnection Facilities or part of the same Interconnection Facilities, the
Bidders SHALL indicate in their respective Bid Submissions and submit
documental proof of the agreements between the relevant parties on the use of
the same the Interconnection Facilities, the cost savings compared with
installing separate interconnection Facilities, the cost sharing structure of the
common Interconnection Facilities, the party responsible for the operation and
maintenance of the Interconnection Facilities and other relevant information
on the sharing of the Interconnection Facilities.

If the sharing of the same infrastructure facilities resulted in saving in capital


cost, operation cost and other related costs which have not been reflected in the
capital, operation and other related costs in the Bid Submissions, each of the
Successful Bidders sharing the infrastructure facilities shall adjust its Bid Price
to reflect the saving.

4.6.6 If Bidder intends to connect at the SPP’s side of the Interconnection Facility,
and subsequently share an Interconnection Point at the voltage level of 11kV
and 33kV, which is already connecting to an existing operational LSS Plant
the Bidder shall also be the owner of the existing LSS Plant. The existing LSS
Plant’s owner and Bidder (which shall be the same entity) shall be liable for
any loss of revenue that might occur to both parties during implementation of
Project and during operation of the LSS Plant. The Bidder shall submit written
consent to use the same Interconnection Point and willingness to take up
liability for all risks from the existing LSS Plant. If the Bidder is shortlisted,
the existing LSS Plant’s owner shall also sign a supplemental agreement to their
SPPA. Bidder shall submit approval of such connection from the Electricity
Utility Company.

4.7 Rights to Use of Land and Environmental Impacts

4.7.1 Rights to Use of Land

The Bidder shall provide evidence that the Site for the LSS Plant as per
requirement of the LSS Plant is under clear possession of the Bidder or the
Bidder has the legal right to use the Site. The Bidder shall furnish the
following documental evidence and information: -

(a) Roof-Top PV Installations

Right to use or ownership of the building/ structures (for at least the tenure of
the LSS Plant) in the name of the Bidder.

(b) Ground Mounted PV Installations (or Mounted on Floating


Structure in Water)

i. Ownership or lease hold rights (for at least the tenure of the LSS Plant)
in the name of the Bidder and possession of 100% of the area of land
required for the Project.

ii. Requisite documents from the relevant authority or land owner for the
acquisition/ownership/vesting/leasing of the land in the name of Bidder
for the right to land use.

iii. In case of the relevant documents in item (ii) above have not been
concluded at the time of bidding, the Bidder shall provide
memorandum of understanding with the land owner and
undertaking to produce the documental evidence of the availability of land
before the execution of the SPPA.

iv. Official correspondence related to the specific area of land required for the
Project from the relevant authority, if required, for conversion of the land
use for solar PV installation if the existing category of land use is classified
under agriculture, residential, mining, forest reserve or other utilisations.

(c) Interconnection Facilities

If the Bidder is required to lay, place or carry on, under or over any land, such
posts, cables, and other equipment outside the Plant Site as may be necessary or
proper for the purposes of the interconnection of the LSS Plant to the Utility
Power System, requisite documents from the relevant authority or landowner on
the right or permission to install such posts, cables or other equipment for the
purposes of the Interconnection Facilities.

4.7.2 Environmental Impacts

The Bidder shall submit a report on the qualitative and quantitative potential
environmental impacts of the LSS Plant may have on the environment and the
neighborhoods, whether it is required under the EQ Act or other laws, and any
environmental mitigation and protection measures to be taken.

The Bidder shall not conduct any activities in a Permanent Reserved Forest for
the purpose of construction of the LSS Plants.

4.8 Compliance with Technical Standards, Legal and Regulatory Requirements and
SPPA

4.8.1 The PV modules, inverters and power conditioning equipment of the LSS
Plants shall comply with the relevant Malaysian Standards or IEC or other
international accepted national standards such as:
i. Crystalline silicon solar PV modules IEC 61215

However, if any of the above standard documents has been revised or
superseded, then the latest edition of the document shall be complied with,
where relevant.

4.8.2 All other balance of system and electrical equipment for the LSS Plant and the
Interconnection Facilities such as switchgear, control, protection and metering
equipment, cables, panels shall comply with the relevant Malaysian Standards
or IEC standards and notify ST where applicable.

4.8.3 All works carried out for and the operation of the LSS Plant and the
Interconnection Facilities shall comply with relevant legal and regulatory
requirements such as the Act, the Electricity Regulations 1994 (including its
subsequent amendments), the licence conditions, the Codes, Guidelines and
Directions as may be issued by ST and the Minister.

4.8.4 The LSS Plant and the Interconnection Facilities shall comply with technical,
operational and other requirements in the SPPA and the requirements of the
Electricity Utility Company, whether such requirements are specified in this
RFP or not. It is the mutual responsibility of all parties to each Project
Document to ensure that the terms and conditions of such Project Document do
not contravene with or differ from the requirements in this RFP.

4.9 Technical Information to be Submitted by Bidders

The technical information/data/plans/drawings/diagrams/photographs/reports etc.


which shall be submitted by the Bidders in the Bid Submission shall include, but not
limited to the following items as indicated in PART 3 Section 4.9.1 to Section 4.9.14.
Bidders are encouraged to provide any other information which shall facilitate the
evaluation of the Bids.

4.9.1 General

i. Type of PV Installation (roof-mounted/ground-mounted/mounted on


existing structure/floating). Please indicate the type of tracking system
(if applicable);

A Bidder shall declare monthly and annual Export Energy of each LSS Plant
according to the following format and submit a copy of the results of simulation
and evaluation of Export Energy of the Project using the latest PVsyst
Simulation or similar.

Information submitted from Bidder for this section will be derived and entered
into the SPPA.

of energy drawn from the PV System for charging the battery system and energy
supplied by the battery system for onsite consumption and for export to the Utility
Power System should also be indicated in the charts.

4.9.3 For Roof-Mounted/Mounted on Existing Structure PV Installations

i. Address of the Plant Site (please provide a location map);

4.9.8 Single Line Diagrams of Solar PV Systems

Single line diagrams of the complete solar PV system with equipment ratings
showing the equipment such as the PV arrays, inverter configuration, BESS (if
applicable), switchboards, metering system, control system, protection system,
cabling system, interconnection arrangement at the Utility Power System etc. of
the LSS Plant. The drawings shall be in A3 or A1 size, whichever appropriate,
and shall be clearly legible with proper legends and explanation. The drawings
shall be prepared and endorsed by a practising Professional Engineer
registered with the Board of Engineer Malaysia in the relevant branch of
engineering and with experiences in the relevant fields.

4.9.9 Site Plan, LSS Plant Layout Plan and Site Photographs

A detailed site plan and a LSS Plant layout plan with site photographs to
appropriate scales and sizes indicating the location of the Plant Site, land use of
the vicinity areas, layout of the PV arrays and other facilities, structures and
buildings, boundaries of the LSS Plant, service roads, set back of the PV arrays
and various facilities/structures/buildings, buffer zones of the LSS Plant etc.
shall be submitted together with the Bid Submission. The drawings shall be in
A3 or A1 size, whichever appropriate, and shall be clearly legible with proper
legends and explanation. The plans shall be prepared and endorsed by a
practising Professional Engineer registered with the Board of Engineer
Malaysia in the relevant branch of engineering with experiences in the
relevant fields or an architect registered with the Board of Architects
Malaysia or a land surveyor registered with the Board of Land Surveyors
Malaysia.

4.9.10 Site Plan, Cable Route Plan and Site Photographs of Interconnection
Facilities

A site plan, cable route plan(s) and site photographs of the Interconnection
Facilities of appropriate scale and size indicating the location and equipment
layout of the Interconnection Facility and the proposed cable routes connecting
the LSS Plant to the Utility Power System shall be submitted. The plans shall be
clearly legible and showing the land use and existing infrastructure facilities
such as roads, bridges, water pipes, gas pipes, telecommunication lines,
buildings, structures, water ways etc. in the vicinity. The plan shall be
prepared and endorsed by a practising Professional Engineer registered
with the Board of Engineer Malaysia in the relevant branch of engineering
with experiences in the relevant fields or an architect registered with the
Board of Architects Malaysia land surveyor registered with the Board of
Land Surveyors Malaysia.

4.9.11 Operation and Maintenance Arrangements

Operation and maintenance arrangements of each LSS Plant during the term of
the SPPA such as organisation structure, human resource, daily operation works,
scheduled maintenance works, asset replacement program for the major
equipment and systems etc., including arrangements with any service providers
for the provision of operation and maintenance services.

4.9.12 Power System Studies/System Checks/Connection Checks

Reports/Results of power system study/system check/ connection check for each


LSS Plant, whichever relevant. A copy of approval for the interconnection by
the Electricity Utility Company shall also be attached.

4.9.13 Project Schedules

Project Schedules showing the milestones of the critical activities for the
implementation of each LSS Plant such as the process in finalising the SPPA
and other Project Documents, SFCD, submission and approval of relevant
authorities on land use and other matters, start and completion of engineering
designs, award of engineering procurement and construction contract, start and
completion of installation of major equipment and Interconnection Facilities,
start and completion of testing and commissioning works, SCOD etc.

For the avoidance of doubt, notwithstanding the SFCD provided by the Bidder
in the Project Schedule, ST may at its sole and absolute discretion specify a
different FCD in its Notification to Successful Bidder.

4.9.14 Information on Environmental Impacts

A report with site photographs on the qualitative and quantitative potential


impacts of each LSS Plant which may have on the environment and the
neighbourhood, including safety, aesthetics, storm water, noise and glare,
whether required under the EQ Act or other laws or not, and any mitigation and
protection measures to be taken.

4.10 Information for Financial Analysis and Financial Model

Bidders shall submit together in their Bid Submissions a hard copy and an electronic
copy of the financial model for their Bids in a form compatible with Microsoft Excel
2007, the information for financial analysis as required in Appendix G and a
description of the project financing arrangement. The information and data provided
in the financial model shall be clearly explained and consistent with the Bid. No
changes are allowed after the submission of the Bid.

4.11 Information on Local Products and Participation

Bidders shall submit information on the proposed local participation in the Project,
identifying the extents, types and values to which the Bidder plans to use local
manufactured/assembled products, contractors, suppliers and labour.
For local manufactured/assembled PV modules/cells and inverters which shall be
used in the Project, a certified copy of the manufacturing licence issued by the
Ministry of International Trade and Industry (Form ICA 7) shall be submitted
together with the Bid Submission.
All engineering, procurement, construction, testing and commissioning works for the
Project shall be undertaken by local contractors registered with CIDB under the
appropriate categories and grades only. A certified copy of the registration with

CIBD of the following contractors shall be submitted with the Bid Submission:
i. Engineering, procurement, construction and commission (EPCC) contractor;

advisors, incurred in participating in this RFP, preparing our Bid, submitting our Bid,
executing the Project Document, finalising the relevant financing and securing approvals
of the relevant authorities and parties regardless of the conduct or outcome of the evaluation
process, or subsequent finance-ability of our proposal and we shall have no claim
whatsoever against the ST for any loss, costs, damages, expenses (including loss of profit)
howsoever arising thereto.

11) We confirm that neither ST, nor the Government, nor any personnel, consultants or

representatives of the ST or the Government shall have any liability whatsoever to us in


respect of any decision taken by us in relation to participating in this RFP exercise, the
preparation of our Bid and submitting our Bid whether or not in reliance on any matter

12) We understand and agree that ST at its discretion reserves the right to consider or reject our
Bid whether it be lower or higher than any other Bid, or of the same amount, without
providing any explanation for such a decision and any such decision shall be accepted by
us as final and not subject to any appeal by us or any other party on our behalf.

13) We understand and agree that if we submit more than one LSS Plants in our Bid, ST at its
discretion reserves the right to consider any one or more LSS Plants submitted in our Bid
at the Bid Price quoted for that particular LSS Plant in the Bid without providing any
explanation for such a decision and any such decision shall be accepted by us as final and
not subject to any appeal by us or any other party on our behalf.

14) We understand and agree that ST at its discretion reserves the right to make appropriate
adjustments to the Bid Price of our Bid and to align the Bid Price to the prevailing market
rates and conditions and to rectify any errors in our computation of Bid Price if we are
shortlisted and invited to finalise and conclude the Project Document.

15) We undertake to hold all information relating to the RFP and our Bid in strict confidence
until such time as we receive instruction or consent from ST regarding its disclosure.

competitive.
