Contract To Sell
This Contract made and entered into this ____ day of ____________ at Bacolod City, Philippines, by and between:
EDUARDO V. LEDESMA, ANA MARINA V. LEDESMA, REGINA L. BAUTISTA, MARGARET MARY L. JALANDONI, ELIZABETH CHRISTINE L.
COSCOLLUELLA, JOSE V. LEDESMA IV, JORGE V. LEDESMA, and LOURDES FILOMENA L. TABORA, all Filipinos, of legal ages, and residents of
Bacolod City, Neg. Occ., Philippines, and duly represented in this instance by, SANTIAGO JAVIER T. LEDESMA, likewise of legal age,
Filipino, and a resident of Bacolod City, hereinafter collectively referred to as the “VENDORS”.

NIÑA FEREN A. AGUILAR, of legal age, Filipino, married and a resident of __________________________________________________________________, Negros
WITNESSETH:
That for and in consideration of the sum of PESOS: TWO HUNDRED SIXTY FIVE THOUSAND TWO HUNDRED FORTY EIGHT AND 23/100
ONLY (P 265, 248.23), Philippine Currency, which the buyer shall pay in the manner and form hereinafter specified and in further consideration
of the strict compliance by the latter of the terms, conditions, and restrictions hereinafter stated the SELLER has agreed and contracted to the
BUYER, and the latter agreed to buy a portion or parcels of land known as Block 2 Lot 35 & 36, (as shown in the Site Development Plan attached
as Annex “A” hereof) as portion of Lot 719- E, located at Barangay San Fernando, Talisay City, Negros Occidental, particularly described and
bounded as follows:

WHEREAS, the “VENDEE” has agreed to purchase the above-described portion or parcels of land equivalent to 180 Square Meters known as Block
2, Lot 35 and 36 only and the “VENDORS” are willing to sell the same, subject to the following terms and conditions to wit;
NOW, THEREFORE, for and in consideration of the foregoing and the mutual covenants hereafter contained, and for and in consideration of the
sum of PESOS: TWO HUNDRED SIXTY FIVE THOUSAND TWO HUNDRED FORTY EIGHT AND 23/100 ONLY (P 265, 248.23), to be paid in the
manner set forth herein, the VENDORS hereby SELL, TRANSFER and CONVEY unto the VENDEE, the above-described portion or parcels of land
with an area of One Hundred Eighty (180) square meters, more or less subject to the following terms and conditions:
The VENDEE agrees to pay the VENDORS as purchase price in the amount of PESOS: TWO HUNDRED SIXTY FIVE THOUSAND TWO HUNDRED
FORTY EIGHT AND 23/100 ONLY (P265, 248.23), without interest to be paid in the following manner:
The down payment shall be paid by the VENDEE to the VENDORS in the amount of PESOS: FIFTY THOUSAND PESOS ONLY (P50,000.00) upon
The remaining balance of PESOS: TWO HUNDRED FIFTEEN THOUSAND TWO HUNDRED FORTY EIGHT AND 23/100 ONLY (P215, 248.23)
PESOS is payable over a period of Two (2) years or (24 months) in equal monthly installments in the amount of PESOS: EIGHT THOUSAND
NINE HUNDRED SIXTY EIGHT AND 67/100 ONLY (P 8, 968.67) starting on August, 2023 and every month thereafter, until full payment,
That the subsequent developmental cost and whatever improvements that the VENDORS/DEVELOPERS may introduce thereon in the subject
property shall be paid separately by the VENDEE for a period of 2 years or 24 months computed equally monthly.
That the VENDOR/SELLER shall execute a Deed of portion sale in favor of the VENDEE/BUYER upon full payment of the abovementioned
consideration the titles of the land subject of this sale shall be delivered by the VENDOR to the VENDEE as soon as possible, free from liens and
encumbrances;
The VENDOR warrants to defend and guarantee the right of the VENDEE to take peaceful possession, enjoyment and occupation of the afore-
mentioned parcel of land and all its improvements from the time of the execution of this agreement.
The property taxes owing to the government until the signing of this agreement shall be for the account of the SELLER. Thereafter, the same then
Incidental Sale Expenses such as Capital Gains Tax, Documentary Stamps Tax, Broker’s Commission, Legal and Notarial Fees, except transfer taxes
and registration fees with the Register of Deeds shall be paid for the account of the VENDOR/SELLER.
The parties hereby agree that the terms and conditions of this contract shall be binding to all their respective heirs, assignees, transferees and
administrators.
IN WITNESS WHEREOF, the parties have hereunto set their hands on the date and at the place first above written.
