The SELLER has agreed to sell and the BUYER has agreed to buy the commodity under
the terms and conditions provided in this contract as follows:

4. PAYMENT:
By D/A in USD for 100% contract value.
5. INSPECTION
The Buyer can apply Vinacontrol for inspection after discharge of the goods at the port of
destination and bear inspection charges. The Buyer has the right to claim within 30 days
from the discharging date if they find any discrepancy of quality and/or quantity from
Vinacontrol's inspection. In this case, Vinacontrol's survey report shall be considered
evidence for the claim.
6. ARBITTRATION
All disputes arising during performance of this contract will be firstly settled by amicable
negotiation. In case such settlement can not be reached, the disputes shall be finally
settled by the Vietnam International Arbitration Center (VIAC) at the Vietnam Chamber
of Commerce and Industry (VCCI) in accordance with its arbitration rules and
procedures.
7. FORCE MẠJEURE
Force majeure cases shall be understood the occurrence of situations to be considered as
force majeure in ICC Publication No.421.
The party suffering from force majeure cases shall give notice to the other party by phone
within 10 days and confirm in writing within 10 days from the date of phoning, together
with certificate of force majeure issued by the Chamber of Commerce located at the
country where such cases occur.
8. GENERAL CONDITIONS
This contract comes into effect from the date of signing and both parties undertake to
execute strictly all terms and conditions. All previous agreements shall become null and
void. Any change or amendment to this contract shall be made in writing and subject to
prior approval from both parties.
This contract is made in English into 02 originals, of which each party keeps 01 with
equal value.
This contract is signed through fax.
