Origins and Expansion
"C ompagnia Tecnica Internazionale" - soon named TECHINT after
the original telex code - was founded as an international corporation
in 1945. The founder, Agostino Rocca, was an innovative engineer,
manager and entrepreneur, and a key force behind the development
of the Italian steel industry in the 1930s.

The company began providing engineering services to a growing


number of clients in Latin America - to where Agostino Rocca had
traveled after World War II - and Europe. Construction activities soon
followed: the first major Techint engineering and construction (E&C)
project was a network of large diameter pipelines in Argentina and
Brazil. After building the southern gas pipeline in Argentina
Agostino Rocca (inaugurated in 1949), and completing other pipeline projects, the E&C activities of the
(1895-1978),
founder of the
company extended during the 1950s to the field of power infrastructure. In those early
Techint Group. years, production of steel structures and heavy mechanical equipment and parts was also
started near Buenos Aires in order to support the industrial ventures which soon followed.

Fueled by Mr. Rocca's vision, the company expanded and diversified its original activities
by building and then operating two seamless steel tube plants, one in Veracruz (Mexico)
and the other in Campana (Argentina). Both plants began production in 1954. In the late
1960s a flat steel cold-rolling facility was built in Ensenada (Argentina), which was
meant to be the first step of a planned fully integrated operation. Steel manufacturing was
now the main industrial activity of the Techint Group.

In the 1960s and 1970s engineering and construction (E&C) activities were developed
further, establishing Techint as one of the world's major pipeline builders, and a supplier
of turnkey plants for productions ranging from steel to petrochemicals. In sixty years
of activity, Techint E&C has successfully completed around 3,500 projects in more than
50 countries, and is presently engaged in large industrial and infrastructure projects
worldwide.

The Techint Group's steel pipes business also continued to grow. In the mid-1980s it
undertook a major, export-oriented expansion of the Campana mill, and acquired Argentine
welded pipe maker Siat. In the 1990s it also acquired control of the Veracruz mill in
Mexico and the Dalmine seamless pipe mill in Italy. Steel pipe manufacturing facilities
were also, in time, acquired in Brazil, Venezuela, Japan, Canada, and more recently
Romania. At the end of 2002 Tenaris, the company under which all the manufacturing
and service activities in the steel pipe business were grouped, was quoted on the stock
exchanges of New York, Milan, Mexico and Buenos Aires. In October 2006 Tenaris
announced the acquisition of Maverick Tube Corp., a leading North American producer
of welded oil country tubular goods (OCTG), line pipe and coiled tubing for use in oil and
natural gas wells. Today, Tenaris is the leading global supplier of tubular products and
services used in drilling, completion and production of oil and gas, in process and power
plants, and in specialized industrial and automotive applications. Tenaris has been
strengthening its competitive position in time by securing power generation and basic steel
production capacity, and continues to invest heavily in research to develop high-end
products and processes.

Cold rolling of flat steel in Argentina continued to grow through the 1980s. In 1992 the
Group acquired a majority share of Somisa, the largest integrated flat steel plant in
Argentina, and brought it up rapidly to international production standards through a
major investment program. Steel coating and processing capacities were also expanded
through investments and acquisitions. All Argentine flat steel facilities were then
integrated in Siderar, which today is part of Ternium, a public company that also has the
control of Sidor, Venezuela - one of the largest and most efficient plants in Latin America -
which was acquired in 1997. In August, 2005 Ternium acquired Hylsa, the largest steel
manufacturer in Mexico, and the one with the highest level of vertical integration, whose
activities range from the extraction and processing of iron ore to the manufacturing of
high value-added steel products. Ternium is carrying out important investments in the
three steel mills in order to increase production, improve quality and draw synergies from
process integration and product specialization.

The Techint Group experience and skills in plant making have, since the beginning,
been accompanied by the in-house manufacture of heavy equipment and industrial
machinery. Starting in the 1980s, a series of acquisitions and expansions in Italy had
multiplied the portfolio of products and leading technological solutions, particularly
for the metals and raw materials industries. A more recent, international expansion
has increased the business’ scope and global presence - under the new Tenova
brand - with a product line that includes direct reduction plants, melt shops,
secondary steel making facilities, reheating and heat treatment furnaces, roll grinders
and roll shops, bulk material handling systems, as well as products and technologies
for the rubber and plastics, glass and rock wool industries.

During the 1990s the Techint Group also invested in oil and gas blocks in Argentina
through exploration and production company Tecpetrol. In time, the company has
acquired operations in Venezuela, Bolivia, Brazil, Ecuador, Mexico and Peru. Through

businesses, such as TGN in Argentina and TGP in Peru. The latter holds the concession of
the two Camisea trans-Andean pipelines, one for gas and one for liquids, whose
construction has been one of the most challenging projects ever undertaken by Techint.
Tecpetrol continues to pursue the development of energy infrastructure projects in the
Southern Cone, a synergic field of activity involving all the major strengths of the Group.

In Italy, the Techint Group entered the health services sector in the mid 1990s by building
and managing Istituto Clinico Humanitas, a state-of-the-art hospital and medical
research institute near Milan. Specialized company Humanitas has subsequently
acquired controlling interests in other important private hospitals in Bergamo, Turin and
Catania, where the successful technology-based and patient-oriented management
model, which was adopted in Istituto Clinico, has been replicated.

Overall, the Techint Group comprises more than 100 companies operating worldwide with
a workforce of experienced professionals and skilled workers numbering 44,900
permanent employees. The global annual turnover of companies of the Techint Group,
public and non-public, is nearly USD 16 billion. The magnitude of operations of the main

Toni Ruttiman is a humanitarian bridge builder who has been working since 1987 to unite isolated rural communities
in Asia and Latin America. Tenaris has provided Toni with enough steel tubes to build around 100 bridges such as
this one in the state of Veracruz, Mexico.

D uring 60 years of activity, the companies of the Techint Group have evolved, building upon

Tenaris
Tenaris is the leading global manufacturer and provider of tubular products and

Ternium
A manufacturer of flat and long steel products, Ternium consolidates the operations
of the steel companies Hylsa (Mexico), Siderar (Argentina) and Sidor (Venezuela).
Ternium manages highly integrated processes to manufacture steel and value-added
products and services. It is one of the leading steel companies in Latin America with
an annual crude steel production capacity of nearly 11 million tons per year.
Ternium manufactures a wide range of products through integrated processes
that involve the extraction of iron ore from its own mines. These include semifinished
steel, flat-rolled products, long products, welded tubes and beams, and roll-formed
products. Ternium shares the Techint Group's high standards of quality, efficiency
and industrial technology. Ternium is a public company with its shares listed on the
New York Stock Exchange; it adheres rigorously to international standards on
corporate governance, financial transparency and information disclosure.

Techint Engineering and Construction
Thanks to its widespread and consolidated experience, Techint Engineering and
Construction (Techint E&C in brief) has a proven capacity to design and implement large
infrastructure projects, even in the harshest terrain and in accord with today's stringent
environmental requirements. As primary contractor for crude oil and
natural gas pipelines, Techint E&C has installed over 70,000 kilometers of pipelines,
including 16 pipelines laid on the Andean mountains, some reaching altitudes of 5,000
m above sea level. Techint E&C is also active in a number of other infrastructure fields
such as water and waste treatment plants, water and mineral pipelines, telecommunications
networks, power plants and transmission lines, information technology and automation
systems, railways, roads and highways, marine terminals, bridges, dams, and airports.
Techint E&C operates in a number of countries (details in the Techint Group
Companies section of this publication), and has developed different areas of business
and know-how in order to satisfy specific needs in the countries where it is active,
sharing expertise with other companies of the Group.

Tenova
Tenova constitutes a major international supplier of advanced technological solutions
for the metals and raw materials industries worldwide, targeting the need for quality,
efficiency and environmental safeguards of its clients. Its product portfolio embraces
several technologies and renowned brands with numerous references in all countries
(for details, see the Techint Group Companies section of this publication).
Tenova’s product lines include direct reduction plants, melt shops, secondary steel
making, reheating furnaces, heat treatment furnaces, strip processing lines, roll
grinders and automatic roll shops and bulk material handling systems. Tenova also
operates in the rubber and plastics and in the glass and rock wool industries with two
specific business units. It has recently carried out an external expansion strategy to
complete the offering in terms of technologies and products, and to widen and
strengthen its geographical presence.
Tenova operates as a special Division within the privately held Techint E&C Company in Italy.
It has headquarters in Milan and Genoa, and operational units in Australia, Austria, Brazil,
Canada, China, Germany, India, Mexico, Poland, Russia, South Africa, and the USA.

Tecpetrol
The Techint Group has a long-standing record of involvement in the development
of Latin America's potential for energy development and integration. With privately
held Tecpetrol, the Techint Group is active in the development, operation and

exploration of oil and gas fields in Argentina, Bolivia, Ecuador, Mexico, Peru
and Venezuela. Tecpetrol is also involved in the operation of gas transmission
companies, among them TGN, the Northern Gas Transportation company in
Argentina, and TGP, the Camisea pipelines company in Peru, as well as other
energy-related developments in the Southern Cone. Synergies are achieved with
Techint Engineering and Construction, a top ranking builder of oil and gas pipelines
and facilities worldwide.

Humanitas
In Italy, the Techint Group is active in health care through Humanitas and the
Humanitas Group. Humanitas promotes, implements and manages health care
initiatives. The Humanitas Group includes the well established, research focused
Istituto Clinico Humanitas (ICH) hospital near Milan, built by Techint, and prestigious
private hospitals in Bergamo, Turin and Catania. The delivery of health care in these
structures is based on Humanitas' economically successful, patient oriented
management model, supported by state-of-the-art systems of integrated information ■

The list does not include numerous projects involving engineering, procurement,
construction, maintenance, logistics and other services provided by Techint E&C
on a competitive basis to the oil and gas blocks and to the steel mills belonging
to companies of the Techint Group. In particular, services to the steel business
represent a time honored, distinguishing specialization steeped in the industrial
culture of the Techint Group. Also not listed is the operation of the Petacalco coal
terminal on the Pacific coast of Mexico for the nearby coal fired power plant.

PIPELINES

• InandSaudi Arabia, Techint is carrying out the works for the “Khursaniyah Downstream
Upstream Pipelines” project for Saudi Aramco: overall, 484 km of pipelines, with
diameters from 16” to 40”, will be constructed under a LSTK contract.
• In Costa Rica, Techint is carrying out the construction of a 123 km, 12” multiproduct
pipeline from Limon to La Garita on behalf of Recope; the scope of work includes three
pumping stations and two terminal stations.
• In Mexico, an EPC contract was awarded in December 2005 by Green Energy, a
Mexican power developer controlled by US financial group, for the construction of a
65 km, 24” pipeline in Queretaro state, including a compression station.
• In Mexico Techint is also carrying out works for the construction of the 130 km,
36” Tamazunchale gas pipeline on behalf of Transcanada.
• In Argentina, the works for the El Mangrullo Gas Pipeline project, developed for
Petrobras Energia S.A., are under way. They include the construction of a 12" 60 km
long gas pipeline.
• In Argentina, Techint completed the 2005 North Gas Pipeline Loops Expansion Project
for Transportadora de Gas del Norte (TGN) involving the construction of 192 km of
pipelines across the provinces of Salta, Jujuy, Tucumán, Catamarca and Córdoba. As a
subcontractor for Odebrecht, that delivered the project to Transportadora de Gas del
Sur (TGS), Techint also laid in the Buenos Aires province 160 km of 36” loops for the
2005 San Martín and NEUBA II Gas Pipelines Expansion Project.

OIL AND GAS PRODUCTION FACILITIES

• In Mexico, Techint is also building a nitrogen rejection plant in the Cantarell gas field
for state oil company Pemex; it will be the highest capacity such plant ever built.
• In Nigeria, after completing the commissioning of works related to trains 4
and 5 at the Bonny Island LNG complex on behalf of the TSKJ joint venture,
the same client awarded Techint a new contract for the electromechanical

• In Nigeria, at the end of 2005-06 Techint was also assigned by KBR and
Snamprogetti the contract for the electromechanical erection of the new gas-to-liquids
plant to be built in Escravos.
• In Saudi Arabia, the EPC contract for the Haradh oil & gas separation plant (GOSP III)
was completed and delivered to Saudi Aramco in April 2006.
• Also in Saudi Arabia, the utilities and off-sites package for the Rabigh Development
project that Techint was building on behalf of Saudi Aramco and Sumitomo
Chemical was completed and delivered in May 2006.
• In Peru, Techint is developing the Camisea Expansion project. The client is
Pluspetrol Peru Corporation S.A., and the works will increase the processing capacity
of two gas/liquids separation facilities.
• In Brazil, Techint provides industrial maintenance services and works on the revamping
of the Petrobras platforms located in Bahia de Campos, Macaé, Rio de Janeiro. The
construction works at the PRA-1 offshore pumping platform for Petrobras continue.
• In April 2006, Cacouna Energy (a partnership between Transcanada and
Petrocanada) awarded the Front End Engineering and Design (FEED) contract for its
proposed liquefied natural gas (LNG) facility at Cacouna (Quebec, Canada) to the
international consortium composed by Techint, Sofregaz, Vinci Construction Grands
Projets and Entrepose.

PETROLEUM REFINERIES AND PETROCHEMICAL PLANTS

construction of the 800 MW combined cycle power plant in Piacenza, which was

a new contract, awarded by Endesa, for the construction of a new 800 MW gas fired

services for the new 120 MW combined cycle power plant being built at the
TenarisDalmine mill near Bergamo.
• In Egypt, Techint, in partnership with GE, is completing the EPC contract for the gas
turbines island of the 800 MW combined cycle Cairo North power plant (2nd Stage),
on behalf of the Cairo Electricity Production Company.
• In Argentina, Techint is continuing the construction of a dam for the 132 MW Los Cara-
coles hydroelectric complex, which will provide electricity to the province of San Juan.
• In Mexico, at the end of December, the state-owned utility Comisión Federal de
Electricidad (CFE) awarded a consortium of Techint and Mitsubishi Heavy Ind. the
EPC contract for an additional 648 MW, supercritical, coal fired unit at CFE’s Pacifico
power plant.

POWER AND TELECOMMUNICATIONS LINES

Mexico, the Transmission Line 609 project in the states of Sonora and Nayarit was
in July 2005: the project involved 3 power lines in 400 kV for a total length
of about 700 km, and 6 substations.
• Again in Mexico, the Comisión Federal de Energía (CFE) awarded Techint, in
partnership with Isolux and Abengoa, two new contracts for the installation of a
telecommunications network in the Central and Northern regions. Techint’s scope
of work comprises the installation of nearly 2,500 km of optical ground wire in high
voltage transmission lines and the installation of the complete communications
equipment in more than 50 substations.
• In Central America, Techint has been awarded the contract for the SIEPAC Project
(Electrical High Voltage Interconnection of Central America), on behalf of a partnership
among some of the local transmission companies. The lot assigned to Techint includes
more than 800 km of 230 Kv power lines in Guatemala, El Salvador and Honduras.
• In Argentina, Techint is providing personnel and equipment for the assembly and
maintenance of power transmission lines. The client is Tecpetrol S.A.

MINING AND METAL COMPLEXES

• In Chile, the works for the El Mauro Tailings Dam project for Minera Los Pelambres are
in progress. They include the construction of two 60 km, 42 inches and 36 inches
pipelines and associated facilities.

ARCHITECTURAL WORKS

under trust with Pieralisi.

Tenova

Tenova is the proposed new brand name that covers all activities in plant
making and industrial machinery, which heretofore were designated as being
part of Techint Technologies. The rebranding has been a necessary step to
define the identity of a growing business, parts of which already had, or have
now acquired, world leadership.
The 2005-06 period witnessed an impressive growth of the businesses under
Tenova.
At the beginning of the fiscal year, HyL Technologies SA de CV became part
of Tenova. The company, which is based in Monterrey, Mexico is world leader
in the supply of gas based direct reduction plants through its worldwide
renowned technology. At the beginning of 2006, HyL Technologies entered an
alliance with Danieli to supply HyL direct reduced iron (DRI) plants
worldwide under the brand name of HyL Energiron.
In March, 2006 Tenova entered an alliance with Danieli to supply the
Consteel® technology to steelmakers worldwide. The two companies
decided to join their efforts, knowledge and world market presence
in this field to offer the Consteel® technology as the only system for
continuous charging and preheating of steel scrap in electric arc furnace
(EAF) steelmaking.
In April, 2006 Tenova, with the participation of SMS Demag, acquired the LOI
Group, with headquarters in Essen, Germany. LOI is an international supplier of
high-quality industrial furnaces for the steel and aluminum industry. LOI has
a strong presence in Germany, China, Poland and India and is world leader
in the heat treating furnace market.
At the end of the fiscal year Tenova acquired Key Solutions, a company based
in Vienna, Austria. Key Solutions is an important player in acid regeneration
plants, through both fluidized bed and spray roast technology, that will add
value to the pickling lines competences already present in Tenova.
At the end of the fiscal year Tenova and Hypertherm, an Indian engineering
company focused on the reheating furnace business, set up a joint venture:

Techint Hypertherm Pvt Ltd. The new company, based in Mumbai, aims to
become leader in the supply of reheating furnaces to the booming Indian steel
industry.
Just after the end of the fiscal year, Tenova acquired Pyromet Pvt Ltd, a South
African company based in Johannesburg, leader in the engineering, supply
and construction of Submerged Arc Furnaces as well as complete smelting
plants for the production of ferroalloys and base metals.
During 2005-06 the construction of the Timec workshop in Tianjin, China has
proceeded. The inauguration is scheduled for October 2006. Timec will

fabricate high quality plants and equipment for Tenova and for third parties
in the metal industry and in other industries.

DIRECT REDUCTION PLANTS - HYL


The new Direct Reduction business unit started operations in November, 2005
following the incorporation in Monterrey, Mexico, of HyL Technologies SA
de CV, a Company which inherits the expertise, experience and activities in
the direct reduction field of the HyL division of Hylsa (the latter being now part
of Ternium). In its first 8 months of activity, the new BU has been awarded
several important contracts, among which:
• the turn key supply of a 200,000 tpy “Micro Module” direct reduction plant to
Al Nasser, Abu Dhabi, UAE;
• the supply of engineering, process technology, services and key equipment for
a new 1.6 million tpy HyL III direct reduction plant, including the patented
HyTemp system for the continuous transfer and charge of hot DRI to the EAF,
to General Holding Corporation, Abu Dhabi, UAE (the contract has been signed
through Danieli, acting as the Main Contractor for the complete project);
• the supply of technology, services and key equipment for the revamping of an
HyL III plant owned by Mittal Steel, in Lázaro Cárdenas, Mexico;
• the supply of a new 600,000 tpy HyL ZR direct reduction module to Vikram Ispat, India.

• Two furnaces for Hadeed, Saudi Arabia; the reheating furnace for Edelstahlwerke
Suedwestfalien; the reheating furnace of the rail mill for NKMK, Russia; and the
preheating furnace for Vallourec & Mannesmann Tubes have been successfully
started up and the performances have been achieved.
• In Germany, final acceptance has been received for two reheating furnaces for
Saarstahl in Neukirchen and Neuweiler; a walking beam furnace for ThyssenKrupp
Steel in Duisburg-Beeckerwerth; and the reheating furnace for Georgsmarienhuette
in Osnabrueck, as well as for the revamped reheating furnaces for ThyssenKrupp
in Bochum and Mannesmann Roehrenwerke in Muelheim.

oven in a galvanizing line for La Magona Arcelor Group, Italy.

MATERIAL HANDLING

• Final acceptance was received from CVRD for the shiploader installed in São Luis,
Brazil; CVRD also issued a preliminary acceptance for the new stacker and belt
conveyors in Carajas, Brazil; preliminary acceptance has been obtained from Black
& Veatch for the two crab shipunloaders and two stacker-reclaimers supplied for
the new power plant of Tanjung Jati, Indonesia.
• New contracts were signed for: four continuous shipunloaders for the Enel Power
Plants in Brindisi and Torrevaldaliga, Italy; a shiploader with conveyors for ash and
gypsum for the Enel Power Plant in Civitavecchia, Italy; a belt conveyor system for
DRI with a 2.000 t/h stacker for Danieli, to be installed in Bahrain; a stacker for
Endesa, Spain, through BHP; a 5th shiploader with belt conveyor system for CVRD
in São Luis, Brasil; and in Australia for a handling system for bagasse for the CBH
Downer - Condong & Broadwater Project; a stacker for the Thiess Sedgman - Wilpinjong
Project; a shiploader with relevant conveyors for the Port Authority of Darwin.

RUBBER AND PLASTICS MACHINERY

• Major tires manufacturers selected Pomini machines for green field installations:
Pirelli for their new plant in Slatina, Romania; Bridgestone Europe for a new plant
in Hungary; Nokian Tire for a new plant in Russia.
• Many orders confirmed the preference of tires manufacturers for Pomini machines:
Continental in Timisoara (Rumania); Bridgestone, Michelin, Pirelli, Hankook,
Trelleborg and Marangoni for their plants in Italy, Central and East Europe, South
America and China.
• Pomini machines for Niznekamskshina in Russia's Tatarstan Republic were
delivered, and the installation activities for two complete mixing lines for bus

of Pomini grinders for their expansion projects, among them: Maanshan;
Baosteel (in Baoshan, Luojing and Meishan); Tonghua; Laiwu; Hunan Suntown.
• In Europe, several orders have been awarded to Pomini, including those

for Arcelor in Aviles, Spain; Mittal in Poland; the Silmet copper & tin mill in Italy;

Steel Gary Works in Indiana); and from Argentina (for Ternium Siderar).

GLASS PLANTS

• The final acceptances of a glass wool roll up machine for the Shanghai Plate Glass
Factory (first equipment "Fully Made in China" by Techint Industrial Technologies
Beijing) and of a "Chopped Strand Mat" reinforcing fiber line at Chongquing
(China) for Chongquing Techfiber New Material (CPIC), were obtained.
• A new contract was signed and carried out with El Volcan (Chile) for the revamping
of the existing glass wool technological line.
• The start up of the 4th complete line for rock wool insulating products at Yaroslavl
(Russia) for Termosteps Group was successfully achieved.
• Works underway included: a 4th complete technological line for rock wool
