The BUYER and the SELLER agree to conduct transactions according to the terms and
conditionsstipulated below:
Article I
SCOPE OF CONTRACT

1.1 Seller, under full corporate authority and responsibility, respectfully represent that the Selleris lawful
owner of the commodity by virtue of contract and/or appointment as Seller's mandate in quantity

and quality as here under specified and the Buyer has full capability topurchase the said commodity.

1.2 This contract may be assigned, in its total or partial performance, to any other company thatassumes
its terms and conditions, as agreed upon between the Seller and the Buyer.

1.3 Time Period: The duration of this contract is for the period of twelve (12) months / calendaryear
with extension as may be agreed upon by both parties.

1.4 Goods Description

The Pick-up price is subject to change based on the prevailing selling price on themarket. Updated
pricing will be applied during roll overs.

1.5 Quantity: The contractual quantity of the commodity shall be based on the mutually agreed quantity of
20,000,000 liters.

1.6 Withdrawal Time Period: Thirty (30) working days, commodity must be withdrawn / lifted within
the given time. Extension may be agreed upon by both parties. There shall be no withdrawal on
Holidays, Saturdays, and Sundays.
1.7 Terms of Payment: (PRE- PAYMENT) The Buyer shall place a payment of at least equivalent to
20,000,000 liters.

1.8 At 70% withdrawal the BUYER must place an order / make payment for another 20,000,000 to ensure
execution of contract.

1.9 If the BUYER fails to complete the contract, all released inventory/ commodity will be computed based
on the prevailing window price in the market.

1.10 Procedure:

1.10.1 BUYER deposits at the bank account of the SELLER the prepaid price for 20,000,000 liters at the
price of Php 51.00 per liter.

1.10.2 SELLER confirms receipt of deposit.
1.10.3 BUYER transmits to SELLER Truck and Driver’s Details, etc.

1.10.4 SELLER issues ATL with approved SO within 24-48 hours upon confirmation of payment
1.10.5 BUYER withdraws diesel from depot.

Article II
CONTRACT COMPLETION AND TERMINATION

The terms and conditions of this Sale & Purchase Contract will be deemed to be completely fulfilledby the
Seller and Buyer when the goods are completely delivered and when the payments due have been fully
received. The Seller shall have the right to terminate the contract independently when the Buyer cannot

repose trust and confidence to the Seller and in such it will prejudice the Seller.

Article III
DEFAULT
Default of all or any of this contract due to war, blockade, hostilities, insurrection, immobilization,strikes,
lockouts, civil commotion, plague, or other epidemics, destruction by fire, flood or other acts of nature or
other causes beyond the control of the SUPPLIER and BUYER shall operate and cancel contract to the

extent of such default.

Article IV
MISCELLANEOUS

In the event of any dispute arising in respect of the articles/clauses of the contract the same shall be

resolved through negotiation. Alternatively, the dispute shall be referred to the next higher authority or
controlling officer for his decision and the same shall be binding on both parties. All disputes shall be under
the jurisdiction of the court at the place where the headquarters of the authority, who has executed the
agreement, is located.
Article V
NON-DISCLOSURE / NON-CIRCUMVENTION AGREEMENT (NDNCA)

Both parties hereto irrevocably agree not to circumvent any person or company, or entity involvedin this
transaction directly or indirectly, by any means or devise whatsoever. It is further agreed that this supply
contract shall not be terminated or canceled at cause by both parties for personalpurpose and to be able
to directly earn the contract themselves. To do so shall cause the outright compensation of the full
amount the aggrieved party is supposed to earn from this contract with damages (interest) and the Seller
shall have the right to terminate the contract independently when the Buyer cannot repose trust and
confidence to the Seller and in such it will prejudice theSeller.

The Sales and Purchase agreement is made into four (4) original copies with each party holdingone copy,
which has the same legal effect.
