GENERAL POWER OF ATTORNEY

(WITHOUT CONSIDERATION)

TO ALL TO WHOM THESE PRESENTS SHALL COME I SMT.


MANIBEN JAYANTILAL CHHEDA, age 81 years, Indian
Inhabitant, permeant address at 1, Kam Ganesh CHS, Sane Guruji
Nagar, 90 Feet Road, Mulund (East), Mumbai – 400081 presently
residing at 503, Manisha Tower, Tata Colony, Mulund East,
Mumbai 400081 SEND GREETINGS:

WHEREAS I am the owner of a residential premises bearing


Flat No. 01, admeasuring 48.36 Sq. Mtr. carpet area, located
on Ground Floor, of the Building known as Kam Ganesh Co-
operative Housing Society Ltd. situated at 90 Feet Road, Sane
Guruji Nagar, Mulund (East), Mumbai - 400081 and more

particularly described in the Schedule here under written
(hereinafter for the sake of brevity referred to as “the said Flat”).

AND WHEREAS the property of Kam Ganesh Co-operative


Housing Society Ltd. (registration No. BOM/HSG/5774 date
1979) Society bearing C.T.S. No.1138, of Revenue Village Mulund,
Taluka Kurla, District Mumbai Sub urban District, is going to be
re-developed by appointed Builder/Developer, by demolition of the
existing structure/building (including the said Flat) and
construction of new building in its place.

AND WHEREAS in the said re-development scheme, in lieu


of the said Flat, I will be allotted new Premises i.e. a residential
premises, in the new building to be constructed by demolishing old
building of the said Society (hereinafter for the sake of brevity
referred to as “the said proposed new Premises”).

AND WHEREAS being the owner, I will require to remain


present before various authorities in connection with the said
redevelopment project.

WHEREAS I intend to purchase any property, movable


and/or immovable (either as sole owner or jointly) in Mumbai or in
any part of India (hereinafter for the sake of brevity referred to as
“the said property”).

AND WHEREAS I am also holding various Bank Accounts,


Shares, Postal Savings, Fixed Deposits etc. (hereinafter for the
sake of brevity referred to as “the said Investments”).

AND WHEREAS due to my pre-occupation, it will not be


possible for me to attend matters involving my presence to comply
with legal formalities in respect of the said Flat and acquiring the
said proposed new Premises, the said Property and the said

Investments and therefore, I SMT. MANIBEN JAYANTILAL
CHHEDA, desire to appoint my Grand Son, MR. NAMAN BHARAT
CHHEDA, age 27 years, Indian Inhabitant, permeant address at 1,
Kam Ganesh CHS, Sane Guruji Nagar, 90 Feet Road, Mulund
(East), Mumbai – 400081, presently residing at 503, Manisha
Tower, Tata Colony, Mulund East, Mumbai 400081 as my true and
lawful Attorney to do or caused to be done all the matters, deed
and thing pertaining to the said Flat and acquiring the said
proposed new Premises, the said Property and the said
Investments, on my behalf.

NOW KNOW YE ALL AND THESE PRESENTS WITNESSETH


that I SMT. MANIBEN JAYANTILAL CHHEDA, do hereby
nominate, constitute and appoint my Grand Son, the said MR.
NAMAN BHARAT CHHEDA, to be my true and lawful Attorney to
do for me, in my name and on my behalf the acts, deeds, matters
and things hereinafter mentioned , that is to say,

1. To represent me before said Society, the Builder/Developer


of the said Flat/property and to write or address the letters, to do
the correspondence and to attend and participate in redevelopment
meetings and other meetings of the said Society.

2. To give effect to settlement of the terms of allotment of


proposed new Premises in lieu of the said Flat with the
Builder/Developer, the society and enter into the Agreement and
other writings, Undertakings, consent affidavits with the said
Builder/Developer for allotment of the said proposed new Premises
in my single name or joint name and to comply with all formalities
for acquiring and doing registration of the agreements in respect of
the said proposed new Premises. If required to pay monetary
consideration for additional area and to obtain receipt therefore, in
my name and on my account.

3. To hand over possession of the said Flat to the
Builder/Developer/Society for starting re-development activities.
To take over possession of the said proposed new Premises, in due
course of time in my name and on my behalf.

4. To pay taxes, outgoings, dues and other charges coming to


the share of the said Flat/proposed new Premises and to obtain
the receipts therefore in my name. To acquire Premises on leave
and licence basis, during the course of re-development of the
property and to that effect execute and register the necessary
documents with the Sub-Registrar.

5. To attend the office of the Sub-Registrar of Assurances and


to sign and execute the necessary writing or endorsements and do
the needful for completing the registration formalities of
agreement and all the relevant documents of allotment of the said
proposed new Premises in my name, and admit execution and/or
execute the document to do the needful for completing the
registration formalities of Allotment Agreement, etc., in respect of
the said new Premises, under the Registration Act, 1908, in every
respect. To obtain original agreement in my name and on my
behalf, as and when it is registered.

6. In my name and on my behalf, to complete adjudication


process, if required. In my name and on my behalf, to obtain
original document, Index II from appropriate authorities in respect
of the said New Premises and to complete registration formalities.

7. In my name and on my behalf, to receive member’s


entitlement, i.e. rent, shifting amount etc. from the
Builders/Developers and same deposit in my account and issue
receipts in respect of such payment received. To execute and get
registered Deed of Declaration and/or Deed of Confirmation, Deed
of correction/Rectification, Undertaking, in respect of the said

Agreements, if required. To attend the office of the Sub-Registrar of
Assurances and to sign and execute the necessary writing or
endorsements and do the needful for completing the registration
formalities under the Registration Act, 1908.

8. To sign, execute and present the Re-Development


Agreement, Power of Attorney for Re-Development, Affidavit,
Indemnity Bond, Allotment Agreement, Consent or any other
documents in respect of the said Flat /proposed new premises for
registration and admit execution of the same before the sub-
Registrar and complete registration formalities in every respect.

9. To appear before office bearers of the Society of new


proposed building in respect of my continuation or new
membership of the society and for that purpose to sign the
necessary deeds, applications, forms etc. and also for that purpose
to correspond with and/or appear before the Registrar or the
Assistant Registrar or deputy Registrar of the Co-operative
Societies.

10. To represent me before the Society/Builder/Developer,


Registrar of Societies, Mumbai Municipal Corporation,
Superintendent of Stamps, Sub-Registrar of Assurances, MTNL,
M.S.E.D.C.L, Mahanagar Gas and all other Competent Authorities
in respect of the said Flat/said property/ said proposed new
Premises.

11. In my name and on my behalf to purchase or take on lease


or otherwise acquire for me and/or in my name any movable
and/or immovable property in India. To that effect sign, execute
and get registered the necessary legal documents. To pay
consideration of the said property in my name and obtain receipts.
To take the possession of the said Property from the
Developer/Seller.

12. To attend the office of the Sub-Registrar of Assurances and
to sign and execute the necessary writing or endorsements and do
the needful for completing the registration formalities under the
Registration Act, 1908 and transfer of the said Property in my
favour.

13. In my name and on my behalf to apply and comply with all


the legal formalities for disbursement of loan for purchasing the
said Property. To this effect sign and execute declaration,
indemnities, Power of Attorney, mortgage deed etc in favour of
such Financial Institution. To pay installments of loan amount and
obtain receipts, to comply with all the formalities of the Financial
Institution, disbursing loan.

14. On my behalf, to attend the office of the Sub-Registrar of


Assurances and to do the needful for completing the registration
formalities of mortgage deed/loan Agreement or any other
agreement/s in respect of the said Flat/Property, under the
Registration Act, 1908.

15. To receive the documents from postal authorities and to give


acknowledgements and to do correspondence with postal
authorities.

16. In my name and on my behalf to pay the stamp duty,


registration charges and monetary consideration as per Agreement
in respect of the said Property and obtain receipts from the
proposed Seller/s/Builders and other appropriate authorities.

17. In my name and on my behalf, to fill, sign and execute the


necessary forms, applications, declarations etc. as may be required
by the Builder/Society for getting/transferring the membership
rights of the Society. In my name and on my behalf, to sign and

execute the necessary transfer forms required under Bye laws of
the said Society and do all writings, for perfectly transferring the
shares of the Society and transfer of the said Flat/Property in the
records of the Society .

18. To pay taxes, outgoings, Society's dues and other charges


coming to the share of the said Flat/Property/ said proposed new
premises and to obtain the receipts therefore.

19. In my name and on my behalf, to negotiate with the


Broker/s and/or customers to conclude good deal of lawfully
letting out the said Flat/Property/ said proposed new premises on
leave & licence basis. To let out the said Property, in my name and
on my behalf on leave and licence basis. To settle the terms and
conditions with the Licensee/s and to sign, execute and get
registered the Leave and Licence Agreement in respect of the said
Flat/Property/ said proposed new premises. To sign all the
documents and papers necessary for registration and to pay
necessary stamp duty, registration fees and charges to the
concerned authorities in respect of Leave and Licence Agreement in
respect of the said Flat/Property/ said proposed new premises.

20. In my name and on my behalf, to apply for and obtain N.O.C.


/permissions of the Society for letting out the said Flat/Property /
said proposed new premises on Leave and License or any other
basis and to sign all papers, applications and forms in that behalf.

21. In my name and on my behalf, to receive licence


fee/compensation, Security Deposit and to issue receipts towards
the said licence fee/compensation.

22. In my name and on my behalf, to attend the office of the


Sub-Registrar of Assurances and to do the needful for completing
the registration formalities of Leave and Licence agreement in

respect of the said Flat/Property/ said proposed new premises,
under the Registration Act, 1908. To receive original Leave &
Licence agreement from the registration office, as and when it is
registered.

23. On expiry of period of proposed Leave and Licence


Agreement, to renew the previous Leave and Licence Agreement
and to enter into new Agreement with the Licensee and to that
effect sign, execute and register the necessary legal documents.

24. If required, to cancel the previous Leave and Licence


Agreement and to enter into new Agreement with another
Licensee/s and to that effect sign, execute and register necessary
legal documents.

25. In my name and on my behalf, to obtain possession of the


said Flat/Property/ said proposed new premises from the Licensee,
either on expiry or on termination of Leave and Licence Agreement.

26. To attend meeting of the Society, to make statements and


give evidence before any Competent Authority in respect of the said
Flat/Property/ said proposed new premises.

27. To represent me before Intending Builders, Seller,


prospective Purchaser/s, Licencee, Co-operative Housing Society,
Registrar of Societies, Government, City Survey Department,
Collectors, Mumbai Municipal Corporation, Superintendent of
Stamps, Sub-Registrar of Assurances, Financial institutions,
insurance Companies, Banks, Postal authorities and all other
Competent Authorities in respect of the said Flat/Property.

28. To enter upon, occupy and possess the said Flat/Property,


safeguard the same from trespasser or misuse and to do all such

other acts, deeds, matters and things as may be necessary for the
protection of the said Flat/Property.

29. To do all correspondence, writings with the MSEDCL and/or


any other Electricity Power Supply Authorities, MTNL, BSNL
authorities, Mahanagar Gas authorities for acquiring the meters
and refundable deposits in respect of the said Flat/Property/ said
proposed new premises. To apply for installation/removal of
electric poll, substations and to that effect sign and execute
necessary documents and do the needful.

30. To exercise all other rights and privileges and perform of all
other duties which may appertain to me as Owner/Co-owner in
respect of the said Flat/Property/ said proposed new premises.

31. To do all correspondence, writings with the Maharashtra


State Electricity Distribution Co. and other appropriate Authorities
for acquiring the meters and refundable deposits in respect of the
said proposed new Premises/said Flat/said property/ in my name
and on my behalf.

32. To do all correspondence, writings with the Telephone Nigam


Ltd; and other appropriate Authorities for disconnecting and re-
connecting the telephone connections in my name and on my
behalf.

33. To commence and prosecute any action, suit or other


proceedings at law against any person/s in respect of matter or
things touching to the subject matter in connection with the said
Flat / proposed new Premises/said property and to appear and
defend any action, suit or other proceedings commenced or to be
commenced against me, whereunto, I shall be the party.

34. In my name and on my behalf to open new Bank Accounts, to
operate my existing and/or new Bank Accounts and the said
Investments in every respect and to that effect sign and execute
cheques, withdrawal slips and all other relevant documents .

35. In my name and on my behalf to close the Bank Accounts


and to that effect sign and execute applications, forms/ATM forms
and all other relevant documents .

36. To purchase and sell shares, mutual funds, debentures,


Postal investments etc. and deal with investments in my name and
on my accounts.

37. To vote at the meetings of any Company or otherwise to act


as my Attorney or proxy in respect of any stocks, shares or other
investments now held or which may hereafter be acquired by me in
such Companies.

38. To receive in my name maturity amount of Fixed Deposit, to


renew Fixed Deposit Receipts, to pay Insurance Premium, to claim
insurance benefits and to that effect sign and execute all relevant
documents, forms, applications etc.

39. To apply for and buy on my behalf any stocks, shares, funds
shares of public and/or private joint stock companies, debentures,
Govt. Promissory Notes, Bonds and other securities and to sign
and execute, transfer deeds, allotment letters and other documents
for the purpose arises.

40. In my name and on my behalf to purchase and sell gold,


silver and jewellary and to give, take and execute all necessary
receipts and discharges for the same.

41. To invest my funds in such a manner and at such rate of
interest and upon such securities as my Attorney shall at his
discretion think fit and from time to time to alter and vary the said
investments and in the meantime and pending such investments
as aforesaid, to deposit the said fund or any part thereof with any
Banker/s to whom my said Attorney shall think fit entrust the
same.

42. To sign, execute all such drafts, deeds, affidavits,


undertakings, returns, letters, applications which may be
necessary for renewal, discharge, encashment or otherwise of my
above mentioned Investments and to appear before appropriate
Authorities on my behalf.

43. To appear on my behalf and represent me before any and all


concerned any judicial or other official and to represent me in all
matters before any Income Tax Officer/s, Assistant
Commissioner/s, Tax Consultants, Chartered Accountant, as the
said Attorney may deem fit in connection with my assessment and
for that purpose sign all such forms, applications, writings etc.,
and also to obtain necessary certificates from Income Tax
Authorities and for such purpose to appoint Advocate, Tax
Consultant, Chartered Accountant and to give Letter of Authority
to them.

44. In my name and on my behalf to accept service of any writ,


summons or other legal process and to appear for me and
represent me in all Courts, whether Civil or Criminal, Original
and /or Appellate, Insolvency , Revenue, City Survey or any other
in connection with the said Flat/Property or any part thereof.

45. In my name and on my behalf to appear in all Courts of


Magistrates, Judges and before any Judicial Officer, Executive
Judges and before any Judicial Officer, Executive Officer,

Municipal Officer , Revenue Authority, City Survey Authority,
Competent Authority under any Act, Land Acquisition officer and
any other officer or Authority and to take all such steps and
proceedings and to do all such acts and things as may be
necessary to commence, prosecute, enforce or to defend, answer
and oppose all actions, legal proceedings and demands whatsoever
at present pending or hereafter instituted and touching to any
subject matter of the said Flat/Property or which may concern me
in any other manner.

46. In my name and on my behalf to appear and represent me


before Police Departments, Talathi, Circle Inspector, Circle officer,
Tahasildar, City Survey officer, Sub-Divisional Officer, Collector,
Divisional Commissioner or the Land Acquisition officer or any
other Revenue officer and the Competent Authority under Urban
Land (Ceiling and Regulation) Act, 1976 or any other statute.

47. In my name and on my behalf to sign, verify and present


plaints, petitions, written statements, memorandums of appeals,
application, complaints and all other documents and proceedings.

48. In my name and on my behalf to make applications to the


Municipal Authorities, to answer Municipal notices and to comply
with all formalities/ requirements under Municipal Corporation
Act.

49. In my name and on my behalf to make application and to


accept notices from the Tahasildar, Sub-Divisional Officer, city
Survey Officer, District Deputy Collector, Collector, Divisional
Commissioner or any other subordinate authority of the Revenue
Department and from any other Authority constituted under any
Act and to give replies to such notices .

50. In my name and on my behalf to file Vakalatnama and
appoint Advocate to plead any cause in any Court or before any
Authority constituted under any act or statute. To file suit,
complaint, affidavit and defend the proceeding. To discharge the
Advocate once appointed and to appoint any other in place of
discharged one.

51. For better doing, performing and executing all the matters
aforesaid I further hereby grant unto the said Attorney full power
and absolute authority to substitute and appoint in his place and
stead on such terms as he think fit one or more attorney to
exercise or all of the powers and authorities hereby conferred and
to revoke any such appointment from time to time and to
substitute or appoint any others in place of such attorneys as the
said Attorney shall from time to time think fit and proper.

GENERALLY to act as my Attorney in relation to the matters


aforesaid and all other matters in respect of the said Flat and the
said proposed new Premises in the said redevelopment project, in
which I may be concerned and to do all acts, deed, matters and
things touching to the subject matter aforementioned, which I can
do myself, if personally present.

AND I HEREBY AGREE that all acts, deeds, matters and


things lawfully done by my said Attorney in respect of the said Flat
/proposed new Premises shall be construed as acts, deeds, matters
and things done by me and I undertake to ratify and confirm all
and whatever my said Attorney shall lawfully do or cause to be
done for me, by virtue of Power of Attorney hereby given.

AND THAT this Power of Attorney is executed just for the


sake of my convenience and without any consideration and
without any power of sale of the said Flat/proposed new

premises, the said Property and the said Investments in
favour said Attorney, as due to my pre-occupation, it shall not
be possible for me to remain present from time to time before
various authorities and do the needful.

IN WITNESS WHEREOF I hereto have hereunto set and


subscribed my signature at Mumbai.

THE RESIDENTIAL PREMISES bearing Flat No. 01,


admeasuring 48.36 Sq. ft. carpet area, located on Ground
Floor, of the Building known as Kam Ganesh Co-operative

Premises to be allotted in lieu of the said Flat, standing on the land
