CONDITIONS OF SALE

1. Each order placed by the Customer is regarded as an independent offer for purchase of the goods and is
subject to rejection wholly or partially by the Company without assigning any reason for rejection. The
company will not be liable in any manner on account of such rejection or non-supply or partial supply.
Each supply against respective orders is regarded as an independent transaction of sale.

2. All payments shall be made by the Customer through electronic transfer or draft/any other instrument
approved by the Company in writing, drawn on an approved Bank, at such location as may be specified
by the Company. The Company reserves its right to refuse delivery in the event of failure to effect such
payment.

3. Delivery of Goods will be made in Cartons/Bags/Outers/Bundles/Pouches, etc depending on the nature

& packaging of the product. The company may provide special packaging for ease of handling and safe
transportation of the goods and reserves the right to charge the cost of such special packing to the
Customer separately.

4. The Company reserves the right to change the price of its goods at any time and pending orders shall be
subject to such change. In the event of increase in the price the Customer may withdraw the order or the
part then remaining unexecuted, within six days of receipt of intimation of the increased price by the
Customer from the Company.

5. Credit may be allowed by the Company at its sole discretion. In the event credit is allowed, the
Company may charge interest on overdue amount, at the rate which will be intimated to the Customer
from time to time. Likewise, the Company may pay interest on the credit balance in the Customer's
accounts at the rate which will be communicated to the Customers from time to time. Interest payable by
the Customer to the Company should be paid along with applicable GST and the Company will issue a
debit note in this regard.

6. Goods will be delivered either at the Factory gate or the Company Warehouse, to the Customer or his
nominated carrier. Title to and risk in the goods will pass to the Customer upon such delivery. However,
in the event that delivery is made to the Customer at such location as may be specified by the Customer as
accepted by the Company, title to and risk in the goods will pass to the Customer upon such delivery
being made at the location specified by the Customer. Rejection, if any, may be made by the Customer
prior to passing of title and risk in the goods to the Customer. Thereafter, no claims on account of
rejection would be entertained by the Company. The Company may at its discretion, decide to bear the
freight expenses towards transportation of goods from the Company's premises to the Customers'.

7. The Company reserves its right to recover from the Customer State/ UT GST, Central GST, Integrated
GST, GST Compensation Cess, any other State/UT and/or Central level or local taxes and levies as may
be applicable on the goods supplied and demurrage, wharfage or any other imposts or expenses of like
nature paid or payable by the Company in respect of the goods supplied to the customer. It would be the
sole responsibility of the Customer to submit to the Company correct and complete declaration
forms/documents, within statutory time period, as may be prescribed under the
SGST/CGST/IGST/UTGST/GST Compensation laws and any other applicable law. In the absence of
such declaration forms / documents, if the Company suffers any additional tax liability / interest / penalty
under the aforementioned laws, the Company reserves its right to recover the same along with legal
expenses incurred in this connection, from the customer.
8. The Customer shall be solely responsible for making his own arrangements for resale of the goods
purchased by him at his own expense and on his own account.

9. The Company shall always have the right to sell its goods to any party at any time.

10. The Customer shall have the right to transact business with any other party and in respect of any
goods or commodities or services.

11. The Customer does not have and shall not claim any right / interest in any trademarks, labels or get-up
applied to the Company's goods or its container / packaging.

12. The Company's Trademarks shall not be used or caused to be used by the Customer for any purpose,
except with the prior consent of the Company and upon such conditions that the Company may impose in
this behalf.

13. Without prejudice to the Company's other rights under the law, the Customer shall keep the Company,
its employees and agents indemnified against all losses, claims and demands suffered by or made against
the Company (or its employees or directors or agents, as the case may be), in respect of or as a
consequence of any use of the Company's trademarks or dealings in the Company's products by (or
caused to be made by) the Customer.

14. The Customer is not and shall not act or represent himself as the Company's agent or factor.

15. Any dispute between Company and the Customer shall be subject to the exclusive jurisdiction of
Courts in Chennai

16. No e-mail communication will be accepted as a legal notice / legal claim served on the Company.
Such communication must be served at the appropriate address only by Registered Post.

17. SET OFF: Any sum payable to the Company by the Customer may be appropriated by the Company
and set off first against any interest payable by the Customer to the Company against any transaction and
therefore against any other claim by the Company

18. The Customer will be wholly and solely responsible for obtaining licenses / registrations as may be
required at his end under the applicable laws for dealing with any particular product. The Customer will
be responsible for communicating the correct and complete details of such licenses / registrations to the
Company and also change of any such details to the Company for updating the master of the latter.
