EXCLUSIVE AUTHORISATION AND RIGHT TO SELL (Non-Residential)

The undersigned Vendor hereby irrevocably appoints Edmund Tie & Company Property Network Pte Ltd
(“Estate Agent”), as the sole and exclusive agent to sell the below mentioned Property on the terms and
conditions stipulated herein.

1. The appointment shall commence on _____________________ and expire on ____________________


(“the Appointment Period”).
2. Expected Sale Price: S$ _____________________________ .
3. A fee of two percent (2%) of the Sale Price plus Goods and Services Tax (GST), shall be paid to the
Estate Agent on completion of the sale of the Property, in the event:
(i) the Property is sold during the Appointment Period, even if it was sold directly by the Vendor; or
(ii) the Property is sold within ninety (90) days of the expiration of the Appointment Period to person/s
introduced to the Vendor, by the Estate Agent during the Appointment Period.
4. A fee of two percent (2%) of the Expected Sale Price plus Goods and Services Tax (GST), shall be paid
to the Estate Agent on occurrence of any of the following event:
(i) if during the appointment period, the Property is withdrawn from sale, or made unmarketable by the
Vendor’s voluntary act or if this Exclusive Authorisation is terminated by the Vendor during the
term hereof;
(ii) the Estate Agent procures an interested party who makes a firm offer to purchase the Property at or
above the Expected Sale Price during the Appointment Period and is rejected by the Vendor.
5. In the event the sale of the Property is not completed by the Purchaser for whatever reasons, one half
(1/2) of any money forfeited by the Vendor, shall be paid to the Estate Agent as commission, subject to a
maximum sum equivalent to the Vendor’s commission plus GST payable under clause 3(i).
6. The Vendor represents and warrants at all times during the Appointment Period hereof that:
(i) the Vendor is the legal owner of the property and/or is legally authorised to sell the Property;
(ii) there is no other subsisting Authorisation (whether Exclusive or not) with any other Estate Agent
for the sale of this or any other party to sell the property on behalf of the Vendor;
(iii) the Vendor is not an undischarged bankrupt and has not been served with and is not subject to
any subsisting Statutory Demand or Bankruptcy proceedings;
(iv) the Vendor has the approval of the relevant authorities and/or financial institutions to sell the
above property;
(v) all renovations, additions, alterations and installations in the Property have been carried out with
prior approval of the relevant authorities.
7. The Vendor warrants the accuracy of the information furnished herein in respect of the Property and
agrees to hold the Estate Agent harmless from any liability or damage caused by or resulting from any
inaccuracy misstatement or error in respect thereof and to indemnify the Estate Agent in respect of the
same.
8. The Estate Agent is entitled with the Vendor’s consent, which shall not be unreasonably withheld, to
place its signboard upon the Property and to remove any other signboards found thereon and to
advertise the Property at the Sale Price and terms set forth herein.

9. Notwithstanding the foregoing, the Estate Agent is permitted to co-operate with other person(s) in
securing purchasers for the Property. In the event of the involvement of other person(s), the commission

may be shared between the Estate Agent and the other person(s) in such proportions as may be agreed
between them.
10. The Estate Agent agrees to use its best endeavours to effect the sale of the Property during the
Appointment Period.
11. The Estate Agent is authorised to list the property in any media tools and/or publications to gain
exposure for the property. The Vendor agrees to make available to the Estate Agent and prospective
Purchasers all data, records, and documents necessary or appropriate for the Option to Purchase of the
property and to allow the Estate Agent to show the property at reasonable times and upon reasonable
notice to all prospective Purchasers.
12. The Vendor acknowledges that the Estate Agent is being retained solely as a real estate agent to act as
a canvassing or introducing representative to procure a Purchaser to purchase the property at a mutually
agreed price and NOT as a lawyer, tax or financial advisor, appraiser, surveyor, valuer, engineer, home
inspector or any other professional service advisor for these and other matters. The Vendor is advised to
seek independent professional advice for these and other matters.
13. Unless the context otherwise requires:
(i) the expression the “Vendor” includes the personal representative(s) of and/or the person(s)
deriving under the Vendor, and includes the legal owner of the property;
(ii) where the expression the “Vendor” describes more than one person, all covenants, terms,
conditions and undertakings made by or applicable to such persons are made or applicable
jointly and severally;
(iii) words importing the neuter gender include the masculine and feminine genders and vice versa;
(iv) words importing the singular include the plural and vice versa; and
(v) the expression “Vendor” include a corporation, and also a nominee or trustee of such a Vendor.
14. This Agreement is interpreted/translated orally to the Vendor in ___________________ (language /
dialect) and that the vendor have fully understood and accepted all the said terms without any
reservations.
