DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

That this DEED OF SALE is made and entered into on this ___ day of
__________________, 202__, by and between:

HEIRS OF NAPOLEON E. SALGADO and RICHILDA SALGADO:

ROLAN MICHAEL L. SALGADO, of legal age, US Citizen, single, and resident of 3624
Alder DR APT D2, West Palm Beach, FL 33417-1132;

ERIC JOHN L. SALGADO, of legal age, Filipino, married, and 32A National Highway,
Tibanga, Iligan City, Philippines 9200;

SARAH JANE SALGADO-PADILLA, of legal age, US Citizen, married, and resident of


1372 Via Savona DR Henderson, NV 89052-3098;

ANTHONY FRANCIS L. SALGADO, of legal age, US Citizen, married, and resident of


2835 Grand Helios Way Henderson, NV 89052-4923;

represented herein by his Attorney-in-Fact, TRISHA ANN P. SALGADO, likewise of


legal age, Filipino , and resident of 32A National Highway, Tibanga, Iligan City,
Philippines 9200; A copy of the Special Power of Attorney is attached hereto and
made an integral part hereto as Annex “A-C”.

and MELIZZA BELEN SALGADO-MUŇOZ, of legal age, Filipino , and resident of 32A
National Highway, Tibanga, Iligan City, Philippines 9200, hereinafter called the
“VENDOR”.

MANDAUE FOAM INDUSTRIES INC., a corporation duly organized and


existing under and by virtue of the laws of the Republic of the Philippines with the
principal office address at Hernan Cortes Street, Tipolo, Mandaue City, Cebu,
herein represented by the president, MR. ROBIN T. UY and hereinafter called the
VENDEE.

WITNESSETH:

That, for and in consideration of the sum of TWELVE MILLION FIVE


HUNDRED SEVENTY-FIVE THOUSAND EIGHT HUNDRED FORTY-ONE AND FIFTEEN
HUNDREDTHS (₱12,575,841.15), Philippine currency, exclusive from documentary
stamp tax, transfer tax, registration fees and all other expenses incident to the
present sale the responsibility of which shall be to the account of the vendee,
while Estate Tax, Capital Gains Tax, and Real Property Tax for 2023 shall be the
sole responsibility of the vendor, the receipt whereof is hereby acknowledged
from the VENDEE to the entire satisfaction of the VENDOR, said VENDOR does
hereby SELL, TRANSFER and CONVEY, in a manner absolute and irrevocable, unto
said VENDEE, their heirs and assigns, a parcel of land consisting of FOUR HUNDRED
(400) Square Meters more or less. Said property is situated in Saray-Tibanga, and
more particularly describe as follows:

Transfer Certificate of Title No. T – 7155 (a.f.)

A parcel of land (2805-H, of the subdivision plan (LRC) Psd-65749, being a portion of Lot 2805, of
Cadastral survey of Iligan, (FPA-17-172), LRC Cad. Record No. N-146), situated in the Barrio of
Tibanga, City of Iligan, Island of Mindanao. Bounded on the NE., points 1 to 2 by Lot 2805-H; of
the subdivision plan on the SE., points 2 to 3 by National Road, (20.00m wide ); (Lot 2837, of Iligan
Cadastre); on the S.E., points 3 to 4 by Road Lot, (Lot 2805-V); and on the NW. points 4 to 1 by
Lot 2805-G, all of the subdivision plan. Beginning at point marked “1” on plan being N. 36 deg.
37’E., 872.37 m. from B.L.L.M. No.1, of Iligan Cadastre,

thence N. 24 deg. 41’E., 20.00 m to point 2;


thence S. 65 deg. 19’E., 20.00 m to point 3;
thence S. 24 deg. 41’W., 20.00 m to point 4;
thence N. 65 deg. 19’W., 20.00 m to the point
of beginning; containing an area of FOUR HUNDRED (400) SQUARE METERS, more or less.

of which said VENDOR is the owner of the afore described property, and
that the VENDOR hereby state, for the purpose of giving full effect and validity to
this sale, that they have reserved to themselves sufficient property, in full
ownership or in usufruct which is necessary and adequate for their support in
consonance with their standing in society;

That the VENDOR hereby warrants valid title to, and peaceful possession
of the property herein sold and conveyed, and further declare that the same are
free from all liens and encumbrances of any kind whatsoever.

IN WITNESS WHEREOF, the Parties have hereunto set their hands at Iligan
City, Philippines, this ____ day of __________, 202_.
