DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale, made and executed in the City of Iligan, Philippines,
this __ day of _________ 202_, by and between:

SARAH JANE SALGADO-PADILLA, of legal age, US Citizen, married, and


resident of 1372 Via Savona DR Henderson, NV 89052-3098 represented herein by
her Attorney-in-Fact, TRISHA ANN P. SALGADO, likewise of legal age, Filipino , and
resident of 32A National Highway, Tibanga, Iligan City, Philippines 9200, hereinafter
called the “VENDOR”. A copy of the Special Power of Attorney dated July 05, 2023
and notarized before the Notary Public, State of Nevada, by Charles Nickerson, of
Carson City, Nevada, U.S.A. is attached hereto and made an integral part herein as
Annex “A”.

MANDAUE FOAM INDUSTRIES INC., a corporation duly organized and existing


under and by virtue of the laws of the Republic of the Philippines with the principal
office address at Hernan Cortes Street, Tipolo, Mandaue City, Cebu, herein
represented by the president, MR. ROBIN T. UY and hereinafter called the VENDEE.

WITNESSETH:

That, for and in consideration of the sum of NINETEEN MILLION TWO HUNDRED
SEVENTY-TWO THOUSAND FOUR HUNDRED SEVENTY-SIX AND FIFTY-SIX
HUNDREDTHS (₱19,272,476.56), Philippine currency, exclusive from documentary
stamp tax, transfer tax, registration fees and all other expenses incident to the
present sale the responsibility of which shall be to the account of the vendee, while
capital gains tax, and real property tax for 2023 shall be the sole responsibility of the
vendor, the receipt whereof is hereby acknowledged from the VENDEE to the entire
satisfaction of the VENDOR, said VENDOR does hereby SELL, TRANSFER and CONVEY,
in a manner absolute and irrevocable, unto said VENDEE, their heirs and assigns, a
parcel of land consisting of SIX HUNDRED THIRTEEN (613) Square Meters more or
less. Said property is situated in Saray-Tibanga, and more particularly describe as
follows:

A parcel of land (2805-E, of the subdivision plan (LRC) Psd-65749, being a portion of Lot 2805, of
cadastral survey of Iligan, (FPA-17-172), LRC Cad. Record No. N-146), situated in the Barrio of
Tibanga, City of Iligan, Island of Mindanao. Bounded on the NE., points 6 to 1 by Lot 2805-U:
and points 1 to 2 by Lot 2805-T: on the SE., points 2 to 3 by Lot 2805-F: on the SW., and W., points 3
to 6 by Road lot, all of the subdivision plan. Beginning at a point marked “1” on plan being N.
32 deg. 49’E., 862.20 m. from B.L.L.M. No. 1, Iligan Cadastre: T H E N C E. . . . . . . . . . . ..
S. 65 deg. 19’E., 18.30 m. to point 2; S. 24 deg. 41’W., 20.00 m. to point 3; N. 65 deg. 19’W., 22.00 m. to
point 4; N. 51 deg. 14’W., 4.23 m. to point 5; N. 2 deg. 41’W., 21.35 m. to point 6; S. 65 deg. 19’E., 17.62m.
to the point of beginning; containing an area of SIX HUNDRED THIRTEEN (613) SQUARE METERS, more or
less.

of which said VENDOR is the owner of the afore-described property, and that
the VENDOR hereby state, for the purpose of giving full effect and validity to this
sale, that she has reserved to herself sufficient property, in full ownership or in
usufruct which is necessary and adequate for her support in consonance with her
standing in society;

That the VENDOR hereby warrants valid title to, and peaceful possession of
the property herein sold and conveyed, and further declare that the same is free
from all liens and encumbrances of any kind whatsoever.
