1. DISCLAIMER

1.1 The information contained in this Tender is being provided by IRCTC for the open tender
purposes of enabling the Bidders to participate and submit a bid in response to this tender for
RENOVATION, OPERATION, MAINTENANCE & TRANSFER BACK OF RETIRING ROOMS AT
RAILWAY STATIONS
1.2 The assumptions, assessments, statements and information contained in this Tender may not
be complete, accurate, adequate or correct. Each Bidder should therefore, conduct its own
due-diligence, investigations and analysis and should check the accuracy, adequacy,
correctness, reliability and completeness of the assumptions, assessments, statements
and information contained in this Tender and obtain independent advice from appropriate
sources.
1.3. Nothing in this Tender shall be construed as legal, financial or tax advice. IRCTC will not be
liable for any costs, expenses, however so incurred by the Bidders in connection with the
preparation or submission of their Bid. IRCTC reserves the right to amend this Tender or its
terms and any information contained herein or to cancel the Bidding Process or altogether
abandon the Project at any time by notice, in writing, to the Bidders. Further, it may in no event
be assumed that there shall be no deviation or change in any of the herein-mentioned
information.
1.4. IRCTC may, in its absolute discretion but without being under any obligation to do so, update,
amend or supplement the information, assessment or assumptions contained in this Tender.
1.5 No person other than the following authorized person of the IRCTC, has been authorized by
IRCTC to give any information or to make any representation not contained in this Tender and,
if given or made, any such information or representation shall not be relied upon as having
been so authorized. All representations/queries etc pertaining to the tender documents may be

1.6 IRCTC also accepts no liability of any nature whether resulting from negligence or otherwise
howsoever caused arising from reliance of any Bidder upon the statements contained in this
Tender. IRCTC may in its absolute discretion, but without being under any obligation to do so,
update, amend or supplement the information, assessment or assumptions contained in this
Tender.
1.7 The Bidder(s) shall bear all costs associated with or relating to the preparation and submission
of its Bid including but not limited to preparation, copying, postage, delivery fees, expenses,
online expenses associated with any demonstrations or presentations which may be required
by IRCTC or any other costs incurred in connection with or relating to its Bid. All such costs and
expenses will remain with the Bidder and IRCTC shall not be liable in any manner whatsoever
for the same or for any other costs or other expenses incurred by a Bidder in preparation or
submission of the Bid, regardless of the conduct or outcome of the Tender process.
1.8 Laws of the Republic of India are applicable to this Tender.
1.9 Each Bidder’s acceptance of delivery of this Tender constitutes its agreement to, and
acceptance of, the terms set forth in this Disclaimer. By acceptance of this Tender, the recipient
agrees that this Tender and any information herewith supersedes document(s) or earlier
information, if any, in relation to the subject matter hereof.

2. INDIAN RAILWAY CATERING AND TOURISM CORPORATION LIMITED

NOTICE INVITING E-TENDER

2.1 Sub:- E-Tender for RENOVATION, OPERATION, MAINTENANCE & TRANSFER BACK OF
RETIRING ROOMS AT RAILWAY STATIONS in the area earmarked for Retiring Rooms.
2.2 Description of Job:- RENOVATION, OPERATION, MAINTENANCE & TRANSFER BACK OF
RETIRING ROOMS AT RAILWAY STATIONS
2.3 PERIOD OF LICENSE:- 09 years (extendable for 03 years)
2.4 Indian Railway Catering and Tourism Corporation Ltd. (IRCTC) invite bids through
E Tender for RENOVATION, OPERATION, MAINTENANCE & TRANSFER BACK OF RETIRING
ROOMS AT RAILWAY STATIONS in the area earmarked for Retiring Rooms.
2.5 The bids will consist of two Bid, Technical Bid and Financial Bid. Technical Bid will consist
of Technical and other conditions as laid down in the Bid document. Financial Bid is as per
conditions laid down in the Bid document.
2.6 Bidders are required to deposit an amount as EMD through Online on e-tender website
prior to submission of E-Tender through online payment. Bidders are required to deposit
EMD through tender website itself prior to submission of E-Tender. EMD deposited in any
other account of IRCTC by any other process will not be adjusted and such offers will be
summarily rejected. The Bids uploaded without EMD will not be entertained.
2.7 The bid shall remain open for acceptance for 120 days from the date of opening of E-
Tender. The successful bidder shall be intimated about the Award of License within 120
days of opening of bid. EMD of other tenderers shall be returned without any interest
within one month from the date of award of license. No interest shall be payable on EMD
2.8 The Notice inviting bid along with instructions to bidders, Scope of Work, eligibility
criteria, system of award of license, agreement, rough sketch of the sites, etc. form part of
the bid document containing 76 pages in all.
2.9 Indian Railway Catering & Tourism Corporation Limited (IRCTC) reserves the right to
reject any/all e-tenders without assigning any reason.
2.10 The e-tenders shall be evaluated by IRCTC to ascertain the highest acceptable e-tender
in the interest of IRCTC, as specified in the Tender Document.

3. INSTRUCTIONS TO BIDDERS

The Indian Railway Catering & Tourism Corporation (IRCTC) proposes to obtain e-Bids for
RENOVATION, OPERATION, MAINTENANCE & TRANSFER BACK OF RETIRING ROOMS AT
RAILWAY STATIONS in the area earmarked for Retiring Rooms.

3.1 Date & Time up to which offers will be received: - Refer page no. 2
3.2 Time of Opening of Technical Bids - Refer page no. 2
3.3 This tender document can only be viewed on http://www.irctc.com and
http://www.tenderwizard.com/IRCTC and will be submitted/received only at
http://www.tenderwizard.com/IRCTC .
3.4 EMD shall be paid through e-tendering website www.tenderwizard.com/IRCTC. In case of
non-submission of the said EMD through e-tendering website, the bid will be summarily
rejected. It may be noted that EMD is to be deposited mandatorily. It may also be noted that
EMD deposited in any other account of IRCTC by any other process will not be adjusted and
such offers will be summarily rejected.
3.5 To participate in the e-tender, it is mandatory for the bidders to register themselves with
M/s ITI without any payment on the website www.tenderwizard.com/IRCTC and obtain
User ID & Password which is required for submitting the tender. It may please be noted for
submission of bid, Class-III digital signature is required.
3.6 Corrigendum/Addendum to this tender, if any, will be published on website www.irctc.com,
www.tenderwizard.com/IRCTC. No newspaper/press advertisement shall be issued for the
same.

3.8 The digital signature of the bidder on the e-tender form will be considered as confirmation
that the bidder has read, understood and accepted all the documents, terms & conditions
referred to in the tender documents. It may please be noted that in case of deviation quoted
by bidder, offer will be passed over without further correspondence/communication.
3.9 This E-Tender is based on Two bid system i.e. Technical bid and Financial bid.
(A) Technical bid –This shall form the basis of ascertaining the Technical and Financial
credentials of the tenderers.
Eligibility Criteria:-

2 a. For Stations having 10 or more than 10 lettable units (Under Category A)
Note :- No. of lettable units = Number of rooms + No. of beds in dormitory

Experience of Three years (FY 2016-17, FY 2017-18 & FY 2018-19) of 40 bedded


hotel/ guest house/lodging house.

(The applicant is considered eligible if the total number of rooms in more than
one property matches the minimum number of rooms’ criteria as above.)

Experience of Three years (FY 2016-17, FY 2017-18 & FY 2018-19) in operating
an Executive lounge at Railway Station or Airport.

b. Stations having more than 5 and less than 10 lettable units. (Under Category
B)

Experience of Three years (FY 2016-17, FY 2017-18 & FY 2018-19) of 20


bedded hotel/guest house/lodging house.

(The applicant is considered eligible if the total number of rooms in more than
one property matches the minimum number of room’s criteria as above.)

c. Stations having less than 5 lettable units. (Under Category C)

Experience of Three years (FY 2016-17, FY 2017-18 & FY 2018-19) of 10 bedded


hotel/guest house/lodging house

(The applicant is considered eligible if the total number of rooms in more than
one property matches the minimum number of rooms’ criteria as above.)

OR
Existing Licensees/ service providers of Railway/IRCTC Units in Railway
Premises like Food plazas/Fast Food Units/ Food Court /Refreshment Rooms
/Jan Ahar, Cell Kitchens, Waiting Rooms, etc. operating from last three financial
years (FY 2016-17, FY 2017-18 & FY 2018-19)

The applicant is required to submit a copy of any two currently valid license for
the property issued before 01ST April 2016 by state/central government in the
name of applicant or any other currently valid state/central government
document/license issued in name of applicant clearly establishing operations of
hotel/accommodation by the applicant, for example:-

1. Fire Safety Certificate


2. Shop and Establishment Registration
3. Star Classification Certificate (if any)
4. License to keep a place of public entertainment issued by State Police
(Licensing Department)

3 Turnover of Rs. 1 crore per annum from related business in last three financial
years (FY 2016-17, FY 2017-18 & FY 2018-19 (For Category A)
Turnover of Rs. 50 lakh per annum from related business in last three financial
years (FY 2016-17, FY 2017-18 & FY 2018-19 (For Category B)
Turnover of Rs. 25 lakh per annum from related business in last three financial
years (FY 2016-17, FY 2017-18 & FY 2018-19 (For Category C)

**Enclose Audited Balance sheet and profit & loss account of the last three financial
years (FY 2016-17, FY 2017-18 & FY 2018-19 duly certified/audited by the
Chartered accountant/ Published annual report.
4 The capability to invest the required amount for setting up, maintenance and
management of RETIRING ROOMS & DORMITORIES within railway premises.

Encl: Self declaration Certificate on letterhead.
5 Applicant should have a net worth of 50 lakhs (for Category A)
Applicant should have a net worth of 25 lakhs (for Category B)
Applicant should have a net worth of 10 lakhs (for Category C)

Enclose certificate issued by the Chartered Accountant showing net-worth as


on 31st March 2019.
Please note:- There is no need to upload tender documents and corrigendum
alongwith bid.

The data submitted by the successful bidder, in compliance of the above eligibility conditions
shall be subject to verifications by IRCTC itself or through an agency appointed by IRCTC, for
which all necessary documents shall have to be essentially provided by the bidder, if so
required. If the successful bidder is found to be ineligible on such verification, the letter of
award will be terminated along with forfeiture of license fee and Security deposit. In such
eventuality the successful bidder will also be debarred for 3 years from participating in the
future projects of IRCTC.

Non submission of any of the document listed above in ‘Mandatory Criteria’ will
lead to summarily rejection of the offer and no correspondence in this regard
shall be made /entertained.

Following documents are to be scanned and uploaded with Technical bid:-


1) Stamped dated and signed copy of Annexure C1, Annexure –C2, Annexure-C3,
Annexure- C4, Annexure- G and all other supporting documents as per eligibility
criteria. The documents while uploading shall be signed digitally.

2) All the details/relevant self attested documents as per Eligibility Criteria ie. Balance
sheets and Profit & loss account of last three financial years duly audited by
Statutory auditors and documents in support of experience as per eligibility criteria.

3) All the documents, in support of Technical Bid should be self attested, stamped,
scanned and uploaded.

Financial bid - This shall consist of Offer Form for Financial bid and E-Tender
schedule is to be duly filled electronically only in the format specified herein in
accordance with the instructions and other relevant provisions mentioned in this
Tender document.
The E-Tender schedule- Financial Bid (Annexure-J) is to be filled electronically in
accordance with the instructions and terms given in this tender document
3.10 Validity: - The submission of any offer and documents shall constitute an
undertaking that the bidder shall have no cause for and claim, against the authority
for rejection of the offer. The authority shall always be at liberty to reject or accept
any offer at his sole discretion and any such action will not be called into question
and the bidder shall have no claim in that regard against the authority.
3.10.1The offer shall be kept valid for acceptance for a minimum period of 120 (One
hundred and twenty) days from the date set for opening of e-tender.

3.10.2Offers shall be deemed to be under consideration immediately after they are
opened and until such time the official intimation of award of contract is made by
the authority to the bidder. While the offers are under such consideration, bidders
and/or their representatives or other interested parties are advised to refrain to
contact the authority by any means. If necessary, IRCTC will obtain clarifications on
the offers by requesting for such information from any or all the bidders, in writing,
as may be considered necessary. Bidders will not be permitted to change the
substance of their offers after the offers have been opened.
3.11 Rates:- The bidders are required to quote a single license fee without GST. The GST
applicable will be paid extra. (on annual basis)
3.11.1 The license fee finalized against this E-Tender shall be valid for a period
mentioned in ‘Notice Inviting E- tender’ with incremental increase by 5% per
annum compounded annually. IRCTC reserves the right to enhance contract
period up to 03 years beyond the 9 years period solely for operational reasons
on the last existing rates, terms and conditions with 10% increase on the last
Paid License fee of 9th year.
3.11.2 The license will be given 120 days for commissioning of Retiring room &
dormitories. The License fee will be payable after 120 days or date of
commissioning whichever is earlier. The license fee will be charged on Pro-rata
basis on the number of lettable units handed over for up-gradation on case to
case basis. The Zonal heads will be the deciding authority.
3.12 Earnest Money Deposit (EMD) :- Bidders are required to deposit EMD though the e-
tendering website www.tenderwizard.com/IRCTC only. In case of non-submission of
the said EMD, the bid will be summarily rejected. It may be noted that EMD
deposited in any other account of IRCTC by any other process will not be adjusted
and such offers will be summarily rejected.
i.No interest shall be payable by the purchaser on the earnest money.
ii.The earnest money of the successful bidder will be returned/adjusted after the
security deposit as required is furnished.
iii EMD of other unsuccessful bidders will be returned within 30 days after award of
LOA to successful bidder or after expiry of validity period of Bid ( If not extended).
3.13 E-tenders are not transferable. IRCTC reserves the right to reject any or all the e-
tenders in part or full at its sole discretion without assigning any reasons.
3.14 The bidders must ensure that the conditions laid down for submission of offers
detailed in the preceding paras are completely and correctly fulfilled. E-tenders,
which are not complete in all respects as stipulated above, may be summarily
rejected.

3.15 Withdrawal of Bids:- if bidder withdraws its bid before opening of tender by
uploading the letter in e-tender site, EMD of the bidder will be refunded if already
deposited. If bidder withdraws its bid before opening of Financial bid in writing and
the letter is uploaded in the tender site before opening of Financial bid, EMD of
bidder will be forfeited. If the bidder withdraws its bid after opening of financial bid,
EMD of the bidder will be forfeited. In such case if bidder becomes highest bidder
after opening of financial bid, the bidder will be debarred from participating in the

bidding process of future projects of IRCTC for a period of One year and EMD will be
forfeited.

3.16.1 Prior to the detailed evaluation, IRCTC will determine whether each bid is complete,
and is substantially responsive to the bidding documents. For purposes of this
determination, a substantially responsive bid is one that conforms to all the terms,
conditions and specifications of the Tender Documents without material deviations,
exceptions, objections, conditionality, or reservations. A material deviation,
exception, objection, conditionality, or reservation is:
a. One that limits in any substantial way the scope, quality, or performance of the
product/material/stores.
b. One that limits, in any substantial way that is inconsistent with the Tender
documents, the Purchaser rights or the successful bidders’ obligations under
the contract; and
c. One that the acceptance of which would unfairly affect the competitive position
of other bidders who have submitted substantially responsive bids.

3.16.2 If a bid is not substantially responsive, it will be rejected by the Authority and may
not subsequently be made responsive by the bidder by correction of the
nonconformity. The Authority’s determination of bid responsiveness will be based
on the contents of bid itself and any written clarifications sought by the Authority in
writing, the response to which shall also be in writing and no change in rates shall be
sought, offered or permitted.

3.17 Discrepancies:- Should there be any difference or discrepancy in the description of


item appearing at more than once, the following order of preference shall be
observed:-
1. Notice inviting e-tender.
2. Instructions to the bidders.
3. Financial bid
4. Technical bid
5. General Information
6. General Conditions of license Section- One (Annexure-B)
7. General Conditions of License Section- Two (Annexure-I)
8. Any Policy, Circular, Instructions, Orders, etc. on Retiring room matters issued
by Ministry of Railways/Railway Board from time to time.

4. INSTRUCTIONS FOR E-TENDER CUM AUCTION
E- Auction event may be carried out among the Technically qualified bidders, for
providing opportunity to the Bidders to quote price dynamically for the work, for
which tender is floated.

IRCTC reserves the right to reject any or all the tenders without assigning any reason
thereof.
*Note:
i). After evaluation of bids i.e. technical and opening financial bid, IRCTC will decide
whether to conduct e- Auction or re-sort through normal e-Tender without e-auction. For
Auction, intimation would be sent by IRCTC to bidders in advance and bidders need not
come to IRCTC office for e- Auction.
ii) In case number of technically qualified bidders are three or more the e- auction will be
conducted. In case the number of technically qualified bidders is upto two, tender will be
decided based on initial price offer(s). The highest total price quoted by technically
qualified bidders in the financial bid, will be the opening price for e- auction. In case there
are 3 to 6 technically qualified tenderers, three highest tenderers will be called for auction.
In case there are more than six technically qualified tenderers, 50 % of technically qualified
vendors ( rounded off to next higher integer) will be called for Auction. In this case the bids
disallowed from participating in the Auction shall be the lowest bidder(s) in the tabulation
of initial price offer. In case the lowest bidders quote the same rate, the initial price offer
received last shall be removed first on the principal of last in first out.

PROCESS OF E- AUCTION
i) All the Bids received shall be opened on the date and time mentioned above in
the tender notice. Financial bid opening of the qualified bidders shall be informed on
subsequent date, which will be notified to such bidders. The sequence of opening
shall be:
a) Earnest Money Deposit (EMD)
b) Technical Bid
c) Financial Bid
d) e- Auction
ii) For the proposed e- auction, only technically qualified Bidders having a valid
digital certificate alone shall be eligible to participate.
iii) Business rules like event date, time, start price, bid increment, extensions, etc. will
be communicated for compliance by the Bidder through IRCTC e-Procurement
portal
i.e. www.tenderwizard.com/IRCTC.
iv) The Service Provider will provide all necessary guidance before commencement
of online bidding on Internet. Bidder if required can avail the guidance of service
provider (tenderwizard.com helpdesk no 011-49424365 or cell no 09599653865)
to get acquainted with the system.
v) E- auction will be conducted on scheduled date & time.
vi) Start price for the e- Auction will be notified by IRCTC (i.e. H1 the highest price
of financial bid of the technically qualified bidders).
vii) All the bids made from the log-in ID given to bidder will be deemed to have
been made by the Bidder to whom log-in ID and password were assigned by the
service provider / auctioneer.
viii) Any bid once made through registered Log-in ID / password by the Bidder cannot
be cancelled. The Bidder, in other words, is bound to execute the work as per the
bid price
of e- Auction.
ix) Every successive bid by the Bidder being incremented bidding shall replace the
earlier bid automatically and the final bid as per the time and log-in ID shall
prevail over the earlier bids.
x) IRCTC shall conduct the e- auction in such a way that two different bidders cannot
bid identical price as after accepting first bid, the system will not accept second bid
of the same price. In other words, there shall never be a “Tie” in bids through on
line e- auction.
xi) At the end of e- auction event, the highest Bid value will be known on the
network.
xii) The e- auction will be treated as closed only when the bidding process gets
closed in all respects for the item listed in the tender.
xiii) In case IRCTC decides not to go for e- auction procedure for this tender enquiry,
the financial bids already submitted and opened, shall be evaluated as per
standard practice of IRCTC.
xiv) IRCTC’s decision on award of Contract shall be final and binding on all the
Bidders.

Terms & conditions of e- Auction

IRCTC may conduct e-Auction among the technically Qualified bidders for providing
opportunity to the Bidders to quote the price dynamically for the work, for which tender
is floated.

A. Salient features of e- Auction:

i) Bidders who are technically qualified in terms of the relative Terms &
Conditions
of the tender and accept all the Terms & conditions of e-Auction, can only
participate
in e- Auction related to the work for which tender is floated.
ii) Bidders should ensure that they have valid digital certificate well in advance to
participate in the e-Auction. IRCTC and / or Service Provider will not be
responsible in case Bidder could not participate in e-Auction due to non-
availability of valid digital certificate.
iii) The bidder would be responsible for the validity of its registration on e-
Tendering Portal i.e. www.tenderwizard.com/IRCTC.
iv) The date & time of commencement of e- Auction and its duration of time shall
be communicated to the eligible Bidders at least 07 days prior to the e-
Auction date through tenderwizard portal / e-mail / fax.
v) IRCTC reserves the right to postpone/change/cancel the e-Auction event
even after its communication to Bidders without thereof assigning any
reasons.
vi) E- Auction will normally be for a period of two hours. If a Bidder places a bid
price in last 05 minutes of closing of the e- auction, the auction period shall
get extended automatically for another 10 minutes. Maximum 6 extensions
each of 10 minutes will be allowed after auction period of 02 hours. In case
there is no bid price in the last 5 minutes of closing of e- Auction, the auction
shall get closed automatically without any extension.
vii) The time period of e- auction and maximum number of its extensions and time
are subject to change and will be conveyed to eligible bidders3-5 days before
the start of the Auction event through tenderwizard portal/e-mail.
viii) During e- Auction, if no bid is received within the specified time, IRCTC, at its
discretion, may decide to revise start price/scrap the e- auction
process/extend the date of e- auction/proceed with already opened financial
bids.

B. Bidding Currency: Bidding will be conducted in Indian Rupees (INR).

C. Start Price:

i) The Highest total price (as per the evaluation criteria defined in the
bidding
document) quoted by technically qualified Bidders in financial bid opened

before e- auction, will be the opening price for e- auction.
ii) The start price of an item in online auction is open to all the technically
qualified bidders who have been called to participate in e- Auction. Bidders are
required to start bidding after announcement of Start Price and increment
amount.
iii) Any of the Technically qualified bidder (called for e- auction) can start bidding
in the online auction from the start price itself.

iv) Please note that the first online bid that comes in the system during the
online auction is at least more than the auction's start price by one increment.

D. Incremental Bid Value:

i) Bidder is required to quote their bid price only at specified increment


a value……..(will be informed later on).
ii) Bidder need not quote bid price at immediate next available higher level but it
has to be higher than specified increment value.

E. Web Portal and Access:


i) In order to ward-off contingent situation bidders are advised to make all the
necessary arrangements / alternatives such as back –up power supply,
whatever required so that they are able to circumvent such situation and
still be able to participate in the e- auction successfully.
ii) However, the vendors are requested not to wait till the last moment to quote
their bids to avoid any such complex situations.
iii) Failure of power at the premises of vendors during the e- auction cannot be the
cause for not participating in the e- auction.
iv) On account of this, the time for the auction cannot be extended and IRCTC shall
not be responsible for such eventualities.
v) IRCTC and / or Service Provider will not have any liability to Bidders for any
interruption or delay in access to site of e- Auction irrespective of the cause.
vi) Neither IRCTC nor service provider / auctioneer can be held responsible
for consequential damages such as no power supply, system problem,
inability to use the system, loss of electronic information, power interruptions,
UPS failure, etc.
F. Transparency in Bids:

All bidders (Called for Auction) will be able to view during the auction time the
current highest price on portal.
G. Masking of Names:
i) Bidder (Called for Auction) will be able to view the following on their screen
along with the necessary fields in e- Auction:
 Opening Price
 Leading / highest Bid Price in Auction (only total price)

ii) Names of bidders/ vendors shall be anonymously masked in the e- Auction


process and vendors will be given suitable dummy names.

H. Finalization of the Successful Bidder:
i) IRCTC will evaluate and will decide upon the winner i.e. Successful Bidder.
IRCTC’s decision on award of Contract shall be final and binding on all the
Bidders.
ii) Successful Bidder is bound to execute the work at their final bid price of
e- Auction. In case of back out or non-execution as per the rates quoted,
IRCTC will take appropriate action against such Bidder and / or forfeit the Bid
Security amount and debar him from participating in future for 2 years.
iii) In case IRCTC decides not to go for e- Auction related to the
work/procurement for which tender is floated, the financial bids already
submitted and opened shall be evaluated as per IRCTC standard practice.

any kind directly or indirectly with other suppliers / Bidders at any point of
time. If any such practice comes to the notice, IRCTC shall disqualify the

iii) Modifications of Terms & conditions of e- Auction, if any, will be communicated
to technically qualified bidders.

K. Errors and Omissions:
On any issue or area of material concern respecting e- Auction not specifically dealt
with
in these rules, the decision of IRCTC shall be final and binding on all concerned.

IMPORTANT NOTE: In case of internet related problem at a bidder’s end, especially


during ‘critical events’ such as- a short period before bid-submission deadline, during
online public tender opening event, during e- auction, it is the bidder’s responsibility to
have backup internet connections. In case there is a problem at the e-procurement/ e-
auction service-provider’s end (in the server, leased line, etc.) due to which all the bidders
face a problem during critical events, and this is brought to the notice of IRCTC by the
bidders in time then IRCTC will promptly reschedule the affected events(s).

DEFINITIONS

IRCTC Shall mean ‘Indian Railway Catering and Tourism Corporation Ltd.’, a
Government Company incorporated under Companies Act 1956.
Party Shall mean either the IRCTC or the Service provider.
Day Shall mean a calendar day.
Force Majeure Shall mean an exceptional event or circumstance: which is beyond a
Party’s control; which such Party could not reasonably have provided
against before entering into the License; which, having arisen, such Party
could not reasonably have avoided or overcome; one which is not
substantially attributable to the other Party.
Interpretation Words importing persons or parties shall include firms and
organizations.
Jurisdiction The award of License will be governed by the exclusive Jurisdiction of
Courts situated in the state of Delhi only.

Annexure - B
GENERAL CONDITIONS OF LICENSE
SECTION- ONE

1.0 Scope of work for Retiring Rooms:

The Service Provider will have to undertake the work for renovation/refurbishing of the Retiring Rooms
in consonance with the existing building bylaws of the State/Railways and to upgrade the Retiring Rooms
and Dormitories as prescribed herein these conditions, in time frame of 120 days from the date of
handing over of site by IRCTC/Railways in a manner that 50% of the total inventory (both rooms and
dormitories) must be available for use by Railway passengers at all times. The renovation work of 50% of
the total inventory should be done in first phase of 60 days and the remaining 50% should be completed
in second phase of another 60 days. The Service Provider will not be permitted to undertake any
structural changes, unless specifically permitted by Railways/IRCTC. The Service Provider will vacate the
premises on premature termination or completion of tenure, and handover peaceful possession of the
premises on “as is where basis” with fixtures, in properly maintained state. The covering area will not
exceed a specified limit. A standard Retiring room will have the following characteristics:

1.1 Renovation of Up gradation of Retiring Rooms & Dormitories shall be under taken in a

maintenance, after renovation / refurbishing of Retiring room.

Appointed service provider will undertake up-gradation in a


manner that 50% of the total inventory (both rooms and
dormitories) must be available for use by Railway passengers at all
times. The renovation work of 50% of the total inventory should be
done in first phase of 60 days and the remaining 50% should be
completed in second phase of another 60 days. A total of 120 days
will be given to Service Provider for complete renovation of
Retiring Rooms.

The accommodation will include AC Dormitory, AC Rooms of different


sizes, with attached/ common toilets and bathrooms in accordance with
the premises handed over. In general, no structural changes would be
permitted. All Available retiring rooms & Dormitories will be converted
in to AC accommodation.

Current approximate availability of Retiring Rooms and Dormitories at


various Railway station is enclosed as Annexure- H

The accommodation capacity, may be increased as per availability of

space with due approval of IRCTC and Railways.

From available space Service Provider may create Reception, Passenger


waiting area, telephone booth & recreation room etc. with due approval
of IRCTC. Service Provider will ensure availability of drinking water at
reception free of cost.

Area provided in the tender is provisional. Actual Area will be


communicated to appointed Service Provider at the time of handover of
site. Service Provider has to pay Rs. 10/- Sq. Mtr. per annum of
actual area handed over along the quoted license fee.

Environment Friendly generator shall be installed by the Service


Provider, if required.

Tariff for various facilities will be market driven for similar facilities and
shall require approval of IRCTC.

Service Provider shall ensure that the extant policy of


Railways/IRCTC regarding duration of stay in Retiring Rooms and
eligibility for allotment of Retiring Rooms is being followed and
adhered to as such. IRCTC/Railways reserve the right to make any
amendment in such policy at any time during the contract. The
same will be binding on service provider.
1.2 Basic services in Service Provider may also provide F&B room services to the passengers
upgraded Retiring at market driven rates through tie-ups with local reputed F&B outlets. It
room will be the responsibility of the Service Provider to ensure that items
served are of high quality & taste. The freshness of the food is to be
maintained at all times. F&B menu rates will require prior written
approval of IRCTC. Printed menu should be made available in every
room/dormitory.

The Service Provider shall, at his own cost make available 24 hours
operational pantry, if available or from available space with due
approval of IRCTC. Service Provider will ensure availability of
Tea/Coffee, Milk, Water, Aerated beverages, breakfast, light food through
this Pantry for use of occupants of retiring room only.

The Service Provider shall, at his own cost provide and make available all
service ware, linen, room and bathroom supplies, block stock and other
related equipment to provide services that may be required for smooth
and standard function of “Retiring Room”.

 Electric Tea Kettle with tea & coffee accessories in every room.
 Internet or Wi-fi facilities.
 The Retiring rooms to have keyless/Card entry.
 The reception/lobby area to be developed in order to showcase
the local art and culture or with Railway historical pictures.

Apart from the above, a Checklist of Amenities & Housekeeping to be


provided in Upgraded Retiring Rooms & Dormitories is enclosed as
Annexure-L.

Arranging and Maintaining of water supply, sewage disposal, storm


water drainage, roofing and water proofing, water tanks, existing
internal electrical and communication system, fire fighting system, alarm
system, public address system etc in addition to what is already
provided, as per requirement of state laws is the responsibility of service
provider.

 Service Provider shall be responsible for maintenance of “Retiring


Rooms” in all aspects, providing high standards of cleanliness.
This will include upkeep/ maintenance including vacuum cleaning
and cleanliness.
 The Service Provider shall maintain guest logbook and guest
suggestion/feedback/review book.
 The Service Provider should upkeep & maintain on daily basis –
Floors, Walls, Interiors and all Furniture and Fixtures etc. Entry
area outside the entry gate would also be maintained. Periodic
shampooing of sofas and cleaning of blinds should be carried out
and will be the responsibility of the Service Provider.
 Maintain fresh/ artificial plants and maintenance of common
areas.
 Pest control measures will be taken by the Service Provider to
eradicate flies, mosquitoes, cockroaches, rats, etc., which will be
done on a regular basis to the satisfaction of the IRCTC.
 Any other related modifications if necessary. All modifications
should be approved by IRCTC/ IR before commencement of the
actual work,

1.7 Booking of Retiring Rooms/Dormitories should be done through the


CRIS software or software/website as decided by IRCTC/or any other
website of travel aggregator/agency/individual with prior approval.

Over the counter booking/walk-in booking should also be done through


the CRIS software or software/website as decided by IRCTC.
Booking of Retiring

1.7 For room /dormitory bookings online, customer has to pay 100% of the
(A) tariff online. The tariff collected online by IRCTC/Service Provider will be
reconciled every 15 days.

Rooms/Dormitories shall be offered in slots of 03 hrs, 06 hrs, 9 hrs,


12 hrs, 24 hrs and maximum of 48 hrs. The same shall require
approval of IRCTC/Railways.
1.7 The cancellation of Retiring Room will attract cancellation charges as
(B) under:-
a. Cancellation in advance of 48 hours of the day of occupation –
Deduction of 20%
b. Cancellation within a period of less than 48 hours of the day of
occupation - Deduction of 50%
c. Cancellation on the day of occupation – No refund.
Amount will be refunded to customer except the payment
gateway/online transaction charges.

The cancellation amount will be refunded to Service Provider at the time


of reconciliation and submission of bills.
1.8 Branding and For the purpose of providing information to the passengers, Service
Marketing Provider shall be permitted to display information on board of
reasonable size (as decided by Railways/IRCTC) regarding availability of
Retiring Rooms at three locations per entry of the station.

The IRCTC logo/brand name shall be included in the signage plan for
prominent display duly abiding by the directives regarding space
distribution envisaged in Annexure- F or as amended by IRCTC.

No advertising for any other product or service shall be permitted on


signages. The cost of the signage board and other related costs shall be
borne by service provider.
1.9 Tariff at the time of Tariff at the time of commissioning will be approved by IRCTC. Service

1.10 Tariff Revision Retiring Rooms shall be catering to bonafide rail-passengers only. Tariff
for various facilities will be market driven for similar facilities and shall
require approval of IRCTC.

Service Provider shall seek prior approval from IRCTC for the tariffs
being charged for all the guests' facilities, as well as food and beverages
to be served in the Retiring Rooms. The proposal-for revision of tariffs
will be considered only after completion of a period of financial year i.e
on 1st April. However', such a revision shall be accessed on

1. WPI (Wholesale Price Index) or PPI


2. CPI (Consumer Price Index).
3. Inflation.
4. Hike in Railway passenger tickets fare.
5. Changes in labour wages.
6. Actual tariff charged by similar facilities in the vicinity.

The single point of contact for rate revision shall be respective zonal
GGM/IRCTC. Tariff will only be considered for revision once every
financial year. Service provider will submit the request of tariff revision
with proposed tariff along with justification latest by 31st December of
every year. IRCTC will intimate its decision latest by 31st March of the
following year so that the revised tariff (if approved) will be
implemented by 01st April of every following year.

Service Provider will be allowed to sell Retiring Rooms at any price


lesser than the approved tariff. In no case whatsoever, service provider
should sell room above the approved tariff.

2.0 PERIOD OF LICENSE

2.1 Total tenure of : Term of License for Retiring Rooms will be 09 years from the date of
License commissioning of the unit. The license may be extended for a period of
03 years subject to satisfactory performance and payment of all dues,
arrears, withdrawal of any court case against IRCTC and minimum
increase of 10% of the existing License Fee. However, extension of
license is a matter to be decided at sole discretion of IRCTC.

An Annual Performance Assessment Report is enclosed as Annexure- M


2.2 Review of : IRCTC may review the implementation of the project vis a vis
implementation of complaints, if any, after every three years itself or through third party
the Project audit and grade the services so provided. The decision of IRCTC in this
regard shall be final and binding on the service provider.

3.0 SUBMISSION OF BIDS

3.1 Withdrawal of bid Refer “Instructions to bidders”.


3.2 Corrupt or If the Service provider has engaged in corrupt or fraudulent practices, in
Fraudulent competing for or in executing the License, the Licensor may, after given

“corrupt practices” means the offering, giving, receiving or soliciting of
anything of value to influence the action of a public official in the
procurement process or in License execution;
“fraudulent practice” means a misrepresentation of facts in order to
influence a procurement process or the execution of a License to the
detriment of the Licensor, and includes collusive practice among bidders
(prior to or after bid submission) designed to establish bid prices at
artificial non competitive levels and to deprive the administration of the
benefits of free and open competition.
3.3 Award of License In case the existing Licensee/Service provider is the successful bidder,

3.5 Validity of bids The financial bids submitted by the bidders will remain valid for one
hundred twenty (120) days from the date of submission of the bid.

4.0 SYSTEM OF AWARD OF LICENSE

4.1 Opening of a) Tender will opened on the scheduled Date and Time as

after receipt of bids.”.
4.2 Opening of Following scrutiny of technical bid by IRCTC, Financial bid of only
Financial Bid those parties will be opened who are found eligible as per the laid
down criterion.
4.2 Award of License License to manage services will normally be awarded to the Party
quoting highest amount of License Fee (per annum) subject to fulfillment
of the terms and conditions of the License. However, under no
circumstances the quality of services be compromised.
i) On the basis of evaluation of bid, the letter of award shall be issued to
suitable highest bidder. The decision of IRCTC, in this regard, shall be
final & binding on bidders.
ii) Bidders are required to pay License Fee, land license fee and GST
thereon and other applicable taxes, as mentioned in the Financial Bid.
At the time of allotment of contract, the Security deposit shall be payable
by the successful bidder along with acceptance of award of contract.
4.4 Execution of The successful Bidder shall be required to execute an agreement on
agreement non-judicial stamp paper of Rs. 100/- at his cost. Till then the terms and
conditions as per this tender document and letter of award of Contract
shall form the binding agreement between IRCTC and the Service
provider.
4.5 Extension of For extension of the contract the bidder must apply six months before
Contract the expiry of the existing contract and grant of extension is at the sole

discretion of IRCTC.

5.0 OBLIGATIONS AND RIGHTS OF SERVICE PROVIDER

5.1 Ban on sale of items : Tobacco products, wine, beer or any other alcoholic drinks or any
shall not be sold in the other item prohibited by Law. Beef and Pork shall not be used in
Retiring Rooms any form in any food items.

5.2 Advertisement & : Advertisement, marketing and other promotional actions


Marketing regarding Retiring Rooms will be done by Service Provider. Service
Provider are required to get all such promotional material/content
approved by IRCTC in writing.
5.3 Issuing of Bills : The proper bill for any services shall be issued to
guests/passengers by service provider. Tin no, GST, and any other
taxes as per govt. shall be mentioned in the bill.
5.4 Waste disposal : The Service provider would have to arrange for adequate solid
waste disposal system for the Locations. Service provider will
arrange collection of garbage after each service and its proper
disposal.
5.5 Payment of other : Payment of water, electricity and other charges: Service provider
charges would pay the required charges for connection and utilization of
electricity, water consumption, conservancy and other applicable
municipal and other taxes, if applicable, on actuals. Service
provider will assess the water consumption and electricity load
requirements for the Locations and apply for getting the same to
concerned Railway authorities through IRCTC. In case, the
Railways express their inability to provide the requisite electrical
load /water quantity from their installations, then Service
provider shall be responsible for arranging the electricity / water
connection from state / local authorities subject to clearance from
Railway authorities.

In case of default, in payment of any dues, IRCTC reserves the right


to recover the pending amount by deducting it from the EMD,
Security Deposit/any other amount payable to the Service
provider. It will also charge an interest of 12% per annum for the
number of days of default until the balance pending payments are
cleared.
5.6 IRCTC Branding : Unit will be IRCTC and Service Provider Co-branded unit. The
distribution of display space on the Outer façade and other areas
of the unit, will be broadly as per in Annexure-F or as amended by
IRCTC from time to time. The cost of the signage board and other
related costs shall be borne by Service Provider.
5.7 Certificates/ : Service provider will obtain necessary certificates/ permissions as
Permissions required by law such as NOC for health etc. as required as per the
central/local regulations from the competent authorities. In case
of any offense on the Contracted premises, Service provider will be
solely responsible for its penalty and consequences.
5.8 Medical examination : Service provider shall have his staff examined on payment of
of staff prescribed fee by Railway medical officer or any other competent

authority designated by IRCTC and gets the requisite certificate
issued.
5.9 Display of rate list : The Service provider shall exhibit “accommodation rates” and
tariff of other services/facilities, prominently for the information
of the customers at Retiring Rooms as have been agreed upon from
time to time by the IRCTC.
There should not be any cutting/ overwriting on the rate list/s
including pasting of stickers.
5.10 Right of user’s only : The Service provider will operate the Retiring Rooms during the
term of Contract on which he would have no legal claim other than
that of a user. Premises shall be deemed to be public premises as
defined in the Public premises (Eviction of Unauthorized
Occupants) Act 1971 and any amendments thereto.
5.11 Relation of Service : The employees, contractors, service providers etc. of the Service
provider’s labour provider will not be in any contractual relation either with the
IRCTC or the Indian Railways. There is relationship between the
Service Provider & IRCTC as principle to principle basis.
The Licensee shall comply with the provisions of all labour
legislations’ including, but not confined to the requirements of:
a) Employees’ Compensation Act
b) Shops & Establishment Act
c) PF & ESI Acts
d) Child Labour (Prohibition and Regulation) Act, 1986.
e) Contract Labour(R&A) Act, 1971
f) Minimum Wages Act, 1948.
Licensee has to upload details of LOA, engaged workmen,
wages payment details, PF & ESI details on monthly basis at
www.shramikkalyan.indianrailways.gov.in

The Railway /IRCTC will not accept any responsibility for the
loss/damage/injury(including death) caused to the Licensee or to
the personnel engaged by him in the process of rendering
services under this License and no claim/compensation will be
entertained in this regard.
5.12 General liability : The Service provider will bear the cost, throughout the term of the
insurance of any Contract, for a comprehensive general liability insurance covering
person injury to or death of any person(s) occurring in the said premises,
including death or injury caused by the negligence of the Service
provider or the Service provider’s failure to perform its obligation
under the agreement. The Service Provider shall pay all liability as
such fault above.
5.13 Inspection by Food/ : Service provider will also be obligated to get his premises
Health Inspectors inspected by Food/Health inspectors at regular intervals in
addition to having a food Contract from concerned authorities.
Service provider will make available the premises for the
inspection by the IRCTC or any person so authorized by the IRCTC
at any time. Service provider shall submit Annual Certificate to
IRCTC for this.
5.14 Compliance of Food : Service provider shall be responsible for the compliance of the
Safety and Standard provisions of Food Safety and Standard Act, 2006 or any other

Act (FSSAI) amendments thereto.
5.15 Compliance of : Service provider shall be responsible for compliance with
statutory law applicable laws such as GST Tax Law, Provident Fund Law, Labour
Law or any other law of the land and registration/approval from
statutory authority, if required. If any case or proceedings/liability
are instituted against IRCTC on account of non-compliance of any
statutory law or non-payment of any of the taxes, the service
provider agrees to pay to IRCTC, the cost imposed, if any, and also
the cost of litigation.
5.16 No unlawful/ illegal : Service provider shall not carry on any unlawful immoral or illegal
activity activity at the station.
5.17 Provision of : The Service provider shall keep a suggestion book at a
suggestion book conspicuous place where the passengers can register their
suggestions without any difficulty. This suggestion book shall be
serially numbered and pre-authenticated by the IRCTC.
5.18 Eco Friendly / bio- : Service provider shall preferably not use plastic material. Eco-
degradable Material. friendly/bio-degradable packaging material should be used for
supply of food items. Instead of plastic, good quality disposable
cups should be used for serving tea/coffee, mineral water etc. The
Service provider will do garbage collection and disposal in a
satisfactory manner.
5.19 Provision of fire : The Service provider shall provide sufficient nos. of fire
extinguishers extinguishers. Upkeep and maintenance of the fire extinguishers
shall be the responsibility of the service provider.
5.20 Fire Fighting training : All the staff deputed in at the locations to be trained in firefighting
and a competent certificate issued by the Competent Authority
should be available at the Locations.
5.21 Provision of space for : For supervision & control, it is necessary to provide space/cubicle
IRCTC Official of minimum of 6 feet x 6 feet for IRCTC Official in the Retiring
Rooms. This cubicle/room should be Air-conditioned and
furnished with working table and chair, curtains, desktop
computer with printer & internet facility. The criteria may be
relaxed by Zonal GGM at stations where the lettable units are less
than 10.
The Service Provider has to make good the deficiencies pointed
out by the IRCTC Manager, failing which action will be taken under
terms and conditions of License.
The IRCTC Manager will help service provider in coordinating with
Railways with regard to operation of Retiring Rooms.
5.22 Standard of services : The quality of services in all rooms shall commensurate with the
tariff charged.
5.23 Service wares and : Crockery, cutlery, napery, Linen, Towel and other wares used in
Storage etc. the Locations are required to be of good quality as per industry
norms.
5.24 Staff : The staff to be deployed at the locations must be well groomed and
wear neat and clean uniforms with name badges. The Service
provider shall inform the pattern and style of uniforms to be
adopted for staff. IRCTC may specify design, pattern and colour
scheme for uniform of the staff at the unit. The service provider
will abide by such instructions.

Staff must be courteous and polite to every passenger at all times.
Staff must be trained in hospitality services and the service should
be of a high order. Number of staff permitted in each outlet will be
in proportion to the activity of each sub-unit.
An adequate area should be earmarked for staff changing and
dining facilities.
5.25 Safe Working : The safe working of equipment and adherence to the regulations
of Railways/local authorities. However usage is strictly as per
approval from Railways/IRCTC.
5.26 Damage to Railways : The Service provider shall be responsible for all damages caused
premises to the Railways premises arising out of acts of omission and
commission of Service Provider or their staff.
5.27 Service provider to : The Service provider shall undertake to render any other service
provide other services as may be required of him by the IRCTC on mutually acceptable
terms.
5.28 Cancellation/ : In case the cancellation/withdrawal/non-operation of the Retiring
withdrawal/ non- Rooms at station is for a period of 30 days or more at the instance
operation of Retiring of Railways/IRCTC, the agreement will be in abeyance. The tenure
Rooms of the agreement will be extended by corresponding period at the
restoration of Retiring rooms operations.

However, service provider cannot suspend the operations suo-


moto.
5.29 Handing over of : Upon the expiration of this agreement or its earlier termination in
premises accordance with the terms, conditions, obligations hereof the
Service provider shall handover the said premises with all
furniture, fixtures, equipment etc. therein in good condition to the
IRCTC/Railways.
5.30 Enquiry into the : The Service provider shall not in any capacity employ any person
antecedents of the of bad character or any person, whose antecedents have not been
employees investigated / certified by the local Police and shall issue an
appointment certificate (signed by Service provider) – which shall
contain a photograph of the employed with his or her left/right
hand thumb impression affixed thereon in Printer’s ink which he
will carry with him/her on duty. The expenses for such
verification are to be borne by the Service provider.
5.31 Supervision and : IRCTC may depute its Manager or any other designated officer who
management will be overall in-charge of functioning of the Retiring Rooms and
will be responsible and ensure compliance of terms and conditions
and other instructions by the Service Provider.
5.32 Payment of other : Payment of water, and other charges:- Service Provider would pay
charges & Backup the required charges for connection and utilization of electricity,
water consumption, conservancy and other applicable municipal
and other taxes, if applicable, on actual. Service Provider will
assess the water consumption and electricity load requirements
and apply for getting the same to concerned Railway authorities
through IRCTC. In case, the Railway express their inability to
provide the requisite electrical load/ water quantity from their
installations, then Service Provider shall be responsible for
arranging the electricity/ water connection from state/ local
authorities subject to clearance from Railway authorities. Service

Provider will install gen-set of adequate capacity with permission
of IRCTC/Railways or pay and use facility for power backup in case
such provision is provided by Railways.
5.33 Reservation of Rooms : The service provider should hold atleast one AC double bed room
for IRCTC every day for use of IRCTC till 2400 hrs of the previous day.
Officers/Staffs IRCTC/User authorized by IRCTC will be charged 50% of the
existing tariff being charged by Railway Passengers. In case
IRCTC does not issue instructions for booking of this room up
till 2400 hrs of previous day, service provider would be free to
sell/book this room for railway passengers. “User Authorised by
IRCTC” for availing 50% discount should be approved by Zonal
GGM / Regional CRM while the permanent staffs/officers and
deputationists of IRCTC may be exempted from taking
authorization for self-stay.
User Authorised by IRCTC may include Railway officials if
requests are forwarded by Sr. DCM or above of the division,
subject to availability.

6.0 OBLIGATION AND RIGHTS OF THE IRCTC

6.1 Issue of medical : IRCTC will assist service provider for issuance of medical
Certificate certificates to the staff of the Service provider by Railways.
6.2 Inspection by IRCTC : IRCTC will inspect/check the services for reviewing its standards,
quality and variety of food items, standards for maintenance of
cooking areas and washing areas, disposal systems etc. of the
Service provider at any time and may authorize any person or
agency for this purpose to access the performance of Service
provider. In case of unsatisfactory performance or complaint of
any nature, IRCTC will be competent to initiate suitable action
against the Service provider including termination of the Contract
as per the terms and conditions of the agreement.
6.3 Right to resume the : The IRCTC/Railways administration reserves the right to resume
possession of the possession of the leased premises, if required for the purpose of
premises working of the Railways.
6.4 Provision of space on : IRCTC will provide spaces as earmarked by Railways on “As is
as is where is basis where is basis” to the service provider on lease and contract basis.
The locations earmarked may be open spaces or spaces with old
building structure. Such locations will be handed over in the same
condition and no further alterations/demolitions of the old
structure building will be carried out by IRCTC/Railways, unless
approved in writing by IRCTC/Railways.
6.5 Electricity and Water : IRCTC will assist in getting the electricity connection/access,
Connection power sanction, water connection/access, etc. from the Railways
or other authorities.
6.6 Payment of property : The Service Provider shall at all times bear property Tax if any
tax with respect to the locations as may be demanded by any
competent/local authority.
6.7 Quality Monitoring : IRCTC will monitor the quality of the accommodation
System operations/services by conducting regular inspections, taking

independent users feedback. Fines/Penalties will be imposed
suitably if the quality of the services is not maintained by the
Service provider.

IRCTC will issue guidelines/circulars on the quality monitoring


system and Service provider should follow them to maintain high
quality standards.
6.8 Third Party audit : IRCTC may conduct Audit on its own or by professional agency of
the premises/operations. The recommendations of the agency as
accepted and advised by IRCTC or its representatives must be
complied with by the Service provider.
6.9 In-House Audit : Regular in-house audit, by Service provider, will be undertaken by
trained staff at least once in year and observations will be
recorded and advised for compliance.

7.0 CONDITIONS GOVERNING THE PERFORMANCE OF THE CONTRACT

7.1 Submission and : (a) Service provider shall submit preliminary plans, specifications
approval of plans and tentative time schedule for commissioning of Retiring
Rooms to IRCTC, through an experienced architect within 30
days from the date of remittance of security
deposit/acceptance or as advised by IRCTC.

(b) The IRCTC logo/brand name shall be included in the signage


plan for prominent display IRCTC duly abiding by the
directives regarding space distribution envisaged in
Annexure- F or as amended by IRCTC.

(c) The detailed plans shall include civil layout plans of all floors,
elevations, sections and interior plans showing layout of
furniture’s, kitchen area, sitting area, service areas, washing
area etc. The 3-D views of external facade shall also be
submitted, which should be in harmony with the style and
architecture of the main building.

Concerned Railways will approve the plans.

(d) IRCTC would forward the same to respective departments of


Railways and in consultation with concerned Zonal Railway
would obtain the final approval of Railways. Alterations /
modifications made by the Railways shall be binding on the
Service provider and decision of the Railways / IRCTC shall be
final. If Railway/IRCTC suggests changes in the General
Arrangement of Drawing (GAD), the new GAD has to be
submitted within 15 days of the issue of the letter/advisory.

(e) Giving possession of site shall be subject to payment of annual


License Fee for the first year in advance and in case of existing
service provider; this shall also be subject to clearance of
outstanding and payable against IRCTC/Railways.
7.2 Free time for : The service provider would be allowed 120 days to commission

construction the Retiring Rooms.

In case service provider takes additional time than the above


specified free time, he will submit written explanation giving
detailed reasons for taking additional time. IRCTC will consider
service provider’s representation and take suitable decision to
levy penalty, pro-rata licence fee or otherwise for additional time.
IRCTC’s decision shall be final and binding.
7.3 Failure to commission : In the event of failure to commission the Retiring Rooms within
the given time frame, the Service provider will have to provide a
written explanation within a week to the IRCTC. In case IRCTC
considers the explanation to be unsatisfactory, it reserves the right
to annul the Contract and forfeits the security deposit. The
decision of IRCTC’s will be final and binding in this regard.
7.4 Alteration/renovation : The Service provider will be allowed to carry out any alteration or
of the Retiring Rooms renovation in the Retiring Rooms. For all these actions the Service
provider will have to take prior written approval of the
IRCTC/Railways.
7.5 Failure to deposit : Service provider is required to deposit annual license fee as
License Fee enumerated, failing which IRCTC may take necessary action to
recover the dues including termination of license, penalty interest
@ 12 % per annum for the number of days of default , etc as
deemed fit by IRCTC.
7.6 Liability of IRCTC : The IRCTC will not be liable for any liability arising under the
labour laws, taxes or any other law of the land, incurred by the
Service provider.
7.7 Entitlement of : In case the Service provider suffers any loss on account of his
compensation being restrained by the IRCTC or any competent authority for
indulging in illegal activities or any contravention of any law, the
service provider shall not be entitled to any compensation
whatsoever.
7.8 Indemnification by : The Service provider will indemnify the IRCTC/Railway
Service provider administration for any loss or damage caused by Service provider
because of his fault or default.
7.9 Verbal or written : Except as here by otherwise provided any verbal or written
arrangements other arrangements abandoning varying or supplementing this
than the agreement agreement or any of the terms hereof shall be deemed conditional
and shall not be binding on the IRCTC unless until the same is
endorsed on the agreement or incorporated in a formal
instrument and signed by the party(s).
7.10 Unsatisfactory services : In the event of unsatisfactory service, poor quality of articles,
etc. persistent complaints from passengers, and services below the
standard or any failure or default at any time on the part of the
Service provider to carry out the terms and provisions of the
agreement to the satisfaction of the IRCTC (who will be sole judge
and whose decision shall be final), and will take necessary action
against the service provider including imposition of penalty upto
Rs. 10,000/- per default and it shall be optional to the IRCTC to
make any substitute arrangement it may deem necessary at the
cost and risk of the Service provider or to forthwith terminate this
agreement without any previous notice to the Service provider

and in case of such termination the Security Deposit shall be
forfeited by the IRCTC and the Service provider shall have no
claim what so ever against IRCTC or any of the officials in
consequence of such termination of the agreement. No refund of
License Fee shall be admissible in case of Termination under this
clause. The Service provider agrees to make good all cost and
expenses, if any incurred by the IRCTC for making the substitute
arrangements referred to above. The Service Provider shall be also
be debarred from participating in the future projects of IRCTC for
a period of one year.
7.11 a. Consequence to the : a. If the Service provider is a partnership firm and in case there is
death / severance of permissible clause in the constitution of the firm that the firm shall
any partner/s (in case not be dissolved by reason of the death of one partner or the
of partnership firm) severance of any partner from the business of the firm and in case
the performance of the Service provider is entirely satisfactory
according to the assessment of the licensor then in such an event
the licensor at its discretion may allow the Service provider to
continue under the agreement

b. In the event of death b. Transfer of licence to the spouse/legal heir would be allowed
of original service only in the event of death of the original service provider. The
provider. licence can be transferred in the name of spouse/legal heir for the
unexpired period of the agreement only, with personal approval of
the CMD, IRCTC. Nomination of the legal heir should be submitted
by the licence holder at the time of entering into agreement. The
nomination should be only from amongst the family members.
7.12 Liability for provision : The Service provider accepts liability, civil and criminal for
of Consumer compensation/damages in accordance with provision of
Protection Act. Consumer Protection Act or any statutory modification of the Act
or any other law for the time being in force for action occasioned
by negligence, deficiency of service, imperfect or improper
performance by the Service provider, his workmen, servants and
agents. The Service provider shall indemnify the licensor and
Railway administration from and against all payments made under
the provision of the said Act or law including all costs, litigation
costs etc. Any money which may become payable by the Licensor
as aforesaid shall be deemed to be money payable to the licensor
by the Service provider and in case of failure by the Service
provider to repay the licensor any money paid by it as aforesaid
within seven days after the same have been demanded by the
licensor shall be entitled to recover the same from the Security
Deposit or from any money due by the licensor to the Service
provider.

7.13 Notice to the Service : Any notice in terms of this Contract by either Party will be given at
provider the address stated herein above by Courier/Registered AD Post
unless a different address has been intimated in writing against
receipt. Upon the receipt of any other notice order, direction or
any other communication from any competent authority
(including notices, affecting the rates, taxes or other outgoings) in
respect of this licence , the other Party shall immediately deliver a

copy of the necessary document, to that Party.

Subject to as otherwise provided in this agreement, all notices to


be given on behalf of licensor and all other actions to be taken by
the licensor may be given or taken on behalf of the licensor by the
Dy. General Manager or any other officer for the time being
entrusted with such functions, duties and powers by the licensor.

8.0 EXIT CLAUSE

8.1 EXIT CLAUSE FOR : The Service Provider may exit the business only after
SERVICE PROVIDER commissioning of the unit. The Service Provider shall be required
to communicate its/ his intention of exiting from the License in
writing by providing a minimum of 180 days notice to IRCTC.
IRCTC in the meanwhile initiate the process of fixing up a new
Service Provider for Retiring Room. In case of an exit under this
clause, the security deposit of the Service Provider will be forfeited
by IRCTC. Balance license fee deducting dues, if any, will be
refunded to the service provider.
On exit, termination or successful completion of tenure, the
service provider shall be allowed to take back furnishings,
furniture and removable supporting amenities. The service
provide shall not be allowed to take back fixtures, bathroom and
room fittings, electrical fittings, tilings, or any other material
which are fixed and become part of the structure.

9.0 EVENTS OF DEFAULT

9.1 Breach of any terms and : In the event of any breach of the said terms and conditions of the
conditions of the License, the IRCTC reserves the right to impose penalties and will
License be entitled to forfeit the whole or the part of the Security
Deposit/License fee besides terminating or revoking the License
and debarring the Service Provider from participating in the
future projects of IRCTC. The decision of IRCTC in this regard
shall be final and binding.
9.2 Termination of License : The licensor shall also be entitled at any time forthwith to
on other events of terminate the License without notice to the Service Provider in
default any of the following events:
a. In the event of the Service Provider being convicted by a court
of law under the provisions of criminal procedure code or any
other law.
b. In the event of the Service Provider being a proprietor or, if a
firm, any partner in the Service Provider firm being at any
time be adjudged insolvent or a receiving order or order for
administration of his estate made against him or shall take
any proceeding for liquidation or composition under any
Insolvency Act for the time being in force or make any
conveyance or assignment of his interest or enter into any
agreement or composition with his creditors for suspended
payment, or if the firm be dissolved under the partnership Act

or, in the event of Service Provider being a company, if the
company shall pass any resolution to be wound up either
compulsorily or voluntarily.
c. Repudiation of agreement by Service Provider or otherwise
evidence of intention not to be bound by the agreement.

d. Failure to adhere to any of the due dates of payment specified


in the terms and conditions. Immediately on the
determination of this agreement the Service Provider shall
peacefully vacate the premises and hand over to the
licensor/Railway administration all articles in the custody or
possession of the Service Provider and shall remove all his
stores and effects from the said premises.

e. In case of default by service provider, the licensor shall be


entitled to enter and take possession of the said premises and
to lock up the same or remove the furniture or other articles
of the Service Provider that may be lying there and to dispose
of the same by sale or otherwise without being liable, for any
damage, and all expenses incurred in connection therewith,
shall be deducted by the licensor from the sale proceeds or
from the Security Deposit or pending bills of the Service
Provider.
9.3 Failure to provide any : IRCTC at their discretion may call for any record to satisfy itself
record to IRCTC regarding operation of the License and Service Provider is under
the obligation to provide every help, failing which it may amount
to breach of condition of the Service Provider. All
communications /information received/required by IRCTC must
be furnished by the Contractor/license within 15 days failing
which suitable penalty including termination of the Contract can
be done at the discretion of IRCTC.
9.4 Compliance for the : Recurring instances of failure to rectify the deficiencies noticed
inspection reports / during inspections by IRCTC and highlighted through complaints
Complaints shall invite imposition of penalty and/or termination of license.

10.0 CONSEQUENCES OF DEFAULT

10.1 Notice for termination : In case of any event of default mentioned in the agreement having
occurred, it shall be lawful for the IRCTC any time thereafter to
impose penalty and/or terminate the License agreement and
forfeit the Security Deposit, SUBJECT HOWEVER to the IRCTC
having given to the Service Provider fifteen (15) days prior notice
in writing to remedy or make good such breach and in spite of
such notice the Service Provider having failed to remedy the
breach. Upon termination of this License agreement as aforesaid,
the Service Provider shall deliver vacant and peaceful possession
of the premises to the IRCTC/Railways. The License shall be also
be debarred from participating in the future projects of IRCTC for
a period of one year. The decision of IRCTC in this regard shall be
final and binding.

11.0 ARBITRATION

a. In the event of any dispute or difference between the parties hereto as to the construction
or operation of this contract or the respective right and liability of the parties on any matter
in question, with reference to the contract, the Parties agree to use their best efforts to
attempt to resolve all disputes in prompt, equitable and good faith . In the event the Parties
are unable to do so, such party may submit demand in writing for reference of dispute to
arbitration as prescribed herein.
b. The demand for arbitration shall specify the matters which are in question, or subject of
dispute or differences as also the amount of claim item wise.
c. Only such dispute or differences, in respect of which the demand has been made, together
with counter claims or setoff given by IRCTC shall be referred to arbitration and other
matters shall not included in the reference.
d. In the event of demand made as mention herein above, such dispute or difference arising
under any of these conditions or in connection with this contract (except as to any matters
the decision of which is specially provided by these or the special conditions) shall be
referred to Sole Arbitrator , from the panel of Arbitrators , by Chairman and Managing
Director of IRCTC. The award of arbitrator shall be final and binding on the parties to this
contract. The venue of the Arbitration shall be at New Delhi. The fees and expenses of the
Arbitration tribunal and all other expenses of the Arbitration shall be as stipulated in
circular dated 05.09.2012 or amended from time to time and be borne jointly by the Parties
in equal proportion subject to determination by the Arbitration tribunal.

12.0 OTHER CONDITIONS

12.1 Advertisement/ : The Service Provider will not engage in or permit any
Publicity/ Sponsorship advertisement/publicity/sponsorship of any brand or product,
directly or indirectly, without prior written approval of IRCTC.
12.2 Payment of taxes/dues : The Service Provider will be liable for payment of all taxes/duties
and other liabilities in respect of the business.
12.3 Liability for : The Service Provider shall accept liability for compensation/
compensation/ damages under the Consumer Protection Act or any other law in
damages respect of performance of the services or in respect of any
negligence, act/omission of the Service Provider, his workmen,
servants and agents.
12.4 Observance and : The Service Provider shall, at all times indemnify the IRCTC
performance certain against all claims and penalties which may be suffered by IRCTC
acts or any person employed by them by reason of any default on the
part of the license in due observance and performance of
provision of:
 Workmen’s Compensation Act –1923
 Employment of Children’s Act XXVI of 1938 and
 Any other relevant laws
12.5 Assignment of License : Service Provider shall not assign the License or any part thereof
(sub-licensing) to any other party for any benefit or interest therein or there
under. Also, the brand names/logos/signage etc. should contain
only that of IRCTC and the Service provider only.
12.6 Compliance of : The Service Provider shall comply with any other instructions
instructions issued by IRCTC from time to time within a reasonable time, as
may be necessary to ensure better services. Any Policy, Circular,
Instructions, Orders, etc. on Retiring room matters issued

by Ministry of Railways/Railway Board from time to time
shall form part of the agreement and license governed
accordingly.
12.7 Supply of Rail Neer : It is mandatory for the Service provider to sell Rail Neer
(PDW) (Packaged Drinking Water – 1000 ml) in such quantities & rates
prescribed by IRCTC from time to time. The Service provider will
be responsible for storing, cooling and distributing ‘Rail Neer’ to
the guests. In case of non availability/inadequate supply by
IRCTC, The concerned zonal officer of IRCTC will give a time
bound approval in writing regarding non-availability/inadequate
supply to the Service provider who will make it available for the
scrutiny of the inspecting officials. In such cases Service provider
will be permitted to sell packaged drinking water approved by
IRCTC from time to time.

12.8 Disposal of seized : The Service Provider shall not sell the items other than those
unauthorized items approved by IRCTC. Sale of unauthorized items if detected in
contravention to approved items, the licensor or its / his
authorized representative / official may seize such items and the
unauthorized seized items shall be disposed off as per policy of
IRCTC in addition to any penalty to be imposed for this / such
contravention.
12.9 General : The licensor reserves the right to amend any of the clauses of the
agreement and also to add fresh clauses from time to time. The
rider agreement in this regard shall be executed between the
parties within 15 days of the amendment / changes.
Further, IRCTC reserves the right to extend or reduce the
stipulated clause in the tender/License conditions herein above,
in order to meet operational exigencies. The decision of Chairman
and Managing Director of IRCTC in this regard will be final.

13.0 FORCE MAJEURE

In the event of any unforeseen event directly interfering with the operation of License arising during
the currency of the License agreement; such as war, insurrection, restraint imposed by the
Government, act of legislature or other authority, explosion, accident, strike, riot, lock out, act of public
enemy, acts of God, sabotage; the Service Provider shall, within a week from the commencement
thereof, notify the same in writing to the Licensor with reasonable evidence thereof. The Retiring
Rooms shall be restored as expeditiously as possible or, as the case may be, the impediment to
accessibility shall be removed as expeditiously as possible. If the Said Property cannot be rendered fit
for occupation and use for more than thirty days, the Service Provider shall not pay License Fee for
such period till the said property becomes accessible and operational following cessation of force
majeure event mentioned above. The period of License will be further extended for the period during
which License was not operational.

PRE-CONTRACT INTERGRITY PACT

General

This pre-bid pre-contract Agreement (hereinafter called the integrity pact ) is made on ------------ day of
month of --------------- year -------, between, on one hand, the Indian Railway Catering & Tourism
Corporation Limited (IRCTC) acting through Shri------------- Designation of the officer, (hereinafter called
the “LICENSOR”, which expression shall mean and include, unless the context otherwise requires, his
successors in office and assigns) of the First Part and M/s ------------------- represented by Shri --------------
-- Chief Executive Officer (hereinafter called the “BIDDER/Seller” which expression shall mean and
include, unless the context otherwise requires, his successors and permitted assigns ) of the Second Part.

WHERAS the LICENSOR proposed the Bid for refurbishment, maintenance & transfer back of Retiring
Rooms and Dormitories at ………………………………………………………… Stations is as under:

WHEREAS the BIDDER is a private company/Public company/Government undertaking / partnership


/consortium, constituted in accordance with the relevant law in the matter and the Licenser is a Ministry
/ Department of the Government of India/PSU performing its function on behalf of the President of India.

NOW, THEREFORE,

To avoid all forms of corruption by following a system that is fair, transparent and free from any
influence/prejudiced dealing prior to, during and subsequent to the currency of the contract to be
entered into with a view to:-

Enabling the LICENSOR to obtain the Retiring Room for RENOVATION, OPERATION, MAINTENANCE &
TRANSFER BACK OF RETIRING ROOM AT _____________ RAILWAY STATION. A competitive price in
conformity with the defined specifications by avoiding the high cost and the distortionary impact of
corruption on public procurement, and

Enabling BIDDERs to abstain from bribing or indulging in any corrupt practice in order to secure the
contract by providing assurance to them that their competitors will also abstain from bribing and other
corrupt practices and the Licenser will commit to prevent corruption, in any form, by its officials by
following transparent procedures.
The parties hereto hereby agree to enter into this integrity Pact and agree as follows:

1.0 Commitments of the LICENSOR

1.1 The LICENSOR undertakes that no official of the LICENSOR, connected directly or indirectly with the
contract, will demand, take a promise for or accept, directly or through intermediaries, any bribe,
consideration, gift, reward, favour or any material or immaterial benefit or any other advantage from
the BIDDER, either for themselves or for any person, organization or third Party related to the
contract in exchange for an advantage in the bidding process, bid evaluation, contracting or
implementation process related to the contract.

1.2 The LICENSOR will, during the pre-contract stage, treat all BIDDERs alike, and will provide to all
BIDDERs the same information and will not provide any such information to any particular BIDDER
which could afford an advantage to that particular BIDDER in comparison to other BIDDERs.

1.3 All the officials of the LICENSOR will report to the appropriate Government office any attempted or
completed breaches of the above commitments as well as any substantial suspicion of such a breach.

1.4 In case any such preceding misconduct on the part of such official (s) is reported by the BIDDER to
the LICENSOR with full and verifiable facts and the same is prima facie found to be correct by the
LICENSOR, necessary disciplinary proceedings, or any other action as deemed fit, including criminal
proceedings may be initiated by the LICENSOR and such a person shall be debarred from further
dealing related to the contract process. In such a case while an enquiry is being conducted by the
LICENSOR the proceedings under the contract would not be stalled.

2.0 Commitments of BIDDERS

2.1 The BIDDER commits itself to take all measures necessary to prevent corrupt practices, unfair,
means and illegal activities during any stage of its bid or during any pre-contract or post- contract
stage in order to secure the contract or in furtherance to secure it and in particular commit itself to
the following:-

2.2 The BIDDER will not offer, directly or through intermediaries, any bribe, gift, consideration, reward,
favour, and material or immaterial benefit or other advantage, commission, fees, brokerage or
inducement to any official of the LICENSOR, connected directly or indirectly with the bidding
process, or to any person, organization or third party related to the contract in exchange for any
advantage in the bidding, evaluation, contracting and implementation of the contract.

2.3 The BIDDER further undertakes that it has not given, offered or promised to give, directly or
indirectly any bribe, gift, consideration, reward, favour, any material or immaterial benefit or
other advantage, commission, fees, brokerage or inducement to any official of the LICENSOR
or otherwise in procuring the Contract or forbearing to do or having done any act in relation to the
obtaining or execution of the contract or any other contract with the Government for showing or
forbearing to show favour or disfavour to any person in relation to the contract or any other
contract with the Government.

2.4 The BIDDER shall disclose the name and address of agents and representatives and Indian
BIDDERs shall disclose their foreign principals or associates.

2.5 The BIDDER shall disclose the payments to be made by them to agents/brokers or any other
intermediary, in connection with this bid/contract.

2.6 The BIDDER further confirms and declares to the LICENSOR that the BIDDER is the original
manufacturer/integrator/authorized government sponsored export entity of the defense stores
and has not engaged any individual or firm or company whether Indian or foreign to intercede,
facilitate or in any way to recommend to the LICENSOR or any of its functionaries, whether officially
or unofficially to the award of the contract to the BIDDER, nor has any amount been paid, promised
or intended to be paid to any such individual, firm or company in respect of any such intercession,
facilitation or recommendation.

2.7 The BIDDER, either while presenting the bid or during pre-contract negotiations or before signing
the contract, shall disclose any payments he has made, is committed to or intends to make to
officials of the LICENSOR or their family members, agents, brokers or any other intermediaries in
connection with the contract and the details of services agreed upon for such payments.

2.8 The BIDDER will not collude with other parties interested in the contract to impair the
transparency, fairness and progress of the bidding process, bid evaluation, contracting and
implementation of the contract.

2.9 The BIDDER will not accept any advantage in exchange for any corrupt practice, unfair means and
illegal activities.

2.10 The BIDDER shall not use improperly, for purpose of competition or personal gain, or pass on to
others, any information provided by the LICENSOR as part of the business relationship, regarding
plans, technical proposal and business details, including information contained in any
electronic data carrier. The BIDDER also undertakes to exercise due and adequate care lest any
such information is divulged.

2.11 The BIDDER commits to refrain from giving any complaint directly or through any other manner
without supporting it with full and verifiable facts.

2.12 The BIDDER shall not instigate or cause to instigate any third person to commit any of the actions
mentioned above.

2.13 If the BIDDER or any employee of the BIDDER or any person acting on behalf of the BIDDER, either
directly or indirectly, is a relative of any of the officers of the LICENSOR, or alternatively, if any
relative of an officer of the LICENSOR has financial interest/stake in the BIDDER’s firm, the
same shall be disclosed by BIDDER at the time of filling of tender. The term ‘relative’ for this
purpose would be as defined in Section 6 of the Companies Act 1956.

2.14 The BIDDER shall not lend to or borrow any money from or enter into any monetary dealings
or transactions, directly or indirectly, with any employee of the LICENSOR.

3.0 Previous Transgression

3.1 The BIDDER declares that not previous transgression occurred in the last three years immediately
before signing of this Integrity Pact, with any other company in any country in respect of any corrupt
practices envisaged hereunder or with any Public Sector Enterprise in India or any Government
Department in India could justify BIDDER’s exclusion from the tender process.
3.2 The BIDDER agrees that if it makes incorrect statement on his subject, BIDDER can be disqualified
from the tender process or the contract, if already awarded, can be terminated for such reason.

4.0 Earnest Money (Security Deposit)

4.1 While submitting commercial bid, the BIDDER shall deposit an amount ________(to be specified in
RFP) as Earnest Money/Security Deposit, with the LICENSOR through any of the following
instruments:
(i) Bank Draft or a Pay Order in favour of __________________

(ii) A confirmed guarantee by an Indian Nationalized Bank, Promising payment of the guaranteed
sum to the LICENSOR on demand within three working days without any demur whatsoever
and without seeking any reasons whatsoever. The demand for payment by the LICENSOR
shall be treated as conclusive proof of payment.
(iii) Any other mode or thought any other instrument (to be specified in the RFP).

4.2 The Earnest Money/Security Deposit shall be valid up-to a period of thirty years or the complete
conclusion of the contractual obligations to the complete satisfaction of both the BIDDER and
the LICENSOR, including warranty period, whichever is later.

4.3 In case of the successful BIDDER a clause would also be incorporated in the Article pertaining to
Performance Bond in the Purchase Contract that the provisions of Sanctions for Violation shall
be applicable for forfeiture of Performance Bond in case of a decision by the LICENSOR to forfeit the
same without assigning any reason for imposing sanction for violation of this Pact.

4.4 No interest shall be payable by the LICENSOR to the BIDDER on Earnest Money/Security Deposit for
the period of its currency.

5.0 Sanctions for Violations

5.1 Any breach of the aforesaid provisions by the BIDDER or any one employed by it or acting on its
behalf (whether with or without the knowledge of the BIDDER) shall entitle the LICENSOR to
take all or any one of the following actions, wherever required:-
(i) To immediately call off the pre contract negotiations without assigning any reason or giving
any compensation to BIDDER. However, the proceedings with the other BIDDER (s) would
continue.
(ii) The Earnest Money Deposit ( in pre-contract stage) and/or Security Deposit/Performance
Bond (after the contract is signed) shall stand forfeited either fully or partially, as decided by
the LICENSOR and the LICENSOR shall not be required to assign any reason therefore.
(iii) To immediately cancel the contract, if already signed, without giving any compensation to
the BIDDER.
(iv) To recover all sums already paid by the LICENSOR, and in case of an Indian BIDDER with
interest thereon at 2% higher than the prevailing Prime Lending Rate of State Bank of India,
while in case of a BIDDER from a country other than India with interest thereon at 2% higher
than the LIBOR. If any outstanding payment is due to the BIDDER from the LICENSOR in
connection with any other contract for any other stores, such outstanding payment could
also be utilized to recover the aforesaid sum and interest.
(v) To encash the advance bank guarantee and performance bond/warranty bond, if furnished
by the BIDDER, in order to recover the payments, already made by the LICENSOR, along with
interest.
(vi) To cancel all or any other Contracts with the BIDDER. The BIDDER shall be liable to pay
compensation for any loss or damage to the LICENSOR resulting from such
cancellation/rescission and the LICENSOR shall be entitled to deduct the amount so payable
from the money(s) due to the BIDDER.
(vii) To debar the BIDDER from participating in future bidding processes of the Government of
India for a minimum period of thirty years, which may be further extended at the discretion
of the LICENSOR.
(viii) To recover all sums paid in violation of this Pact by BIDDER(s) to any middleman or agent or
broker with a view to securing the contract.
(ix) In case where irrevocable Letters of Credit have been received in respect of any contract
signed by the LICENSOR with the BIDDER, the same shall not be opened.
(x) Forfeiture of Performance Bond in case of a decision by the LICENSOR to forfeit the same
without assigning any reason for imposing sanction for violation of this pact.

5.2 The LICENSOR will be entitled to take all or any of the action mentioned at para 6.1 (i) to (x) of
this Pact also on the Commission by the BIDDER or any one employed by it or acting on its behalf
(whether with or without the knowledge of the BIDDER), of an offence as defined in Chapter IX of

the Indian Penal Code, 1860 or Prevention of Corruption Act, 1988 or any other statute
enacted for prevention of corruption.
5.3 The decision of the LICENSOR to the effect that a breach of the provisions of this Pact has been
committed by the BIDDER shall be final and conclusive on the BIDDER However, the BIDDER can
approach the independent monitor(s) appointed for the purposes of this Pact.

6.0 Fall Clause

The bidder undertakes that he/she shall not sell or offer to sell the product/products of identical
description to any organization, such as any Department of Central Government or any Department of
State Government or any statutory undertaking of the Central or a State Government or a PSU, as the case
may be, at a price lower than the price chargeable under this Rate Contract, till the currency of Rate
Contract.
In case the supplier sells or offers to sell the product or any product of identical description, during the
currency of the contract, at a lower price to any organization such as any Department of Central
Government or any Department of State Government or any statutory undertaking of the Central or State
Government or a PSU, then the difference in the cost would be refunded by the bidder to the LICENSOR.

7.0 Independent Monitors.

7.1 The LICENSOR has appointed Independent Monitors (hereinafter referred to as Monitors) for this
Pact in consultation with the Central Vigilance Commission (Names and Addresses of the
Monitors to be given).

7.2 The task of the Monitors shall be to review independently and objectively, whether and to what
extent the parties comply with the obligations under this Pact.

7.3 The Monitors shall not be subject to instructions by the representatives of the parties and
perform their functions neutrally and independently.

7.4 Both the parties accept that the Monitors have the right to access all the documents relating to the
project/procurement, including minutes of meetings.

7.5 As soon as the Monitor notices, or has reason to believe, a violation of this Pact, he will so inform
the Authority designated by the LICENSOR.

7.6 The BIDDER(s) accepts that the Monitor has the right to access without restriction to all Project
documentation of the LICENSOR including that provided by the BIDDER. The BIDDER will also
grant the Monitor, upon his request and demonstration of a valid interest, unrestricted and
unconditional access to his project documentation. The same is applicable to Subcontractors. The
Monitor shall be under contractual obligation to treat the information and documents of the
BIDDER/Subcontractor(s) with confidentiality.

7.7 The LICENSOR will provide to the Monitor sufficient information about all meetings among the
parties related to the Project provide such meetings could have an impact on the contractual
relations between the parties. The parties will offer to the Monitor the option to participate in
such meetings.
7.8 The Monitor will submit a written report to the designated Authority of LICENSOR/Secretary in
the Department and, should the occasion arise, submit proposals for correcting problematic
situations.

8.0 Facilitation of Investigation

In case of any allegation of violation of any provisions of this Pact or payment of commission, the
LICENSOR or its agencies shall be entitled to examine all the documents including the Books of Accounts
of the BIDDER and the BIDDER shall provide necessary information and documents in English and shall
extend all possible help for the purpose of such examination.

9.0 Law and Place of Jurisdiction

This Pact is subject to Indian Law. The place of performance and jurisdiction is the seat of the LICENSOR.

10.0 Other Legal Actions

The actions stipulated in this Integrity Pact are without prejudice to any other legal action that may
follow in accordance with the provisions of the extant law in force relating to any civil or criminal
proceedings.

11.0 Validity

11.1 The validity of this Integrity Pact shall be from date of it signing and extend up to 5 years or the
complete execution of the contract to the satisfaction of both the LICENSOR and the
BIDDER/Seller, including warranty period, whichever is later. In case BIDDER is unsuccessful,
this Integrity Pact shall expire after six months from the date of the signing of the contract.

11.2 Should one of several provisions of this Pact turn out to be invalid; the remainder of this Pact
shall remain valid. In this case, the parties will strive to come to an agreement to their original
intentions.

Annexure-I
GENERAL CONDITIONS OF LICENSE
SECTION –TWO

1.0 PERIOD OF LICENSE

1.1 Total tenure of Term of License for Retiring Rooms will be 09 years from the
License date of commissioning of the unit. The license may be extended
for a period of 03 years subject to satisfactory performance and
payment of all dues, arrears, withdrawal of any court case
against IRCTC and minimum increase of 10% of the existing
License Fee. However, extension of license is a matter to be
decided at sole discretion of IRCTC.
An Annual Performance Assessment Report is enclosed as
Annexure- M

2.0 FINANCIAL TERMS AND CONDITIONS


2.1 Payment of License Service provider will pay license fee and GST thereon and
Fee other applicable taxes if any, as mentioned below: -
Service Provider is required to pay advance annual license
fee and GST thereon along with land license fee with
applicable taxes and other taxes if any to IRCTC in advance.
Service provider is required to pay License fee as mentioned
in the financial bid, GST thereon and other tax if any to
IRCTC. The quoted annual License Fee for 1st year shall be
paid at the time of handing over of site but is applicable from
time of commissioning of Retiring room & dormitories or
within 120 days from the date of issue of LOA whichever is
earlier. If a portion of the Retiring rooms is handed over, the
license fee for first year will be calculated on pro-rata basis
on the portion handed over to licensee. The quoted annual
License Fee, for the second year shall be payable in advance
before the commencement of second business year. Similar
payment cycle will be followed for each of the subsequent
year of service. Any outstanding from either side in the
previous business year shall be adjusted in the ongoing
business year.
In case of deviation in area at the time of physical handover
of site w.r.t. what is shown in the tender document, the
quoted annual license fee will be increased or decreased in
proportion of deviation for the entire currency of the license
w.e.f. date of deviation.
2.1.1 Annual Increase in License fee will increase by 5% per year compounded
Licence Fee annually. It means at the start of second year the license fee
deposited will be 5% more than the quoted license fee for
first year. Similar increase in payments of license fee will be
followed for each subsequent year of service. IRCTC reserves
the right to enhance contract period up to 03 years beyond

the 9 years period solely for operational reasons on the last
existing rates, terms and conditions.
2.2 Refund of License fee In case of pre-mature termination of Contract due to any
reason by IRCTC, other than the default/act/omission of
Service provider, license fee will be refundable, on pro-rata
basis for Part of the month/year.
2.3 Security Deposit Service Provider has to pay security deposit along with
acceptance of award of contract within 07 days of issue of
LOA.
2.4 EMD (Earnest Money Service Provider has to pay EMD along with the bid.
Deposit)
2.5 Refund of Security The Security Deposit will be refunded without interest by
Deposit IRCTC at the time of peaceful vacation of the premises by the
Service provider / as per exit clauses mentioned in clause 8.1
and 8.2 above of General Conditions of License, Section – One
(Annexure-B) after providing for settlement of all dues or
arrears arising out of the use of premises by the Service
provider. SD will be forfeited if service providers exits the
business before commissioning along with debarment for a
period of 01 year.
2.6 Reimbursement of Service provider shall submit the bills for the bookings made
online bookings made online, through IRCTC website on monthly basis and IRCTC
through IRCTC shall release the payment after deduction of statuary

deductions, if any.

2.7 Maintenance of Service provider will be required to maintain proper record


record of gross sales of daily sales to ascertain the Gross Sales Turnover (Including
turn over Tax) and make it available for inspection by IRCTC. The
Service provider shall maintain full records pertaining to the
rooms and dormitories (accounts, vouchers, bills etc.).
2.8 Non Payment of IRCTC shall start the termination process from the very due
license fee on due date/date of default. In case the service provider deposits the
date required license fee during the process of termination,
interest @ 12% per annum will be charged on daily basis. In
case of default, IRCTC will issue a show cause notice for the
termination of contract giving 21 days notice followed by 07
days notice and lastly 48 hours notice for deposition of
license fee plus interest. In case of non-submission of
required license fee plus interest contract will be deemed to
be terminated after expiry of the last notice of 48 hours.
2.9 Recovery of IRCTC reserves the right to recover any outstanding dues
outstanding amount from the Service provider by adjusting the same against any
amount/refundable security of the Service provider or any
amount payable to the Service provider either under this
contract or any other contract.
2.10 Mode of payment Licence fee, Security Deposit, EMD and any other dues shall
be payable through E-payment mode.

2.11 Annual returns Service provider shall submit copy of the annual returns of
statutory taxes to IRCTC. Annual audited accounts for the
unit should also be submitted every year on or before 30th
September of the following financial year.

required after the award of License. I fully understand and abide by the tender conditions. If
found successful I will sign it as an agreement without seeking any change.

 I/We understand that the submission of offers / bids does not guarantee allotment of License for

the work as per the terms and conditions of the License failing which, I / We shall have no objection to

New Delhi in addition to other penalties specified under the terms of License.
