CONTENT LICENSE AGREEMENT

This Content License Agreement (the "Agreement") is entered into on __________ (the

"Effective Date") by and between ____________________ (the "Licensor") and

____________________ (the "Licensee").

WHEREAS, Licensor is the creator of certain adult content featuring herself and other creators,

which the Licensee wishes to license for use on their OnlyFans channel; and

WHEREAS, Licensor wishes to grant Licensee a non-exclusive license to use the licensed

content on their OnlyFans channel, subject to the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below,

the parties agree as follows:

License Grant. Licensor grants Licensee a non-exclusive, non-transferable, revocable license to

use the licensed content on their OnlyFans channel. Licensee may use the licensed content for

sale purposes only and may not distribute the licensed content for free. The license granted

herein does not include the right to modify, edit, or alter the licensed content in any way.
Payment. Consideration for the license granted under this Agreement in the amount of $150 has

been fully satisfied by Creator's prior performance of services for Licensee, and no additional

payment is required for the license granted. The purpose of giving the other creator non-

exclusive license is to provide the other creator with the means of making money off of it.

Termination. This Agreement may be terminated by either party upon 90 days written notice to

the other party. In the event of a breach of the confidentiality provisions of this Agreement,

Licensor may terminate this Agreement immediately.

Ownership. Licensor retains all ownership rights in and to the licensed content, including any

copyrights or other intellectual property rights therein. Licensee acknowledges that they have no

right, title, or interest in or to the licensed content except as expressly provided in this

Agreement.

Non-Disclosure. The parties acknowledge that in the course of their relationship they may have

access to certain confidential information of the other party. The parties agree to maintain the

confidentiality of such information and not to disclose it to any third party without the prior

written consent of the other party, except as required by law. MIA does not want her likeness

within the licensed use to be used outside of its original context. It should, if shared behind a

paywall, be shared unedited and complete and no portion of it should appear outside of this

context.
Governing Law and Jurisdiction. This Agreement shall be governed by and construed in

accordance with the laws of the State of Louisiana, without regard to its conflicts of laws

principles. The parties agree that any dispute arising out of or in connection with this Agreement

shall be resolved exclusively in the federal or state courts located in Orleans Parish, Louisiana.

Entire Agreement. This Agreement constitutes the entire understanding of the parties and

supersedes all prior negotiations, understandings, and agreements between them relating to the

subject matter of this Agreement.

Counterparts and Electronic Signatures. This Agreement may be executed in counterparts, each

of which shall be deemed an original, but all of which together shall constitute one and the same

instrument. This Agreement may be executed by electronic signature, and any electronic

signature shall have the same force and effect as an original signature.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date and year first

above written.
