This CONTRACT is made and entered into this 2019, by and
between:

The DEVELOPMENT ACADEMY OF THE PHILIPPINES, a government


institution duly organized and existing under and by virtue of Presidential Decree
205, as amended, with principal office address at DAP Building, San Miguel Avenue,
Ortigas Center, Pasig City 1600, represented herein by its President and Chief
Executive Officer, ATTY. ENGELBERT C. CARONAN, JR., hereinafter called
the "DAP";
-and-

The J.G. NORA BUILDERS, a sole proprietor, duly organized and existing under
and by virtue of Philippine laws, with principal office address at 65 Estacion, San
Guillermo, Morong, Rizal duly represented herein by its General Manager, Mr.
JAMES G. NORA. hereinafter called the "JGNB".

Hereinafter, collectively referred to as "Parties".

- WITNESSETH, that -
WHEREAS, the DAP, in compliance to the pertinent provision of Republic Act No.9l84 for
Alternative Methods of Procurement through Negotiated Procurement under Emergency Cases,
has determined that JGNB's quotation/proposal, to be the most advantageous quotatiorVproposal

Etrmtce oF THE DAP.Pasrc Burlorue wtrH AN AppRoxtMATE AREA oF 1,650 seuARE METERS per tB18-
382827-OLA (hereinafter called the "WORKS").

WHEREAS, the JGNB accepts and obligates itself to execute the WORKS and the DAP has
accepted the JGNB's quotation/proposal amounting to TWO MILLION ONE HUNDRED
EIGHTY THREE THOUSAND NINE HUNDRED THIRTY TWO PESOS & 83/IOO
(P2,183,932.8) inclusive of the 5yoY AT (hereinafter called the "CONTRACT PRICE").

WHEREAS, the JGNB commits to execute the WORKS within One Hundred Twenty (120)
calendar days without delay, counted from the date that will be specified in the Notice-to-
Proceed (NTP), which DAP will give to JGNB after this Contract has been signed by both
Parties.

WHEREAS, the following documents shall be attached, deemed to form, and be read and
construed as part of this Contract, to wit:
A. Schedule of Requirements and Specific,ations (Annex "A");
B. Duly signed Financial Proposal Form containing JGNB's proposed Contract Price
(Annex o'B");
C. Bill of Quantities supported with a detailed unit price analysis (Annex "C");
D. Notice of Award received by JGNB (Annex "D");

E. Performance Security submitted by JGNB (Annex "E");
F. Certificate as to Availability of Funds (Annex "F"); and
G. Bid Forms, including all the documents/statements contained in JGNB's
quotation/proposal.

NOW, THEREFORE and in consideration of the foregoing premises, the Parties hereby agree
and stipulate as follows:
'|.. INTERPRETATION: In this Contract, words and expressions shall have the same
meanings as are respectively assigned to them in the Conditions of Contract hereinafter
referred to;

2. REFERENCE DOCUMENTS: Aside from the Notice-of-Award (NOA) signed by both


Parties that form as an integral part of this Contract Agreement (copy attached herewith as
Annex D) as well as the copy of the Performance Bond No. G(13) 24066 issued by
PACIFIC UNION INSURANCE COMPANY (copy attached herewith as Annex Z), and.
Certificate as to Availability of Funds (copy attached herewith as Annex f) as issued by
the DAP, the following documents shall primarily serve as the bases in determining anylor
all details that should govem this Contract Agreement, to wit:
2.1. The Eligibility, Technical, and Financial Documents including the Request for
Quotation (RFQ) and InvitationsArlotices issued during the conduct of the
procurement of this WORKS;
2.2. The JGNB's submitted quotation/proposal and all the documents / statements
contained in its quotation/proposal with the all the reference materials indicated
thereat;
2.3. The 2016 Implementing Rules and Regulation of Republic Act No. 9184, otherwise
known as the "Govemment Procurement Reform Act"; and
2.4. Other pertinent documents that may be required by existing laws and/or by the DAP.

3. In consideration of the payments to be made by the DAP to the JGNB as hereinafter


mentioned, the JGNB hereby covenants with the DAP to execute and complete the
WORKS and remedy any defects therein in conformity with the provisions of this Contract
in all respects;

4. The DAP hereby covenants to pay the JGNB in consideration of the execution and
completion of the WORKS and the remedying of defects wherein, the Contract Price or
such other sum as may become payable under the provisions of this Contract at the times
and in the manner agreed by both Parties;

5. The JGNB warrants that he has not given nor promised to give any money or gift to any
official or employee of the DAP, or any Govemment Instrumentality to secure this
Contract;

6. The JGNB undertakes to post a warranty security to guarantee the perfonnance of his
responsibilities in case of "Structural Defects" and "Failures" occurring during the
applicable warranty period;

7. The JGNB shall comply with and strictly observed all laws regarding workmen's health
and safety, workmen's compensation for injuries, minimum wages, hours of labor and other
labor laws:

8. The JGNB shall assume all the risk in connection with the completion of the
aforementioned WORKS prior to the acceptance by the DAP;

9. That the DAP shall have no EMPLOYER-EMPLOYEE RELATIONSHIP with the JGNB,
and. therefore, shall not be responsible for the injuries and damages sustained by them or
any of this party, and the same shall be the sole responsibility of the JGNB;

10. TERM OF THE CONTRACT: The JGNB commits to execute the WORKS within
One Hundred Twenty (120) calendar days without delay to commence from the date that
will be specified in the Notice-to-Proceed (NTP);

11. GOVERNING LAWS, VENUE AND DAMAGES: This Contract shall be construed.
interpreted and governed by the laws of the Philippines. Any action/s arising therefrom shall
be brought by the Parties, their successors or assigns, for the purpose of enforcing their
rights therein set forth shall be exclusively lodged in a competent court of Pasig City. In the
event the DAP is compelled to seek a judicial relief against the JGNB, the latter shall pay
the corresponding attomey's fees aside from the costs and expenses of litigation, and other
expenses which the law may entitle the DAP to recover from the JGNB plus ten percent
(10%) of the cost of the award as the basis for its claim for liquidated damages;

12. NOTICES: All notices, correspondences and other writings relative to this WORKS may
be given to the addresses indicated above. To further facilitate timely communication, both
parties agree to use electronic mail-addresses as follows:
12.1. For notices to DAP, the JGNB will then send to waiem@dan.edu.ph & copy fumish
to dapbacsec@dap.edu.nh ;

12.2. For notices to JGNB, the DAP will then send to ignora.builders@vahoo.com ; and,
12.3. Both Parties agree that an electronic registry shall be construed as the basis of receipt
of such notice. The default internet time will be the reference date and time if and
when the communication from Sender to Receiver, or vice-versa, will be the basis of

reckoning. sholl be construed that the Receiver has opened and read the
communication of the Sender after two (2) hours based on the internet-time that the
Sender has sent the communication.

13. AMENDMENTS: No amendment or modification of any of the terms and conditions of


this Contract shall be valid unless evidenced by a written Contract executed by the Parties'
respective authorized representatives; and

14. WAIVER: No failure, omission or delay of any of the Parties in exercising any of its
right, privileges and remedies hereunder shall operate as a waiver thereof. No waiver or
departure from the terms of this Contract shall be valid unless made in writing and signed
by the Party's authorized representative. Such waiver shall be effective only in the specific
instance and for the purpose for which it is given.

accordance with the specifications and subject to the terms and conditions of

not be opened or cut but the cracks shall be cleaned, filled,
and sealed with epoxy grout by using stiff brush. trowel or
putty knitb;

a width of 9.5mm) and cleaned groove by vacuuming or
blowing off all dust and loose particles and primed with

Note: Bidders may propose and adapt other types and methodology as
long as they fulfill the obligations in the contract which is to fully
waterproof the entire areas subject to be waterproofed so that leaks and
seepages are prevented.

waterproofing material will raluire the Procuring Entity or its
adhorized representative's formal approval before application.
Note: Construction dnd expansion joints should be double covered
with the srrip of sume graded warerproofing material of about I
foot wide centered on the axis on the corner or joint.
1.2.4.2 lnstall waterproofing material as indicated and in accordance with
the respective manufachuer's applicationiirstallation insftrctions
and recommendations.

Note: If cm-slalline v,aterproofing will be applied, the concrete


surface to be treated mu,st be clean and free of laitance, din, film,
paint, coatings or other foreign matter and rom om crackt, faulty
construction joints and other structural defects to a depth of 1.5
inches (37 mm) and a width of one inch (25 mm).

Note: If performed or buib-up membrane method will be applied, it


should be smooth and free from irregularities which may destoy
the integrih' of the membrane with 2-inch minimum overlaps on all
sheet joints. Bond all overlaps *sing appropriate bonding material.

specifications. and mea.surements;
2.2, Final Project Report including
photo documentations before, during, and after
implementation works. Each photo-documen(ation should have the date and
time stamps, in jpg-tbrmat;
2.3. Complete set of As-built Plans from the CONTRACTOR (signed & sealed
plans, including electronic copy in PDF and CAD-t'ormat);
2.3.1.One (l) set of original copy in A0 sheets (drawn on a mylar sheeLs)
signed and sealed by appropriate professional architects and engineers:

2.3.2. Four (4) sets of blue print copies in A0 sheets signed and sealed by
appropriate professional architects and engineers; and,
2.3.3. Cornplete set of electonic fi.les in USB Thrrnb Drive of "AS-BUILT
PLANS" in PDF and CAD format.
2.4. Waterproofing materialVbrochures with technical specifications and
