Employment and Personnel Placement Agreement

On DATE, Noor Staffing Group, LLC, DBA YOUR TRADE NAME (hereinafter referred to as Agency), located at YOUR ADDRESS and Client Company
Name (hereinafter referred to as Client) agree to the following for referrals of applicants to Client’s positions:

No Contrary Agreements
1. This Fee Schedule & Guarantee contains the complete agreement on the topics discussed herein, and supersedes any prior
agreements or understandings on these topics.
Perm Placement
1. Agency agrees to limit the fees charged to Client for placement of permanent candidates to 25% of base salary.
2. All payment from Client to Agency shall be made on or before the 30th calendar day of employment of which the employee actually
starts work.
3. Placements are guaranteed by Agency for 90 days (see sliding scale in Termination of Employment section below) from the
candidate’s first day of employment with Client. If Client has not paid the placement fee within the 30 day payment period or if
client terminates a candidate referred by Agency because of a downturn in business, reduction in force, elimination of position,
layoff due to contract termination, or any other post-placement company structural changes, then the 90 day guarantee does not
apply. Any termination within the guarantee period must be promptly confirmed in writing to Agency.
4. In the event that Client does not hire a candidate presented by Agency, the Client may not later hire any such candidate for a period
of 12 months from date of presentation without paying Agency a fee based on the aforementioned guidelines.
Temp and Temp to Perm
1. Client shall pay the temporary to perm placement fee within 14 calendar days from the start date of employment as a full-time,
perm employee (fees structure is outlined below).
2. For temporary placements, Agency agrees to invoice Client on a weekly basis.
3. Overtime is defined as those hours worked in excess of forty hours in a one week pay period. The overtime rate is one and one-
half times the regular billing rate for each hour worked.
4. Client agrees to pay the Agency on a weekly basis and within 14 days of receipt of invoices.
5. Agency reserves the right to charge client late fees for invoices not received within 14 calendar days.
6. Fees for full-time, perm hire of temporary employees placed at client based on the length of time the temporary employee has
been on assignment at the Client are based upon the below proration:

Hours Worked Prorated Fee

o 0-350 hours Full fee: 20% of candidate’s annual base salary

o 351-600 hours 15% of candidate’s annual base salary
o 601-850 hours 10% of candidate’s annual base salary
o 851+ hours 5% of candidate’s annual base salary

Termination of Employment

If candidate leaves or is terminated within 90 day guarantee period:

1. Before 31 days: YOUR AGENCY NAME HERE will waive the fee applicable to such candidate (and if Client has already paid any or all of
such fee, AGENCY NAME HERE will refund 100% of such amount).
2. 31-60 days: AGENCY NAME HERE will refund 66% of the fee applicable to such candidate.
3. 61-90 days: AGENCY NAME HERE will refund 33% of the fee applicable to such candidate.
