Our aims

The aims of the Group shall be to:

 To build generational wealth

 Financial freedom to all members

 Support other business ideas

Objectives

 This is an investment company to rise capital to support other potential ideas

 Having regular monthly board meetings to update one another about any achievements
and progress

 Create specific job roles for all board members

 Have a supportive systems for all board members

1. Membership
 Membership of the Group shall be open to any person over 18 or an organisation living
or located in the area who is interested in helping the Group to achieve
its aims, willing to abide by the rules of the Group and willing to pay any subscription
agreed by the Management Committee. (we need to talk about the Location)

 Membership shall be available to anyone without regard to gender, race, nationality,


disability, sexual preference, religion or belief.

 Every individual member within the organisation shall have one vote at the General
Meetings.

 The membership of any member may be terminated for good reason by the
Management Committee but the member has a right to be heard by the Management
Committee before a final decision is made.

 Each member organisation shall appoint a representative to attend meetings of the


Group and notify the Group’s Secretary of that person’s name.
2. Management
 The Group shall be administered by a Management Committee of the Officers and not
more than o the members elected at the Group’s Annual General Meeting
(AGM). (we need decide how many members)

 The Officers of the Management Committee shall be: the Chairperson, the Treasurer
and the Secretary.

 The Management Committee shall meet at least three times a year.

 The Chairperson shall chair all meetings of the Group. (Irene)

 The quorum for Management Committee meetings shall be .. members.

 Voting at Management Committee meetings shall be by show of hands. If there is a tied


vote then the Chairperson shall have a second vote.

 The Management Committee may by a two-thirds majority vote and for a good and
proper reason remove any Committee member, provided that person has the right to be
heard before a final decision is made.

 The Management Committee may appoint another member of the Group as a


Committee member to fill a vacancy provided the maximum number is not exceeded.

Duties;
 Be able to lead all board members
 To chair all board meetings that need to be carried out whilst maintaining order with the
meetings
 To ensure that the organisation has effective communication with all board members
 To ensure that all board members comply with the schedule of matters reserved
 To lead meetings and carry out discussions on proposals that have been put forward by
the team that include strategy, risk management, governance, capital financial reports
and mergers and acquisitions
 Be able to oversee that all board members are meeting the aims and objectives of the
organisation
 Make sure all board members receive and deliver accurate, timely and clear information
and are informed of any new changes
 Make sure the decisions made by the board members are clear and unambiguous and
all responsibilities for taking forward action points are properly allocated
 To monitor the implementation of agreements and action points discussed from previous
meetings
 Ensure that all board members contribute to discussions and the decisions making of
the organisation
 Ensure all board members are present on all relevant meetings and events that are
being carried out by the organisation
 Ensure that action is taken in any matter which, in his / her opinion is urgent, routine, or
not of sufficient important to justify the calling of a meeting
 Be able to exclude any person from meeting for any item of the organisation on the
grounds of confidentiality or conflict of interest
 Ensure no decisions are taken outside the organisation’s policy and procedures
 Ensure that all board members are focusing on the strategic matters for the organisation
 Carry out annual agenda through organising and coordinating the activities for each
board members
 Make sure that all decisions made or represented to the organisation have a collective
from all the board members exempt to exceptional circumstances when decisions
cannot be reached
 Review and evaluate the performance of the organisation and other avenues

Secretary (Richard Nsimbi)


Duties;
 To ensure meetings are effectively organised and minuted
 To work with the chairperson to plan meetings
 Makes sure they receive agenda items from all board member
 Making the circulate agenda and reports throughout the organisation
 Take minutes within meetings that are being carried throughout the organisation
 Circulate all the approved minutes throughout the organisation
 Need to check that all agreed actions have been carried out
 Make sure that fillies all minutes and reports taken and given
 Has to make sure that the sit on appraisal recruitment and disciplinary panels as
required
 Make sure that you keep up to date contact details such as names , addresses and
phones numbers for all board members and other organisations in partners with
 Make sure to keep all dairies of any future / previous activities
 Make sure that all the organisations reports , activities, any decisions and future
programme made are recorded and reported to all board members
 Prepare a report of the organisations activities for the year
 Ensure that there is company laws requirements are met
 Ensuring that all meetings carried out by the organisation whether on line or in prepare a
report of the organisations documents

Treasurer (Fredrick Mubiru)


Duties;
 Make the financial records of the organisation
 Makes the financial plans of the organisation
 Makes the financial polices of the organisation
 Makes sure that there are no financial problems that might arise within the organisation
 Makes sure that the organisation has sufficient funds for operating, financing, investing
and other plans and programs
 Has to evaluate whether funds to be invested in financing activities or investing in
activities appropriately
 Has to make manage taxes, financial risks through planing
 Has to make decisions accordingly to the outcome of the financial plans of the
organisation
 Has to manage the functions of short-term or short-term financial needs
 Has to have a proper capital structure plan

3. Finance
 Any money obtained by the Group shall be used only for the Group
 Any bank accounts opened for the group shall be in the name of the Group
 Any cheques issued shall be signed by the Treasurer and one other nominated official

4. Annual General Meeting


 The Group shall hold an Annual General Meeting (AGM) in the month of March 30th of
every single year.
 All members shall be given at least fourteen days notice of the AGM and shall be
entitled to attend and vote. The quorum for an AGM will be all board.members.
The business of the AGM shall include:
o Receiving a report from the Chairperson on the Group’s activities over the
year
o Receiving a report from the Treasurer on the finances of the Group
o Electing a new Management Committee and
o Considering any other matter as may be decided

5. Special General Meeting

A Special General Meeting may be called by the Management Committee or bay any of the
board members to discuss an urgent matter. The Secretary shall give all members fourteen
days notice of any Special General Meeting together with notice of the business to be
discussed. All members shall be entitled to attend and vote.

6. Alterations to the Constitution

Any changes to this Constitution must be agreed by at least two-thirds of those members
present and voting at any General Meeting or the AGM.

7. Dissolution

The Group may be wound up at any time if agreed by two-thirds of those members present
and voting at any General Meeting. In the event of winding up, any assets remaining after
all debts have been paid shall be given to another Group with similar aims.
