NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement (the "Agreement") is made and effective this _March 16, 2020_.

BETWEEN: _________________,(the "Employee"), of legal age, Filipino, single, and a

resident of _ Prk. Mangga, Cocornon Lupon, Davao Oriental

AND: _________________________________ (the "Company"),a corporation

organized and existing under the laws of the Philippines, with its head office
located at #________________, represented in this instance by
_____________________________

WHEREAS, the Employee is currently employed as (position) Laborer in the Company;

WHEREAS, in connection with such employment, Employee may be given access to, generate, or
otherwise come into contact with certain proprietary and/or confidential information of Company or clients
of the Company, such as contacts with suppliers, trade secrets, confidential transactions, financial
records and information, and special techniques in carrying out the services and business operations of
the Company, and the Employee may likewise acquire skills for the duration and in the course of his
employment with the Company;

WHEREAS, Employee and Company desire to prevent the dissemination or misuse of such information,
trade secrets, and/or skills;

NOW, THEREFORE, the parties hereto mutually agree as follows:

1. EMPLOYMENT

Company hereby continues to employ Employee and Employee hereby accepts such continued
employment, upon the terms and conditions contained herein and at a compensation that had been
previously agreed upon by Company and Employee. This Agreement shall commence on the date hereof
and shall remain in effect for an indefinite time until terminated by either party by giving the other party
notice of termination at least ____30_____ days in advance. While employed by Company, Employee
shall devote his or her full working time to Company's affairs and shall faithfully and diligently serve
Company's interests.

2. CONFIDENTIALITY

The Employee’s position necessarily puts him/her in a position to have access to or receive sensitive and
confidential information arising from or incidental to the operations of the Company’s business.

“Confidential Information” may include, but are not limited to, those relating to clients, suppliers,
employee/s competing businesses, transactions with government offices and agencies, and the like. By
accepting this appointment, you agree that, except as directed by the Company, you will not, at any time,
whether during or after your employment with the Company, disclose to any person or use any
Confidential Information, or permit any person to examine and/or make copies of any documents which
contain or are derived from Confidential Information, whether prepared by you or otherwise coming into
your possession or control without the prior written permission of Company.

Employee recognizes and acknowledges that the Confidential Information are the property of the
Company and may not be used or disclosed to third parties without the Company’s consent or
authorization, or as implied in the Employee’s job description. Employee further recognizes and
acknowledges that the goodwill afforded to Company depends upon, among other things, the Company
and its employees keeping such services and information confidential.

3. NON-DISCLOSURE

Employee agrees that, except as directed by Company, the Employee will not, at any time, whether
during or after his employment with Company, disclose to any person or use any Confidential Information,
or permit any person to examine and/or make copies of any documents which contain or are derived from
Confidential Information, whether prepared by the Employee or otherwise coming into the Employee's
possession or control without the prior written permission of Company.

4. POSSESSION

Employee agrees that upon request by Company, and in any event upon termination of employment,
Employee shall turn over to Company all documents, papers or other material in his possession or under
his control which may contain or be derived from Confidential Information, together with all documents,
notes or other work product which is connected with or derived from Employee's services to Company
whether or not such material is, at the date hereof, in Employee's possession. Employee agrees that the
Employee shall have no proprietary interest in any work product developed or used by Employee and
arising out of his employment with the Company. Employee shall, from time to time as may be requested

by Company, do all things which may be necessary to establish or document Company's ownership of
any such work product, including, but not limited to execution of appropriate copyright applications or
assignments.

5. PENALTY FOR VIOLATION

Violation of the provisions of this Agreement shall be penalized on the first offense with TERMINATION
FROM EMPLOYMENT, without prejudice to the penalties provided hereunder.

In case the EMPLOYEE violates the prohibition herein, he shall be liable to the COMPANY for
LIQUIDATED DAMAGES in an amount equivalent to DOUBLE THE AMOUNT OF LOSS OR
PECUNIARY DAMAGE sustained by the COMPANY due to the EMPLOYEE’s actions, but in no case
less than FIFTY THOUSAND PESOS (₱50,000.00), without prejudice to indemnity for actual loss or lost
income that the COMPANY may have sustained by reason of or incidental to such violation.

In case judicial action is resorted to for the recovery of the above stated damages, the EMPLOYEE shall
likewise be liable to pay Attorney’s Fees in an amount equivalent to 25% of the total damages demanded
by the COMPANY.

6. SURVIVAL

The provisions of this Agreement relating to confidentiality or non-competition shall survive the
termination of employment for the periods therein specified, however caused.

BEFORE ME, a Notary Public for and in the City of Davao, personally appeared the parties,

the same persons who executed the foregoing Agreement, and they acknowledged to me that the same
is their free and voluntary act and deed.

This instrument, consisting of two (2) pages, including the page on which this Acknowledgment is
written, has been signed by the parties and their instrumental witnesses on each and every page, and has
been acknowledged to me that the same is the free and voluntary act and deed of the entity or person
they respectively represent.
