AFFIDAVIT OF NON - OPERATION

I, ________________, of Legal age, Filipino, and presently residing

at_____________________, after having been duly sworn to in accordance with law , do hereby
depose and say:that:

1. That I am the Manager of _____________________, Inc. a corporation duly

organization under the laws of the Philippines with principal office at
_____________________;

2. That said corporation was incorporated on May 8, 1990 with SEC Registration No.
________;

3. That on July 31, 2013, the corporation ceased its lending operation due to poor
business outcome;

4. That sometime in November 2017, the stockholders and directors of the corporation
in a joint meeting decided to amend the primary purpose of the corporation from
lending to a holding company. In fact , the management was instructed to consult a
lawyer for this matter;

5. That while the documents necessary for the amendment of the primary purpose were
being prepared, the corporation’s bank advised the management of the corporation
that its corporate franchise had been revoked by the Securities and Exchange
Commission;

6. That I am executing this affidavit to attest to the truth of the foregoing and to support
the corporation’s Petition to Lift Order of Revocation.
