We set out below the terms upon which we propose to provide our services.

Conflict check

All instructions received by the firm are subject to an internal client conflict check. We have initiated the
conflict check for this instruction and we will update you on Monday on whether we are cleared to take
forward this matter or not. This proposal is shared with you in the interest of time and remains subject
to the clearance of our conflict check.

Scope of work

We propose to:

(a) draft, review and finalize the terms of the Sales and Marketing Agreement with Knights
Court; and

(b) draft, review and finalize the terms of the Brokerage Agreement with Christie’s.

Timing and term

The period for the provision of the services will commence once our Engagement Letter has been signed
by both parties and we receive all client onboarding documentation in addition to the money on account
as mentioned below.

We will continue in providing the services until either:

(a) the services are completed; or

(b) our engagement is terminated,

whichever is earlier.

We expect to deliver the first draft of the Sales and Marketing Agreement within 5 to 6 business days
from the date on which we start the work. After that, we will start drafting the Brokerage Agreement and
we expect to share the same with you within another 5 to 6 business days.

Fees

We bill our clients on time spent basis in accordance with our standard hourly rates.

My hourly rate is USD 900 (plus VAT) and I will be personally working with you on this matter.

On the basis of the scope of work above and subject to the assumptions set out below, we estimate our
professional charges will be in the region of:

(a) USD 20,700 (plus VAT) in respect of the Sales and Marketing Agreement; and

(b) USD 17,100 (plus VAT) in respect of the Brokerage Agreement.

The above are estimates that are provided for your budgeting requirements only. As such, they do not
amount to a guarantee that the actual costs will be within that estimate figure given that we charge on
time spent basis and that it is not possible to predict all the work that we may be required to undertake.
Furthermore, the payment of our fees and costs is not contingent on the ultimate outcome of the
matter.

Keeping Costs to a Minimum

We will not contact you unless it is necessary to do so. You can help us to keep costs to a minimum by
replying promptly to any requests for information or instructions. Whilst I, or one of my colleagues, will
usually be available to speak to you, please remember that the nature of our charges means that you are
charged for the time we spend on each telephone call with you.
Money on Account

As a matter of internal policy, the firm’s representation is conditional on the payment of an initial
advance equal to 50% of the fee estimate. The initial advance will be deposited in the firm’s general trust
account without interest, and we will charge our fees against the advance and credit them on your billing
statement. We will return to you any unused portion of the advance. We will also have the right to
request additional advances from time to time based on our estimates of future work to be undertaken.

Assumptions

The above fee estimate is based on the following assumptions remaining applicable:

(a) we will not be required to draft documents other than the documents specifically mentioned
in the above scope of work;

(b) we will be required to produce the first draft of each document and to carry out not more
than 2 round(s) of further amendments to each such document;

(c) we will not be required to attend before governmental authorities or perform any due
diligence;

(d) all deliverables will be produced in English and if you require any translation work, such work
will be carried out by an external translator and billed to you separately at cost. Any further review by us
of the translated work product will be separately charged on a time spent basis;

(e) our estimate excludes time spent in negotiations which will be billed at our standard hourly
rates;

(f) the scope of work will be concluded within a period of 1 month from the date we
commence work;
(g) there will be no material change to the scope of work (for the purpose of this sentence,
“material change” means any change in the scope of work which would have the effect of increasing the
workload of the lawyer involved in the provision of legal services); and

(h) our advice will be in respect of UAE laws;

Накнаде

Нашим клијентима наплаћујемо утрошено време у складу са нашим стандардним – to je satnica

Новац на рачуну Као питање интерне политике, заступање фирме је условљено плаћањем
почетног аванса у износу од 50% процењене накнаде. Почетни аванс ће бити депонован на
општем повереничком рачуну фирме без камате, а ми ћемо наплатити наше накнаде у односу на
аванс и кредитирати их на вашем изводу рачуна. Вратићемо вам сваки неискоришћени део
аванса. Такође ћемо имати право да с времена на време захтевамо додатне авансе на основу
наших процена будућег посла.

Претпоставке
