COMMISSION SHARING AGREEMENT

This Commission Sharing Agreement (“Agreement”), dated October, 28, 2019, is represented by and
between Rolly et. Al. (Annex A), of legal age and a resident of ______________________, hereinafter
referred to as THE SELLING AGENT;

and -

Jose Salvador Alterejos et. Al , (___________), of legal age and a resident of _______________________;
hereinafter referred to as Seller Negotiator;

and -

Eleanora Sunga et. al, (___________), married, of legal age and a resident of _______________________;
hereinafter referred to as Buyer Negotiator;

W I T N E S S E T H : That -

WHEREAS, this AGREEMENT is pursuant to the CONDITIONAL SALE OF REAL PROPERTY by and
between Burgundy Asset Development Corporation, a Domestic Corporation, and office address at
___________________________________________________, the SELLER; and International Brokering
Firm, a Foreign Corporation, and office address ______________________ the BUYER (hereinafter
referred to as the “SELLER” AND “BUYER”, respectively, and the “NEGOTIATORS”, collectively);

WHEREAS, both the BUYER and the SELLER have agreed that, as compensation for facilitating negotiations
between the BUYER and the SELLER with regard to the Conditional Sale of Real Property signed by the
PARTIES, a commission of Three Percent (3%) if of the Total Selling Price of SEVEN HUNDRED MILLION
PESOS , Philippine Currency (Php 700,000,000.00), or a commission of Five Percent 5% if of the Total
Selling Price of Eight Hundred Million Pesos (Php 800,000,000.00) or a commission of Three Percent 3%
plus One Hundred Million Pesos (Php 100,000,000.00) if of the Total Selling Price Nine Hundred Million
pesos greater or equal ( Php 900,000,000.00) is hereby awarded to the Selling Agent and the Negotiators,
based on the following terms below:

a. This Agreement constitutes the complete and exclusive statement of the agreement between
the PARTIES, as relates to the subject matter hereof and supersedes all proposals, oral or written, and all
other representations, statements, negotiations and undertakings relating to the subject matter.

No change in addition to, or waiver of any of the provisions of this Agreement shall be binding upon either
THE PARTIES, unless made in writing and signed by the PARTIES, or their respective authorizes
representatives;

b. Neither THE PARTIES may assign this Agreement and/or any rights and obligations hereunder
without the prior written consent of the other party, and any such attempted assignment shall be thus
null and void.
