MARKETING AGENCY CONTRACT

This Marketing Agency Contract ("Contract") is entered into between Stack Smma ,
here in after referred to as the "Stack Smma ," and Padilon, represented by Erhan,
hereinafter referred to as the "Client," collectively referred to as the "Parties,"
on 10-10-23.

1. SERVICES TO BE PROVIDED

1.1 The Agency agrees to provide marketing and advertising services to the Client
as outlined in the attached Exhibit A, Scope of Work.

1.2 The Client acknowledges that the service charges, as outlined in Section 2, are
for the services provided by the Agency and not contingent upon the Client's ad
spend.

2. SERVICE CHARGES

2.1 The Client agrees to pay the Agency for the services rendered according to the
payment terms specified in Exhibit B, Payment Terms.

2.2 All invoices shall be paid within 2 days from the date of issuance.

3. TERM

3.1 This Contract shall commence on 10-10-23 and shall continue until terminated by
either party in accordance with Section 5, Termination.

4. CONFIDENTIALITY

4.1 Both Parties agree to maintain the confidentiality of all proprietary and
confidential information obtained during the course of this engagement.

5. TERMINATION

5.1 Either party may terminate this Contract with written notice to the other
party. Termination shall be effective 3 days after the receipt of written notice.

6. REFUND POLICY

6.1 The Client acknowledges that the service charges are non-refundable.

7. INDEMNIFICATION

7.1 The Client agrees to indemnify and hold harmless the Agency from any claims,
liabilities, losses, or expenses arising out of or in connection with the services
provided under this Contract.

8. ENTIRE AGREEMENT

8.1 This Contract constitutes the entire agreement between the Parties and
supersedes all prior oral or written agreements, understandings, or
representations.

9. GOVERNING LAW

9.1 This Contract shall be governed by and construed in accordance with the laws of
Pakistan.
10. AMENDMENTS

10.1 Any amendments or modifications to this Contract must be made in writing and
signed by both Parties.

11. SIGNATURES

IN WITNESS WHEREOF, the Parties here to have executed this Contract as of the date
first above written.
