Remote Work and Equipment Agreement

Overview
This agreement establishes the terms and conditions between an employee and DeliverHealth to
conduct remote work, use Company owned equipment, or use personally owned equipment for work
purposes. As a primarily remote company, DeliverHealth expects that all employees may work
remotely at some point during their employment and therefore requires this agreement regardless of
present work arrangements.

Definitions
• Remote work: refers to an arrangement where the employee works from home or from another
location away from a Company office. Depending on the details of the arrangement, remote
work constitutes either a portion of the employee’s work time (hybrid schedule) or all of it (fully
remote).
• Remote work location: the location from which an employee performs remote work. In most
cases, this will be the employee’s home address.

Remote Work Guidelines


• Position requirements and responsibilities will not change due to working remotely. Employees
face the same expectations in relation to professionalism, work output, and customer/client
service, regardless of where the work is being performed.
• The amount of time an employee is expected to work in each week will not change, although
the exact scheduling of allotted hours will be left up to the discretion of their direct Manager.
• Employees must set up a dedicated workspace that allows them to focus as effectively as
possible. This workspace should be free from distractions, ergonomically sound, and free of
hazards.
• Employees must notify the People Team if their permanent remote work location changes or if
they intend to work from a different state than the location on record.
• Employees must determine any tax or legal implications under IRS, state, and local government
laws and/or restrictions of working out of a home-based office. Responsibility for fulfilling all
individual obligations in this area rests solely with the employee.
• If an employee’s physical presence is required at the primary work location, the employee may
be expected to report to the location, given adequate notice.
• The Company reserves the right to deny or revoke remote work privileges at its own discretion.

Availability Expectations
• Employees are expected to be present and available during their regular working hours.
• Employees must be transparent about their availability and keep their calendar and work
status up to date, indicating when they are online or offline.
• Employees must maintain strong communication via regular check-ins with their manager
and team.
• Employees are encouraged to use their webcam when possible and appropriate.
• When on webcam, staff must have a professional appropriate background during virtual
meetings.
• Working remotely provides greater scheduling flexibility; however, employees should
continue using their paid time off (PTO) according to Company policy, when applicable.
• Nonexempt employees must record all hours worked, including times for meal breaks when
applicable, according to Company policy.
• If an employee’s personal circumstances prevent them from avoiding distractions or

interruptions, they must notify their manager. Alternate accommodation must be approved by
their direct Manager.

Company Equipment and Electronic Resources


• The Company will provide required equipment and electronic resources for employees to
effectively perform their duties; however, the Company will not duplicate resources between a
Company office and the alternate work location. For example, if a remote employee must come
to the office periodically, they will need to bring their laptop, as another will not be provided
when in the office.
• Employees are responsible for proper care of all company property in their possession, including
but not limited to computers, cell phones, and other equipment provided for business use.
• Employees are responsible for protecting Company-owned equipment from theft, damage,
and unauthorized use.
• Employees must report any damage or theft of equipment to
IT.SupportCenter@DeliverHealth.com immediately.
• The Company will maintain, service, and repair Company-owned equipment used in the normal
course of employment.
• While reasonable personal use is allowed, employees should never use Company resources in a
manner that interferes with their work responsibilities.
• The Company’s electronic resources must not be used for solicitation purposes, personal
gain, or commercial ventures of any kind.
• The Company owns all data on Company resources and reserves the right to monitor use.
• Upon separation of employment, all Company property must be returned to IT or Asset Team
within five (5) business days.
• Individuals may be held financially responsible for lost or damaged property in their care.
Failure to return equipment will be considered theft and may lead to criminal prosecution.

Personally Owned Equipment


Any employee wishing to access Company resources or information from a personal device must
comply with the Company’s Bring Your Own Device (BYOD) policy.

• You have no expectation of privacy with respect to the DH business usage, or business data on
your personal device which may be subject to monitoring, search, or interception by DH to
preserve or collect information in connection with litigation, breach of policies, investigations
into allegations of misconduct, regulatory inquiries or other legal or compliance related needs
of DH.
• All business data shall be DH property and deemed proprietary and confidential. You agree to
keep all business data confidential, using at least the same standards of care you are required
to use to keep such data confidential on any other DH resource, but no less than reasonable
care.
• Under no circumstances shall you disclose to any third party, including but not limited to
family members, other DH employees, third party vendors, or any non-DH repair technicians,
the password necessary to access the DH network and/or business data.
• You will ensure the device is protected with password requirements, PIN, passcode, or any other
security method to prevent unauthorized use of the mobile device.
• You will ensure the proper safeguards are in place for mobile devices to periodically run security
scans, and anti-virus protection for laptops and PCs.
• You will perform all work for DH and store and process all business data only within the DH
network. DH offers cloud-based storage for all corporate employees and must save to OneDrive.
Production employees are not provided with OneDrive.
• You will not modify the functionality of your personal device or use your device in any way that
it was not designed or intended by the manufacturer to be used. This includes “jailbreaking,”
“rooting,” or your device. You also agree to not purchase or use a device that has already been
modified in such a manner for the purposes of participating in this program.
• Review the BYOD policy to review all requirements pertaining to personally owned devices.

Information Security
• Employees are expected to ensure the protection of all personally identifiable information,
protected health information, and proprietary Company and customer/client information that
is accessible from the employee’s home office. Paper files should not be kept unless necessary.
Any paper copies must be kept in a secure location and shredded when no longer needed.
• For security and confidentiality purposes, personal digital assistants that have speech
recognition and recording (including but not limited to Google Home, Nest, Amazon Alexa,
and others) should be removed from the immediate work area or have their microphones
turned off to ensure the privacy and safeguarding of patient and non-public Company
information.
• Business related data must be saved in DHS OneDrive to mitigate any critical data loss. Do
not save business related data or confidential information on the device’s local drive (e.g., the
C: Drive).
• Employees must report any suspected breach of confidential information to the Information
Security team at GRC@DeliverHealth.com. For example, if someone is intentionally accessing
confidential information for non-work purposes, or if protected data is accidentally sent to the
wrong address, etc.

Acknowledgement & Signature

By signing this form, I acknowledge that I have read, understand, and agree to comply with all
responsibilities and provisions of the Remote Work and Equipment Agreement. I understand that
any violation of the terms of this agreement may result in disciplinary action up to and including
termination. I understand that working remotely does not change the at-will nature of my
employment relationship and that either I or the Company may terminate the employment
relationship at any time, with or without advance notice.
