This Lead Generation Agreement ("Agreement") is entered into on ("Effective

Date"), by and between: 11/13/2023

ECO Grants NE Ltd

1. Services Provided

The Supplier agrees to provide ECO4 Leads to the Installer according to the terms and
conditions of this Agreement.

2. Lead Specifications

All leads provided will be ECO4 Leads.

3. Payment

The Installer agrees to pay the Supplier a flat rate of £2.50 per ABS Unit. Payment will be
made in GBP.

Payment will be structured as follows:

- 50% of the total invoice amount will be paid on the first day of installation.
- The remaining 50% will be paid within 3 days after the completion of the installation.

4. Invoicing

The Supplier will issue self-billing invoices to the Installer for the services provided.

5. ABS - Annual Bill Saving

The payment is based on the Annual Bill Saving (ABS) generated from the leads.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the
United Kingdom.

7. Exclusivity

During the term of this Agreement and for a period of three (3) months after its termination,
the Supplier agrees not to supply leads to any other ECO4 Installer.

8. Termination

Either party may terminate this Agreement with a written notice of [number of days] days.

9. Confidentiality

Both parties agree to keep all information exchanged in the course of this Agreement
confidential.

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all
prior discussions, negotiations, and agreements.

11. Amendments

Any amendments to this Agreement must be made in writing and signed by both parties.

12. Counterparts

This Agreement may be executed in counterparts, each of which shall be deemed an

original, but all of which together shall be deemed to be one and the same agreement.
