Good day!

We write to you on behalf of SP New Energy Corporation (SPNEC), which is currently working with the
National Grid Corporation of the Philippines in developing its transmission line project in the
municipality of Sta Rosa, Nueva Ecija to deliver safe, quality and reliable electricity to the Filipino people.
The project is duly registered with the Department of Energy (DOE) as indicated on the Certificate of
Registration attached as Annex A.

Upon careful technical evaluation, we have determined that the development of the Project on
neighboring lots will require temporary construction access of materials, equipment and vehicles through
your property. In this regard, we offer a total of Php 29,864.54 as verbally discussed prior, and
computed based on government-mandated reasonable compensation. Details are as follows:

Table C: Terms and Conditions

Payment Total Contract Price shall be paid upon:


(1) Execution of the Construction Access Agreement
(2) Submission of the following:
(a) Latest certified true copy of the title/s, tax declaration/s, lot
plan/s and vicinity map/s;
(b) Proof of claim of right or ownership of land;
(c) Competent evidence of identity and specimen signatures of the
registered owner/registered owner’s Attorney-in-Fact;
(d) Notarized Special Power of Attorney (SPA) of the registered
owner in favor of his/her Attorney-in-Fact; and
(e) Other documents and requirements that SPNEC and/or its
assign may require
Right to Access SPNEC and/or its assigns shall have the right to access the property upon
payment and execution of the Construction Access Agreement by the parties.
Non-Disclosure Landowner and/or the Attorney-in-Fact/Authorized Representative shall not
disclose to any person the terms and conditions verbally discussed and/or
contained in this Offer Letter. Otherwise, the Landowner and/or the
Attorney-in-Fact/Authorized Representative shall be liable to SPNEC and/or
its assign/s for liquidated damages.
