MEMORANDUM OF AGREEMENT

This Memorandum of Agreement (“MOA”) is entered into this ____________________, 2022 between and
among:
___________________________________, married, of legal age with resident address located at
_____________________________________________________________________________, hereinafter
referred to as the “ATTY-IN-FACT / SELLER”;

and

___________________________________________, Filipino. of legal age, with address located at

Collectivity referred to as the “ATTY-IN-FACT /AGENTS”;

(Collectivity, the “parties individually a “party”)

Witnesseth that:

WHEREAS,________________________________ has agreed to engage the AGENTS as real estate broker to


search for a prospective buyer of the properties listed below comprised of approximately
____________________________________________ square meters ( _______________________ sq.m.) in
Phase 3 Blk 7 Lot 13. Camella Nueva Ecija Trails Barangay Valle Cruz 3100, Cabanatuan City Province of Nueva
Ecija. (“properties”) :

WHEREAS, ATTY-IN-FACT / SELLER has authorized the agent to sell the properties for an aggregate
Purchase price of _________________________________________________________________
(PHP________________________________ ) PESOS PHILIPPINE CURRENCY “Total purchase price.”) from the
BUYER of the properties.

The Parties agree as follows:

1. Upon the consummation of a sale to a BUYER and upon receipt of the full payment from the BUYER of the
properties, SELLER and AGENTS both agreed that SELLER shall retain the amount of

from the Total Purchase Price and the remaining amount of

Shall be remitted to the AGENTS in the form of a Bank Manager’s check with (3) business days or upon clearing of
the BUYER’s check of their fees as well as all expenses, taxes and other fees related to the sale or transfer of the
properties.
2. Upon completion of the sale of the properties and the remittance of the amount of

(PHP___________________) to the AGENTS, the SELLER authorizes the AGENTS to pay the following taxes,
expenses and fees, on behalf of the BUYER and SELLER:

A. Unpaid Realty Taxes and penalties, if any.


B. Capital Gain Tax or Ordinary Income Tax, as the case may be;
C. Valued Added Tax (VAT):
D. Notarial fees;
E. Fees for serving the Certified True Copy of the required documents for the safe;
