Guide to starting a company in the region of
Cádiz.

The process of starting a new company can be


divided into 3 stages:
• Company formation
• Company registration
• Getting Started

| Company formation
Forming a company refers to the legal process of choosing the company’s legal
structure and incorporating it. This choice will depend on several factors, such
as the number of partners, the amount of capital stock, third-party liability
associated with the company, whether the business will have a physical
locationt, etc.

Spain offers a wide range of legal structures for businesses, each with its own
particular advantages.he most commonly used structures are the Sociedad
Anónima (Public Limited Company) and the Sociedad de Responsabilidad
Limitada (Limited Liability Company).

In addition, you will need a business plan that demonstrates the company’s
technical, economic, and financial viability. The plan should be structured as
follows:

Legal Steps for Incorporation (before the Tax Authorities)

• NIF/CIF application (tax identification number)


• Register in the census of businesses: Form 037 (professional activities)
and Form 036 (business activities).
• Submit Economic Activities Tax Form 870
| Company registration
The company must be registered in the Commercial Registry (Registro Mercantil) in
order to complete its creation and establish its legal identity. This process must be
carried out with the Commercial Registry office of the province in which the
company is domiciled.

Required documentation:

§ Provisional CIF (tax identification number)


§ Original or initial copy of the articles of incorporation
§ Proof of payment of transfer tax
§ Cooperatives only: Three simple copies and one certified copy of the minutes
of the founding assembly, a simple certified copy of the deed and a declaration
of planned activity
§ Employee-Owned Corporations (Sociedad Anónima Laboral) and Labor Limited
Companies (Sociedad Limitada Laboral): Proof of registration in the
appropriate administrative register, as well as accrediting certification, if
applicable.

Once you have decided on the most appropriate legal structure for your business,
you can proceed with the creation of your company. Incorporation and startup
procedures for certain companies in Spain can be carried out electronically through
the unified CIRCE system, which aggregates all the various agency and
administration procedures.

In CIRCE, you need only fill in the Single Electronic Document (Documento Único
Electrónico, or DUE), which includes a variety of forms. CIRCE then automatically
carries out all the procedures necessary to incorporate the company,
communicating with all the entities involved (Tax Agency, Social Security,
Commercial Registry, Notary Office, etc.).

The following types of companies can be created online via CIRCE’s Single
Electronic Document (DUE):

There are two ways to complete the DUE.

• You can visit an Advice and Startup Point (Punto de Asesoramiento e


Inicio or PAE) for assistance with everything related to incorporation and
startup. You will also be able to start the procedure for incorporation.

• You can also initiate these procedures by yourself through the Portal
CIRCE, by filling out the DUE yourself. You will need an electronic
certificate.
