CONTRACT TO SELL

KNOW ALL MEN THESE PRESENTS:


This CONTRACT TO SELL was made and executed by:

MA. AUREA YAP-GABRIEL married to ROBERTO M. GABRIEL; MA. RUFINA


YAP-SARMENTA, widow; MA. TERESA YAP-SEVERANCE married to JARVIS
SEVERANCE; MA. ELENA YAP-GUILAS married to ERNIE GUILAS; MA. LUISA
YAP- STA. ROSA married to EDGARDO STA. ROSA; and MA. CORAZON YAP-
GREGORIO married to MANUEL GREGORIO, all of legal age and Filipinos, hereinafter
referred to as the SELLERS; whereas MA. LUISA YAP STA ROSA is the Atty-In-Fact of
MA. TERESA YAP SEVERANCE married to JARVIS SEVERANCE and MA. ELENA
YAP GUILAS married to ERNIE GUILAS and MA. RUFINA YAP-SARMENTA.

-AND-

RITCHELLE LAUREEN MAGAT LIM, RENEI LORAINE MAGAT LIM and


LAWRENCE RYAN MAGAT LIM, all single, Filipino, of legal age, with residence and postal
address at 5 Nightingale St., Green meadows Subdivision, Brgy. Ugong Norte, Quezon City,
hereinafter referred to as the BUYERS.

WITNESSETH:

WHEREAS, the SELLERS are the absolute and registered owners of lot and
Improvement located at Brgy. Iruhin West, Tagaytay City, Cavite, covered by TRANSFER
CERTIFICATE OF TITLE NO. T-42621 more particularly described as follows:

A parcel of land (Lot 2-I-3 of the subdivision plan Psd-04-001169, being a portion of Lot
2-I described on plan (LRC) Psd-2598, L.R.C. Record No. 36022, Case 168), situated in the
Barrio of Ulat, Municipality of Silang (now) Tagaytay City, Island of Luzon. Bounded on the
NE., along line 1-2 by Lot 2-I-8, on the SE., along line 2-3 by Lot 2-I-2, both of the subdivision
plan, on the SW., along line 3-4 by Lot 2-H (LRC) Psd-2598. (Lot 4401 of Cad-355, Tagaytay
Cadastre), and on the NW., along line 4-1 by Lot 2-I-4 of the subdivision plan. Beginning at a
point marked “1” on plan, being S. 17 deg. 54’E., 9578.85 m. from BLLM 1, Mun. of Silang,
Cavite; thence S. 11 deg. 22’E., 15.00 m. to point 2; thence S. 71 deg. 02’W., 67.26 m. to point
3; thence N. 11 deg. 22’ W., 15.00 m. to point 4; thence N. 71 deg. 02’E., 67.26 m. to the point
of beginning, containing an area of ONE THOUSAND (1000) SQUARE METERS.

NOW THEREFORE, for and in consideration of the total sum of NINE MILLION
FIVE HUNDRED THOUSAND (P9,500,000.00) PESOS Philippine Currency, and of the
covenants herein after set forth the SELLERS agree to sell and the BUYERS agree to buy the
aforesaid property subject to the following terms and conditions:

1. The total consideration shall be NINE MILLION FIVE HUNDRED THOUSAND


(P9,500,000.00) PESOS, Philippine Currency, payable as follows:

a) Full payment of the above stated amount shall be payable by the BUYERS to
the SELLERS upon signing of this Contract to Sell and Deed of Absolute Sale;

2. Capital Gains Tax, notary, miscellaneous, certified true copy of title, tax declaration
and professional fee shall be for the account of the SELLERS, while documentary stamp
tax, transfer tax, registration, and all miscellaneous expenses for transfer shall be for the
account of the BUYERS.

3. Possession to the subject property shall be delivered by the SELLERS to


the BUYERS upon full payment of the total consideration.
IN WITNESS WHEREOF, the parties have set their hands and affixed their signatures
