TERMS & CONDITIONS


1. TAX

1. GST 18% extra (Includes the Transportation charges).

2. Deduction of TDS as per Statuary Rules is acceptable.

2. BILLING & PAYMENT PROCEDURE WITH TERMS

1. We are registered under MSME: UDYAM-DL-01-0000010.

2. Section 16 of the MSMED Act provides that in case buyer fails to make payment of amount to the MSME
supplier, then the buyer shall be liable to pay compound interest with monthly rest to such supplier.
This provision has an overriding effect on the agreement, if any, between the buyer and the MSME
supplier.

3. Further, Section 17 of MSMED Act provides that for goods supplied or services rendered by the MSME
supplier, the buyer shall be liable to pay amount with interest thereon as provided under Section 16.

4. Section 16 of the MSMED Act provides that the buyer shall be liable to pay compound interest with
monthly rest to the MSME supplier at three times the bank rate notified by the RBI.

5. Invoices shall be made on every first day of the next month for the month closing, and shall be sent
over by email to your registered email address same day.

6. Mid - month closure invoices can be made if requested.

7. E-Invoice shared on emails are valid for GST claims and is 100% admissible but still as per agreed bill
submission procedure we shall submit invoices, either by Central AR team or specific account managers
in case of credit customers.

8. If any discrepancy is found in the invoice, please reply to the email on which invoice is received and
same shall be rectified as soon as possible.

9. Credit limit and credit days have to be maintained in strict accordance and agreement and failure to do
so shall also reflect in our service level downgrades.

10. For initiating the pickup kindly drop an email to the email mentioned on quotation on top right corner,
o r your account manager. Any other form of communication shall not be acceptable towards any
miscommunication later.

11. In case the site is not working for any reason but the material is not returned to Youngman, then the
rental billing will be continued till the date of return of material Youngman warehouse.

12. In case of long rental tenure, the rates during finalization of the order will only be applicable and the
client is not liable to ask for any discounts due to increase in rental tenure.

13. If, within 30 (30) days of receipt of the Bill, the Customer does not notify YIPL in writing of a dispute
related to the Bill, the Customer shall be deemed to have waived any dispute related to the Bill and the
Bill shall be considered correct and complete. In case of any dispute including dispute of non-payment
in respect of any Bill raised by YIPL, the same shall be referred to the arbitration and the
judgment/award given by the sole arbitrator appointed by YIPL shall be final and binding. The Civil Suit
at Delhi can also be filed at the option of YIPL.

14. The rental of the material provided to you shall continue to accrue on the same payment terms if in
case the time limit of rental has expired and you have not taken extension for the same from
Youngman to keep the material with you. Youngman shall be entitled to collect rent for each and every
day after the time limit from you till the date the material is in your possession as per existing payment
terms and penal rental if any as applicable.

3. ORDER PAYMENT TERMS

1. Security deposit is only acceptable in form of either non-dated cheque or BG or Payment of amount not
less than mentioned in the quote as “Security Amount”.

2. In case you are not a credit customer with us, you are requested to pay 1-month advance rental which
shall be adjusted against the last invoice.

3. In case of default of these terms, Youngman India shall be authorized to adjust the security provided by
you to clear the liability and forcefully take custody of material.

4. Youngman will not be responsible for any delay in dispatch happen due to delay in receiving advance
payment, corrected PO and any other reason which is beyond control of Youngman.

5. We request you to share a formal work order in the same name and GSTIN we have shared this
quotation. Please recheck this, as per our experience most of the times the major reason of errors and
delays on e-way bill/Challans/Invoicing is this only.

6. Rental billing shall close only after successful pickup from client site.

4. MATERIAL HANDLING

1. Though we ensure rental goods to be absolutely neat and clean, you can expect small dents as this is
used material but be 100% sure of structural strength as we thoroughly check material before dispatch
and upon delivery at site.

2. Material shall be inspected for Quantity & Quality during the time of delivery/return and accordingly the
receiving of return should be given on challan and checklists.

3. Loading and Unloading of equipment/material on site will be in client’s scope.

4. For de-hire the scaffolding from site, the necessary documents will be arrange at your scope (i.e gate
pass).Once the gate pass is ready and it us to be intimated to us through email.

5. Once our vehicle reached your site for de hiring and at that time if the material is not ready for pick-up
due to regardless of reason i.e gate pass not ready etc. then the transportation charges will be claimed
at actual as well as bills will be generated till we get back the material from the site.

6. Youngman will not be liable for any loss/damage due human error, negligence during use, improper
safety precautions by end user, faulty erection/fixation or for any damages.

5. OWNERSHIP

1. Youngman will not be responsible for any damages occur to the other things (e.g. floor, walls, etc.) due
to the use of scaffold/Machine/Equipment provided by Youngman. Force Majeure will not be applicable
in rental orders. In case of any unforeseen incidents during rental tenure the invoicing will be continued
till the date of pick-up of the material and it will be processed as per the finalized terms during order
closing.

2. The person receiving/giving receiving of the material on site will be considered as the authorized
person of the client organization.

3. If the concerned person on site giving receiving at time of delivery or pick up no longer works with the
client, the client is still accountable/responsible for the receiving given by him.

4. Youngman reserves all rights of pickup of material in case of any Invoice payment default and customer
shall support in process of pickup.

5. If the material is picked up by client from Youngman warehouse or the material is sent via part load
transport by Youngman, responsibility for any damages occurring during the same/Insurance will not
be in Youngman scope.

6. Client should inform and take approval from Youngman in case of shifting of material internally by the
client from one site to another.

7. If the material is handed over/transferred to a client’s sister concern company, both the client
companies are responsible to maintain the original delivery challan. Youngman is not responsible in
case of any damage or missing components during the internal transfer between the two parties . The
responsibility to return complete material to Youngman in good condition will automatically be
transferred to the party /client, who has used it the latest. Any internal conflict between the two clients
with respect to the material /payment has to be resolved by themselves with no
responsibility/involvement of Youngman.ss/damage due human error, negligence during use, improper
safety precautions by end user, faulty erection/fixation or for any damages.

8. In case of Ownership shifting i.e. from selling the assets already under rental service, the shift will only

be considered after receipt of the total outstanding including pro-rata invoicing till date of receiving sale
confirmed PO with Sale consideration amount.

9. The material provided on rental to client is property of Youngman and Youngman has the right to take
back its material when it deems fit, in case of any issues with client at any site regards to payment
performance or any raise in unforeseen issues. Even Site owner or principal contractor/ contractor
should co-ordinate Youngman to return back their material. In no case or for any reason principal
contractor/ contractor can hold their material of Youngman given on rent they are liable to return the
same all condition.

6. MISSING & DAMAGES POLICY

1. At the time of delivery of material, material checklist is signed by client’s representative and can be
asked to be presented at time of pickup to justify if any claims are fair or not.

4. The above policies are by default accepted by the customer in case they place an order.

In case of any dispute whatsoever, the same shall be referred to the arbitration and the judgment/award given by
the sole arbitrator appointed by YIPL shall be final and binding upon the undersigned entity. The Civil Suit at Delhi
can also be filed at the option of YIPL.
