PREFACE
Business Translation is one of the major courses of the Bachelor of Arts in
English Language program at Ho Chi Minh City University of Technology (HUTECH).
The s course aims to provide students with knowledge of English
language including formal vocabulary and grammatical structures used in legal
documents as well as with necessary translation techniques.
This textbook contains 10 units with different texts about business contracts,
educational documents, device manuals, product advertisements, company
regulations, etc. Each unit provides students with two texts for practicing translation
both inside and outside the class and the meaning of key terms of each text, which
may facilitate the process of translation. This textbook is written not only to make the
translation of legal documents easier for students, but it also helps them achieve
initial success in the translation career. By the time they have completed this
textbook, they will be more professional in handling both English and Vietnamese
texts related to business or other legal documents.
LEARNING STRATEGIES
Studying with this textbook, students are required not only to attend class
regularly, but work hard at home as well. They should read each text carefully,
analyze grammatical structures and check the meanings of words. What is more,
students should practice translating the text in advance. In class, under the
instruction of the lecturer, they can discuss with their classmates, correct mistakes for
each other and use different techniques for translating the text.
STUDENT ASSESSMENT
Students are assessed based on two types of assessment: formative and
summative. Regarding formative assessment, such types of assignment as
attendance, in-class contribution, minitest, individual assigments, group project, in-
class presentation are employed. The ratio of marks is 50%.
Regarding summative assessment, students are required to take the final written
examination. They are requested to translate texts from English into Vietnamese and
vice versa. The ratio of marks is 50%.

Article 5- Payment
5.1 The total amount of goods will be paid by an Irrevocable 100% L/C at sight

Article 6- Inspection
The Buyer's representative Mr. Goh Ah Tee, shall have the right to inspect the
goods at the warehouse before loading by checking the goods to confirm the
quantity of each grade. This confirmation shall be final and is a legal basis for the
payment.

1. Neither party can claim for compensation for delays or non-execution obligation
under the contract either fully or in part due to Force Majeure.

2. Force Majeure shall be defined, though not exclusively, to include Acts of God, Acts
of War, civil disturbance, strikes.

3. The party claiming Force Majeure shall inform the other party by Fax within 15
days from the Force Majeure followed by necessary evidence that obligations

Article 8- Arbitration
1. All disputes arising out of or in relation to this contract, which is not reach an
amicable agreement between both parties, shall be finally settled by the Vietnam
International Arbitration Centre (VIAC) at the Vietnam Chamber of Commerce and
Industry (VCCI) in Hanoi in accordance with its arbitration rules and procedures,
whose award shall be final and binding by both parties.

2. Arbitration fee and all of fees and charges relating to arbitration shall be borne by

Read the following short passages. Find out the meaning of the bold

1. The Seller shall not be liable for the delay in shipment or non-delivery of the
goods under the Contract in consequence of Force Majeure, which might occur
during the process of manufacturing or in the course of loading or transit. The
Seller shall inform the buyer promptly of the occurrence mentioned above and
within fourteen (14) days thereafter, the Seller shall send by airmail to the Buyer
for their acceptance a certificate of the accident issued by the Competent
Government Authorities where the accidents occurs as evidence thereof. In such
circumstances, the Seller, however, is still under the obligation to take all
necessary measures to hasten the delivery of the goods. In case the accident lasts
for more than ten weeks, the Buyer shall have the right to cancel the Contract.

2. If the price hereunder for the merchandise herein decreases generally on the
market before the delivery date, the Buyer shall benefit by such price reduction

3. In case the Buyer fails to carry out any of the terms and conditions to this

and the Buyer shall in every such case be liable to the Seller for all losses,
damages and expenses thereby incurred.

4. Should the effect of Force Majeure continue more than one hundred and twenty
(120) consecutive days, both parties shall settle the further execution of the
Contract through friendly negotiations as soon as possible.

5. In the event of any breach of the terms, conditions or warranties to this Contract
with the Buyer or in the event of the death, dissolution, bankruptcy or insolvency
of the Seller, the Buyer shall have the right to cancel this Contract with the Seller
or reject the merchandise or to dispose of it for the account of the Buyer at a time
and price which the Buyer deems reasonable and the Seller is bound to reimburse
the Buyer for any loss or damage sustained therefrom including but not limited to
loss of profits obtainable from resale by the Buyer and the damages caused by the
liability to purchase from the Buyer of the merchandise on resale.

6. Unless the Contract provides otherwise, it is the legal duty to collect and
transport the goods from the premises.

7. Provided that Party B desires to continue leasing the flat, Party B shall notify
Party A in writing two (2) months in advance of the expiry of the lease and a new
lease contract shall be signed.

8. Whereas Party B has the right and desires to transfer the aforesaid know-how to

invention of the said letter of Patent.

particulars that may be necessary for the purpose of showing the amount of

8. This Contract is made this 2nd day of Oct., 2010 in Beijing, China by and between
XYZ Technical Import Corporation, a company organized and existing under the
laws of the Republic of China with its registered office in Shanxi Province,
China and ABC Company, a company organized and existing under the laws of the
United States of America with its registered office in New York City, USA.

This contract is made this 29th day of March, 2010 in Ho Chi Minh City, Vietnam by
and between ABC Corporation (hereafter referred to as a Corporation
having their principal office in Ho Chi Minh City, Vietnam who agrees to sell, and XYZ
Corporation (hereafter referred to as a Corporation having their principal
office New York, USA, who agrees to buy the following goods on the terms and
conditions as below:
Article 3 - Packing
Packing must be suitable for ocean shipment and sufficiently strong to withstand
rough handling. Bales must be press-packed and hooped, with adequate inside water-
proof protection and the outer wrapping must comprise good quality canvas. Cases or
other outside containers must be externally of the smallest cubic dimension
consistent with adequate protection of the goods. Packages must bear full marks and
shipping number s stenciled in good quality stencil ink in large plain characters on two
sides and one end of each package. All bales must be marked no
Article 4 - Shipment
Shipment within the last ten-day period of March, 2012, subject to acceptable
Letter of Credit reaches Sellers before the last ten-day period of January, 2012, and
partial shipment is not allowed.
If the Buyer fails to pay any amount when due, the Buyer shall be liable to pay to
the seller overdue interest on such unpaid amount from the due date until the actual
date of payment at the rate of 5% percent per annum. Such overdue interest shall be
paid upon demand of the Seller.
The Seller shall guarantee that the goods supplied by the Seller are made of the
best materials, with first-class workmanship, brand new, unused and correspondent
in all respects with the quality, specifications and performance as stipulated in this
Contract. The Seller also guarantee that the goods when correctly mounted and
properly operated and maintained, shall give satisfactory performance for a period of
two (2) years starting from the date on which the goods arrive at the port of
destination.
Article 7 - Inspection
The Seller shall, before the time of shipment, apply to inspection organization for
inspection of the quality, specifications, quantity, weight, packaging and requirements
for safety and sanitation/ hygiene of the Goods in accordance with the international
standard. The granted Certificate shall be an integral part of the documents to be
presented for payment. For the purpose of warranty and other claims, the Buyer shall
have the right to apply to the inspection organization for the re-inspection of the
Goods after the arrival of the Goods at the final destination.
Article 8 - Penalty
In the event the Seller for its own sake fails to make delivery of all the goods on
time as stipulated in this Contract, the Seller shall pay a penalty to the Buyer. The
penalty shall be charged at the rate of 5% of the amount of the delayed goods for
every 5 days of delay in delivering the goods; however, the penalty shall not exceed
2% of the total value of goods involved in the late delivery.
Neither Party shall be held responsible for failure or delay to perform all or any
part of this Contract due to flood, fire, earthquake, snowstorm, hailstorm, hurricane,
war, government prohibition or any other events that are unforeseeable at the time of
the execution of this Contract and could not be controlled, avoided or overcome by
such Party. However, the Party whose performance is affected by the event of Force
Majeure shall give a notice to the other Party of its occurrence as soon as possible
and a certificate or a document of the Force Majeure event issued by the relative
authority or a neutral independent Third Party shall be sent to the other Party by
airmail not later than 15 days after its occurrence.
Article 10 - Termination
Either Party may terminate this contract by written notice to the other at any time
if that other Party: a) commits a breach of this Contract and, in the case of a breach
capable of remedy, he fails to remedy the breach within 14 days of being required to
do so in writing; or b) becomes insolvent, or has a liquidator, receiver, manager or
administrative receiver appointed
Article 11 - Payment
Payments shall be made by net cash against sight draft with Bill of Lading attached
showing the shipment of the goods. Such payment shall be made through Bank of
China. The Bill of Lading shall not be delivered to the Buyer until such draft is paid.
Article 12 - Arbitration
All disputes arising from the performance of this Contract should be settled
through friendly negotiation. Should no settlement be reached through negotiation,
the case shall be submitted for arbitration in the country where the defendant
resides. If the arbitration takes place in China, the case shall be submitted to the
Foreign Trade Arbitration Commission of the China Council for the Promotion of
International Trade, Shanghai and the arbitration rules of this Commission shall be
applied. If the arbitration takes place in the USA, the case shall be submitted to the
Foreign Trade Arbitration Commission of the China Council for the Promotion of
International Trade N.Y. and the arbitration rules of this arbitration organization shall
be applied. The award of the arbitration shall be final and binding upon both parties.
The arbitration fee shall be borne by the losing party unless otherwise awarded by the
arbitration organization.
Article 13 - Validity
Any amendment and/or supplement to this Contract will be valid only after the
authorized representatives of both parties have signed written documents, forming
integral parts of the Contract.
Should the Seller fail to make the delivery of the whole of or a portion of the goods
on time as provided for in the Contract, the Seller shall pay a penalty to the Buyer.
The Seller agrees to pay a penalty which shall be deducted by the paying bank from

Grammatical structures:
can easily learn to operate a washing machine, learn which detergent and fabric
softener is best for which kinds of garments, and prevent your clothes' colours from
bleeding or ruining your whites.
Most clothes are machine washable, but always check the tag for further
instructions. Some clothes might shrink if you use warm or hot water to wash. Some
might be able to handle bleach and some might not. And some garments can't be
washed in a machine, such as certain silks and delicates. Always check the label
carefully.
Put aside clothes that are labeled as "handwash only" or "dry clean only".
In most shirts, clothing care labels are located on the inside left side of the shirt or
inside the neck area.
In most pants, clothing care labels are located on the inside of the back of the
pants.
Dyes in clothes, especially pieces that are new, lose their colour during a wash.
The colour can bleed onto other clothes and damage your entire load. When you sort
your laundry by "colour", this usually means differentiating them by shade. The most
basic way to sort your clothes is to separate your darks from lights and wash them
separately. You can even sort them more thoroughly by colour.
Darks include colours such as blacks, greys, dark blues, dark reds, and dark
purples.
Lights include pastel colours like whites, pinks, yellows, light blues, light greens,
and lavender.
Jeans or dark denims especially bleed their colour and should be washed in their
own separate load.
Additionally or alternatively, you can protect your clothes from wear and tear in
the washing machine by sorting heavier fabrics from lighter weight fabrics. Most
Delicates like lingerie, pantyhose, and washable silks should be washed separately.
Heavy fabrics include items such as heavy cotton pants, bath towels, jackets, or
sweaters.
If you choose to sort only by fabric, you can save a lot of energy and money from
having to wash multiple colour loads.
Instead of washing delicates separately, you can place delicates into mesh wash
bags to protect them from harsh wear and tear. Mesh wash bags can come in various
sizes but generally are used to protect only one or a few pieces of garments. They
can be washed together with a normal load.
Mesh wash bags don't protect garments from colours bleeding, so be sure to wash
them with similarly coloured loads. In most cases, delicates will not bleed and would
be safe to wash with a light coloured load.
Some stains need special treatment before you can put the garment into the wash.
The most popular stains that need pre-treatment are grease and oil stains.
Avoid washing or drying stained clothing in the machine. Certain stains set when
heat is added, making them difficult to remove.

preventing wear and tear. However, the level of cleanliness decreases with its slow
tumbling. This cycle is best used for specific or special garments like lingerie,
sequinned clothing, laced or loosely woven fabrics, or items made of sheer fabrics like
pantyhose.
Special cycles: Newer models of washing machines have special cycles that do
things such as sanitize, steam, or claim to protect whites and remove stains. Consult
your machine's manual for further explanations on what each special cycle does.
In theory, the hotter the water is, the cleaner the clothes are. Hot water sanitizes
and kills germs better, dissolves detergents more effectively, and removes built up
grime so clothes look brighter and cleaner. However, in some cases, hot water can
shrink clothes, fade fabrics, set certain stains in, and can be quite expensive for your
energy bill. So choose a water temperature that your fabrics can stand but also what
you can afford for the best results.
Use cool water in the delicate cycle for delicate items, items that have dyes that
might bleed, or clothes that aren't especially dirty.
Use warm water in the permanent press cycle, dark colours, and moderately
dirty loads.
Cold water is the most energy efficient way of washing clothes. About 90 percent
of energy used in hot washing cycles is used to heat up the water. It is also the
gentlest way of washing your garments.
For some machines, the water temperature is already preset according to what
cycle you choose. For example, a normal cycle will most likely use hot water that is
30 °C or 40 °C (85 °F to 75 °F).
It's important to read your washer's manual and find out what type of detergent
your machine can handle and also where to put the detergent. Most machines these
days can handle liquid and power detergents, as well as other cleaning agents like
bleach.
Top-loading washing machines require you to pour the detergent right into the
drum before you start your cycle. It's best to add your detergents before you load
your clothes so the high concentration of detergent doesn't stain or damage your
clothes. And in some cases, it's best to turn on the water so the detergent dissolves
before you load your clothes in.
The amount of detergent needed varies by brand of detergent and type of washer,
so check the back of the detergent box and also look for any labels on your washing
machine to find out how much to use.
This is pretty simple just dump your clothes in, but be careful not to overcrowd
your clothes. You need space for your garments to move and clean themselves. Some
machines may even have options to indicate whether your load is small, medium, or
heavy. This option adjusts the water levels within your wash cycle according to the
size of the load.

CIRCULAR
The Minister of Health promulgates the Circular providing for health declaration by
persons on entry, exit or transit through Vietnamese border gates.
1. The announcement of time for starting the application of health declaration must
satisfy either or both of the following conditions:
a. Name of the contagious disease or factor threatening to affect public health, which
has been controlled but still requires restricted health declaration;
a. Name of the contagious disease or factor threatening to affect public health, which
requires the termination of application of health declaration;
a. Full name, year of birth, sex and nationality of the person on entry, exit or transit
(referred to as health declarant);
d. Previous place of arrival before arriving at the Vietnamese border gate within 7
days;
5. The health declaration form is provided in the Appendix to this Circular (not
translated).
2. When carrying out the entry, exit or transit procedures, the entry and exit
inspection and control forces at border gates shall check the certification by
medical quarantine offices in the instruction section reserved for health declarants.
In case health declarants are subjects specified at Point b, Clause 1 and Point b,
Clause 2, Article 2 but there is no certification stamp of medical quarantine officers,
the entry and exit inspection and control forces shall request such persons to
complete the health declaration before their entry into, exit from or transit in,
Vietnam.

declaration, based on the conditions specified in Article 1 of this Circular;
a. Disseminate, guide and inspect the implementation of this Circular in areas under
their respective management.
b. Annually organize the preliminary and final review of the implementation of this
Circular in areas under their respective management and report implementation
results to the Ministry of Health (the Preventive Medicine Department).
