PREFACE III
PREFACE
Business Translation is one of the major courses of the Bachelor of Arts in
English Language program at Ho Chi Minh City University of Technology (HUTECH).
The s course aims to provide students with knowledge of English
language including formal vocabulary and grammatical structures used in legal
documents as well as with necessary translation techniques.

This textbook contains 10 units with different texts about business contracts,
educational documents, device manuals, product advertisements, company
regulations, etc. Each unit provides students with two texts for practicing translation
both inside and outside the class and the meaning of key terms of each text, which
may facilitate the process of translation. This textbook is written not only to make the
translation of legal documents easier for students, but it also helps them achieve
initial success in the translation career. By the time they have completed this
textbook, they will be more professional in handling both English and Vietnamese
texts related to business or other legal documents.

LEARNING STRATEGIES
Studying with this textbook, students are required not only to attend class
regularly, but work hard at home as well. They should read each text carefully,
analyze grammatical structures and check the meanings of words. What is more,
students should practice translating the text in advance. In class, under the
instruction of the lecturer, they can discuss with their classmates, correct mistakes for
each other and use different techniques for translating the text.

STUDENT ASSESSMENT
Students are assessed based on two types of assessment: formative and
summative. Regarding formative assessment, such types of assignment as
attendance, in-class contribution, minitest, individual assigments, group project, in-
class presentation are employed. The ratio of marks is 50%.

Regarding summative assessment, students are required to take the final written
examination. They are requested to translate texts from English into Vietnamese and
vice versa. The ratio of marks is 50%.

Article 6- Inspection

The Buyer's representative Mr. Goh Ah Tee, shall have the right to inspect the
goods at the warehouse before loading by checking the goods to confirm the
quantity of each grade. This confirmation shall be final and is a legal basis for the
payment.

Article 7- Force Majeure

1. Neither party can claim for compensation for delays or non-execution obligation
under the contract either fully or in part due to Force Majeure.

2. Force Majeure shall be defined, though not exclusively, to include Acts of God, Acts

3. The party claiming Force Majeure shall inform the other party by Fax within 15
days from the Force Majeure followed by necessary evidence that obligations
under the contract are affected, prevented or delayed.

Article 8- Arbitration

1. All disputes arising out of or in relation to this contract, which is not reach an
amicable agreement between both parties, shall be finally settled by the Vietnam
International Arbitration Centre (VIAC) at the Vietnam Chamber of Commerce and
Industry (VCCI) in Hanoi in accordance with its arbitration rules and procedures,
whose award shall be final and binding by both parties.

Read the following short passages. Find out the meaning of the bold
words, analyze and translate the passages into Vietnamese.

1. The Seller shall not be liable for the delay in shipment or non-delivery of the
goods under the Contract in consequence of Force Majeure, which might occur
during the process of manufacturing or in the course of loading or transit. The
Seller shall inform the buyer promptly of the occurrence mentioned above and
within fourteen (14) days thereafter, the Seller shall send by airmail to the Buyer
for their acceptance a certificate of the accident issued by the Competent
Government Authorities where the accidents occurs as evidence thereof. In such
circumstances, the Seller, however, is still under the obligation to take all
necessary measures to hasten the delivery of the goods. In case the accident lasts
for more than ten weeks, the Buyer shall have the right to cancel the Contract.

3. In case the Buyer fails to carry out any of the terms and conditions to this
Contract with the Seller, the Seller shall have the right to terminate all or any part

damages and expenses thereby incurred.

5. In the event of any breach of the terms, conditions or warranties to this Contract
with the Buyer or in the event of the death, dissolution, bankruptcy or insolvency

or reject the merchandise or to dispose of it for the account of the Buyer at a time
and price which the Buyer deems reasonable and the Seller is bound to reimburse
the Buyer for any loss or damage sustained therefrom including but not limited to
loss of profits obtainable from resale by the Buyer and the damages caused by the
liability to purchase from the Buyer of the merchandise on resale.

6. Unless the Contract provides otherwise, it is the legal duty to collect and
transport the goods from the premises.

7. Provided that Party B desires to continue leasing the flat, Party B shall notify

9. This Contract shall come into force and effect thirty (30) days after the signing of this
Contract. If this Contract has not become effective within sixty (60) days, either party
may declare this Contract to be null and void. In the event of such a declaration,

Translate the following contract articles into Vietnamese.

Article 1 - Preamble of a Contract

This contract is made this 29th day of March, 2010 in Ho Chi Minh City, Vietnam by
and between ABC Corporation (hereafter referred to as a Corporation
having their principal office in Ho Chi Minh City, Vietnam who agrees to sell, and XYZ
Corporation (hereafter referred to as a Corporation having their principal

Article 2 - Verification and Acceptance

In order to inspect the correctness and the reliability of the Documentation


supplied by Party B, a verification test on Contract Product shall be jointly carried out
in Party factory with the participation of Party technical personnel. The method
of the performance test is set out in detail in Appendix 5 to the Contract.

Article 3 - Packing

Packing must be suitable for ocean shipment and sufficiently strong to withstand
rough handling. Bales must be press-packed and hooped, with adequate inside water-
proof protection and the outer wrapping must comprise good quality canvas. Cases or
other outside containers must be externally of the smallest cubic dimension
consistent with adequate protection of the goods. Packages must bear full marks and
shipping number s stenciled in good quality stencil ink in large plain characters on two

Article 4 - Shipment

Shipment within the last ten-day period of March, 2012, subject to acceptable
Letter of Credit reaches Sellers before the last ten-day period of January, 2012, and

Article 5 - Overdue Interest Payment

If the Buyer fails to pay any amount when due, the Buyer shall be liable to pay to
the seller overdue interest on such unpaid amount from the due date until the actual
date of payment at the rate of 5% percent per annum. Such overdue interest shall be
paid upon demand of the Seller.

Article 6 - Quality Guaranty

The Seller shall guarantee that the goods supplied by the Seller are made of the
best materials, with first-class workmanship, brand new, unused and correspondent
in all respects with the quality, specifications and performance as stipulated in this
Contract. The Seller also guarantee that the goods when correctly mounted and
properly operated and maintained, shall give satisfactory performance for a period of
two (2) years starting from the date on which the goods arrive at the port of
destination.

Article 7 - Inspection

The Seller shall, before the time of shipment, apply to inspection organization for
inspection of the quality, specifications, quantity, weight, packaging and requirements
for safety and sanitation/ hygiene of the Goods in accordance with the international
standard. The granted Certificate shall be an integral part of the documents to be
presented for payment. For the purpose of warranty and other claims, the Buyer shall
have the right to apply to the inspection organization for the re-inspection of the
Goods after the arrival of the Goods at the final destination.

Article 8 - Penalty

Failure to Make Timely Delivery

In the event the Seller for its own sake fails to make delivery of all the goods on
time as stipulated in this Contract, the Seller shall pay a penalty to the Buyer. The
penalty shall be charged at the rate of 5% of the amount of the delayed goods for
every 5 days of delay in delivering the goods; however, the penalty shall not exceed
2% of the total value of goods involved in the late delivery.

Failure to Timely Open the Letter of Credit

Should either Party A or Party B fail to pay on schedule the contributions in


accordance with the provision defined in Chapter 10 to this Contract, the breaching
party shall pay to other party 5% of the contribution starting from the first month
after exceeding the time limit. Should the breaching party fail to pay after three (3)
months, 5% of the contribution shall be paid to the other party, who shall have the
right to terminate the contract in accordance with the provisions of the contract after
being approved by the original examination and approval authority as well as to claim
damages from the breaching party.

Article 9 - Force Majeure

Neither Party shall be held responsible for failure or delay to perform all or any
part of this Contract due to flood, fire, earthquake, snowstorm, hailstorm, hurricane,
war, government prohibition or any other events that are unforeseeable at the time of
the execution of this Contract and could not be controlled, avoided or overcome by
such Party. However, the Party whose performance is affected by the event of Force
Majeure shall give a notice to the other Party of its occurrence as soon as possible
and a certificate or a document of the Force Majeure event issued by the relative
authority or a neutral independent Third Party shall be sent to the other Party by
airmail not later than 15 days after its occurrence.

Article 10 - Termination

Either Party may terminate this contract by written notice to the other at any time
if that other Party: a) commits a breach of this Contract and, in the case of a breach
capable of remedy, he fails to remedy the breach within 14 days of being required to
do so in writing; or b) becomes insolvent, or has a liquidator, receiver, manager or
administrative receiver appointed

Article 11 - Payment

Payments shall be made by net cash against sight draft with Bill of Lading attached
showing the shipment of the goods. Such payment shall be made through Bank of
China. The Bill of Lading shall not be delivered to the Buyer until such draft is paid.

Payment is effected by confirmed, irrevocable, transferable, and bank's acceptance


L/C at sight with partial shipment, remaining valid for negotiation in China until 15th
day after the date of delivery. In the meantime, the L/C should be opened in favor of
the Seller within 15 days after the signing of the contract.

Article 12 - Arbitration

All disputes arising from the performance of this Contract should be settled
through friendly negotiation. Should no settlement be reached through negotiation,
the case shall be submitted for arbitration in the country where the defendant
resides. If the arbitration takes place in China, the case shall be submitted to the
Foreign Trade Arbitration Commission of the China Council for the Promotion of
International Trade, Shanghai and the arbitration rules of this Commission shall be
applied. If the arbitration takes place in the USA, the case shall be submitted to the
Foreign Trade Arbitration Commission of the China Council for the Promotion of
International Trade N.Y. and the arbitration rules of this arbitration organization shall
be applied. The award of the arbitration shall be final and binding upon both parties.
The arbitration fee shall be borne by the losing party unless otherwise awarded by the
arbitration organization.

Article 13 - Validity

This Contract is made out in duplicate (quadruplicate) in Chinese and in English


languages, one Chinese original copy and one English original copy for each Party,
both texts being equally authentic. This Contract shall come into force from the date
it is signed by the authorized representatives of both Parties. The annexes as listed in
Article 10 shall form an integral part of this Contract.

Any amendment and/or supplement to this Contract will be valid only after the
authorized representatives of both parties have signed written documents, forming
integral parts of the Contract.

Article 14 - Compensation for Damage

Should the Seller fail to make the delivery of the whole of or a portion of the goods
on time as provided for in the Contract, the Seller shall pay a penalty to the Buyer.
The Seller agrees to pay a penalty which shall be deducted by the paying bank from

the payment under negotiation. The penalty shall not exceed 2% of the total value of

the Contract, the Buyer shall have the right of cancellation upon the Contract and the
Seller, in spite of the cancellation, shall still pay the aforesaid penalty to the Buyer

HOW TO USE A WASHING MACHINE

Washing machines are incredibly convenient and easy-to-use household


appliances, but can take a bit of getting used to. If you've just gotten your first, or
are branching out into doing your own laundry for the first time, have no fear. You

can easily learn to operate a washing machine, learn which detergent and fabric
softener is best for which kinds of garments, and prevent your clothes' colours from
bleeding or ruining your whites.

a. Check the tags for special washing instructions.

Most clothes are machine washable, but always check the tag for further
instructions. Some clothes might shrink if you use warm or hot water to wash. Some
might be able to handle bleach and some might not. And some garments can't be
washed in a machine, such as certain silks and delicates. Always check the label
carefully.

Put aside clothes that are labeled as "handwash only" or "dry clean only".

In most shirts, clothing care labels are located on the inside left side of the shirt or
inside the neck area.

In most pants, clothing care labels are located on the inside of the back of the
pants.

b. Separate your laundry by "colour"

Dyes in clothes, especially pieces that are new, lose their colour during a wash.
The colour can bleed onto other clothes and damage your entire load. When you sort
your laundry by "colour", this usually means differentiating them by shade. The most
basic way to sort your clothes is to separate your darks from lights and wash them
separately. You can even sort them more thoroughly by colour.

Darks include colours such as blacks, greys, dark blues, dark reds, and dark
purples.

Lights include pastel colours like whites, pinks, yellows, light blues, light greens,
and lavender.

Jeans or dark denims especially bleed their colour and should be washed in their
own separate load.

c. Sort your clothes by fabric weight

Additionally or alternatively, you can protect your clothes from wear and tear in
the washing machine by sorting heavier fabrics from lighter weight fabrics. Most

washing machines spin and toss clothes around, and the extra aggravation from
heavy fabrics might ruin lightweight fabrics. As well, if you're washing a delicate or
lightweight load, the cycle's settings and temperature will be different from a heavier
fabric load.

Delicates like lingerie, pantyhose, and washable silks should be washed separately.

Heavy fabrics include items such as heavy cotton pants, bath towels, jackets, or
sweaters.

If you choose to sort only by fabric, you can save a lot of energy and money from
having to wash multiple colour loads.

d. Put delicates into mesh wash bags

Instead of washing delicates separately, you can place delicates into mesh wash
bags to protect them from harsh wear and tear. Mesh wash bags can come in various
sizes but generally are used to protect only one or a few pieces of garments. They
can be washed together with a normal load.

Mesh wash bags don't protect garments from colours bleeding, so be sure to wash
them with similarly coloured loads. In most cases, delicates will not bleed and would
be safe to wash with a light coloured load.

e. Separate out stained clothing

Some stains need special treatment before you can put the garment into the wash.
The most popular stains that need pre-treatment are grease and oil stains.

Avoid washing or drying stained clothing in the machine. Certain stains set when
heat is added, making them difficult to remove.

clothes.

Normal Cycle: This cycle goes with a fast/fast approach -- it tumbles fast and
spins fast. It helps with cleaning very dirty and sweaty clothes, and is what you will
most likely use on a regular basis. Sturdy fabrics like cotton, linen, denim, towels,
and bedding do quite well in a normal cycle.

Permanent or Perm Press: This cycle goes with a fast/slow approach. These
fabrics need fast agitation to be clean but a slow spin to prevent wrinkles. Use this
cycle for synthetic fibres like rayons, knits, polyesters, and acetates; synthetic fibres
are known to pill, or create small balls of fibre and slow spin cycles help prevent
pilling.

Delicate Cycle: This cycle uses a slow/slow approach, reducing agitation and
preventing wear and tear. However, the level of cleanliness decreases with its slow
tumbling. This cycle is best used for specific or special garments like lingerie,
sequinned clothing, laced or loosely woven fabrics, or items made of sheer fabrics like
pantyhose.

Special cycles: Newer models of washing machines have special cycles that do
things such as sanitize, steam, or claim to protect whites and remove stains. Consult
your machine's manual for further explanations on what each special cycle does.

b. Set the water temperature

In theory, the hotter the water is, the cleaner the clothes are. Hot water sanitizes
and kills germs better, dissolves detergents more effectively, and removes built up
grime so clothes look brighter and cleaner. However, in some cases, hot water can
shrink clothes, fade fabrics, set certain stains in, and can be quite expensive for your
energy bill. So choose a water temperature that your fabrics can stand but also what
you can afford for the best results.

Use cool water in the delicate cycle for delicate items, items that have dyes that
might bleed, or clothes that aren't especially dirty.

Use warm water in the permanent press cycle, dark colours, and moderately
dirty loads.

Use hot water for bath and kitchen towels, bedding, sturdy fabrics, or any
extremely dirtied items.

Cold water is the most energy efficient way of washing clothes. About 90 percent
of energy used in hot washing cycles is used to heat up the water. It is also the
gentlest way of washing your garments.

For some machines, the water temperature is already preset according to what
cycle you choose. For example, a normal cycle will most likely use hot water that is
30 °C or 40 °C (85 °F to 75 °F).

c. Pour in detergent and other boosters like fabric softener

It's important to read your washer's manual and find out what type of detergent
your machine can handle and also where to put the detergent. Most machines these
days can handle liquid and power detergents, as well as other cleaning agents like
bleach.

Front-loading washing machines usually have a drawer to dispense detergent and


will have separate compartments to place fabric softener or bleach. Your machine will
dispense the detergents at the right moment for you.

Top-loading washing machines require you to pour the detergent right into the
drum before you start your cycle. It's best to add your detergents before you load
your clothes so the high concentration of detergent doesn't stain or damage your
clothes. And in some cases, it's best to turn on the water so the detergent dissolves
before you load your clothes in.

The amount of detergent needed varies by brand of detergent and type of washer,
so check the back of the detergent box and also look for any labels on your washing
machine to find out how much to use.

d. Load your washer with clothes

This is pretty simple just dump your clothes in, but be careful not to overcrowd
your clothes. You need space for your garments to move and clean themselves. Some
machines may even have options to indicate whether your load is small, medium, or
heavy. This option adjusts the water levels within your wash cycle according to the
size of the load.

Small loads fill about a third (1/3) of your machine.

Medium loads fill half (1/2) of your machine.

Article 5: Dossiers of application for work permits for foreign workers

1. Dossiers of application for work permits for foreign workers, each comprising a
declaration and enclosed documents, must comply with the laws on e-transactions
and management of foreign workers in Vietnam.

2. Paper documents enclosed with dossiers of application for work permits for foreign
workers shall be converted into electronic documents in portable document format
(pdf), document format (doc, docx) or joint photographic experts group format
(jpg).

Article 6: Approval of the need to recruit foreign workers

1. At least 20 days before the expected date of recruitment of foreign workers, the
employer concerned (other than contractors) shall fill in a declaration form and
submit an explanatory report on the need to recruit foreign workers as prescribed
in Article 4 of Decree No. 11/2016/ND-CP to the approving agency via the portal,
except the cases prescribed in Clauses 4, 5 and 8, Article 172 of the Labor Code
and at Points e and h, Clause 2, Article 7 of Decree No. 11/2016/ND-CP.

foreign workers from an employer, the approving agency shall send its reply by
email to the employer.

for a work permit as prescribed in Article 10 of Decree No. 11/2016/ND-CP to the
work permit- granting agency via the portal.

of request for re-grant of a work permit as prescribed in Article 14 of Decree No.
11/2016/ND-CP to the work permit-granting agency via the portal.

Pursuant to Law No. 03/2007/QH12 on Contagious Disease Prevention and
Control;

Pursuant to Article 3 of the Decree No. 103/2010/ND-CP of October


1, 2010, detailing a number of articles of the Law on Contagious Disease Prevention
and Control regarding the border medical quarantine;

Pursuant to the Decree No. 63/2012/ND-CP of August 31, 2012,


defining the functions, tasks, powers and organizational structure of the Ministry of
Health;

At the proposal of the Director of the Preventive Medicine Department;

The Minister of Health promulgates the Circular providing for health declaration by
persons on entry, exit or transit through Vietnamese border gates.

Article 1. Conditions for announcing time for starting, restricting or


terminating the application of health declaration

1. The announcement of time for starting the application of health declaration must
satisfy either or both of the following conditions:

a. A competent state management decision to pronounce a contagious


epidemic or disease;

b. The Ministry of written notice of occurrence of a contagious epidemic or


disease overseas or appearance of a factor threatening to affect public health.

2. The restricted application of health declaration is effected in case a contagious


epidemic, disease or factor threatening to affect public health still exists but is
placed under control in extent or affected subjects. The announcement of time for
restricted application of health declaration must be based on the Ministry of
H written notice that the contagious epidemic, disease or factor threatening
to affect public health has been controlled.

3. The announcement of time for termination of the application of health declaration


must satisfy either or both of the following conditions:

a. A competent state management decision to pronounce that a contagious


epidemic or disease is over;

Article 2. Contents of a written announcement of the time for starting,


restricting or terminating the application of health declaration

1. Contents of a written announcement of time for starting the application of health

a. Name of the contagious disease or factor threatening to affect public health


requiring the application of health declaration

b. Subjects liable to health declaration

c. Time for starting the application of health declaration.

2. Contents of a written announcement of the time for restricted application of health


declaration:

a. Name of the contagious disease or factor threatening to affect public health, which
has been controlled but still requires restricted health declaration;

Article 3. Contents of health declaration

1. The health-declaration section covers:

a. Full name, year of birth, sex and nationality of the person on entry, exit or transit
(referred to as health declarant);

b. Serial number of the passport or laissez-passer or border pass or border identity
card;

c. Name of the province, city or territory or country of departure to the Vietnamese


border gate;

d. Previous place of arrival before arriving at the Vietnamese border gate within 7
days;

e. Contact address, telephone number in Vietnam or an e-mail address, if any;

f. List of vaccines or medical biologicals already used;

g. Questions about signs of the disease within 7 days;

h. Date of health declaration;

i. Signature of the health declarant.

2. The instruction section of the health declaration covers:

a. Full name of the health declarant;

b. Name of the province, city or territory or country of departure to the Vietnamese


border gate;

c. Certification by the medical quarantine officer.

3. A health declaration must be written bilingually, including the following:

a. Vietnamese and English;

b. Vietnamese and Chinese;

c. Vietnamese and Cambodian; or,

d. Vietnamese and Lao.

4. Contents of health declaration by the subjects defined at Point b, Clause 1 and


Point b, Clause 2, Article 2 of this Circular are valid for single entry, exit or transit.

5. The health declaration form is provided in the Appendix to this Circular (not
translated).

Article 4. Making of health declaration

1. Receipt of the health declaration form:

a. Receipt of health declaration forms on board aircraft or vessels, at maritime agents


or tourist companies or from tourist guides at home and abroad;

b. Receipt of health declaration forms in areas for health declaration at Vietnamese


border gates;

c. Receipt of health declaration forms at border gates of countries of departure;

d. Access to the website of the Preventive Medicine Department of the Vietnamese


Ministry of Health at http://ytdp.cimsi.org.vn, entering the border medical
quarantine section to get the health declaration form.

2. To make health declaration by filling in health declaration forms when arriving at


Vietnamese border gates to carry out the entry, exit or transit procedures or
within 7 days before the date of arrival.

3. Submission of health declaration forms to border-gate medical quarantine officers.

Article 5. Examination of health declaration

1. Border-gate medical quarantine officers shall examine health declaration contents


and affix stamps for certification of examination before the health declarants carry
out the entry, exit or transit procedures. If they detect that the health declaration
forms have been erased or improperly filled in, they shall request declarants to
make the health declaration again.

2. When carrying out the entry, exit or transit procedures, the entry and exit
inspection and control forces at border gates shall check the certification by
medical quarantine offices in the instruction section reserved for health declarants.

In case health declarants are subjects specified at Point b, Clause 1 and Point b,
Clause 2, Article 2 but there is no certification stamp of medical quarantine officers,
the entry and exit inspection and control forces shall request such persons to
complete the health declaration before their entry into, exit from or transit in,
Vietnam.

Article 6. Implementation responsibility

1. The Director of the Preventive Medicine Department shall:

a. Announce the time for starting, restricting or terminating the application of health
declaration, based on the conditions specified in Article 1 of this Circular;

b. Publish health declaration form on the website of the Preventive Medicine


Department of the Vietnamese Ministry of Health at http://ytdp.cimsi.org.vn;

c. Disseminate, guide and inspect the implementation of this Circular nationwide;

d. Annually organize preliminary and final review of the implementation of this


Circular nationwide.

2. Directors of provincial-level Health Departments in localities where exist border


gates shall:

a. Disseminate, guide and inspect the implementation of this Circular in areas under
their respective management.

b. Annually organize the preliminary and final review of the implementation of this
Circular in areas under their respective management and report implementation
results to the Ministry of Health (the Preventive Medicine Department).

3. Border medical quarantine organizations shall:

a. Notify the time for starting, restricting or terminating the application of health
declaration to other specialized state management bodies at border gates upon
receiving notices of the Preventive Medicine Department of the Ministry of Health;

b. Publicly post up the time for starting, restricting or terminating the application of
health declaration at border-gate areas; at the same time guide the health
declarants to make health declaration;

c. Print, manage, guide and distribute free of charge the health declaration forms to
all health declarants;

d. Preserve filled health declaration forms of health declarants for one month and
destroy them in accordance with law.

4. Border-gate medical quarantine officers shall:

a. Propagate and guide health declarants to make health declaration in accordance


with this Circular;

detecting and handling cases of failure to make health declaration.

5. Health declarants shall:

a. Make health declaration by filling in the health declaration forms and take
responsibility for health declaration contents;

b. Refrain from forging and using forged health declaration forms.

EXECUTIVE SUMMARY

FW 2017 Director Compensation Report studies non-employee director


compensation at 300 companies of various sizes and industries to analyze market
practices in pay levels and program structure. In terms of pay levels, total
compensation increased by 2.2% at the median of the total sample versus last
study, largely driven by an increase in compensation among small- and large-cap
companies. Large-cap companies in our study pay directors $274,000 at the median,
and experienced the greatest increase in median total pay this year of 5.4%,
rebounding from flat compensation the past two years. Again this year among mid-
cap companies, median total pay of $202,000 remained stable, increasing only 0.8%,
similar to the 1.1% growth experienced the prior year. Median total pay at small-cap
companies grew 3.7% to $150,000, down from prior growth of 6%. Technology
continues to be the highest-paying sector in our study, and while Financial Services
continues to be the lowest-paying sector, it experienced the greatest year-over-year
increase in median compensation (14%).

There is minimal change to director compensation program structure. The mix of


pay between cash and equity remained stable with equity continuing to represent
58% of total pay across all companies. In line with the trend toward simplification,
meeting fees continue to be eliminated in director pay programs. A small minority of
companies continue to use fixed-share equity award guidelines. Full-value stock
awards, rather than stock options, are the dominant form of equity compensation and
provide the most consistent means to align director pay with shareholders.

Director stock ownership guidelines continue to be majority practice and have


increased in prevalence this year among mid-cap companies. Mandatory stock
deferral/retention requirements are still a minority practice overall, but continue to

increase in prevalence. Deferred stock unit awards are utilized by 16% of companies
granting equity versus 15% last year; prevalence is highest among large-cap
companies.We continue to observe an increasing number of companies adding annual
limits on director compensation to shareholder-approved equity plans to mitigate the
risk of litigation. Over half of the companies in this study have such limits, up from
one-third last year. To enhance protection, these limits are increasingly covering total
pay rather than just equity: 26% of limits cover total pay this year, versus 15% in
the prior study. Among the companies in this study, limits on total pay typically
reflect a multiple of two to three times annual total pay. Despite this emerging trend,
most companies utilizing limits cover only equity compensation per director.
