EXTRAJUDICIAL SETTLEMENT OF ESTATE

WITH CONDITIONAL DEED OF SALE

KNOW ALL MEN BY THESE PRESENTS:

This EXTRAJUDICIAL SETTLEMENT OF ESTATE WITH CONDITIONAL DEED OF SALE


(the “Deed”) executed on ____________________ in ___________________, Philippines,
by:

JESSEHAN PUGAL PIA-PERILLO, widow, of legal age and representing


her two (2) minor children, namely: ARESI JULIEN PIA PERILLO and
AUDRIAN SIMONE PIA PERILLO, and with residence and postal address
at No. 29 Oriole St. Saint Francis Subd. Brgy. Pandayan, Meycauayan
City, Bulacan, hereinafter referred to as the “HEIRS-SELLERS”,

- and –

ROMAR R. DAMMAY, Filipino citizen, of legal age, with residence


address at No. 18, Calubaquib Street, Caggay Tuguegarao City,
Cagayan, hereinafter referred to as the “BUYER”,

(hereinafter referred to as the “Parties”);

RECITALS:

(A) The HEIRS-SELLERS are the surviving legal heirs of the late ARNALDO
DOMINGO PERILLO who died intestate leaving 1 parking slot and 2-bedroom
unit, located at Unit 129 (Ground Floor) and Unit 205, Bluebird Building, Bristle
Ridge, Brgy Pacdal, Baguio City, (titles are hereto attached as Annexes “A”
and “B” and described below:

LOCATED ON THE SECOND FLOOR OF THE BLUEBIRD BUILDING

IN THE CONDOMINIUM PROJECT KNOWN AND IDENTIFIED AS

UNIT DESCRIPTION: 2-BEDROOM B (INNER UNIT)
UNIT AREA .49.50 SQ. METERS
BALCONY 1 : 10.00 SQ. METERS

IN THE CONDOMINIUM PROJECT KNOWN AND IDENTIFIED AS
"BRISTLE RIDGE", DESCRIBED AS:

DESCRIPTION : COVERED PARKING
PARKING SLOT AREA : 13.25 SQ. METERS

(hereinafter referred collectively as the “Property”),

(B) No personal properties are involved in this settlement and to the best
knowledge and information of the herein named parties, the decedent left
no debts chargeable against his estate;

(C) For and in consideration of the premises, and invoking the provisions of
Section 1, Rule 74 of the Rules of Court, the heirs, including the minor heirs
who were duly represented, hereto by these presents agree to adjudicate
unto themselves the above-described parcel of land subject however to the
liabilities imposed by Section 4, Rule 74 of the Rules of Court, in favor of any
possible heirs, creditors and other persons who might be deprived of their
lawful participation in the estate for a period of two years.

(D) The HEIRS-SELLERS offered to sell on an “as-is-where-is-basis” and the BUYER


has agreed to acquire the aforementioned Property.

NOW, THEREFORE, for and in consideration of the foregoing premises and the
terms and conditions hereinafter provided, the Parties hereby agree as follows:

1. PURCHASE PRICE

For and in consideration of the amount of FOUR MILLION THREE HUNDRED


SIXTY FIVE THOUSAND PESOS (PHP4,365,000.00), Philippines Currency, the
SELLER hereby absolutely and irrevocably SELLS, TRANSFERS, and CONVEYS
unto the BUYER and its successors and assigns, all the rights, title and interest
to the Property.

2. WARRANTIES OF THE SELLER

The SELLER warrants unto the BUYER the following:

(i) the PROPERTY was validly acquired ownership and title over the
PROPERTY, with full power, right and authority to transfer, convey and
sell the PROPERTY;

(ii) the HEIRS-SELLERS have performed all the acts required by law to
effect the sale of the PROPERTY;

(iii) the PROPERTY conforms to the description and size set out on the titles
submitted by the HEIRS-SELLERS to the BUYER;

(iv) the HEIRS-SELLERS have not entered into any other transaction,
conveyance or assignment of rights or option, which purport to grant
to third parties any right, liens, or interests over the PROPERTY;

(v) the real Property taxes (RPT) and condominium dues have been paid
and are up to date up to the calendar quarter period prior to the
signing of this Deed; and

(vi) the PROPERTY shall be free and clear of all tenants or


occupants/possessors, from execution of this Deed, and the BUYER
may immediately have peaceful and undisturbed possession of the
PROPERTY upon execution of this Deed.

3. OTHER TERMS AND CONDITIONS

Upon execution of this Deed, the HEIRS-SELLERS shall turnover, to the BUYER,
the physical possession of the PROPERTY and original copies of the following
documents:

a. Owners' Duplicate Copy of the title of the PROPERTY;

b. Latest Tax Declarations covering the PROPERTY; and

c. Real estate tax receipts covering the PROPERTY up to the end of the
calendar quarter prior to the date of turnover of the subdivided transfer
of documents.

d. All taxes, fees and expenses arising from to the execution of this Deed,
including those pertaining to the registration and transfer of the title to
the PROPERTY from SELLER to the BUYER, shall be borne by the respective
Parties liable therefor. BUYER shall assume the notarial fees.

The BUYER shall be responsible for obtaining the Certificate Authorizing


Registration of the PROPERTY from the Bureau of Internal Revenue.

e. ALL other documents necessary for the transfer of title from the SELLER to
the BUYER shall be transmitted by SELLER to the BUYER once guardianship
proceedings are completed and settlement of estate has been
concluded; hence the conditionality of this sale.

4. BINDING EFFECT

This Deed shall be binding on the Parties herein as well as their heirs,
executors, administrators, successors-in-interest, assigns and legal
representatives.

5. ENTIRE AGREEMENT

This Deed and all provisions hereof embody the entire agreement between
the Parties unless amended by a subsequent agreement contained in a
public instrument.
